1.2 Question 1(b)
Employers in a firm should ensure that the working environment within the office is not
hazardous. It is an implied duty of the employer to take reasonable steps to provide and
maintain a safe system of work so as not to expose the employee to risk or injury which the
employer ought reasonably to have known. Every occupier (including employer) has a
statutory obligation to ensure the safety, health and welfare at work of all employees 1. Safety
and security are key in legal management because all the other functions will only be
successfully implemented once the safety and security are put in place, maintained and
guaranteed. This duty of the Employer has been envisaged in litany of laws in Kenya to to
wit; Constituion of Kenya,2 Occupational and Health Act3, Work Injury Benefit Act4 and
Employment Act5

Safety, refers to the condition of being protected from danger or risk likely to cause injury. It
involves control of recognized hazards to achieve an acceptable level of risk. The
Constitution provides that everyone has the right to a clean and healthy environment 6.
Employers or self-employed persons are supposed to ensure that their premises are safe for
employees and visitors7. MVL has set this safety standards in the following ways;
In the instance MVL has sort to ensure safety in following manner;

Outsourcing: is an allocation of specific business processes to a specialist external service


provider where an organization cannot handle all aspects of a business process internally. The
choices in out-sourcing include full outsourcing, seasonal outsourcing and functional
outsourcing. By MVL procuring external services in catering services, it is a security measure
to avoid fire incidents and/or accidents related thereto and improves safety measure. It also
saves time.

Proper office layout: MVL has office spaces that occupy seven storey building, it has a
board room and several office spaces. The design of the office and their spacious board room
is a safety measure as it limits air borne diseases; it promotes confidentiality of clients whilst

dealing with advocates. It promotes privacy whilst dealing with clients or any other persons
and clients instruments and documents such as; wills, title deeds, contracts and other
negotiable instruments. The office layout also controls accessibility of the offices.

Trained Personnel: MVL has personnel in charge of handling clients and other personnel.
They are in charge in organization of office, meetings and processing of persons and clients
before they are attended too. This is a proper measure as it promotes efficiency and ensure
seamless handling of office roles by specialists. Also, MVL has talent acquisition team that
serves as an aid in the firm in dealing and processing individuals.

Front office improvements: MVL has embraced technology in disseminating information to


persons thus, improvement of information security. Also, MVL by ensuring personnel await
at their spacious board room is a safety measure to ensure persons are attended to when
required to be attended to.

1.3 Question 1(c)
Human Resource Management Procedure; which entails recruiting and selection, training
and development and performance development in the firm. In the instance we MVL
procures external services, has a talent acquisition team, senior partners and supporting staff.

Human resources selection techniques: MVL has a selection process of choosing individuals
from a pool of job applicants with the required qualifications and competence to fill jobs in
the organization. It entails taking applications, selection interviews, selection tests and final
selection.

Training and Development: MVL has put in place an elaborate training and development
culture that is effective, for training and development to be effective and productive the
human resource management matches and every other employee’s skill and to the needs they
may have (deficiencies). They have employed trainers to ensure effective training and
development of staffs.

Proper remuneration standards set out by good stipends offered by MVL and other
benefits that they offer their pupils.

A good reputation over time: MVL has a good welcoming culture, mindful and courteous to
clients and visitors.

2.1 Question 2 (a)
Section 4 of the Public Procurement & Disposal Act provides as follows: This Act applies to
all state organs and public entities with respect to-
(a) Procurement Planning;
(b) Procurement Processing;
(c) Inventory and Management;
(d) Disposal of assets and;
(e) Contract Management.
A strict reading of the Act and interpretation support the position that it was not the intention
of the Act to bind private entities, however recent decision from High Court suggests that
Private entities such as MVL law firm carrying out their own procurement process may be
held liable by bidders if procurement does not comply with principles set out in Public
Procurement. In the case of Hydropower International (PVI) Limited v Kenya Tea
Development Agency (Holdings) Ltd & 5 others [2017] eKLR
Sergon J stated that private procurement processes are bound by rules applicable to public
procurement Act. The court was guided by court’s statement in Mary Njogu v Ndima Tea
Factory Co. Ltd & 2 others (2015) eKLR:

“[t]he process in question is procurement by a private company. It called for sealed


bids, and was to be confidential. Whereas the plaintiff argued that the Public
Procurement and Disposal Act did not apply to private tenders, the principles therein
apply mutatis mutandis to tenders issued by private persons. The parties to such
process and contracts arising there from are bound to respect and play by the known
or agreed rules in the process.”

Until the Supreme Court and /or the Court of Appeal rules differently, the current stance by
Kenyan courts is that private companies must demonstrate that their private procurement
processes comply with the principles set out in the Act hence binding to MVL.

2.2 Question 2 (b)

i. What skills have you acquired as a law student and how will they impact our
organization if you are given an opportunity you are interested in?
 Having gone through Research skills: As a researcher, I intend to elevate the
firm profile to ensure that it is up to date with legal contemporary issues.
 Trial advocacy skills: Improve the well foundation set by senior partners.
 Management skills: Build on the culture of punctuality, organization and
specialization. Analyze issues robustly by encouraging collegiality.
ii. State for us instances of conflict of interest and how to address them as an employee
of MVL?
 Conflict of interest might arise if you are representing two opposing clients in a
court.
 Conflict of interest can arise in an instance where one draws an instrument
between two parties and when it is contested in court seeks to represent one.

iii. Which Supreme Court case has changed the landscape of conveyancing practise in
Kenya recently?
 Dina Management Limited v County Government of Mombasa & 5 Others,
Supreme Court [2023].

iv. What do you know about our firm?


It is an established firm of repute that prides itself with top notch advocates that are
specialized in various areas of law. It is reputed for best infrastructure in terms of securing
clients data, efficiency and delivery. It is also recognized as giving good stipend for pupil
hence admirable.
Give us a particular scenario you have used your skills and/or knowledge to solve problems?
 As an undergraduate student, I was involved in drive to sensitize the indigent on access
of justice under article 48 as read together with Legal Aid, Act of 2016 on how they can
get access to pro bono services when in need of legal representation.
 Also, it was an opportunity to sensitize the public on the process of court and hierarchic
in terms of jurisdiction and access therein.

3.1 Question 3
How will MVL measure Mr. Sayun’s performance?
Feedback: Giving feedback on every step is also required within an organization to measure
the success rate of a specific policy implemented and initiatives taken by the [Link]
also helps managers to give feedback for employees’ performance so that they can understand
what is expected of them. This can, and is a proper measure to ensure Mr. Sayun’s
performance.

Reviewing: This basically involves the assessing progress and achievements at the end of the
year or at the end of the contract if anyone is working under contract for service. This is
characterized by the annual performance reviews. It is when the past performance of an
individual is reviewed, discussed rated and whereby the employee and manager look to the
future to plan for the coming year. The performance review must be fair and must be based
on observed behavior and actual measurable results covering the entire year. This shall be
evidenced by the ratings that are assigned and the narrative comments that shall be written.

Generating duties and function checklist: creating duties and function checklist basically
allows monitoring of tasks given, timelines and promoting efficiency amongst staffs. The
checklist should be fair and not one that puts immense pressure to staffs, it should be guided
by policies of the firm and promote productivity in terms of qualitative work instead of
quantity.

Self-evaluation and Self-Assessment is a process of clarifying your value through


discovering the relationship between various occupations and your personality type and work
style, interests, career values, and skills. Even if you have engaged in a self-assessment
process early in your career, your interests may have changed over time and you may be
eager to learn new skills. It is helpful to periodically engage in a thorough process of self-
assessment throughout your career.

4.1 Question 4 (a)
STANDARD OPERATING PROCEDURE Mountains & Valleys LLP (MVL)
EMPLOYMENT AND LABOUR RELATIONS DEPARTMENT

I. Introduction

Is a procedure specific to Employment and Labour Relations Department (ELRC-D) , to


inform specific activities necessary to complete tasks in accordance with Constitution of
Kenya, Kenyan laws, legal regulations and international instruments.

To ensure efficiency in the department, in division of labour, issuing assignment and ensure
client satisfaction.

II. Legal Compliance

Compliance with the law of the land is key to company’s productivity, it promotes confidence
between advocates and clients, it promotes right to privacy, it seeks to ensure that all
advocates in the department that practice law or provide legal services meet standards of
learning, professional competence and professional conduct that is appropriate to legal
service providers.

In achieving the above all advocates and/or staff in the ELRD shall endeavour to be guided
by following laws to ensure legal compliance:

i. The Constitution of Kenya, 2010 emphasis being:- Articles 10 (2) which provides
for national values to include; human dignity, equity, social justice, inclusiveness,
equality, human rights, non-discrimination and protection of the marginalised,
Article 27 which provides for equality of all parties irrespective of sex, origin or age,
Article 28 which provides for right to human dignity. Chapter six on leadership and
integrity. Article 33 which guarantees privacy.

Department shall be guided by the object and purpose of the constitution. Each
stakeholder shall demonstrate respect for the clients and fellow colleagues.

ii. Data Protection Act, 2015: The constitution guarantees right to privacy, to give
effect to it the Act was passed to give effect to the provisions thereof. Each
stakeholder shall act with utmost good faith in preservation of documents and
dissemination.

iii. Advocates Act, shall ensure they comply with the provisions of the law thereof in
terms of qualifications, taking of annual practising certificate and ensure they
disclose issues of conflict of interest if any.

iv. Continuing Career Development Regulations, 2014: Continuing professional


development in the legal field is a programme that requires advocates to attend
continuing trainings in the field, the purpose of which is to; maintain, improve and
broaden the professional knowledge and skills of advocate.

Customer Service

Preliminary Considerations:

While conducting an interview with a client seek to determine the following:

a. Determining the Existence of a Cause of Action.

b. Time Limitation.

c. Feasibility of the Law Suit.

d. Ethical Consideration in Accepting a Case

In determining the existence of a cause of action: Determine whether there exist a right and if
any, if it is recognized right to relief.

Limitations of Actions: Unless case is filed within the appropriate time the statute of
limitations may preclude the institution of such suit regardless of the merits of the case. We

advise advocates to be guided by provisions of Limitations of Actions Act to avoid being
caught with the dotrine of laches.

On Feasibility of the Lawsuit: Before an advocate accepts the case, he should review it to see
if it is practical. To ensure that the matter does not go beyond their scope of knowledge.

Turning down a case: If an advocate decides to turn down a case he must clearly
communicate this to the concerned individual and head of the department. It should be in
writing. Can be due to the issues of limitations of actions, feasibility of law suit, disagreement
on fees or conflict of interest issues.

Ethical Considerations in accepting a case based on rules of Professional Conduct and


involves: Competency to handle a case, Frivolous claims or Conflict of interest.

Procedures for Communicating with the client

We owe a duty to our clients to keep them updated and advise about the status of the case.
This should be done in the following ways;

a) By informing them each and every time you attend court through letters, email or calling.

b) Ensure you communicate promptly to them if they are to attend court for hearings.

c) Communicate about any new developments of the case to them. For instance if the
opposing counsel has filed an application to challenge jurisdiction of the court, their
standing to file a case etc.

Conflict of interest

Conflict of interest arises when a firm is asked to sue a party whom it currently represents or
previously represented in another case (although not always).

To ensure every person who seeks legal representation is represented as to ensure their
constitution right under Article 50 is not violated. We will be guided by following;

a. Each case shall be weighed by its own facts to ensure there is no prejudice acused to the
other.

b. Department shall not refuse to take matters for the sole reason that they were previously
acting as opposing counsels in the former matter.

c. The conflict of interest is directed to whether the matter currently handled is in
congruence and directly detrimental to the interests of the client or former in the
erstwhile matter.

d. A conflict of interest is detrimental to whom the firm represents, rather than whom any
particular advocate in the firm/department represents.

In the premises advocates shall be guided by the Court of Appeal decision of King Woolen
Mills Ltd & Another v Kaplan & Stratton Advocates [1990-1994] E.A 244 in determining
the scope of conflict of interest.

Ethical Consideration after Accepting a Case.

a) Communication with the Client:

Communications with the client. Lawyers owe a duty to their clients to keep them advised
about the status of their case. Lawyers are to regularly advise [Link] advocate can and
should not ignore the case one he has accepted it.

b) Confidentiality:

Communication between the client and an advocate is confidential. One is prohibited from
disclosing any information revealed to him by his/or her client. The right of the client is also
upheld under Chapter 4, Bill of [Link] 31(d) which states that every person has a right
to privacy, which includes the right not to have the privacy of their communications
infringed.

c) Honesty: Never knowingly make false representation about a case to a court or a


tribunal.

d) Advocates fee: Fees should not be unreasonable or unconscionable. Fee arrangement,


including any additional expenses, should be clearly explained to the client.

Case Management

After taking instructions depending on the circumstance of the case, on whether one represent
a Defendant or a Claimant in the suit. Demand Notice shall be the first document of the
setting the law in motion if representing Claimant and Entering Appearance or Responding to
Demand Notice if representing the Defendant.

If the matter is not settled in the lapse of the issuance of the demand notice. Prepare a legal
opinion, to ensure jurisdiction, cause of action, locus standi and remedies of the same.

Open and keep a file in the name of the client, the file shall contain; address or any other
details of the client, documents we intent to rely on in case we file a case, pleadings,
pleadings served upon us pertaining the case, receipts of disbursements, instruction fee note
and correspondences concerning the file.

Documents in the file should be arranged in a chronological order.

Keep a diary on the status of the case and ensure it is updated.

Notes of court attendance.

Personnel and or advocate dealing with the file should also be noted.

Drafting of Pleadings Generally

All documents drawn in and filed by our firm and/or department shall be in; New Times
Roman, Font 12, 1.5 spacing. Shall indicate the reference if a letter or an internal memo.
Shall indicate as having been drawn and filed by our firm, signed by the head of department
after proof reading and necessary corrections are made.

Every pleading shall have its heading, divided in paragraphs and labeled consecutively.
(ORDER 2 of the Civil Procedure Code).

Pleadings should contain brief statement summarizing material facts on which the party
pleading relies on for their claim or defence but not defence.

Each allegations by the client must specifically be pleaded.

Duties, Structure and Execution

 This procedure and appearances thereto shall observed by each and every member and/or
staff of the department.
 Each and every member shall report to the head of department in matters invoving
departments.
 Every head of the department shall report to Managing partner of the firm.
 Head of department shall be responsible in implementation of the procedures herein.

Over the five (5) years, our department at MVL will seek to reach new horizons by
proactively focusing on service, leadership, training, quality and innovation initiatives.
The department will identify, review and activate impact areas aligned
with the overall vision of the MVL Plan and the firm mission. We will
identify, set goals, define objectives and set actionable plans to achieve
them. Serving as a road map charting the course for the next five years,
the strategic plan will guide decisions, influence behaviors and inspire
confidence in the mission of our organization.

The following are the overall objectives guiding Departmental strategic

The Firm MVL Strategic Plan outlines both strategic and operational
goals that address the most relevant opportunities and challenges we
foresee over the next years. The strategic goals represent innovative,
future-oriented and department-wide initiatives that will require
employees at all levels across MVL to work jointly towards a common
goal. Strategic goals take us to the next level through a planned and
forward-thinking strategy.

The operational goals support the strategic goals within each of the
Divisions. Operational goals focus on the Division plans needed to
optimize the performance of the operations and reach our objectives
over the next 5 years.

Strategy Execution Process

The strategy execution process defines what needs to be done, by whom and by when.
Sponsors are ultimately responsible for achieving a strategic goal. Champions are assigned
specific strategic initiatives and given the support, including training and coaching, to
facilitate effective cross functional work. Champions will meet regularly to coordinate their
efforts, learn effective ways to engage others, and report progress on their assignments.

The strategy execution process includes the following components:

1. Selection: Identify the staffs, right sponsors and champions for each of the strategic
initiatives. Ensure that all of them are willing and able to perform their function for the
assigned period of time.

2. Training: There is ongoing training for Staffs, Sponsors and Champions on how to define
objectives, lead effective initiatives, build collaborations across Divisions, and measure
progress on assignments.

3. Team Leaders: The temporary task forces working on strategic initiatives are called Team
Leaders. Team Leaders are temporary task forces assigned to a strategic initiative with the
knowledge and experience necessary to accomplish the tasks.

4. Planning: There is ongoing planning to define, scope, assign and review the work done by
the Team Leaders. Sponsors provide a high level plan, while the tactical plans are set by the
Champions under the Sponsor’s oversight.

5. Assignments: Each Team Lead works on accomplishing a well-defined assignment within


a set time frame to produce specific deliverables.

6. Reporting: Champions conduct regular progress review and deliver an account of their
assignment to the Sponsor and the entire leadership team. This includes reporting measurable
impact of the strategic initiative on improved operational efficiency, quality, customer
satisfaction, safety, and productivity.
