SIREN CHATS AGENCY–MODEL MARKETING & CHATTING SERVICES
AGREEMENT
This Agreement is entered into as of 3rd day of February 2026 by and between:
SirenChats Agency, a company organized under the laws of the Republic of the Philippines,
with its principal place of business in the Philippines (hereinafter referred to as the
“Agency”),
and
Reena “KIKI”, an independent content creator/model, with residence in Australia
(hereinafter referred to as the “Model”).
1. PURPOSE OF THE AGREEMENT
The Model appoints the Agency to provide marketing, content support, and chatting
services for the Model’s online platforms and subscription-based accounts.
2. SCOPE OF SERVICES
The Agency shall provide marketing via social media platforms, content editing and
management, and professional chatting and fan engagement services.
2.1 Marketing & Promotion
• Promotion of the Model through social media platforms including but not limited to
Instagram, Twitter/X, TikTok, Reddit, and similar platforms.
• Development and execution of marketing strategies to increase audience reach,
engagement, and revenue.
2.2 Content Editing & Management
• Editing of photos, videos, captions, and promotional materials provided by the
Model.
• Scheduling and posting of promotional content as mutually agreed.
2.3 Chatting & Fan Engagement Services
• Providing professional chatting services to interact with fans and subscribers on the
Model’s monetized platforms.
• Managing direct messages, upselling content, and maintaining fan engagement in a
respectful and brand-consistent manner.
The Agency shall not post or send content without the Model’s prior consent unless
otherwise agreed in writing.
2.4 MODEL OBLIGATIONS
The Model agrees to:
• Provide original content necessary for promotion and monetization.
• Grant the Agency limited permission to use the content solely for marketing and
chatting purposes.
• Refrain from engaging another agency for the same services during the term of this
Agreement, unless otherwise agreed.
2.5 AGENCY OBLIGATIONS
The Agency agrees to:
• Act in good faith and in the best interest of the Model.
• Maintain confidentiality and professionalism in all fan interactions.
• Not misrepresent the Model or engage in fraudulent, illegal, or unethical practices.
3. REVENUE SHARE
The Agency shall receive forty percent (40%) of the generated revenue derived from the
Agency’s services. The Model shall receive sixty percent (60%).
3.1 Revenue Definition
“Generated Revenue” refers to NET income earned from the Model’s monetized platforms
that result from the Agency’s marketing, content editing, and chatting services, excluding
platform processing fees unless otherwise agreed.
3.2. INVOICES
A.) Invoices for services rendered under this Agreement shall be issued to Reena
(“Model”), who is based in Australia, by, Airen (Siren chats) who is based in the Philippines
will issue their invoices to as part of the agreed operational and billing structure.
B.) Frequency of invoice
Siren Chats invoices to the Model will be disclosed on their new NDA and percentage will
solely be disclosed between the 2 Parties @40% Net income on the first day of the following
month
4. CONFIDENTIALITY
Both Parties agree to keep all non-public, sensitive, and confidential information strictly
confidential.
4.1CONFIDENTIAL INFORMATION
“Confidential Information” includes any information disclosed by either Party, whether oral,
written, digital, or otherwise, including but not limited to:
• personal data
• creator identity and branding
• content (explicit or non-explicit)
• chat scripts, strategies, workflows
• financial information, invoices, and payment structures
• client, agency, or platform information
• business operations and internal communications
5. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of the
Republic of the Philippines. The Parties acknowledge that the Model is based in Australia
and that all services under this Agreement are rendered from the Philippines.
6. BREACH AND REMEDIES
Any breach of this Agreement shall entitle the aggrieved Party to seek injunctive relief,
damages, and any other remedies available under law or equity, without prejudice to civil
or criminal liability.
7. TERM
This Agreement shall remain in effect from the date of execution. The obligation of
confidentiality shall survive termination of this Agreement.
7.1 NO LICENSE OR OWNERSHIP
Nothing in this Agreement shall be construed as granting ownership, license, or rights over
content, identity, intellectual property, or creator likeness, except as expressly agreed in
writing.
7.2 EXCLUSIONS
Confidential Information shall not include information that:
a) becomes publicly available without breach of this Agreement;
b) is lawfully obtained from a third party without obligation of confidentiality;
c) is independently developed without reference to the Confidential Information.
8. INDEPENDENT CONTRACTOR
The Parties agree that the Agency is an independent contractor and nothing in this
Agreement shall be deemed to create an employer-employee, partnership, or joint venture
relationship.
IN WITNESS WHEREOF, the Parties have executed this Agreement as of the date first
written above.
