held regarding Electrification work for equipment’s to be installed for ‘Atta chakki Plant’ at your existing
premises at Nemawar Road as per flowsheet “HE158CL-PFD-003” Dated: -04-12-2025 within the battery limit.
We are pleased to submit our techno-commercial competitive quotation against the discussed
requirements and agreed scope of work, as detailed below.

3. Scope of Supply
This Proposal is based on Flow sheet (Mentioned in Motor & Feeder List) includes supply of MCC with VFD.
The MCC (Motor Control Centre) is a centralized system used for controlling and distributing power to
electric motors in industrial and commercial settings. It typically consists of a series of standard cubicles,
each housing the necessary equipment and apparatus for motor control.
Overall, the MCC with its standard cubicles, electrical-grade aluminum busbar, starters, and
indicating meters provides a centralized and organized approach to motor control, making it easier to
monitor and control electric motors efficiently and safely in industrial and commercial applications.
MCCs are designed for 415 V ,3 Phase, 3 wires, 50 Hz, free standing, Single/double front for indoor
use, cubicles type, non-compartmentalized/ compartmentalized, non-draw out, with undrilled gland
plates, complete with internal wiring, ferrules, name plates and paint shades RAL 7032 with IP 20
protection. Incomer/ feeders will be Air Circuit Breaker (ACB) for > 800 Amperes and MCCB (Moulded
Case Circuit Breaker) for <= 800 Amperes.
4. COMMERCIAL TERMS AND CONDITIONS: -
4.1. PAYMENT TERMS:
Payments terms as per following:
1. Price Basis Ex-works Indore, M.P. basis
2. Taxes & Duties Shall be extra as applicable at the rates prevailing at the time
of dispatch.
3. Others Freight, transit insurance etc. shall be arranged, paid & borne
by Buyer.
Unloading assembly, erection, installation Buyer’s scope at
site.
4. Packing and The goods will be suitably packed for long distance road
transport-worthy packing so that the same reaches to site /
Forwarding & unloading
destination intact and without any damage.
The charges towards packing, forwarding, & loading –
• Normal Packing & Forwarding 0.5% on total basic
value of Invoice will be in Buyer’s Scope.
• Wooden packing 2.5% on total basic value of Invoice
will be in Buyer’s Scope
• Unloading at Buyer site shall be in Buyer’s scope
5. Warranty The Warranty Period (hereinafter referred to as "Warranty
Period") for the Equipment shall be 12 (twelve) months from
the startup date of the Equipment but not longer than 18
(Eighteen Months) months from the date of the respective
transport document of the last delivery of the main
Equipment.

6. Terms of Payment (Supply) 50% of the purchase price to be paid as advance along with
P.O. of the signing of contract.
30% of the purchase price after Drawing approval
20% of the purchase price with full taxes and duties against
each Shipment Proforma Invoice.
7. Delivery Engineering will be started after receipt of advance payment.
Delivery of Equipment’s will be 3 months from date of
completion of Engineering.
8. Drawing’s Drawing approval shall mean only checking the drawing /
data sheet with the details accepted during order finalization.
Drawing approval shall not mean changing technical
guaranteed particulars
Any change after finalization of order, will not be accepted.
9. Validity 15 Day from the submission date of offer.
10. Force Majeure Condition Obligations due to: Act of foreign enemy like: War, invasion,
hostilities (whether war is declared or not) etc. Internal
disturbances like: riots, civil commotion Labour disturbances,
strikes, lockouts, mutiny, rebellion, revolution, insurrection etc.
Natural calamities like: fire, accidents, floods, earthquake etc.;
Government (central/state)/ statutory bodies orders like
power restrictions, import restrictions etc. Customer's desire to
make later modifications, the payment of agreed-upon, other
conditions and causes beyond the reasonable, a delay in the
performance of the Customer's contractual obligations,
delivery of required documents. The following conditions will
result in a reasonable extension of the delivery timeframe
11. Delay & Cost Implications This policy shall apply in cases where delays arise due to the
Purchaser’s actions or omissions, including but not limited to:
Non-availability of tools, manpower, or required
logistical support at site.
Delay in readiness of the building, site, or associated
infrastructure.
Delays in delivery and/or equipment storage resulting
from non-fulfilment of payment obligations by the
Purchaser, or due to incomplete, incorrect, or
inadequate information provided to the carrier.
All costs and expenses arising from delays attributable to the
Purchaser shall be charged in full to the Purchaser’s account.

Project schedules, including delivery, installation, testing, and
commissioning, shall be extended proportionately in the event
of delays in payment or any other contractual obligations by
the Purchaser. Any additional costs incurred due to such
Purchaser-caused delays shall be recoverable in full.
Delays caused by the site, building, or infrastructure not being
ready as per the agreed schedule shall also be treated as
Purchaser-caused delays, with corresponding extensions of
time and costs borne by the Purchaser.
The payment will be made by local cheque\NEFT\RTGS only. In case the payment is made by demand
draft, the bank commission charges will be to buyer’s account. Claims towards interest charges on
delayed payments, if any.
The Bill of Material (BOM) has been created based on specific flowsheets. If there are any changes to the
flowsheet or alterations to the project scope during the course of the project, it may affect the BOM.
Consequently, the prices of materials and equipment listed in the BOM may also change.
4.2. Inclusion
4.2.1. Design and supply of control panel in accordance with Flow Sheet mentioned in Motor & Feeder
List.
4.2.2. In the MCC panel, Scope for spare Empty Feeders is taken care of as per SYAEC consideration.
4.2.3. Responsibilities for SYAEC electrical engineer is as follows:
4.2.4. The SAYEC electrical engineer is primarily responsible for the supply of MCC Panel’s.
4.3. Exclusion
4.3.1. Any supply and/or service not explicitly stated in this quotation is not included in the scope of the
agreement. Any other equipment and service being required but not being part of our quotation must
be in buyer’s Scope.
4.3.2. The package does not include an uninterruptible power supply (UPS) with 30minuit back up for
automatic PC shutdown following a power outage.
4.3.3. Supply Installation, routing, Design Power Cables, Control Cable and its associated accessories,
Sensors, medium voltage switchgear, Transformer, Generator incl. Day storage tank, LT Power
distribution board (MPDB & DB etc.). Power factor correction unit, Cable conduits, Civil work like Trench,
Cutouts works, any type of Earthing and Earthing pits, bonding, Foundation earth, Lightning protection
system, Any type of Lighting Like Indoor, out door, Emergency. CCTV, Telephone, Fire Alarm System out
of the battery limit.
4.3.4. Manual Slide with limit switch, Pneumatic slide, Safety switch, pneumatic slide gates, pneumatic
diverters, limit switches etc.
4.3.5. Indoor lighting and socket installation, emergency lights and wall plug with distribution systems, outdoor
lighting, emergency lights. Electrical design for any other buildings/offices than the process building.
Other items not mentioned in scope.
4.3.6. Future expansion machines, LV switch gear, and space required for the same etc.
4.3.7. Any potential future machines or additional products will be subject to separate negotiations and
agreements, not covered by this current offer.

4.3.25. The control and power panel provided in this offer comes with an IP44 rating, making it suitable for
installation in environments with an ambient temperature ranging from +5°C to +30°C. However, if the
ambient temperature exceeds +30°C, it is essential to provide an air conditioning unit required to
maintain the panel's temperature within the acceptable operating range. The air conditioning unit is
not included in the scope of supply mentioned in the offer.

6. Delay & Extension of Time (Commercial Note)
Project schedules, including delivery, installation, and commissioning dates, shall be extended
proportionately in the event of delays in payment or any other contractual obligations by the Purchaser.
Any additional costs arising due to Purchaser-caused delays shall be charged in full. Delays resulting from
site, building, or infrastructure not being ready as planned shall also be treated as Purchaser-caused
delays, with corresponding time extensions and costs to the Purchaser’s account.
7. Consideration of Safety
The control systems that SYAEC provides are viewed as an essential component of the safety concept
created to avert mishaps in factories where their equipment is placed.
8. Jurisdiction
The governing law shall exclusively be substantive Indian law; Legal disputes shall be exclusively settled in
the courts of Indore (M.P.)
