EOI for Project Management Consultant in Puducherry
1. India (“the Borrower”) has applied for a loan from the Asian Development Bank (ADB) to finance the
Puducherry Integrated Urban Livability Improvement Project (“the Project”). The Project aims to enhance
citizens lives with climate resilient smart civic infrastructure, efficient urban mobility and inclusive
governance. The Borrower intends to use part of the loan proceeds from the ADB for eligible payments for
the Project management and construction supervision consulting services (PMSC) for which this Request for
Expression of Interest is issued.
2. The Project will be implemented by the public company formed by the Government of Puducherry & Public
Works Department, Puducherry. (the Implementing Agency or “the Client”). A Project Implementation Unit
(PIU) will be established within the Client organization to coordinate, manage, monitor and evaluate all
aspects of Project implementation.
3. The proposed Puducherry Integrated Urban Livability Improvement Project (PIULIP) involves
comprehensive initiatives across water supply, sewerage, drainage, and public space aimed at transforming
Puducherry's urban infrastructure. The project includes and improving water supply infrastructure, including
augmentation of existing water source, commissioning a desalination plant and upgraded 24x7 water supply
networks to ensure water security; expanding and rehabilitating sewerage and drainage systems to improve
public health and mitigate urban flooding; enhancing urban mobility through improvements of roads, parking,
and safe, inclusive pedestrian infrastructure to ease congestion; and implementing a comprehensive
institutional capacity strengthening plan to ensure financial sustainability and long-term service delivery.
4. PWD intends to engage an experienced Project Management and construction Supervision Consultant
(“PMSC”, “the Consultant”) to provide services to the Client for proper, smooth and timely implementation
of the Project. PWD Invites Expression of Interest (EOI) from eligible consulting firms to provide service for
PMSC under the proposed PIULIP, over a period of 60 months.
5. PWD now invites eligible consulting firms (“Consultants”) to indicate their interest in providing the Services.
Interested Consultants should provide information demonstrating that they have the required qualifications
and relevant experience to perform the Services. Interested and eligible consulting firm are invited to submit
their EOls online only though [Link] as per the deadline given below.
6. Interested consulting firms must be from ADB member countries having prior experience providing
consulting service on similar projects. Consultants may associate with other firms in the form of a joint venture
or a sub consultancy to enhance their qualifications.
7. A firm wishing to submit an EOI must be registered with the ADB’s CMS portal ([Link] Any
proposed associate firms, sub consultants, or joint venture partners must also be registered with CMS. Firms
are recommended to update their CMS registration before commencing their EOI.
8. The Consultant shall fulfil the role of the Engineer in accordance with the Conditions of Contract(s) (“the
Contract(s)”) based on FIDIC Red Book, 2017 edition and the role of Employers Representative in accordance
with the Conditions of Contract(s) based on FIDIC Gold Book or FIDIC Yellow Book, to conduct supervision
works in compliance with the Contract(s) and the relevant local legislation. The duties of the Consultant
described in TOR which includes Review of Existing Data, Contract Management Plan Support, Construction
Supervision, Collaboration with Other Parties, Environmental and Social Monitoring, Programming and
Monitoring Progress, Quality Control, Payment Certification, Checking Variations and Claims, Reviewing
as-Built Drawings/records, Manuals and Documentation, Support for Interface Management and System
Integration, Procurement Support and Provide regular reports to the Client on all aspects of the construction

and undertake all other tasks listed in the TOR for the services.
9. Shortlisted consulting firms / JVs will be invited to submit their technical and financial proposals. The
consultant shall be selected and engaged in accordance with the Government of Puducherry (GoP) e-
procurement policy and ADB guidelines on the use of ADB procurement policy and Procurement regulations
for ADB Borrowers 2017.
10. Key experience requirements include:
i. Technical Competence: This relates to the technical qualifications of the Consultant in undertaking
similar assignments (construction supervision). The Consultant should provide project references
demonstrating their technical qualifications and experience in this area
ii. Geographical Experience: providing project references that present experiences in similar
geographic areas.
iii. Management competence including quality assurance procedures, dealing with complaints, and
reducing instances of changes in personnel.
11. Consultant recruitment will be undertaken in accordance with GoP Procurement policy in compliant with
ADB standards. The QCBS (Quality-and Cost-Based Selection) method of consultant recruitment will be used
for this consulting services selection.
12. The Consultant shall have extensive and proven experience in Construction supervision, preparation of
technical specifications, quality control, contract management and dispute resolution of similar type and size
contracts.
13. INSTRUCTIONS FOR ONLINE BID SUBMISSION:
i. The bidders are required to submit soft copies of their bids electronically on the e-Procurement
Portal, using valid Digital Signature Certificates. The instructions given below are meant to assist
the bidders in registering on the e-Procurement Portal, prepare their bids in accordance with the
requirements and submitting their bids online on the e-Procurement Portal. More information useful
for submitting online bids on the e-Procurement Portal may be obtained at:

14. REGISTRATION
i. Bidders are required to enroll on the e-Procurement module of the e-Procurement Portal (URL:
[Link] by clicking on the link “Online bidder Enrolment” on the e-Procurement
Portal which is free of charge.
ii. As part of the enrolment process, the bidders will be required to choose a unique username and
assign a password for their accounts.
iii. Bidders are advised to register their valid e-mail address and mobile numbers as part of the
registration process. These would be used for any communication from the e-Procurement Portal.
iv. Upon enrolment, the bidders will be required to register their valid Digital Signature Certificate
(Class II or Class III Certificates with signing key usage) issued by any of the Certifying Authority
recognized by CCA India (e.g.,nCode, eMudhra etc.), with their profile.
v. Bidder then log-in to the site through the secured log-in by entering their user ID / password and
the password of the Digital Signature Certificate.
15. SEARCHING FOR TENDER DOCUMENTS
i. There are various search options built in the e-Procurement Portal, to facilitate bidders to search
active tenders by several parameters. These parameters include Tender ID, Organization Name,
Location, Date, Value, etc.
ii. Once the bidders selected the tenders they are interested in, they may download the required
documents / tender/ EOI schedules. These tenders can be moved to the respective ‘My Tenders’
folder. This would enable the e-Procurement Portal to intimate the bidders through SMS / e-mail in
case there is any corrigendum issued to the tender/EOI document.
iii. The bidder should make a note of the unique Tender ID assigned to each tender; in case they want
to obtain any clarification / help from the helpdesk.

16. PREPARATION OF BIDS
i. Bidder should take into account corrigendum/addendum published on the tender/EOI document
before submitting their bids.
ii. Please go through the tender/EOI document carefully to understand the documents required to be
submitted as part of the bid. Please note the number of covers in which the bid documents have to
be submitted, the number of documents – including the name and content of each of the document
that need to be submitted as per the requirements of this EOI. Any deviations from these may lead
to rejection of the bid.
iii. Bidder, in advance, should get ready the bid documents to be submitted as indicated in the
tender/EOI document and generally they can be in PDF format. Bid documents may be scanned
with 100 dpi which helps in reducing size of the scanned document. Maximum size of the bid
document shall not exceed 35 MB.
17. SUBMISSION OF BIDS
i. Bidder should log into the site well in advance for bid submission so that they can upload the bid in
time i.e. on or before the bid submission date/time. Bidder will be responsible for any delay due to
other issues.
ii. The bidder has to digitally sign and upload the required bid documents one by one as indicated in
the tender/EOI document.
iii. All the documents being submitted by the bidders will be encrypted using PKI encryption
techniques to ensure secrecy of data. The data entered cannot be viewed by unauthorized persons
until the time of bid opening. Confidentiality of bids is maintained using the Secured Socket
Layer(SSL) 128-bit encryption technology. Data storage encryption of sensitive fields is done. Any
bid document that is uploaded to the server is subjected to symmetric encryption using a system
generated symmetric key. Further this key is subjected to asymmetric encryption using
Department’s bid openers public keys. Overall, the uploaded tender documents become readable
only after the tender opening by the authorized bid openers.
iv. The uploaded tender documents become readable only after the tender opening by the authorized
bid openers. Upon the successful and timely submission of bids (i.e., after Clicking “Freeze Bid
Submission” in the portal), the portal will give a successful bid submission acknowledgement which
is downloadable/printable. This acknowledgement may be used as an entry pass for any bid opening
meetings.
18. ASSISTANCE TO BIDDERS

19. The procedure for bidding online via e-procurement portal [Link] is as follows:
i. The bidders can upload the bid document online by verifying the tender assignment works from the
website. It is mandatory for all the Bidders to have class-III Digital Signature Certificate (DSC) (in
the name of Authorized Signatory / Firm or Organization/Owner of the Firm or organization) from
any of the licensed Certifying Agency. For local bidders please refer vendors DSC address list link

ii. Proposal submitted by a Joint Venture shall be signed by all members so as to be legally binding on
all members, or by an authorized representative who has a written power of attorney signed by each
member’s authorized representative.
iii. The Authorized Signatory holding Power of Attorney (POA) or the person executing/delegating
such POA shall only be the Digital Signatory. In other cases, the Bid shall be considered non
responsive.
iv. It should be in a corporate capacity (that is in Bidder capacity / in case of JV in the Lead Member
capacity, as applicable). The Bidder shall submit document in support of the class III DSC.
v. To participate in the bidding, it is mandatory for the Bidders to get registered their firm / Joint

Venture with e-procurement portal of Govt. of Puducherry, [Link] to have user
ID & password which has to be obtained free of cost. Following may kindly be noted:
• Registration with the e-procurement portal of Govt. of Puducherry should be valid at least
up to the date of submission of BID.
• BIDs can be submitted only after the validity of registration.
• If the firm / Joint Venture is already registered in the e-procurement portal and validity
of registration is not expired the firm / Joint Venture is not required a fresh registration.
vi. Appointing the consultant shall be carried out in two stages—Stage-I (Shortlisting of
bidders through an Expression of Interest) and Stage-II (Selection of the consultant by
issuing the Request for Proposal to the shortlisted bidders and award of contract to the
suitable consultant).
vii. In Stage-I, bidders are required to submit only the documents prescribed under the EOI.
Submission of a BoQ is not applicable in this stage. Based on the documents submitted and
the eligibility criteria specified in the EOI, bidders fulfilling the requirements will be
shortlisted.
viii. In Stage-II, the RFP will be issued exclusively to the shortlisted bidders, who will then be
permitted to submit their technical and financial bids as per the RFP conditions. The
technical and financial evaluation, as well as the final selection of the consultant, will be
undertaken strictly in accordance with the provisions of the RFP issued to the shortlisted
bidders.

A. PROJECT BACKGROUND
India (“the Borrower”) is receiving financial assistance from from the Asian Development
Bank (ADB) for the Puducherry Integrated Urban Livability Improvement Project (“the Project”). The
Project aims to enhance citizens lives with climate resilient smart civic infrastructure, efficient urban
mobility and inclusive governance. A portion of the ADB financing will be utilized for eligible
expenditures for the project management, construction supervision and design consulting services
(“PMSC”, “the Consultant”) for which this Terms of Reference (TOR) is issued.
Implementation Arrangements: The Project will be managed and implemented by an implementing
agency which is a public company within Union Territory (UT) of Puducherry (the Implementing
Agency or “the Client”). A Project Management Unit (PMU) will be established within the Client
organization to coordinate, manage, monitor and evaluate all aspects of Project implementation and one
or more Project Implementation Units (PIU) shall be responsible for supervising and managing field
level implementation.
Project description: The proposed project includes multi-sector components: roads, bridges, drainage,
footpaths, multi-level car parking, water supply improvement (including desalination plant), sewerage
system expansion, including sewage treatment plants (STPs), etc. The components spread across all four
regions of Puducherry, predominantly in Puducherry and Karaikal.
The expected output of the Project is Augmentation of surface source of water through improved surface
and ground water extraction along with desalination ensuring reliable and sustainable water supply.
Modernization of water treatment facilities, canal cleaning, and adoption of green building standards
shall contribute to environmental conservation and sustainability. Enhanced Sewerage Infrastructure:
expanded sewerage systems across regions shall improve sanitation and environmental hygiene.
Outcome of the project shall be : Sustainable and resilient urban service delivery and mobility improved
in the project areas of the Union Territory of Puducherry through (i) Per capita water supply increased
and all households benefit from 24x7 piped water supply with metered connections; NRW reduced to
15%; households connected to a climate-resilient and safely managed sanitation system; Peak travel time
reduced by 25% for the project targeted roads in Karaikal; and annual growth rate of property tax
collection in Puducherry municipality increased.
Project costs and financing: The project’s estimated cost is US$ 192 million, which may be financed
by a US$ 134.4 million loan from ADB, and US$ 57.6 million government counterpart funding.
Project packaging: The consultancy services shall be provided to cover packages of multi-sector

components: roads, bridges, drainage, footpaths, multi-level car parking, water supply improvement
(including desalination plant), sewerage system expansion, including sewage treatment plants (STPs),
etc. The components are spread across all four regions of Puducherry, predominantly in Puducherry and
Karaikal. Indicative packaging is being finalised and shall be shared during RFP stage.
The Consultant shall conduct its assignment in close and adequate coordination with those other
consulting services recruited through firm or individual under the Project.
All the packages under the project will be procured according to the GoP procurement policy in
compliance with ADB standards.
B. PURPOSE OF THE ASSIGNMENT
The Client intends to engage an experienced Consultant to provide services to the Client for proper,
smooth and timely implementation of the Project. These TOR set out the objectives, scope, required
resources, schedule and other details of the proposed consulting services. The Consultant’s contract will
be time-based.
The Consultant shall fulfil the role of the Engineer in accordance with the Conditions of Contract(s)
(“the Contract(s)”) based on FIDIC Red Book, 2017 edition and the role of Employers Representative
in accordance with the Conditions of Contract(s) based on FIDIC Gold Book or FIDIC Yellow Book,
to conduct supervision works in compliance with the Contract(s) and the relevant local legislation. For
clarity, to the extent that the duties of the Consultant described in these TOR directly conflict with such
Consultant's duties as described under the Conditions of Contract, then the Consultant shall be required
to comply with the requirements specified in the Conditions of Contract.
The Consultant will be required to familiarize itself with the Financing Documents related to the Project
and other ADB key documents including those which govern lending policies and practices including,
but not limited to:
a) ADB Safeguard Policy Statement (2009),
b) ADB Procurement Policy (2017) ADB Procurement Regulations for ADB Borrowers (2017)
c) ADB Loan Disbursement Handbook (2022)
d) Other related ADB policies, strategies or procedures as relevant to the Project

By engaging a PMSC, it is expected that the Client will have access to international best practice in the
field of engineering design, project and financial management, contract administration, construction

supervision, and advice on specific technical issues including environmental, health and safety, and
social (“EHS”) requirements.
C. DURATION AND LOCATION OF THE SERVICES
Location: The Union Territory of Puducherry comprises the former French establishments of
Puducherry, Karaikal, Mahe and Yanam, which lie scattered in South India. Puducherry, the capital of
the Territory was once the headquarters of the French in India, is situated on the Coromandel Coast of
the Bay of Bengal and is about 135 kms. from Chennai Airport. It is bounded on the east by the Bay of
Bengal and on the three sides by Tamil Nadu. About 130 kms. south of Puducherry on the East Coast
lies Karaikal. Mahe is situated on the Malabar coast on the Western Ghats surrounded by Kerala and is
about 70 kms. from Calicut Airport. Yanam is situated adjoining the East Godavari district of Andhra
Pradesh and is about 73 kms. from Rajahmundry Airport. The main languages spoken in Puducherry
and Karaikkal are Tamil, Telugu in Yanam and, Malayalam in Mahe, along with English and French.
Duration: The PMSC services shall have a total duration of 60 months.
D. GENERAL SCOPE OF SERVICES
It shall be noted that the terms Contractor and Contract are both expressed as singular, but in the case
of multiple Contractors and Contracts, shall be understood to also cover these.
D.1 Review of Existing Data
The Consultant shall:
a) Review the existing data provided by the Client;
b) Review the sustainable procurement measures (if any) identified in the Project’s design
documents and ensure that these measures are implemented;
c) Pay particular attention to the EHS mitigation measures identified in the Environmental
Management Plan (EMP) or any other plans with form part of the Contractor’s Contract, and
ensure that these measures are implemented; and
d) Review proposed mechanisms and indexes for price adjustment (if any) under the contracts to
ensure that the mechanisms will be functional and indexes are appropriate. If the Consultant
assess that modifications are necessary, it shall raise the issue with the Client and suggest
alternatives.
e) Preparation and implementation of ADB SPS-compliant resettlement plans/indigenous peoples
plan/combined resettlement and indigenous peoples plan, if any, The Consultant shall assess
land requirements for each identified sub-project based on the detailed design of the project
component, identify project affected persons and thereupon assist PMU in the (a)
preparation/updating of resettlement plans/RIPP/DDRs in accordance with ADB SPS, (b) assist
PMU in the conduct of meaningful public consultations and ensure that resettlement issues raised
are considered and incorporated in Resettlement Plan/RIPP and DDRs, (c) identify/validate

involuntary resettlement and indigenous peoples (RIPP, if any) impacts upon design validation
and conduct socio-economic and asset and livelihood loss survey(prior to commencement of the
civil works, where such impacts are assessed), (d) ensure a robust Grievance Redressal
Mechanism (GRM) is in place and functional.
f) Ensure social safeguard documents are included along with the bid documents.
D.2 Contract Management Plan Support
The Consultant shall:
a) If a Contract Management Plan (CMP) is required, prepare the CMP on behalf of the Client
following ADB’s Guidance Note on Contract Management (2021)1;
b) Amend the CMP based on any comments received from ADB; Adopt the risk register prepared
in the Strategic Procurement Plan (SPP) for use in the CMP and ensure that the Client is aware
of the risks for which it has responsibility;
c) Set up processes to enable management of the Project;
d) Set up registers to identify and monitor the validity of permits, licenses, approvals, insurances
and guarantees under each contract;
e) Take responsibility of gather relevant information to generate the monthly and quarterly progress
reports; and
f) Update the CMP when necessary, throughout the Project.
D.3 Construction Supervision
The Consultant shall fulfil the role of the Engineer (or equivalent role under different forms of contract)
in accordance with the Conditions of Contract, to conduct technical supervision of the construction
site(s) in compliance with the Contract(s) and the relevant local legislation.
The Consultant shall always have a representative authorized to act as the Engineer (or equivalent role
under different forms of contract) available. Holidays or other absences of authorized persons shall not
result in any delays in decision-making or processing of documents.
The Consultant shall perform its duties or act:
a) Proactively, where the initiative lies with the Consultant in administering the Contract;
b) Reactively, in response to the Contractor’s or the Client’s requests; and
c) Passively, in observing the requirements of the Contract.
Wherever appropriate and not in conflict with the Contract the Consultant shall exercise every
reasonable care to protect the interests of the Client.
The Consultant shall take prior approval by the Client for taking any action under a contract designating
the Consultant as “Engineer” (or equivalent role under different forms of contract), for which action,

pursuant to such contract, the written approval of the Client as “Employer” is required.
As the Engineer (or equivalent role under different forms of contract), the Consultant shall perform the
following tasks but not be limited to:
• Quality and quantity control for all works and supplies through day-to-day inspection and reports
on conformities;
• Supervise field tests, sampling, and laboratory tests to be carried out by the Contractor;
• Carry out timely reporting to the Client for any inconsistency in executing the works and
suggesting appropriate corrective measures to be applied;
• Review of the Contractor’s reports, as-built drawings, operational manuals, maintenance
manuals, and any other submissions required under the construction contracts;
• Perform the inspection of the works and issue certificates such as the Taking-Over Certificate,
Commissioning certificate (if applicable) and Performance Certificate as specified in the subject
contracts;
• Provide periodic and/or continuous inspection services during the defects notification period and
if any defects are noted, instruct the contractor(s) to rectify;
• Check and review the accident and incident reports submitted by the Contractor and notify the
Client accordingly in case of an accident and incident occurring during the construction;
• Ensure that all components of the works are designed, installed, tested, and operated according
to the contracts and the Requirements in the subject contract.
The Consultant shall also provide necessary support and assistance in seeking approvals for and on
behalf of the Employer from the concerned authorities as required from time to time to facilitate the
smooth progress of works. They shall also accompany the Client in meetings with the various
Government officials, Authorities, local representatives and utility service providers as and when
necessary. Ensure project affected persons have received compensation, as per the entitlement matrix,
before start of construction work and site is encumbrance free. Ensure compliance of ADB safeguard
requirements with regular field monitoring.
D.4 Collaboration with Other Parties
The Consultant shall:
a) Assist the Client in obtaining approval, clearance, no objection, license, allocation etc. as
necessary from government authorities or other agencies;
b) Collaborate with and support as appropriate other parties engaged for this Project, parties who
are stakeholders, and other parties identified by the Client or the ADB;
c) Liaise and support the Client in coordination with utility companies for provision, relocation or
removal of utilities as required for the Project;
d) Collaborate with a Dispute Avoidance/Adjudication Board (DAAB) or other dispute

adjudication organization under the contractors’ contracts by inter-alia providing data, reports,
and other information required, and attending meetings; and
e) Assist in preparing and implementing a stakeholder engagement plan.
D.5 Commencement of Work on Site
The Consultant shall:
• Upon Commencement of the Works, in accordance with the terms of the contracts, execute and
deliver Commencement Notice and obtain the countersignatures of the Contractor.
• If the Contractor does not receive possession of the site from time to time in accordance with the
contracts, or if the Contractor does not receive a Commencement Notice within any period
stipulated in a contract, assess whether the Contractor is likely to suffer delay and/or incur extra
cost and notify the Client accordingly.
D.6 Environmental and Social Safeguards:
D.6.1 Environmental Safeguards and General EHS Monitoring Obligations
PMSC will assist PMU in implementing the project in compliance with project’s environmental
safeguards requirements per ADB SPS and national laws, regulations, policies and guidelines
applicable to the project. PMSC will be responsible for preparation, implementation,
supervision, monitoring, and reporting on all aspects related to environmental safeguards and in
fulfilling all other tasks necessary to ensure the project complies with all environmental
safeguard requirements.
a) Support the PMU in fulfilling all responsibilities to ensure compliance with ADB SPS
requirements in project implementation
b) Work closely with design teams to integrate environmental considerations into project detailed
design and technical specifications; ensure that all design related measures of the EMP and other
relevant IEE recommendations are duly considered in the design, including necessary field
investigations and surveys to confirm the baseline;
c) Update the initial environmental examination (IEE) report including environmental management
plans (EMP) based on final detailed design of the subprojects and in accordance with ADB SPS
and national laws, regulations, policies and guidelines;
d) Identify statutory clearance/permissions / approvals required and assist the PMU in obtaining
them;
e) Assist in conduct due diligence of associated facilities and/or audit of existing facilities, if any,
during the detailed design phase, as per the draft IEE;
f) Assist in conduct of meaningful consultations throughout and ensure issues/ concerns/
suggestions raised are incorporated in the design and updated/final IEE reports;
g) Ensure relevant provisions from the updated/final IEE reports and EMPs are incorporated in the

bid and contract documents, particularly in the bill of quantities and cost line items;
h) Support in implementing the grievance redress mechanism and ensure members of the grievance
committee have the necessary capacity to resolve project-related issues/concerns;
i) Conduct environment safeguards capacity building to ensure PMU and contractors have the
capacity to implement, monitor, and report on implementation of EMPs;
j) Conduct regular monitoring and submit quarterly environmental monitoring report to PMU, and
assist in preparing and submitting semi-annual environmental monitoring reports to ADB;
k) Assist PMU in disclosure of relevant project information and reports as per ADB requirements
l) Assist in establishing and operating GRM for the Project;
m) Undertake any other tasks and support PMU as necessary to ensure the project complies with
ADB SPS and national environmental laws, rules, and regulations.
The Consultant shall ensure that the Contractor delivers its EHS obligations under its contract and
applicable laws and regulations. This includes, but is not limited to the following:
a) Review the Contractor’s Environment, Health and Safety Management Plan, including all
updates and revisions at frequencies specified in the Contractor’s contract (normally not less
than once every 6 months);
b) Review all other applicable contractor’s documents related to EHS aspects including the health
and safety manual, security management plan, etc.;
c) Maintain a register of all required EHS-relevant permits and licenses required by the Project and
the Contractor, and ensure that reminders are sent to the relevant party to obtain or renew permits
and licenses;
d) Review and consider EHS risks and impacts of any design change proposals and advise if there
are implications for compliance with Project requirements;
e) Undertake audits, supervision and/or inspections of any sites where the Contractor is undertaking
activities related to the Works, to verify the Contractor’s compliance with EHS requirements
with and without Contractor and/or Client representatives, as necessary, but not less than once
per month; ensure that contractors and their subcontractors comply with labour legislations, and
that workers are paid and treated according to the labour legislations;
f) Undertake audits and inspections of Contractor’s accident logs, community liaison records,
monitoring findings and other EHS related documentation, as necessary, to confirm the
Contractor’s compliance with EHS requirements;
g) Agree remedial action/s and their timeframe for implementation in the event of a non-compliance
with the Contractor’s EHS obligations;
h) Ensure the Contractor has deployed EHS staff in accordance with its contractual obligations;
i) Ensure appropriate representation at relevant meetings including site meetings, and progress

meetings to discuss and agree appropriate actions to ensure compliance with EHS obligations;
j) Check that the Contractor’s actual reporting (content and timeliness) is in accordance with the
Contractor’s contractual obligations;
k) Review and critique, in a timely manner, the Contractor’s EHS documentation (including regular
reports and incident reports) regarding the accuracy and efficacy of the documentation;
l) Undertake and document engagement with project stakeholders as foreseen in the Stakeholder
Engagement Plan to identify and discuss any current or potential EHS issues;
m) Support and maintain Grievance Redress Mechanisms, including types of grievances to be
recorded and how to protect confidentiality;
n) Support and monitor the implementation of any gender equality and social inclusion measures
envisaged for the Project; and
o) Ensure national regulations and contractual procedures are followed for chance finds.
In cases of incidents or significant non-compliances by any party, the Consultant shall:
a) Immediately notify the Client of any failure by the Contractor to comply with its Environment,
Health and Safety obligations;
b) Monitor any unanticipated environmental risks or impacts that arise during construction,
implementation or operation of the subprojects that were not considered in the IEE reports and
EMPs. Immediately notify the Client of any allegation, incident or accident, which has or is
likely to have a significant adverse effect on the environment, the affected communities, the
public, Client’s Personnel, Contractor’s Personnel or Experts. Confidentiality of full details
should be maintained for sensitive cases. The Consultant shall provide full details of such
incidents or accidents to the Client within the timeframe agreed with the Client; Assist in
preparing corrective action plans and ensure that these are implemented by the contractors and
reported accordingly in environmental monitoring reports to the PMU & ADB;
c) Immediately inform and share with the Client any immediate notification related EHS incidents
provided to the Consultant by the Contractor, and as required of the Contractor as part of the
Progress Reporting.
The Consultant shall actively maintain and manage a register of non-compliances and corrective actions,
which records these issues, their impact and severity, and time-bound measures for their rectification.
The Consultant shall enforce the application of any penalties or other contractual remedies in the case
of EHS non-compliance.
D.6.2 Monitoring of EMP and its sub-plans
The Consultant shall supervise and monitor the implementation of the Environmental Management Plan
(EMP) and its sub-plans, including the Contractor’s Site-Specific Environmental Management Plan
(SSEMP), Environmental Monitoring Plan (EMP), and Land Acquisition and Resettlement (LAR)

activities.
During the pre-construction phase, the Consultant shall:
a) Prepare an ambient environmental monitoring program for parameters to be monitored, such as
air quality, water quality, soil quality, noise control, vibration control and delivery reports;
b) Ensure that the pre-construction baseline monitoring program has been implemented as per
relevant national requirements and the ADB Safeguard Policy Statement (SPS) 2009
requirements;
c) Review the Contractors’ SSEMPs and all sub-plans;
d) Develop the compliance monitoring system, including checklists to be used during the
construction period for monitoring the Contractor’s performance related to environmental
requirements; and
e) Ensure that the construction methods proposed by the Contractor(s) are satisfactory, with
reference to the technical requirements of ADB’s SPS.
During the construction phase, the Consultant shall:
a) Ensure compliance with the ADB SPS 2009 and the applicable national laws and regulations in
every sphere of the Project regarding environmental issues;
b) Monitor and keep a live record of EMP implementation and compliance;
c) Ensure protective measures are implemented to avoid environmental hazards;
d) Supervise field and laboratory tests of environmental parameters (e.g., air and water quality,
noise, and vibration) in compliance with the EMP;
e) Guide the Contractor for mitigating environmental problems;
f) Ensure workers’ and community safety at site, camps, and ancillary facilities;
g) Review the Contractor’s records for training of its personnel on EHS issues, and ensure
h) Conduct site meetings with the Contractor and prepare the minutes of such meetings, including
corrective actions and timelines, circulating them among the participants;
i) Assist with an EHS audits and follow-up actions on audit recommendations;
j) Monitor and keep record of activities under Land Acquisition and Resettlement (LAR) Plan
ensuring implementation and compliance.
k) Monitor and keep record of activities under Gender Action Plan (GAP) ensuring implementation
and compliance
During the defects notification period, the Consultant shall:
a) Prepare a report on the Project's environmental compliance performance;
b) Supervise field and laboratory tests of environmental parameters;
c) Monitor EHS measures to be implemented during this period; and
d) Document all activities performed on EHS-related issues.

During all phases, the Consultant shall share with the Client in a timely manner the Contractor’s EHS
metrics, as required of the Contractor as part of its Progress Reports.
D.6.3 Monitoring of Health and Safety
The Consultant shall:
a) Establish and maintain overall project’s health and safety systems, protocols, work permit
methods and communication structures; PMSC will be responsible for ensuring safety culture at
project sites
b) Ensure the Contractor prepares and implements a Health and Safety Plan and where necessary,
require the Contractor to provide and maintain at its own cost all lights, guards, fencing, warning
signs and CCTV, for the protection of the Works or for the safety and convenience of the public
or others;
c) Assist in ensuring community and occupational health & safety protection activities during
project implementation in compliance with ADB SPS 2009 and national rules and regulations;
d) Ensure proper measures, both protective and preventive, are taken by the Contractors to avoid
environmental pollution/degradation and any hazard regarding occupational health and safety;
e) Ensure the construction sites are secure and not accessible to the public;
f) Ensure traffic management and pedestrian diversion schemes are implemented safely before
works start at specific locations;
g) Check that all workers and any other persons on site including visitors are issued with
appropriate Personal Protective Equipment (PPE) and use it correctly.
h) Promote safe practices on site and ensuring the safety induction training of workers
i) Monitor and ensure tools and equipment safety, third party audits/inspections etc.,
j) Plan and ensure that contractor carries out drills and exercises on managing emergency situations
k) Conduct investigations on accidents and incidents and prepare reports on findings
l) Respond to workers’ safety concerns; monitor worker’s grievance system of contractor
m) Coordinates all issues regarding hazardous materials used in construction and ensure safe
handling and application on site
n) Participate project planning meetings and collaborate with construction managers to identify and
address safety concerns
o) Continuous monitoring of all safety related documents, reports and issues to keep them updated;
ensure record and reporting by contractor of all work site incite incidents and near misses, and
that corrective actions as appropriate
p) Engage with local communities to raise awareness about the project's health and safety impacts.
Address community concerns related to project activities.

D.7 Social Safeguard
Detailed social safeguard tasks will include, but are not limited to, the following:
• Based on the agreed project documents pertaining to Social Impact Assessment (SIA) and final
designs, update social safeguard documents including resettlement plans.
• Support in preparing stakeholder consultation and participation plans as necessary.
• Undertake field visits and work in close coordination with the Contractors and PMU and PIUs to
ensure considerations regarding social risks and impacts are adequate to avoid or minimize the
social impacts to the extent possible.
• Appraise the Client on the extent of impacts on communities, especially poor, vulnerable, and
Schedule Tribe / Schedule Caste families.
• Ensure the compliance of project safeguard requirements by the respective stakeholders such as
PMU, PIUs, Contractors, and any other concerned authority.
• Verify the status of land ownerships of the project sites and linear alignments for
distributions/network components and rights of way (RoW) based on the land revenue records.
• Organize public consultation with the affected parties in a local language, and record the
proceedings and submit periodical reports.
• Carry out baseline surveys and implement the safeguard requirements, especially concerning
activities such as land acquisition, resettlement plan and/or plans for Schedule Tribes/ Schedule
Caste communities, if any.
• Assist the Client in the negotiated purchase of land, if required, and coordination with authority
in case of the land acquisition process including all related issues of public consultation,
compensation mechanism, independent third party certification for negotiated land purchase, and
any other necessary actions.
• Preparation of Resettlement Plans/RIPP/DDRs in accordance with ADB SPS
• Identify/validate Involuntary Resettlement and Indigenous Peoples impacts upon design
validation and conduct socio-economic and asset and livelihood loss survey(prior to
commencement of the civil works, where such impacts are assessed
• Assist PMU and PIUs in establishing an effective Grievance Redress Mechanism(GRM) for
ensuring timely resolution of public grievances and complaints either from affected parties or
from general public or any other stakeholder.
• Assist PMU and PIUs to document and maintain all records related to grievance redress.
• Prepare terms of reference, identification and assisting relevant authorities in engaging the
services of an independent third party for validation of land/assets donation activity and its
reporting requirements.
• Verify the eligibility of land donation activities, if any, for the project with the engaged

independent third party to validate that the donation transactions have met the safeguard
requirements.
• Monitor the activities of the independent third party and coordinate for ensuring quality and
timely reports confirming safeguard requirements.
• Ensure the completion of compensation and other required assistance to affected
communities/families due to the project activities prior to the start of civil works or
physical/economic displacements.
• Prepare and submit periodical social safeguards compliance report for infrastructure components
to the PMU and PIUs.
• Review and report any deviations proposed to the agreed safeguards management plan by the
contractor arising out of change in land requirement due to detailed engineering design and ensure
compliance to the safeguard requirements.
• Assist PMU and PIUs to ensure formal and timely announcement of project cut-off dates in the
project sites.
• Ensure that public disclosure of resettlement plans/due diligence reports and other documents as
appropriate in the local language and appropriate means of communication that that can be
understood by the affected households and project beneficiaries.
• Manage and monitor the implementation and report on compliance of safeguards with key issues
and tasks as required to the PMU and PIUs, including support on grievance redressal.
• Assist in ensuring compliance with the safeguard requirements in all aspects of contract
management throughout construction, commissioning, testing, and operating phases for all
project components.
• Undertake concurrent review and periodical evaluation of the performance of the intermediary
agencies (PIUs and Contractors) involved in the project implementation and apprise the PMU
accordingly.
• Prepare completion reports, safeguards monitoring reports, and issue progress certificates at
various stages of project implementation.
• Conduct semi-annual training and capacity building activities (workshops, hands-on trainings,
visits to project sites, etc.) in implementation and management of social safeguards at various
project phases to the project agencies (PMU, PIU and Contractors/ Suppliers).
• Assist in overseeing social and resettlement safeguard implementation.
• Assist in preparing semi-annual social safeguard monitoring report for onward submission to
ADB.
• Organize stakeholder consultations and workshops to ensure informed decision making and
sound coordination for successful implementation of the project as well as robust service delivery

to customers.
• Customize training and learning material for community mobilization to develop an inclusive and
participatory approach for delivering sustainable services in slum areas.
• Supporting through mass communications with linkage to ongoing community development and
livelihood improvement projects.
• Prepare a repository of frequently asked questions (FAQ) with appropriate answers in local
language and in English in regard to all social and service concerns and keep updating with new
concerns and answers as and when they occur.
D.8 Programming and Monitoring Progress
The Consultant shall:
a) Upon receipt of the Contractor’s Programme, and within the time stipulated in the Conditions of
Contract, notify the Contractor, with a copy to the Client, whether the Programme complies with
the Contract, and if not, in what respect does it not comply. Work with the contractor and client
to prepare a compliant Program.
b) Request and obtain from the Contractor an expected monthly cash flow forecast.
c) Verify that the progress of the Works is in compliance with the Programme and milestone
schedule consented under the Contract on behalf of the Client. Notify the Client as far as possible
in advance of any possible failure to attain a milestone by the applicable date or non-compliance
with the Programme.
d) Report on the Contractor’s control of the progress of the Works to ensure completion of the
Works within the time established in accordance with the Contract.
e) The consultant shall install and maintain an electronic monitoring platform with a dashboard
accessible to the client as well for effective progress monitoring Identify and analyze the critical
path and near critical path to ensure activities on these paths are carried out as planned.
f) If for any cause other than those listed in the Contract, the rate of progress of the Works or any
Section is at any time, in the Consultant’s opinion, too slow to ensure the completion of the
Works or any Section by the Completion Date, instruct the Contractor to accelerate the Works
in accordance with the Conditions of Contract in writing with a copy to the Client.
g) Authorize (only if the Client consents) any reasonable request by the Contractor’s to work
outside agreed time windows (e.g. at night or on locally recognized holidays) to expedite
progress so as to comply with the Completion Date for the Works or any Section.
h) Receive Monthly Progress Reports from the Contractor, in accordance with the Conditions of
Contract, checking the same to ensure that they cover all relevant aspects of the Works and
highlights actual or potential departures from the Programme or the milestone or Payment
Schedules and stating the proposed or necessary measures to be taken by the Contractor to

overcome such departures; commenting on and supplementing as necessary such Progress
Reports before forwarding them to the Client, and advising them of any necessary measures to
be taken to achieve completion of each Section within the applicable Time for Completion.
i) Convene formal monthly meetings with Project participants and other relevant parties. These
meetings must have a formal agenda and minutes.
D.9 Quality Control
The Consultant shall carry out the duties of the Engineer (or equivalent role under different forms of
contract) in relation to quality management, inspections and testing in accordance with the Conditions
of Contract; The Consultant shall also:
a) Verify that independent testing of the materials or plant to be supplied under the Contract as is
required by the Contract has been or is to be carried out in accordance with such requirements
at the expense of the Contractor;
b) Agree practical procedures with the Contractor for giving notice for any examination by the
Engineer, which may be required before the Contractor can cover up or put out of view any part
of the Works. In accordance with such procedures, and the no-objected Quality Management
System, examine where appropriate and check any part of the Works which is about to be
covered or put out of view; notify and advise the Client if any material defects are discovered
and monitor the remedying of same;
c) Request the Contractor to make available for review copies of all test results within a reasonable
time of the test being carried out;
d) Through oversight of the Contractor’s operations, or through on-site inspection, determine if any
materials or plant are or are, likely to be, defective or otherwise not in accordance with the
Contract, and reject such materials or plant;
e) Notify the Client if there is any failure of tests or inspection and if such failure is anticipated to
cause delay to any Completion Date or other material adverse consequence; advice on further
tests required and arrange that the Contractor carries out necessary rectification.
f) Take into consideration any reasonable requirement by the Client of inspection, testing of plant,
goods or materials found to be defective pursuant to the Contract or where the PIU has
reasonable grounds for suspecting the existence of a defect or defects. Carry out any such
inspection and arrange such testing on behalf of the Client in accordance with the Contract;
g) Afford full opportunity for the Client to ask for and to be present when examining and measuring
any part of the Works which is about to be covered up or put out of view, and examining
foundations before any part of the Works is placed thereon. Give reasonable prior notice to the
Client whenever such part of the works or foundations is ready for such examination;
h) Carry out, when requested by the Client, such other inspections, supervision of testing on-site or

procure the carrying out by the Contractor of such tests and supervise the same and carry out
such other acceptance procedures or arrangements with the Relevant Authorities;
i) Maintain records of tests which it has witnessed;
j) Supervise factory inspections, all installation work at the sites and commissioning/ testing of
Project components, if required.
D.10 Payment Certification
The Consultant shall carry out the duties of the Engineer (or equivalent role under different forms of
contract) in relation to certification and payment of the Works in accordance with the Conditions of
Contract and comply with the timelines set out in the Contract;
The Consultant will also advise the Client of its responsibility with respect to making payments and
complying with the timelines set out in the Contract;
In addition, the Consultant shall collate, prepare and submit to the Client quarterly budgets showing
sums anticipated to be included in Interim Payment Certificates of the Contractor based on the no-
objected Programme and expected progress, as well as dates and amounts of invoices under the Contract
and milestones values expected to be achieved in the quarter.
D.11 Variations
The Consultant shall comply with the authorization given to the Engineer (or equivalent role under
different forms of contract) under the works Contract with respect to agreeing to any modification or
waiver of the terms and conditions of a contract or granting an extension of the time for performance.
The Consultant shall also be aware of the requirements for the Client to obtain the ADB’s no objection
to change or variation orders and shall ensure that the Client has obtained a no objection from the ADB
if required before a Variation Order is instructed.
In case of a variation, the Consultant will follow the procedures and conditions stipulated within the
Conditions of Contract and shall note the restrictions placed on the Consultant’s authority as the
Engineer under the Contract.
D.12 Claims (Cost and Extension of Time)
The Consultant shall:
a) Check that the Contractor continues to give notices and detail particulars that are required under
the Contract relating to any claims and forward such notices and details to the Client;
b) Notify the Client immediately if a Contractor fails to complete any Section within the applicable
Completion Date or appears likely to fail;
c) Advise the Client on any difficulties that may arise generally in connection with the execution
of the Works;
d) Receive notice of the intention of a Contractor to claim any additional payment or extension of
time within the times stipulated in the Conditions of Contract and adopt the stipulated process

for claim resolution and notify the Client thereof;
e) Work with the Client and the Contractor to set up the Dispute Avoidance / Adjudication Board
(DAAB), as required under the Conditions of Contract, and follow up all requisite processes in
addressing the Contractor’s or Client’s claims;
In addition to the above, in the event of receipt of a notice of claim from a Contractor, immediately
thereafter, the Consultant will notify and copy the notice to the Client.
Promptly after receipt of any Contractor’s claim, the Consultant will provide the Client with an
assessment of the Consultant’s preliminary conclusions with regard to the potential outcome of the
claim. The Consultant will require the Contractor to copy to the Client all accounts sent to the Consultant
with regard to the Contractor’s claim.
Prior to certification of any payment to a Contractor in relation to Contractor’s claims, the Consultant
will have consulted with the Client on the grounds on which the Consultant intends to certify the
payment. The Consultant will provide the Client with any particulars to enable the Client to establish its
position with regard to the Engineer’s certificate.
At the Client’s request, the Consultant shall also advise the Client on specific claims the Client may
wish to raise as the Employer under the Contract (e.g. application of Delay Damages, a claim against
the Performance Security, etc) and the general content required of a Notice of Claim, contemporary
records, and a fully detailed Claim. However, the Consultant shall not prepare claims on behalf of the
Client, and regardless of the advice provided by the Consultant, the Consultant’s Agreement or
determination of the Claim as the Engineer shall be based solely on the submitted Claim. In advising
the Client, the Consultant shall not be required to act improperly or contrary to their obligations as the
Engineer under the Contract.
D.13 Non-Compliance, Suspension and Disputes
The Consultant shall:
a) Notify the Client immediately if the Contractor is failing to comply with its obligations under a
Contract;
b) Discuss with the Client possible remedies, and advise on the rights and obligations of the parties
under the Contract;
c) As soon as may be practicable after any suspension request or termination by the Client in
accordance with a Contract, adopt the procedures and conditions stipulated in the Conditions of
Contract;
d) If any urgent remedial work is necessary, act in accordance with the Contract, and otherwise
advise the Client on carrying out the same by the Contractor or, if impossible to do so, discuss
such failure with the Client;
e) In the event of suspension or termination, provide advice and assistance in connection with the

departure of a Contractor from the site and the assignment of the benefit of any agreement for
the supply of goods, materials, services and/or execution of any works; and
f) Advise the Client of their rights upon the occurrence of any Force Majeure or Exceptional
Events.
g) If any dispute referred to adjudication or arbitration, assist the Client generally in respect of such
arbitration provided always that the Consultant will not be required to act improperly or contrary
to their obligations as the Engineer (or equivalent role under different forms of contract) under
the Contract;
D.14 As-Built Drawings/records, Manuals and Documentation
Upon completion, review and issue no-objection copies of all As-Built Drawings/records, manuals of
the Permanent Works as completed, and such other technical information and completion records
relating to the said permanent works as specified in the Contract and as the Engineer or the Client may
reasonably require.
D.15 Completion and Defects Notification Period
The Consultant shall follow the procedures set out in the Employer’s Requirements and conditions of
contract for testing and acceptance of the Works and taking-over of the Works.
The Consultant shall support the Client in compliance with any national acceptance and taking-over
procedures (if any). These procedures shall be completed before the Consultant issues a Taking-Over
Certificate for part or all of the Works2.
The Consultant shall:
a) Assist the Client in the resolution of the issues during the Defects Notification Period as stipulated
in the contracts of the relevant packages;
b) Monitor the Contractor in its performance of its obligations during the Defects Notification Period;
c) Prepare and issue a Performance Certificate, within the times and using procedures prescribed within
the conditions of contract.
d) In the event that a Contractor refuses to carry out any rectification work, assist the Client in the
employment of an alternative Contractor and in the recovery from the Contractor of the costs of
employing the same where applicable;
e) Advise the Client of the value of any completed Section (if any) and of any further information as
may be necessary for calculating any adjustment in the amount of the performance securities and
any other bonds or securities procured by a Contractor to secure its obligations;
f) Arrange for the return of any outstanding guarantees provided by the Contractor, such as
performance securities; and
g) Support the Client in preparing any project completion reports required by the Borrower and ADB.

D.16 Support for Interface Management and System Integration
For the case that there are separate packages for civil works, electrical and/or mechanical equipment,
and/or transmission lines, distribution/collection network, the Consultant shall support the Client for
management of interfaces between the packages as well as for coordination of overall system
integration.
For interface management, the Consultant’s tasks shall include the following:
a) Identify the interfaces between each package and create a matrix of interfaces;
b) Establish the interface documents and content required, the dates by when these documents are
required, and create and actively manage a register of these documents;
c) Review the design and working drawings prepared by contractors with an emphasis on technical
interfaces, coordination of space and clearance requirements, and compatibility;
d) Review consistency with any other infrastructure under the Client’s responsibility;
e) Review documents prepared by the contractors for each package concerning interfaces;
f) Manage the schedule planning of handovers and hand-backs between contractors (lead and
match) and the implementation of these handovers and hand-backs on site; and
g) Support coordination between the contractors and external parties such as utility providers.
For coordination of overall system integration, the Consultant’s tasks shall include the following:
a) Coordinate and review plans for testing, trial operation of certain components and the Project as
a whole, and commissioning, including;
b) Review of test methods, documentation and schedules;
c) Coordination between participating contractors;
d) Involve of independent assessors (if any); and
e) Involve future the operation and maintenance entity and/or staff if available.
f) Supervise, monitor and document the integration of works and systems during testing, trial
operations and commissioning;
g) Coordinate the resolution of problems identified during testing with contractors;
h) Review and collate the interface management documents prepared by contractors as a complete
and coherent package for the Client; and
i) Review and collate the Operation and Maintenance (O&M) Manuals prepared by contractors as
a complete and coherent package for the Client, ensuring consistency between package-wise
O&M Manuals.
The Consultant shall support the Client in preparations for commercial opening through the following
activities:
a) Supervising and coordinating training for O&M personnel;
b) Preparing a plan, with phases, if necessary, for commercial opening.

D.17 Procurement Support
Based on the approved or draft procurement plan or as otherwise directed by the Client, the Consultant
shall prepare complete sets of bidding documents (and prequalification documents if required) based on
the latest versions of ADB’s Standard Bidding Documents. For each package, the Consultant shall
prepare:
a) Bidding data sheet;
b) Evaluation and Qualification Criteria utilizing Merit Point Criteria3 (if applicable), which are
appropriate for the Project, and reflecting the outcomes of market engagement and
considerations made in the Strategic Procurement Plan;
c) Bidding Forms including Bills of Quantities or Price Schedules;
d) Employer’s Requirements, including but not limited to the package scope, specifications,
drawings, signage requirements, EHS requirements, coordination and interfacing requirements,
personnel and equipment requirements, and supplementary information; and
e) Conditions of contract.
The Consultant shall ensure that bidding documents contain ADB EHS requirements, Project-specific
safeguard requirements, and that the conditions of contract include safeguard provisions required by
ADB.
For procurement processes which start within the Consultant’s contract duration and until the
Consultant’s contract ends, the Consultant shall support the Client in the prequalification and bidding
processes for each package until award of the contracts. Procurement support to the Client shall include:
a) Ensuring that all no-objections required from ADB are applied for in a timely manner;
b) ensuring that the Client maintains appropriate records, documentation is properly stored,
recorded and managed, and confidentiality is maintained;
c) preparation of Invitations for Bids, organization of and attendance at pre-bid meetings and site
visits, preparing replies to requests for clarifications;
d) organize data rooms as applicable for transfer of large data volumes to bidders during bidding
process;
e) preparation of potential design amendments and/or amendments to the bidding documents;
f) organization of and attendance at bid opening, preparation and communication of bid opening
records;
g) preparation, organization and participation for clarification meetings (if any)
h) assist technical bid evaluation and drafting technical bid evaluation reports;
i) recommendations on technical aspects of qualified bidders and proposals;
j) financial bid evaluation and drafting financial bid evaluation reports;

k) preparation, organization and participation for contract finalization or negotiation meetings with
the successful bidders;
l) finalizing award of the contracts and notifying unsuccessful bidders.
The Consultant shall pay particular attention on procedural transparency and secure confidentiality of
information, and strict adherence of ADB’s and national guidelines for procurement.
D.18 Financial Management Function
The Consultant shall support the Client and PMU/PIUs in establishing and maintaining
sound financial management arrangements, ensuring compliance with ADB and
Government of India requirements. In particular, the Consultant shall ensure that FM
readiness is achieved and sustained throughout the project cycle by addressing the
following elements:
a) The Consultant shall assist the PMU/PIUs in ensuring adequate financial management staffing
is in place, with clearly defined roles and responsibilities, and provide on-the-job capacity
building as required.
b) The Consultant shall support timely and realistic preparation of annual budgets, ensuring
adequate counterpart funding and effective monitoring of budget execution against project
targets.
c) The Consultant shall develop and customize a project-specific Financial Management Manual
for the Puducherry Integrated Urban Livability Improvement Project. The manual shall outline
procedures for budgeting, accounting, disbursement, reporting, and audit, aligned with ADB’s
Loan Disbursement Handbook and applicable GoI/state regulations. The Consultant shall also
update the manual periodically to reflect lessons learned during implementation.
d) The Consultant shall establish systems and templates for timely preparation of quarterly financial
monitoring reports and annual project financial statements, ensuring data integrity and
compliance with ADB’s financial reporting and audit requirements.
e) The Consultant shall assess and strengthen internal control mechanisms, including segregation
of duties, authorization protocols, documentation, and reconciliation processes, to mitigate
fiduciary risks.
f) The Consultant shall facilitate timely preparation and submission of Audited Project Financial
Statements (APFS), coordinate with project independent auditors, and follow up on the
implementation of audit recommendations.
The Consultant shall ensure that these financial management functions are implemented in accordance
with ADB’s Technical Guidance Note on Financial Management Assessment in Sovereign Operations
(June 2025), Financial Reporting, Auditing, Management, and Monitoring in Sovereign Operations
(2023) and Loan Disbursement Handbook (2022).
In addition to the reports and other deliverables identified above, the Consultant will prepare and
maintain full and proper records of all meetings and discussions.
G. TEAM COMPOSITION AND QUALIFICATION REQUIREMENTS
G.1 Consultant team requirements
The Consultant shall retain personnel, with the required minimum qualifications, for the tasks described
in these TOR, covering the following disciplines:
a) Project management
b) Project planning and scheduling
c) Procurement and Contract administration
d) Environmental & social impact assessment and management
e) Quality assurance and audit
f) Claims assessment
g) Monitoring / supervision of construction works
h) Construction safety
The Consultant shall prepare a Deployment Schedule of their experts for the entire period of the
implementation of the Project. Depending on the pace of the progress on the project, the Client may
require the Consultant to adjust and regulate the engagement and deployment of its experts. The
Consultant shall consider the prospective peaks of the construction activities and ensure the adequacy
of staff levels during such periods.
It is expected that during the discharge of its duties the Consultant will apply international best practice
in all fields including, but not limited to, the areas of environmental, health and safety, and social
safeguards best practice and the promotion of gender equality.
All key personnel shall be fluent in English and be fully computer literate.

Other Administrative and clerical support personnel, drivers and other camp support personnel are to be
provided as required, and the cost of these is to be clearly included in the Consultant’s cost proposals.
G.3 Non-Key Expert Requirements
The Consultant shall also select and engage non-key experts as considered necessary for the Consultant
to perform the task in a technically correct and timely manner defined in these TOR.
CVs of non-key experts shall be submitted with the Consultant’s proposal and shall not be evaluated as
part of proposal evaluation.
H. BASIS OF PAYMENT
Remuneration of the Consultant’s experts shall be on a time basis. The actual inputs provided by the
Consultant’s experts shall be recorded on timesheets signed by the expert, verified by the Consultant’
Team Leader, and submitted each month as part of the Consultant’s reports. Payment of reimbursable
expenses shall be based on the actual quantities utilized and costs incurred by the Consultant. Supporting
evidence shall be provided to justify the quantities and costs.
Provisional sums are envisaged for: Surveys.
OPE shall include: Office setup / Software, Workshops / Training / Capacity Building, Third-
party Services & ESMF costs.
The use and payment of provisional sums shall be regulated in accordance with the conditions of the
Consultant’s contract.
