1. Purpose of the Agreement
This agreement sets out the terms under which the manager will manage,promote and operate
the tiktok/Instagram page featuring the child dancer(s).
2. Duties of the Manager
a) Create, upload manage content on tiktok/Instagram page.
b) Strategize and promote the child dancer for visibility , brand partnership and sponsorship
opportunities
c) Negotiate brand deals, sponsorship and partnership.
d) Maintain professional standards in all dealings.
3. Duties of the Parent/Guardian
a) Grant consent for the child to appear on tiktok videos.
b) Ensure the child participation does not interfere with schooling or well being.
c) Approve any commercial deals or brand partnership before the signing.
d) Provide support for shoots (transport ,costume) unless agreed otherwise.
e) Respect the managers creative and strategic decision regarding the page.
f) Not to create or authorize a duplicate or competing Tiktok / Instagram Page during
subsistence of agreement.
Seek and Obtain the prior consent and Agreement of the manager before engaging the child
dancer in any external videoshoots , photoshoot , performance , advertisement
collaborations or brand endorsements.
4. Child Protection
a) The manager will ensure all content is appropriate.
b) No harmful , offensive , or exploitative content will be published.
c) Filming will always be conducted under supervision .

a) The Tiktok Page / Instagram will remain under the custody and management of the
Manager through out the duration of the Agreement .
b) Should the parent / Guardian wish to take over the management of the tiktok /
Instagram page at anytime a handover fee shall be payable to the management before
full Access is Granted.
c) Content Rights remain jointly with the parent and the manager .
d) Parents / Guardian May request removal of any content at any time.
6. Financial Terms
Any income from Tiktok / Instagram , brand deals , ads , sponsorships will be shared as
follows:

A transparent Record of earning will be kept and shared with the parent / Guardian.
7. Duration & Termination
This Agreement shall remain in force as long as the agreement exists.
Either Party May Terminate the Agreement by giving a ……………………days written notice.
In event of the termination the Parent / Guardian the transfer fee (as outlined in 5b )
shall apply if custody of the page is to be handed Over.
If the parent / Guardian engages the child in external shoots , collaborations ,
performances or brand endorsement without the prior consent and agreement of the
management it shall constitute a material breach of this agreement giving the manager
the right to terminate the Agreement immediately and seek damage applicable.
8. Confidentiality
Both Parties Agree not to disclose personal , Financial or sensitive information related to
the child or the tiktok / Instagram page without prior consent.
9. Dispute Resolution
Any dispute will first be resolved through mutual discussion. If unresolved the matter
shall be referred to the arbitration in accordance with the law of Kenya.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the law of Kenya.
