1. TERMS
The terms and conditions set out in this Agreement will apply to per person sharing rates and reservations for the period as per the Rates sheet. This Agreement is to be
renewed annually with new rates for the following year to be introduced at that time.

2. RATES
The rates attached herein are being offered for rooms booked for the period as per the Rates sheet and are net, non-commissionable, in US Dollars. The rates are based on full
board basis unless otherwise specified. Rates quoted per person sharing in this document include service charges and current applicable taxes. These rates cannot be posted,
published, or made available to third-party sites, corporate travel, and conference or incentive groups. Distribution or exposure of Net Tour Rates will allow 'AHL' to
immediately terminate this Agreement.

3. AGENT RATES & FAM TRIPS

Below rates are on a request basis & are subject to availability.
Ashnil Samburu & Ashnil Mara Camp
Low season – Single - US$60, Double – US$120
High & Shoulder Season – Single - US$75, Double – US$150
Ashnil Aruba Lodge – US$ 50
Surana Buffalo Springs
Low season – Single - US$100, Double – US$200
High & Shoulder Season – Single - US$125, Double – US$250
Not Applicable for the Peak and Festive Seasons.

4. COMPLIMENTARY ROOM POLICY

For groups of over 15 paying pax per night, one free (half double) pax will be provided on a complimentary basis, but not exceeding four pax for any one group.

5. GROUP DISCOUNTS
30-49 Pax – 5% off applicable contract rates
50-99 pax – 7.5% off applicable contract rates
Group discounts are not applicable over peak season, are nett and will not be applicable on special rates, normal series/block bookings, and circuit discounts.
**A maximum of 4 singles shall be confirmed per booking and any additional single(s) charged at double room rate.**

7. TOUR LEADER
Accommodation will be granted to one bona fide Tour Leader per group. Tour Leader charges for groups less than 15 pax shall be as follows:
a. Ashnil Aruba Lodge – USD 50
b. Ashnil Samburu & Mara Camp – USD 80 on Peak
c. Surana Buffalo Springs – USD 100 Peak. US$ 80 Off Peak
d. USD 50 on other Seasons at Samburu and Mara Camp.
e. Only one room per booking and subject to availability will apply. Above rates apply for alternative accommodation which is subject to availability. Clause subject to clause no.
4 above, both cannot apply.

8. PRICES
Ashnil Hotels may alter the rates specified overleaf by not less than three months’ notice in writing to the Operator. In the event of any changes in Government taxes, Ashnil
Hotels reserves the right to adjust rates appropriately. In the event of a change in the value of the Kenya shillings by more than 5% by way of devaluation or a currency
fluctuation, Ashnil Hotels may, in its discretion, increase the rates overleaf proportionate to the amount of such devaluation and with effect from the date of devaluation.

9. ADMINISTRATIVE REQUIREMENTS
Rooms are available for new arrivals from 12 noon on the scheduled arrival date. Rooms should be vacated by 10.00 a.m. on the scheduled departure date. Special
consideration may be made for extended departure times subject to anticipated arrivals.
Sales updates should be submitted to the sales office on a monthly basis for groups above 6 rooms and series/allocation. The final sales report with the rooming list must be
with the sales office upon expiry of the release period.
Bookings received and confirmed in the peak season must be secured with a 40% and 20% due Off-Peak season non-refundable deposit within 14 days from the confirmation
date stamped on your booking voucher.
Where such a deposit is not received, a notification shall be sent to you after which, on the 15th day, the rooms held will be automatically released. A deposit of 10% is required
to confirm a long-term (more than 1 year) and an additional deposit of 20% (less than 1 year 364 days).

11. CANCELLATION AND NO-SHOWS

Reservations that are canceled, reduced in length of stay, or reduced in numbers are subject to cancellation and No Show fees as follows:

0 – 15 days 100% 0 - 7 days 100%
16 – 30 days 50% 8 - 14 days 50%
31 – 40 days 25% 15 - 25 days 25%
Amendments made within the 100% window are subject to 25% charge of the current seasonal rate on approval of the Reservations team.

12. PAYMENT
Unless the agent has a special arrangement, the agent is required to make full payment to 'AHL' prior to final confirmation of the reservation.

13. APPLICABILITY
This contract is valid for non-residents only and for leisure business only. These rates are not for onward distribution to 3rd-party online travel/hotel booking websites.

14. PAYMENT CURRENCY, LOCATION, AND CREDIT FACILITIES

Payments must be made in the nominated currency as stated on the Rates sheet and are to be made at designated 'AHL' offices. If the agent meets the credit requirements,
they will be allowed to reserve space without the need for deposits. If credit is extended, payments will be due 15 days from the date of the statement. All other terms and
conditions remain in effect. Invoices shall be raised in the nominated currency weekly, monthly, or at the end of the clients' stay. On any account where details of payment have
not been specified, payment will be applied to the oldest invoice. AHL reserves the right to withdraw credit facilities whenever it deems right based on creditworthiness.

15. DISPUTES
Any dispute regarding an invoice must be received by the Accounts Department within fourteen (14) days of the invoice date, and only the amount in dispute may be deducted
from the invoice and payment due, which must be made within the specified time limit.

16. DEFAULT
Default of undisputed payment may result in the agent's clients being refused admittance to the Hotel until payment is made. Rates quoted on page 1 are subject to change and
may lead to the withdrawal of credit.

17. RETURNED CHEQUES

Should the bank for any reason return a cheque issued by the agent, the agent shall replace the cheque within 72 hours with certified funds. Additionally, the agent shall pay a
returned cheque fee of 5% if the cheque is returned because there were not adequate funds in the agent's bank account. Failure to replace returned cheques may constitute a
default of this agreement. It should be noted that it is a criminal offense in Kenya to have a cheque returned.

18. LIABILITY AND INDEMNITY

AHL will not be liable to the agent or the client in respect of any damages, losses, or liabilities incurred by the agent and or the client arising from or in connection with any
services. Notwithstanding anything else contained in this contract, AHL shall not be liable for punitive damages, indirect damages, consequential damages, loss of profits, third-
party claims, or any claims imposed on the agent and or the client by laws or statutes of countries outside of the territory in which the company is domiciled. AHL shall not be
liable for any damages, losses, or other amounts that the agent and or client has agreed, settled, or compromised without the prior written consent of AHL, or which the agent
and or client is otherwise contractually bound to pay to any other person or entity.

19. INSURANCE
The agent and/or client shall be responsible for obtaining and maintaining appropriate insurance coverage for any risks associated with their activities and accommodations
provided under this Agreement. This insurance shall include, but is not limited to, comprehensive general liability insurance, property insurance, and travel insurance covering
cancellation, interruption, and medical emergencies. AHL shall not be liable for any damages, losses, or liabilities incurred by the agent and or the client that could have been
covered by adequate insurance.

LODGE/CAMP CLOSURE Ashnil Hotels reserves the right to give 30 days' notice for closing any of its Lodges/Camps for renovations, refurbishment, etc., without penalty.

20. FORCE MAJEURE

Neither party shall be considered in breach of this Agreement or liable for any failure or delay in performance of its obligations under this Agreement if such failure or delay is
directly caused by forces beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, strikes, labor disputes, epidemics, pandemics,
governmental restrictions, or any other similar causes beyond the control of the parties.

21. DATA PROTECTION ACT

During service provision, the client consents to AHL capturing identification documents for the purposes of compliance with applicable data protection laws and regulations.
AHL shall handle and process such identification documents in accordance with the Data Protection Act and any other relevant data protection legislation. AHL shall take
appropriate measures to safeguard the confidentiality and security of the client's personal information as required by law.

22. GOVERNING LAW

This agreement shall be governed in all respects by the laws of the Republic of Kenya. Amendments to this agreement shall be valid only if made in writing and signed on behalf
of Ashnil Hotels and the operator.

23. ACCEPTANCE
In order to confirm the arrangements, set forth herein, a signed copy of this Agreement must be received by 'AHL' prior to bookings made against this Agreement. This
agreement shall be deemed to have been refused if the operator fails to return the copies hereof duly signed to Ashnil Hotels within 30 days of the dates hereof. If it is the case,
then the operator pays for bookings based on a 10% discount off Rack Rates.

24. COMMUNITY FEE

The Narok County Government has introduced a community fee applicable to guests staying at Ashnil Mara Camp. This fee shall be levied in addition to the contract rate
specified herein. The community fee will be communicated to the client separately through correspondence provided by Ashnil Hotels. The client shall be responsible for paying
the community fee as required by the Narok County Government, and it shall not be included in the contract rate agreed upon between the parties.
