1. Purpose
The purpose of this Agreement is to protect confidential information disclosed between the
parties in relation to business ideas, sourcing methods, pricing strategies, operational
processes, and other proprietary information.
2. Definition of Confidential Information
“Confidential Information” includes, but is not limited to, verbal, written, or electronic
information relating to business operations, supplier contacts, pricing models, profit
margins, strategies, and documentation shared by the Disclosing Party.
3. Obligations of the Receiving Party
The Receiving Party agrees to:
Maintain confidentiality of all disclosed information
Use the information solely for the agreed purpose
Not disclose information to third parties without written consent
4. Exclusions
Confidential Information does not include information that:
Is publicly available
Was known prior to disclosure
Is independently developed without reference to the confidential material
5. Term
This Agreement shall remain in effect for three (3) years from the date of disclosure.
6. No License Granted
This Agreement does not grant any ownership rights or licenses to the Confidential
Information.
7. Governing Law
This Agreement shall be governed by the laws of the United States, without regard to state
conflict-of-law principles.
