CONSIGNMENT CONTRACT.

Consignment Contract for Goods, entered into by one party


GIOVANNY ALESSANDRI SALVATIER and who for the purposes of this
the contract shall be referred to as "THE CONSIGNOR" and the other PROUNE, S.
of R.L. de C.V., represented in this act by Mr. JOAQUÍN GUTIÉRREZ
AND ALMAZÁN, Legal Representative of the aforementioned company, to whom at the
successive and for the purposes of this contract it will be referred to as "THE
CONSIGNEE, in accordance with the following statements and clauses:

STATEMENTS.

I.- Declares THE CONSIGNOR:


1.- Be a natural person with business activity.
2.- That the key of your Federal Taxpayers Registry with the
Ministry of Finance and Public Credit is AESG810613CT9
3.- That for legal purposes, he/she indicates as his/her address on the street
Amores, Number 413, Del Valle Colony, Cuauhtémoc Delegation, in the
Mexico City, Federal District, Zip Code 017000.
4.- That their activity is PURCHASE, SALE AND LEASE OF
MATERIAL AND MEDICAL EQUIPMENT FOR SPECIALTIES.

II.- The CONSIGNEE declares, through its Representative


Legal:
1.- To be a Limited Liability Company with Variable Capital,
established under Mexican laws, as evidenced in the
terms of Public Deed Number 5046196 dated January 25
1973, before the head of Notary Public Number 23, of the City of
Mexico City
2.- That the key of your Federal Taxpayers Registry with the
Ministry of Finance and Public Credit is PRO730125LO6
3.- That for all legal purposes indicates as its address on the street
Sur 136, Número 233, Colonia Las Américas, Delegación Álvaro Obregón,
Mexico City, D.F., Zip Code 001423.
4.- That the purpose of its constitution is the RENTAL OF SERVICES
MEDICAL AND HOSPITAL STAFF.

5.- That their representative has broad and sufficient legal power to
to be able to sign agreements according to Public Deed Number 5046196 dated
January 25, 1973, before Notary Number 23 of Mexico City,
Federal District.
III.- Having stated the above, the parties declare that they agree to celebrate
this contract subjecting its execution to what is stipulated by the
articles 392, 393, 394 and the others related to the Commercial Code
valid, as well as the observance of what was agreed in accordance with the following:

CLAUSES.

1.-THE CONSIGNOR in this act, delivers on consignment and in the


terms established in this contract to THE CONSIGNEE of the
next merchandise:

2.- The price of the merchandise that is delivered on consignment is price


public $150,000.00 M.N. (ONE HUNDRED FIFTY THOUSAND PESOS 00/100 M.N.)
price for the Consignee $120,000.00 M.N. (ONE HUNDRED TWENTY THOUSAND)
PESOS 00/100 M.N.
3.- The Consignee commits to the full payment of the merchandise that
this document, within a non-extendable term of 60 (SIXTY)
natural days counted from the signing of this contract, or in its
defect, to pay for the sold merchandise and return to THE CONSIGNOR, in
good conditions that I have not sold, authorizing the
SHIPPER to pick up the
property material, at the following address Avenida de las Torres
No. 90, Lindavista Colony, Gustavo A Madero Delegation, City of
Mexico City, C.P. 07625, which commits to deliver THE
CONSIGNOR in perfect condition.
4.- Both parties agree that the term of this contract will be
as stipulated in clause 3, it may be terminated with
anticipation prior to agreement of the parties, giving written notice 15
days in advance, or it can also be extended in the same period if so
the interests of both parties agree, through written consent,
mentioning changes in prices or any other, if it existed.
5.- Both parties sign this contract, agreeing to be in accordance with what
it would not have been stipulated in accordance with the provisions of the Code of
Commerce, specifically in those that regulate the Consignment Contract
Commercial, and that neither of them enriches at the expense of the other,
and without any intent to deceive or bad faith, nor physical or moral violence from anyone,
submitting in case of controversy to the Courts of the City
from Mexico, Federal District.
