With reference to your quotation no # and subsequent discussions and negotiation at our
Ahmedabad Office on dated 11/12/2018 we, M/s. Dineshchandra R Agrawal Infracon Pvt. Ltd.
(hereinafter referred as “DRAIPL”) are pleased to award this work order to you as per given
BOQ with agreed rates and scope mentioned here under, complying the project’s terms, conditions
and specifications:-
This Work Order supersedes all previous representations, negotiations, understanding, letters and
correspondences exchanged between us on the subject matter.

ACCOMMODATION: Accommodation of your staff shall be
arranged by you.
FINAL BILL: The final bill will be certified and payment
released only after the entire work and statutory requirements
covered under your scope of work are completed. You also
have to submit further no claim certificate and final
reconciliation statement along with Final bill. A certificate
stating that you have no market liabilities is also to be
submitted. Any sums due and payable under this work order
can be adjusted against excess payment made/ recoveries to be
made under any other Work order placed on you by DRAIPL.
WORKING HOURS: For timely completion of works, you may
have to work round the clock (24 hours in shifts) as necessary
without any extra cost.
SPECIAL SUPPLEMENTARY CONDITIONS: We reserve the right to

necessary to you.
CLEARENCE OF SITE: On completion of the work you shall
clear away and remove all surplus, materials, and rubbish from
your site of work.
IDLE CHARGES: No idle charges shall be paid for your
resources for any reason. However idle period can be shall be
considered in completion of work.
MOBILISATION & DEMOBILISATION: Nil mobilisation &
demobilisation advance shall be paid to you. You shall arrange
all resources required for completion of work. No extra charges
will be paid for the same. Further transportation, shifting of
your resources within the site shall be in your scope.
WATCH AND WARD: Watch and Ward for your supplied &
installed items shall be under your scope.
Time is essence of the contract. You shall endeavour to start
your work within 10 days from the date of LOI/ WO and
completion date shall be as indicated by the Project Manager.
COMPLETION OF
21. The work shall be executed as per the construction program

None of the parties hereto shall be liable for delay or failure to
perform any of its obligations set forth herein, if such delay or
failure has been caused by the Force Majeure including but not
limited to war, hostility, Acts of Public enemy, civil
commotion, sabotage, fires, floods, explosions, epidemics,
quarantine, restriction, lockout of and acts of Gods or any
circumstances of whatever nature beyond the control of
concerned party that the Force Majeure has affected its
performance, shall give notice to other party within 15 days
FORCE MAJEURE
23. (duly certified by the statutory Authorities) from the date of

Occurrence there of neither party have any claim for damage
against the other in respect of such non- performance or delay
in performance. The work under the contract shall be resumed
as soon as practicable after such event has come to end or
ceased to exist, and decision of DRAIPL as to whether the
performance of work have been so resumed or not shall be final
and conclusive. If the Force Majeure situation continues, the
parties hereto shall meet and discuss the ways and means to
cope up with the situation.
All disputes of difference of opinions on account of
interpretation of clause, technical specifications etc. shall be
SETTLEMENT OF resolved through direct and mutual discussions at site level. In

DISPUTES the case of difference of opinion still persisting, then the
decision of the Corporate office Ahmedabad will be final and
binding to both the parties.
The "Sub-contractor" has to follow all safety regulation of
DRAIPL and shall follow the permit system. All safety material
like helmet, safety belts, hand gloves, safety shoes etc. shall be
arranged by Sub contractor. If any safety material is issued by
DRAIPL, same shall be recovered on chargeable basis with
additional 10% overheads. You will abide by all standards,
specifications and practices in construction and instructions of
Engineer In-charge/ EHS Engineer at site. You are responsible
for the safety of your staff and employees, employees of the
other agencies working in your area of operation. You shall
delegate the responsibility of implementation of safety rules to
25. SAFETY one of your staff. It's your responsibility to carefully handle the
explosive materials (in case of encountering hard rock and that
being broken off by blasting process) so as to safeguard against
mishap. You shall adhere to all safety pre-cautionary measures
as required under the various Acts/ Rules such as Indian
Explosive Act, etc. In case of violation of safety rules and
precautions by any workmen, he will not be permitted at site of
work. Your authorised representative of safety shall attend all
safety meeting convened by DRAIPL site safety Engineer and
abide by his instructions. The contractor should ensure that his
workmen and supervisor strictly follow the safety procedures of
the company, as per Annexure-II enclosed.

1. All material for the works including the tools and tackles,
equipments and manpower would be provided by you within
the unit rates agreed and adequacy of the same shall be ensured
at all time during the period of this contract. Plant/ equipments,
tools and tackles, manpower shall not be removed / dispatched/
de mobilised from the site without our prior permission.
2. You shall provide all skilled and unskilled workmen and
supervisory personnel necessary for the satisfactory completion
of work. Accommodation for your staff and your workmen
shall be as per the workmen shall be as per the workmen
policies of DRAIPL.
27. YOUR OBLIGATION 3. The transportation of your man, material, tools and tackles
and equipments to the site is for work is your responsibility.

4. You have to strictly follow all the rules and regulations

applicable for this project. You should ensure adequate
housekeeping at site allotted to you regularly and continuously.
No separate payment for performing the housekeeping works
shall be payable. Such effort is construed to be the part of your
regular work.
5. DRAIPL at site have the right to instruct for withdrawal/
replacement of any person at any time not considered suitable
by them for the job.
All disputes arising out of this work order failing amicable
settlement shall be referred to the Arbitration of two Chartered
Engineers, one of them to be appointed by DRAIPL and other
to be appointed by the Agency. The Arbitrators shall appoint an
umpire. In the event of arbitrators not reaching an agreement,

the decision of the umpire shall be final and conclusive. The
arbitration proceeding shall be governed in accordance with the
Indian Arbitration Act 1996 or any statutory modification
thereof for time being in force and such arbitration shall take
place in Ahmedabad.
In case of poor progress of your work affecting our contract
with our employer and/or if the Quality of your work falls
below the expected standards in such cases, we reserve the right
to suspend your operations, fully or partly, without assigning
any reason. Payment on such a Contingency shall be made to
you for the actual work done at that stage, deducting any loss
that we may have to suffer due to your default as per the
Calculation done by Project Manager. On such occasions,
decision of the Project Manager shall be final. All disputes

and decision is final and binding both parties. In case it fails the
dispute shall be referred to the arbitration. The arbitrators shall
