The trainee might be terminated from the program if they are absent or not working for two or more days unannounced, or if they fail to adhere to the Trainee Responsibility Guidelines. This includes maintaining at least 75% attendance and following enterprise policies and procedures .

The limitation of liability clause protects the enterprise from being held accountable for indirect, incidental, consequential, or special damages. This provision might lead to a more cautious approach in the trainee's expectations and demands, as it makes clear that the enterprise cannot be held liable for unforeseen outcomes. It underscores the importance of the trainee taking personal responsibility for maximizing their learning while using the program and materials provided "as is" .

Understanding the entirety of the agreement is crucial because it contains all terms and conditions governing the internship and supersedes any previous arrangements. Parties' acknowledgment that they have read and understood the agreement ensures they are aware of their rights, responsibilities, and the implications of clauses like termination and intellectual property, thus preventing potential conflicts and misunderstandings .

The enterprise likely provides the program "as is" and disclaims all warranties to limit its liability regarding the effectiveness or outcomes of the program. This approach protects the enterprise from legal claims related to unforeseen issues, ensuring the program is offered without the risk of additional obligations beyond what is explicitly stated .

An experience letter will be issued if the trainee completes at least 50% of the agreed duration of engagement and serves a notice period of 15 days prior to separation. If these conditions are not met, no experience letter or certification of engagement will be provided by the Company .

If a provision of the agreement is found invalid, the remaining provisions shall remain in full force and effect. This is important as it ensures that the entire agreement is not rendered void due to a single unenforceable provision, maintaining its overall integrity and intent .

The trainee is responsible for attending all scheduled sessions, completing assigned tasks, maintaining 75% attendance, and complying with all enterprise policies. These responsibilities create a structured and disciplined environment, encouraging active participation and engagement. This structure is intended to enhance the trainee's learning experience and improve outcomes by fostering accountability and professional development .

The agreement grants the trainee a non-exclusive, non-transferable licence to use the training materials for educational purposes only. The trainee is restricted from reproducing, distributing, or selling any training materials without prior written consent from the Enterprise, ensuring that the intellectual property rights of the Enterprise or its licensors are upheld .

The agreement fosters mutual confidence and trust by explicitly stating that both parties have the duty to make only lawful and reasonable demands on each other. Compliance with policies, maintaining professional demeanour, and adhering to attendance requirements also support these values .

The agreement specifies that the courts of Panipat, India have exclusive jurisdiction over any disputes arising from or related to the agreement. This ensures that any legal matters are handled within a specific legal framework, providing clarity and predictability for conflict resolution .
