A meeting of the Board of Trustees of Bird & Brooks Trust was duly convened and held on 27th August
2025 at the Registered Office of the Trust, at Subhadra Nagar, Bidanasi, Cuttack and the following
Resolution was passed:

Its resolved that the Trust shall sell its land measuring 1.8 (One Point Eight) acres situated at Mouza
Machhpangi , Choudwar, District: Cuttack , Khata No 308/530, Plot No 19/1057, Kisam : Patita, owned
and held in the name of the Trust.

It is resolved that the Managing Trustee Mr Rohit Roy is hereby authorized to negotiate, finalize the
terms, execute the Agreement to sell, Sale Deed, and all such other documents as may be neces-
sary, and to do all acts, deeds, and things in connection therewith to give effect to this resolution.
Purpose of Sale:
1 To generate funds to carry out the primary objectives of the trust
2 To raise resources for the expansion of trust activities and supporting ongoing projects.
3 To strengthen the financial stability of the trust by adding proceeds from the sale into
its permanent fund or endowment.
Sale Consideration Approved :
Its resolved that the Trust shall sell its above described land , for a consideration of Rupees 8,00,000/
- (Rupees Eight Lakh Only).
The consideration amount has been approved by the Board of Trustees and shall be deposited in the
Current Account of the Trust , Details of which has been mentioned below:

It is further resolved that the sale of the aforesaid property in future shall be subjected to following
term and conditions.
In order to sell the property, the Borad of Trustees has to obtain the ‘Consent of Beneficiaries of the Trust
‘The Consent of all the Competent Beneficiaries of the Trust’ shall be taken on the letter-head of the trust
along with their ID proofs self attested. ‘The Consent letter’ along with ‘The Copy of the Resolution’
passed at the meeting of the Board of Trustee’ for such sale shall be attached with the ‘Deed of
Conveyance’.
The purchaser shall comply with all statutory requirements, including registration, stamp duty, and
the applicable charges. The purchaser shall bear all costs and expenses related to execution and
registration of the sale deed.
The Trust shall hand over possession of the land and execute the sale deed only after receipt of the full
and final sale consideration. The Trustees shall ensure that the sale proceeds are utilized strictly for the
objects and purposes of the Trust.
Any advance received shall be adjusted against the final sale consideration, and in the event of default
by the purchaser, the advance may be forfeited.
