Incubation Agreement
This AGREEMENT (he "Agreement") is entered at Gurugram, Haryana and executed on

23-01-2025_ (Execution Date") by and between:
ACIC SGTUCOMMUNITY INNOVATION CENTRE (hereinafter referred to as ACIC
SGTU"), acompany Incorporated under Section 8 of the Companies Act, 2013 to pronmote
Innovations and Entrepreneurship having its registered office Clo Dashmesh Edu. Charitable
Budhera, Manesar, GURGAON, Haryana INDIA 122505 more particularly set out in part A
of Annexure 1(hereinafter referred to as ACIC SGTU which expression shall, unless it is
repugnant o the context or meaning thereof, be deemed to mean and include its successors and
pernitted assigns) Brief particulars about ACIC SGTU are set forth in Part A of Annexure 1:

Incubatee Name: VINAY ROHILLA, ([Link]:),(Address: H NO. 1937/34, NEW
VIJAY NAGAR, ROHTAK, HARYANA-124001 )and other particulars are set out in Part A of
Annexure 1, being the Promoter of the Business (A QUICK COMMERCE WEBSITE), which
expression shall unless repugnant to the context or meaning thereof include their respective
affiliates, successors and permitted assigns.
The Promoter shall, unless repugnant to the context or meaning thereof, hereinafter be referred to
as the "Startup".
The Startup and ACIC SGTUshall hereinafter be individually referred to as a Party" and
collectively referred to as the "Parties",
WHEREAS:
1.
The Startup is, inter alia, engaged in the
business as set out in Part B of Annexure 1 (the
"BAZAAR LINK.N,).
2.
ACIC SGTU is desirous of supporting the
the said support, in the manner Startup, and the Startup is desirous of receiving
set out below.
Now this MoU witnesses as follows:
1. ACIC SGTU shall
provide the following services to STARTUP during the
Incubation: time of
a)
Learning blocks/Contact sessions: This would include
Diagnostic Panels,
entrepreneurs, Discussions with domain experts, MentoringHandshake
meets with social
Sessions,
Capacity building workshops, and
b) Pitch preparation and networking: Demo-Day.
This would include -
pitch deck and presentation for final demo day, and Guidance on the preparation of the
appropriate network. assistance in identification of the
c) Finance and Fund Raising: This
will include - guidance on the
documents and financial modeling for fundraising; preparation of necessary
assistance in identification of
appropriate funding sources; assistance in presentation, pitch
advisory on term sheets and other financial documents like making and negotiations; and
subscription agreements etc. This might require specializedShareholding

ACIC SGTUfrom time to time during the tenure
of the Incubation.

(boarding and lodging) on time.
3. STARTUP has to mention the term "Incubate of
ACIC SGTU" in any form of
communication. Any representation by STARTUP cannot bind ACIC SGTU to a
contractual obligation. Also, any use of ACIC SGTUnames as well as logos should first be
approved in writing from ACIC SGTU.
4. Infrastructure usage and other charges: The startup shall pay Infrastructure usage and other
charges as mutually agreed by the Parties.
5. Both the Parties agree that all rights, title,
interest, and goodwill attached to the
INNOVATION developed by the STARTUP during the period of incubation shall vest
with STARTUP,
6. STARTUP shall pay to ACIC SGTU a fundraising success fee of 10% (plus taxes as
applicable) of the funds raised through the active support of ACIC SGTU,this is also
applicable on the Seed Support(incase) provided to the Startup by ACIC SGTU. This
will howvever not include fundraising that the STARTUP enables through its own
resources
and channels.
7. STARTUP shall have to pay the consideration, as mentioned in Clause 6 above, even if the
MoU is terminated under any condition and STARTUP shall be bound to fulfill the
consideration as per this agreement.
8. At the end of the Incubation program, only eligible and selected STARTUP will be able to
participate in Demo Day. ACIC SGTUdoes not commit any funding just based on the
signing of this agreement.
9. This MoUwill be in force from the date of signing to a period of 11 months. At the end
of the
period, ACIC SGTUshall evaluate the project and may extend the period in batches of 3
months if required to complete the necessary incubation process and support.
10. Both the parties agree that either party can terminate the agreement by giving 30 days'
notice
in writing during the period of the agreement.
11. STARTUP and all its members and employees shall be required to follow all
policies and
Procedures related to the use of ACIC-SGTU, property, and its resources, framed from time
to time.
12. Any amendment to this MOU shall be made with the mutual consent of both parties and
shall not be treated as valid unless it is made by both parties in writing.
13. STARTUP has agreed to indemnify ACIC SGTUagainst any liability/obligations arising

directors, agents, employees, and assignees harmless from any and all

Ipárty which are attributable to the negligence on STARTUP's part.
14. ACICSGTU and STARTUP shall keep confidential, the contents of the Incubation and
mentoring support and other sensitive information exchanged or received during the
incubation period. Both the parties shall take all reasonable measures to protect the secrecy
of and avoid disclosure or use of any confidential information of the other Party in order to
prevent it from falling into the public domain or the possession of persons other than
authorized by such Party. Both the parties shall enter into a Non-Disclosure Agreement
separately for this purpose.
15. lf any provision of this Agreement or the application thereof to any person or circumstance
shall be invalid or unenforceable to any extent, the remainder of this MOU and the
application of such provision to persons or circumstances other than those as to which it is
held invalid or unenforceable shall not be affected thereby, and cach provision of this MOU
shallbe valid and enforceable to the fullest extent permitted by applicable law. Any invalid
or unenforceable provision of this MOU shall be replaced with a provision which is valid and
enforceable and most nearly reflects the original intent of the unenforceable provisions.
16. In the event of any disputes, claims or differences between the parties hereto, such dispute or
difference shall be resolved amicably by mutual consultation with the CEO, ACIC SGTU.
The place of conciliation shall be Gurugram, Haryana.
17. The above terms and conditions shallapply in case the INNOVATION and the operations
pertaining to the INNOVATION are transferred to a new legal entity. However, in cases
where there is a material and significant change in the INNOVATION, this clause can be
waived off at the sole discretion of ACICSGTU and a separate agreement shall be entered
into with the new entity.
