THIS TENANCY AGREEMENT is made on the day of

in the Year of Our Lord Two Thousand and Twenty-Five Between Mr. Patrick
Koroma, of No. 8 Lamina Sankoh Street, Freetown, in the Republic of Sierra
Leone (hereinafter referred to as “THE LANDLORD” which expression wherever
the context so admits shall include his Administrators, and Lawful Assigns) of the
One Part AND Mr. Pascal Emeka Okonkwo, of
……………………………………………………………………,
FREETOWN, in the Republic of Sierra Leone (hereinafter referred to as “THE
TENANT” which expression wherever the context so admits shall include his
Administrators, Lawful Assigns, Heirs and Successors-in-Title) of the Other Part.

WHEREAS:
A. THE LANDLORD is the FEE SIMPLE OWNER entitled to possession of the
DEMISED PREMISES (A THREE BEDROOM AND PARLOUR APARTMENT),
situate, lying and being at Off Sheriff Drive, Regent Road, Lumley,
FREETOWN, in the Republic of Sierra Leone, free from all encumbrances
(hereinafter referred to as the DEMISED PREMISES), which is hereby intended
to be rented by the LANDLORD to the TENANT;
B. THE LANDLORD has indicated intention to rent the DEMISED PREMISES to
the TENANT and the TENANT has offered to rent the same based on the terms
set out herein, which the LANDLORD has accepted;

NOW THIS TENANCY AGREEMENT WITNESSETH AS FOLLOWS: -


1. THAT for and in consideration of the rent hereinafter stipulated and agreed on
the part of the TENANT, to be kept and performed by the TENANT,
the LANDLORD hereby demises unto the TENANT that TWO-BEDROOM AND
A PARLOUR APARTMENT situate, lying and being at Off Sheriff Drive,
Regent Road, Lumley, Freetown, TO HAVE AND TO HOLD for a term
of ONE (1) year certain, commencing on the 17th day of January 2025 and
expiring on the 31st day of January 2026 at a rent of USD$1800/$2000
(ONE THOUSAND, EIGHT HUNDRED/ TWO THOUSAND UNITED
STATES DOLLARS) or its equivalence in Leones, per
annum for ONE (1) year.
2. THAT THE LANDLORD and TENANT may renew this Tenancy Agreement for
another (1) One Year, upon the expiration of the term herein granted based on
mutually agreed terms and conditions;

A. THE TENANT HEREBY COVENANTS WITH THE LANDLORD AS FOLLOWS:


1. TO PAY the rent hereby reserved in the manner provided above;
2. TO PAY AND DISCHARGE all electricity bills and such other utility bills, used
in and/or charged on the DEMISED PREMISES;
3. TO MAINTAIN the peace and quiet of the premises and enjoy his stay in the
premises peaceably;
4. TO USE the DEMISED PREMISES for RESIDENCE purposes only and
the DEMISED PREMISES shall not be used for any purpose that contravenes
any law and/or policy in Sierra Leone;
5. NOT TO during the continuance of this Tenancy Agreement grant or assign
any part of The DEMISED PREMISES as security for a loan;
6. TO ENSURE that proper arrangements are made to protect and/or maintain
the DEMISED PREMISES in good substantial and

tenantable repairs and condition, and shall at
all times keep the compound clean;
7. MAY ENSURE to use Electricians and Plumbers that are recommended by the
Landlord or his Delegated Person(s) or assigns, where there is a need for
substantial repairs of any plumbing and/or electrical fixes;
8. TO PERMIT the LANDLORD or anyone authorised by the LANDLORD in
for the purposes
writing to enter into the DEMISED PREMISES

of inspecting the state of the DEMISED


PREMISES and ascertaining whether it
is in a good and tenantable condition;
PROVIDED THAT, except in case of an emergency, access under this clause
shall be exercised only on 14 days’ notice and during normal business
hours;
9. THE TENANT SHALL NOT ASSIGN OR SUBLET all or any portion of
the DEMISED PREMISES without the written consent
of the LANDLORD (provided that such consent shall not be arbitrarily withheld
by the LANDLORD);
10. AT THE EXPIRATION OR DETERMINATION of the said terms herein granted,
to peaceably surrender and yield up vacant possession of the DEMISED
PREMISES (including all fixtures attached thereto) to the LANDLORD in good
substantial or tenantable repair and condition;

B. THE LANDLORD HEREBY COVENANTS WITH THE TENANT AS FOLLOWS:


1. THAT THE TENANT, paying the rent hereby reserved and observing and
performing the several conditions, covenants and stipulations contained on the
part of the TENANT to be performed, shall peaceably hold and enjoy
the DEMISED PREMISES during the said term without any interruption
by the LANDLORD or any person rightfully claiming through, under, or in trust
for THE LANDLORD;
2. THAT THE LANDLORD shall not do or permit to be done or suffered in
the DEMISED PREMISES anything which may be or become an inconvenience
to the TENANT;
3. THAT THE LANDLORD may on the written request of the TENANT, made
three (3) calendar months before the expiration of the term hereby granted, and
if there shall not at the time of such request be any breach of these covenants,
provisions and conditions hereinbefore contained on the part of the TENANT,
grant to the TENANT a further term, following the expiration of the term granted
herein, containing like covenants, provisions and conditions as are hereby
contained, PROVIDED that the rent for the optional period shall be negotiated
and mutually agreed upon by the LANDLORD and TENANT.
4. THAT THE LANDLORD shall exercise the right of RE-ENTRY of the DEMISED
PROPERTY within 21 (Twenty-One) days if the TENANT has not paid his rent.
5. THAT THE LANDLORD may increase the rent of the demised premises by
ten (10%) after every two (2) years of the tenancy.
B. PROVIDED ALWAYS AND IT IS HEREBY EXPRESSLY AGREED AS
FOLLOWS:
1. Any NOTICE required to be given under this AGREEMENT shall be in writing
and any NOTICE to the TENANT shall be sufficiently served, delivered or
sent by registered post to the registered office of the TENANT, and

any NOTICE to the LANDLORD shall be sufficiently served, delivered or
sent by registered post to the LANDLORD. Any NOTICE sent by post shall
be deemed to be given at the time when in due course of post, it would be
actually delivered at the address to which it is sent and, in both cases, signed
for and/or acknowledged;
2. This Agreement shall be modified or amended only by an Agreement in writing
duly executed by or on behalf of the parties;
3. This Agreement constitutes the entire Agreement between the Parties relating
to the subject matter hereof, and all previous Agreements, discussions,
communications and correspondences with respect to the subject matter hereof
are superseded by the execution of this Agreement;
4. Each party represents and warrants to the other that the execution and
performance of this Agreement does not conflict with any rules, regulations or
requirements binding that party, and that there is no legal or personal action
pending that prohibits or impairs the Parties from performing their respective
obligations under this Agreement;
5. Each party is duly qualified and have the full power, authority and capacity,
including taking requisite steps to enter into, execute, deliver, and carry out or
perform their obligations under this Agreement;
6. The Parties herein represent that the terms of this Agreement have been
negotiated and agreed on at arm’s length, and both parties have sought and
obtained independent legal advice before executing same;
7. That the Parties further agree that the recitals contained herein form part of
and shall be read, interpreted and construed together with the terms of this
Agreement;
8. There shall be no implied waivers under this Agreement. The failure of either
party to require compliance with the provisions of this Agreement shall not affect
that Party’s right to later enforce the same. It is agreed that the express waiver
by either party of the performance of any of the terms of this Agreement or any
breach thereof shall not be held or deemed to be an implied waiver by that Party
of any subsequent failure to perform the same or any other term or condition of
this Agreement or of any breach thereof.
