APPOINTMENT OF THE FIRST AUDITORS OF THE COMPANY AND TO FIX


THEIR REMUNERATION

The Chairman informed the Board that pursuant to the provisions of Section
139(6) and other applicable provisions, if, any, of the Companies Act, 2013
(including any statutory modification and re-enactment thereof for the time
being in force), a Company is required to appoint the First Auditors within one
month of the date of registration of the Company.

He further informed that the Company approached M/s Mittal Goel & Associates,
Chartered Accountants to act as the First Auditors of the Company and obtained
their consent for the same.

The Board discussed the matter and passed the following resolution
unanimously:-

“RESOLVED THAT in terms of Section 139 and other applicable provisions, if


any, of the Companies Act, 2013 read with the Companies (Audit and Auditors)
Rules, 2014, the approval of the Board be and is hereby accorded to appoint
M/s. Mittal Goel & Associates, Chartered Accountants (FRN: 017577N), as the
First Auditors of the Company to hold office until the conclusion of the First
Annual General Meeting of the Company on such remuneration as may be fixed
by the Board of Directors.

RESOLVED FURTHER THAT any of the Directors of the Company be and is


hereby authorized to communicate the appointment of the said auditors and to
the file necessary e-forms, if required with Registrar of Companies and to do all
such acts, deeds and things which are necessary to give effect to the above
resolution.”
