PO Terms and Conditions
Condition Of Contract And Delivery Terms :-
The goods shall correspond with the description or the samples or the original specification there of in full details and must be delivered or dispatched within
the stipulated time , other wise , the same shall be liable to be rejected and the seller shall be deemed to have wrongfully neglected to deliver the goods
according to the contract . SIMPLEX ENGG. & FOUNDRY WORKS [Link]. shall in that event at their discretion be entitled either to purchase such goods
from other sources on the seller's account in which case the seller shall be liable to pay the buyer any difference between the price at which such goods
have been purchased and the price calculated at the rate set out in this order or to hold the seller liable to pay the buyer damages for the non-delivery of
goods by such wrongful neglect.
Order acceptance :-
Kindly send the signed duplicate copy of this order or send your order acceptance alongwith Annexures (If any) as a token of acceptance within 4 (Four)
working days of receipt of order, failing which it shall be assumed that the same has been accepted.
Place Of Delivery :-
The goods shall be delivered / dispatched strictly as per the instructions given in the Purchase Order.
Packing :-
Goods supplied against the order must be properly packed ( conforming to special instruction given by buyer's if any ) for safe transport by air , road or rail
to specified destination irrespective of where they are delivered.
Examination Of Goods :-
Irrespective of the fact that the goods are delivered to the buyer by the seller at the seller's place or at the buyer's said office or at the buyers works or are
dispatched as per the buyer's instruction by air ,
rail or by road , goods shall always be subject to detailed examination at the buyer's works or such other destination as specified in the order for
ascertaining whether the goods are in confirmity with the contract or not and until then in no event the buyer shall be deemed to have accepted such
goods.
Removal Of Rejected Goods :-
Within 15 days from the receipt of the intimation of rejection , from the buyer , the seller shall remove the rejected goods from the buyer's store at his own
cost . The buyer shall not be responsible for or be held liable for any loss or deterioration of the rejected goods the seller shall pay to the responsible
storage charges for such rejected goods for the period exceeding 15 days as aforesaid .
Warranty :-
The seller shall be responsible and be liable for free of cost replace or repair at the buyer the goods supplied under this order or any part there of that need
replacement or repair by reason of any defect in the composition or substance or material defect in workmanship or process of manufacture or in the design
of the goods brought to the notice of the seller within 12 months of use / this guarantee period being limited to 18 month from the
date of delivery .
Liquidated Damages For Late Delivery :-
In case of `neglect on the part of the seller to effect delivery of the goods against this order within in the stipulated time , the buyer at his sole discretion may
accept such late delivery on the seller's agreeing to pay to the buyer such amount , by way of liquidated damages as may be imposed by the buyer .
Right Of Buyer To Set Off :-
The buyer shall be entitled to recover from the seller any sum due to them on account of damages , penalty or otherwise whether in respect of supplies under
this order or under any of their prior subsequent order .
All disputes to this order or relating to the price of the goods supplied there under or otherwise arising there from between the seller and the buyer shall be subject to
and be referred to the court of competent jurisdiction situated within the limits of Durg neither the seller nor the buyer shall take or adopt any claim against the
order relating to this order or arising there from in any court other than the court of competent jurisdiction Iocated within
the limits of Durg .
Samples , Drawings etc :-
All particulars furnished by the company to the suppliers such as samples , drawing , models etc shall be returned to the company free of charge immediately on
execution of the order . In no circumstances must these be shown to third parties.
Insurance :-
Please furnish details such as [Link]. / [Link]. Nature of packing no of cases gross weight net weight value of the material dispatched etc . Immediately on
dispatch to arrange insurance .
Document For Transit :-
By accepting this order the seller here by agrees and guarantees that the goods supplied will not lender any valid pattern or trade mark and that the seller will
hold us, our customer and those for whom we act as agents indemnified in case of such infringement .
Dispatch Documents & Correspondence Address:-

All conflicts & disputes in connection with this order are subject to jurisdiction of Courts at Durg, Chhattisgarh, India only.
Arbitration:-
All disputes, differences and questions whatsoever which can arise between the parties shall be settled through arbitration. The decision of such arbitration shall
be final and binding on both the parties. All such arbitration proceedings shall be held in Durg, Chhattisgarh and shall be accordance with the subject to the
provision of the Indian Arbitration act 1966 or any statuary modification or re-enactment for the time being in force.
