provided to Bidder(s), whether verbally or in documentary or any other form, by or on behalf of
BMC or any of its employees or advisors, is provided to Bidder(s) on the terms and conditions set
out in this RFP and such other terms and conditions subject to which such information is
provided.
This RFP is not an agreement and is neither an offer nor invitation by BMC to the prospective
Bidders or any other person. The purpose of this RFP is to provide interested parties with
information that may be useful to them in the formulation of their Proposals for qualification and
in making their financial offers pursuant to this RFP (the “Proposal”). This RFP includes
statements, which reflect various assumptions and assessments arrived at by BMC in relation to
the Project. Such assumptions, assessments and statements do not purport to contain all the
information that each Bidder may require. This RFP may not be appropriate for all persons, and
it is not possible for BMC, its employees or advisors to consider the investment objectives,
financial situation and particular needs of each party who reads or uses this RFP. The assumptions,
assessments, statements and information contained in this RFP may not be complete, accurate,
adequate or correct. Each Bidder should, therefore, conduct its own investigations and analysis
and should check the accuracy, adequacy, correctness, reliability and completeness of the
assumptions, assessments, statements and information contained in this RFP and obtain
independent advice from appropriate sources.
Information provided in this RFP to the Bidder(s) is on a wide range of matters, some of which
may depend upon interpretation of law. The information given is not intended to be an exhaustive
account of statutory/y requirements and should not be regarded as a complete or authoritative
statement of law. BMC accepts no responsibility for the accuracy or otherwise for any
interpretation or opinion on law expressed herein.
BMC, its employees and advisors make no representation or warranty and shall have no liability to
any person, including any Bidder, under any law, statute, rules or regulations or tort, principles of
restitution or unjust enrichment or otherwise for any loss, damages, cost or expense which may
arise from or be incurred or suffered on account of anything contained in this RFP or otherwise,
including the accuracy, adequacy, correctness, completeness or reliability of the RFP and any
assessment, assumption, statement or information contained therein or deemed to form part of
this RFP or arising in any way for participation in the Bidding Process.

BMC also accepts no liability of any nature whether resulting from negligence or otherwise
howsoever caused arising from reliance of any Bidder upon the statements contained in this RFP.
BMC may, in its absolute discretion but without being under any obligation to do so, update,
amend or supplement the information, assessment or assumptions contained in this RFP.
The issue of this RFP does not imply that BMC is bound to select or to appoint the Selected
Bidder or Concessionaire, as the case may be, for the Project and BMC reserves the right to reject
all or any of the Proposals without assigning any reasons whatsoever.
The Bidder shall bear all its costs associated with or relating to the preparation and submission of
its Proposal including but not limited to preparation, copying, postage, delivery fees, expenses
associated with any demonstrations or presentations which may be required by BMC or any other
costs incurred in connection with or relating to its Proposal. All such costs and expenses will
remain with the Bidder and BMC shall not be liable in any manner whatsoever for the same or for
any other costs or other expenses incurred by a Bidder in preparation or submission of the
Proposal, regardless of the conduct or outcome of the Bidding Process.

1. SPECIAL INSTRUCTIONS TO BIDDERS PARTICIPATING IN E-TENDERING

Brihanmumbai Municipal Corporation (BMC) has decided to publish a tender on Government

of Maharashtra’s developed portal which is a secured and user-friendly system which will enable
Bidders to Search, View, download tenders directly from Maha Tenders secured website and
enables them to participate and submit online Bids / Offers in the E-Procurement section directly
from the website in secured and transparent manner maintaining confidentiality and security
throughout the tender evaluation process and award.
Bidders are requested to read the following conditions in conjunction with various conditions,
wherever applicable appearing with this bid invitation for e-Procurement. The conditions
mentioned here in under shall supersede and shall prevail over the conditions enumerated
elsewhere in this RFP

1. The Tendering process of BMC is enabled through its Portal

2. All the tender notices including e-tender notices, addendum, corrigendum will be
published under the ‘Tenders’ section of [Link]
Note: All e-tender notices and tender documents are available only in soft copies such as
Microsoft Word, Excel, PDF files. For downloading / viewing PDF files use Adobe Software
utility which can be installed free of cost from Vendors home page link by any vendor onto
his own computer.
3. All the information documents are published under the ‘e Procurement’ section of Maha
Tenders Portal.
4. Bidder who wishes to participate for E-tenders, which are uploaded on Maha Tenders
Website ‘[Link] should follow the following steps
which shall permit them to search, display/ view, download and submit their electronic
Bids/ Offers online in a secured manner ensuring confidentiality. Bidders are advised to
read the following instructions for participating in the electronic tenders directly through
Internet:
(i) No Late and delayed Bids/ Offers after the due date/ time shall be permitted in
the E-procurement system. No Bid can be submitted after the last date and time
of submission has reached, however if Bidder intends to change the Bid already
entered may change/ revise the same on or before the last date and time of

submission deadline. The system time (IST) that will be displayed on e-

Procurement webpage shall be the time and no other time shall be taken into
cognizance.
(ii) Bidders are advised in their own interest to ensure that Bids are uploaded in the e-
Procurement system well before the closing date and time of the submission of
Bid.
(iii) No bid can be modified after the deadline for submission of bids.
(iv) No Manual Bids/ Offers along with electronic Bids/ Offers shall be permitted.
5. All interested Bidders are required to get registered with Maha Tenders for e-tendering
process.
6. For registration, enrolment for digital signature certificate & user manual please refer to
respective links provided in e-tendering tab on Maha Tenders website.
7. Bidders are requested to note the various terms and conditions stated in Bid documents
before quoting the Proposal.
8. All documents that are required to be submitted as part of Bid/Proposal need to be
uploaded on Maha Tenders portal ‘[Link]
9. What is a digital signature?
This is a unique digital code which can be transmitted electronically and primarily identifies
a unique sender. The objective of digital signatures is to guarantee that the individual
sending the message is who he or she really claims to be, just like the written signature.
The Controller of Certifying Authorities of India (CCA) has authorised certain trusted
Certifying Authorities (CA) who in turn allot on a regular basis Digital Certificates.
Documents which are signed digitally are legally valid documents as per the Indian IT Act
(2000).
10. Why is a digital signature required?
In order to bid for BMC e-tenders all the Bidders are required to obtain a legally valid
Digital Certificate as per Indian IT Act from the licensed Certifying Authorities (CA)
operating under the Root Certifying Authority of India (RCAI), Controller of Certifying
Authorities (CCA) of India.
11. Bidders cannot submit online Bids/ Offers under e-tenders without obtaining a valid
Digital Certificate from Certifying Agency (C.A). However, for the convenience of the
Bidders, a team from one of the certifying authorities is made available to help them obtain

digital signature certificates. Willing bidders may approach the help desk for details.
Affixing of digital signature at any one place in the bid document while submitting the bid
shall be deemed to mean acceptance of the terms and conditions contained in the Bid
document as well as confirmation of the bid/ bids offered by the bidder which shall include
acceptance of special directions/terms and conditions if any, incorporated.
All the documents and data submitted by bidders online will be digitally signed by the
system by prompting for a digital signature certificate. Thus, it is mandatory for the bidders
willing to participate in e-tendering to procure digital signature certificates of Class-3 and
‘Company’ Type. One Digital Certificate is valid for a specified period and can be used for
signing any number of documents against enquiries issued by BMC during such validity
period.
Note: In terms of I.T Act 2000, only a digitally signed document will be considered as a
valid signed document.
The Digital Certificate is issued by C. A. in the name of a person authorised for filing Bids/
Offers on behalf of his Company. The certificate is installed/ stored in his computer or
preferably received by him (his authorised person) in form as a USB token. A Bidder can
submit their Bids/ Offers on-line only after digitally signing the bid/ documents with the
above allotted Digital Signatures.
12. The browser settings required for digitally signing the uploaded documents are listed in
the document ‘Browser Settings’ in e Procurement section.
13. In order to participate in an e Tender, the registered bidders need to follow the steps given
below.
a. Open the e-tendering application by clicking the link available in e -tendering
section of the Maha Tender portal.
b. Download the 'Browser Settings' document and carry out the necessary settings
and root certificates installation as mentioned in the document. Please note that
the computer user should have administrative rights to the computer to be able
work with e-tendering applications.
c. Log in to the application with your credentials and follow the instructions given in
the document ‘User Manual for Vendors - Bidding Process’ which is available in
the ‘e Procurement’ section of Maha Tender Portal.

d. The bidder shall have to pay the cost of Bid document as through online payment
gateway before downloading the Bid document by clicking the links “folder” →
“BMC's Documents”, which includes the Bid documents along with other relevant
information documents.
e. The E.M.D. 's payment will be accepted at CFC only through e-challans before
submission of the Bid as per the instructions given in the Tender Notice and/ or
Bid Document and scan and upload the receipt of the same in folder named
“Bidders Documents”.
f. Upload the Proposal along with all supporting documents in the same folder
named “Bidders Documents”. System will prompt for a digital signature certificate
while uploading these documents.
g. The Bidder shall download the Exhibits contained in the Bid document, take out
the print, fill up the required information and sign, scan the Exhibits along with all
supporting documents and upload the same in a folder named “Bidders
Documents”.
h. Download all the documents uploaded by the Bidder to verify/ensure that
documents are uploaded properly.
i. Submit the Financial Proposal by filling in the values on the screen. All the inputs
given on this screen need to be digitally signed.
j. The General Submission, Technical Proposal and Financial Proposal duly filled in
should be uploaded and submitted online up to Proposal Due Date and time
mentioned in the E-Tender Notice.
k. Ensure that your Bid is submitted by ensuring that the status of the Bid in the
initial bids listing screen as ‘Bid submitted’.
14. Bidders should ensure to submit their Bids well in time before the due date. Bidders will
be solely responsible, if they try to submit the Bid just before due date and time and fail to
do so due to their system problems, internet problems, User ID locking etc.
15. It is the responsibility of the Bidders to maintain their computers, which are used for
submitting their Bids, free of viruses, all types of malware etc by installing appropriate anti-
virus software and regularly updating the same with virus signatures etc. Bidders should
scan all the documents before uploading the same.

16. The General Submission, Technical Proposal and Financial Proposal evaluation
documents will be available online for all the participating Bidders to view after completion
of the evaluation.
17. Please refer to FAQs in the e-Procurement section of Maha Tenders portal for additional
information.
18. For any help in the e -tendering process, please call the help-desk of Maha Tender number
between 11.00 AM to 5.00 PM on all working days for help regarding this tender contact.
19. Pre-bid meeting venue will be displayed on notice board of BMC’s Office as well as
displayed on Maha Tenders portal.

Bidders may note that Municipal Commissioner shall reject the Bid/ Proposal if the Bidder
submits the conditional Bid/ Proposal, stipulated hedging condition/ own conditions and also
stipulates the validity period less than what is stated in the tender.

2. E-TENDER NOTICE INVITING PROPOSALS

a) BRIHANMUMBAI MUNICIPAL CORPORATION, MUMBAI, (hereinafter

referred to as “BMC”) a corporation established under the Bombay Municipal
Corporation Act, 1888 and having its office at BMC Building, Mahapalika Marg, Fort,
Mumbai 400001 invites submission of online Proposal for Design, Build, Finance,
Operate, Maintain & Transfer of School Education Facility at various locations
mentioned in the Annexure I on Public Private Partnership (PPP) basis (hereinafter
referred to as “Project”) from Charitable Trust registered under Bombay Public Trust
Act, 1950 and/or any other Statutory Charitable Act, in India OR Societies registered
under Societies Registration Act, 1860 through e-tendering system at
‘[Link] which shall include online submission of
General Submission, Technical Proposal and Financial Proposal (hereinafter referred
to as “Proposal”)
(1) Interested Bidders may obtain further information from the office of BMC at:

(2) A complete set of Request for Proposal (RFP) documents will be downloaded by interested
Bidders from MahaTender’s Portal ‘[Link] which will
be available on MahaTender’s Portal from 1st April,2025 to 2nd May,2025. The RFP fee
amount paid shall not be refunded.
(3) The Bidder shall submit, as a part of Proposal/s, an Earnest Money Deposit (EMD) as
mentioned in Annexure I for the respective location. Bidders are required to pay the EMD
through BMC’s CFCs (Citizen Facilitation Centres) through offline payment via challan.
The copy of the receipt of the EMD paid should be uploaded along with the other relevant
documents at the time of submission of Proposal on Maha Tender’s Portal
‘[Link] through e-tendering link.
(4) Further successful bidder shall pay Stationary and Legal Charges as per relevant BMC
Circular on award of contract.
(5) Bid must be submitted online through Maha Tender’s "e-Procurement/Tendering" system
at ‘[Link] Bidder shall submit General Submissions

through Maha Tender’s "e-Tendering" portal on or before 2nd May,2025 – 03.00 pm.
(6) Bids submitted in any other form, such as courier/ post/ in-person/ fax/ email/
telegram/ telex, shall not be accepted.

4. DEFINITIONS
1. Associate or Affiliates
For the purpose of this RFP, “Associate means, in relation to the Bidder, a person who controls,
is controlled by, or is under the common control with such Bidder. As used in this definition, the
expression “control” means, with respect to a person which is a company or corporation, the
ownership, directly or indirectly, of more than 26% (twenty six per cent) of the voting shares of
such person, and with respect to a person which is not a company or corporation, the power to
direct the management and policies); of such person, whether by operation of law or by contract
or otherwise)
2. Anti-Collusion Certificate
“Anti-Collusion Certificate” shall have the meaning as referred to in Exhibit 13 of Section 14 of
this RFP Document
3. Authority
The term “Authority” refers to the Brihanmumbai Municipal Corporation, which is empowered
to grant the concession to Design, Build, Finance, Operate, Maintain & Transfer of School
Education Facility at various locations in Mumbai as per Annexure I on Public Private Partnership
(PPP) basis
4. Bid Document
“Bid Document” shall mean any document issued by BMC as part of the Bid Process.
5. Bid Process
“Bid Process” shall mean various activities taken up by BMC leading up to the selection of the
Successful Bidder.
6. Bidder(s)
“Bidder(s)” shall mean Bidding entity that has submitted a Proposal in response to this RFP
Document.
7. Bid Validity Period
“Bid Validity Period” shall mean the period stipulated in Sub-Clause 6.15.1 of Clause 6.15 of
Section 6 of this RFP Document, for which the Proposal submitted is valid

“BMC” shall mean the Brihanmumbai Municipal Corporation

9. Concessionaire
The term "Concessionaire" Shall mean the selected Bidder, who is either a company incorporated
under the Companies Act, 1956 / 2013 or undertakes to incorporate as such prior to execution of
the concession agreement.
10. Concession Period
The term “Concession Period” means the period starting on and from the Effective Date and
ending on the Transfer Date
11. Commercial Operation Date
The “Commercial Operation Date” (COD) shall be the date when the Project Site is made available
for public use with all the features as specified in the RFP and Concession Agreement.
12. Draft Concession Agreement
Draft Concession Agreement shall mean Concession Agreement set out in the Volume- II of this
RFP Document.
13. Earnest Money Deposit
“Earnest Money Deposit” shall have the same meaning as referred in Clause 6.15.8 of Section 6
of this Document.
14. Effective Date
“Effective Date” means the date on which all the conditions precedent is satisfied or waived as
per Article 4 of the Draft Concession Agreement in writing by both the Parties.
15. Financial Year
“Financial Year” means the financial year commencing from the first day of April of any calendar
year and ending on the thirty – first day of March of the next calendar year.
16. Facility/Facilities
“Facility / Facilities” shall mean the facilities to be constructed, Build, installed, erected or
provided by the Concessionaire on the Scheduled Land in accordance with the scope of work.
17. Financial Proposal
Financial Proposal shall mean the information submitted as per Exhibit 16 of Section 17 of this
RFP Document.
18. Government
“Government” shall mean the Government of Maharashtra.

19. Good Industry Practice

“Good Industry Practice” means the practices, methods, techniques, designs, standards, skills,
diligence, efficiency, reliability and prudence which are generally and reasonably expected from a
reasonably skilled and experienced operator engaged in the same type of undertaking as envisaged
under the Concession Agreement and which would be expected to result in the performance of
its obligations by the Successful Bidder in accordance with the Concession Agreement, Applicable
Laws and Applicable Permits in reliable, safe, economical and efficient manner which is relevant
to the said Project.
20. Gross Revenue
“Gross Revenue” means all Pre-Tax gross revenues earned from the operations of Education
services as per Right to Education Act as well as Gross revenues earned from the operations of
Non Education services by the Concessionaire under or pursuant to this Agreement, at any time
from the date of the execution of this Agreement up to the Transfer Date, and shall include any
monies received from any person through bank account associated with the Concessionaire as
deposits (refundable or otherwise) but shall exclude the following:
a. any insurance proceeds received by the Concessionaire relating to (i) third party liability
insurance paid or to be paid to the person whose claim(s) constitute(s) the risk or liability
insured against; and (ii) any form of physical damage of assets, and the Concessionaire has
incurred or will incur an expenditure greater than or equal to such proceeds received for
repair, reinstatement or otherwise replacement, promptly and diligently of such assets;
b. any monies received by the Concessionaire, for or on behalf of any Government
Instrumentality, as an authorized agent of such Government Instrumentality; and
c. any deposit amounts refunded to the relevant sub-licensee, or any other person authorized
by the Authority in a particular Accounting Year provided these pertain to past deposits
on which Premium / Revenue Share has been paid to the Authority.
It is expressly clarified that:
i. insurance proceeds referred to in exclusion (a) above, shall not include any exclusion of
insurance proceeds received for loss of revenues and/or business interruption.
ii. monies referred to in exclusion (b) above, shall be excluded only if the same has been
credited or will be credited by the Concessionaire to the relevant Government
Instrumentality promptly and diligently and any fine, penalty or other amounts of

similar nature that may accrue as a result of non-payment or delayed payment of such
monies under the Applicable Laws, will not be excluded.
iii. Gross Revenue will be computed on an annual basis for an Accounting Year, in
accordance with the Indian Generally Accepted Accounting Principles.
in case of any dispute, discrepancy, ambiguity, doubt or otherwise, relating to the computation
and/or meaning of Gross Revenue, the decision of the Authority, at its sole discretion, shall be
final;
21. General Submission
It consists of the information/documents as listed in Clause 6.14 of Section 6 of this document
22. Letter of Award (LOA)
“Letter of Award” shall mean the letter issued by Brihanmumbai Municipal Corporation (BMC)
to the Successful Bidder expressing its intent to enter into a Concession Agreement.
23. Nominated Concessionaire
“Nominated Concessionaire” means the new entity replacing the existing Concessionaire on the
Transfer Date.
24. P.P.P.
“P.P.P.” shall mean Public-Private-Partnership principle on which the School Education Facility
at various locations mentioned in the Annexure I Project/s is to be Developed, Operated,
Maintained and Transferred by the Concessionaire.
25. Project
“Project” shall mean Design, Build, Finance, Operate, Maintain & Transfer of School Education
Facility at various locations as per Annexure I in Mumbai on Public Private Partnership (PPP)
basis in accordance with the provisions of the Bidding Documents including this RFP Document
and the Concession Agreement signed between the Authority and the Successful Bidder.
26. Proposal
“Proposal” shall mean the Proposal for Design, Build, Finance, Operate, Maintain & Transfer of
School Education Facility at various locations as per Annexure I in Mumbai on Public Private
Partnership (PPP) basis and includes General Submissions, Technical Proposal and Financial
Proposal as submitted by the Bidder.
27. Proposal Due Date
“Proposal Due Date” shall have the same meaning as referred to in Clause 6.15.2 of Section 6 of
this Document.

28. Project Company/ Special Purpose Vehicle (SPV)

“Project Company/ Special Purpose Vehicle” (SPV) shall mean the company incorporated under
the Companies Act, 1956 and registered in the state of Maharashtra by the Successful Bidder for
the sole purpose of this Project.
29. Responsiveness/ non-responsive
“Responsiveness/ No Responsive” shall mean as referred in Clause 7.2 of Section 7 of this
Document
30. Request for Proposal (RFP)
“Request for Proposal” shall mean this document issued to Bidders inviting the submission of
Proposal for Design, Build, Finance, Operate, Maintain & Transfer of School Education Facility
at various locations as per Annexure I in Mumbai on Public Private Partnership (PPP) basis
31. Scope of Work
“Scope of Work” is as detailed in para 5.4 of this document.
32. Scheduled Land/ Project Site
Scheduled Land/ Project Site shall mean existing plot at various locations as per Annexure I in
Mumbai.
33. Technically Evaluated Responsive Bidders
“Technically Evaluated Responsive Bidders” shall have the same meaning as referred in Clause 7.4
of Section 7 of this Document.
34. Technical Proposal
It consists of the information/ documents as listed in Clause 6.14 of Section 6 of this document
35. “Transfer Date”
“Transfer Date” means the date on which this Agreement and the Concession hereunder expires
pursuant to the provisions of this Agreement or is terminated by a Termination Notice;

5. INTRODUCTION
5.1 Background of the Project
The Brihanmumbai Municipal Corporation (hereinafter referred to as “BMC”) intends to Develop,
Operate & Maintain a World Class School Education facility as per RTE Act norms at various
locations as per Annexure I in Mumbai. The objective of this project is to provide quality education
to the students and minimise the dropouts. BMC envisages plot/s at various locations as per
Annexure I in Mumbai as an ideal site for the Design, Build, Finance, Operate, Maintain &
Transfer of School Education Facility.
In the view of this BMC has decided to undertake Develop, Operate & Maintain of School
Education Facility at various locations as per Annexure I in Mumbai on Public Private Partnership
(hereinafter referred to as “PPP”) basis and has decided to carry out the bidding process for
selection of a Private Entity as the Concessionaire to whom the Project may be awarded.

5.3 Project Implementation Mechanism

The Successful Bidder shall undertake the project/s for Design, Build, Finance, Operate, Maintain
& Transfer of School Education Facility at various locations as per Annexure I in Mumbai on
Public Private Partnership (PPP) basis.

A. Implementation Mechanism
The Project shall be developed on PPP basis via a Special Purpose Vehicle (SPV) registered in
Maharashtra, wherein the responsibility of Designing, Building, Financing, Operating and
Maintaining of the Project shall be of the Concessionaire. The Bidding Entity shall not hold less
than 51% (Fifty-One Percent) equity till the end of lock – in period in the Special Purpose Vehicle
(SPV) as per Concession Agreement.
5.4 Scope of Work
The scope of work shall broadly comprise for Designing, Building, Financing, Operating,
Maintenance & Transfer of School Education Facility at various locations as per Annexure I in
Mumbai on Public Private Partnership (PPP) basis. The Bidder shall propose the Board under
which the Bidder proposes to run the Education Facility in the Project.
(i) The Bidder shall undertake all technical and legal clearances, fence for total plot area/s for
respective locations mentioned in the Annexure I of this document and undertake and
complete construction of School Building as per the prevalent norms of HSC/CBSE/ ICSE
and operate the same from Commercial Operation Date till completion of Concession Period.
(ii) In addition to Classrooms following facilities should be provided in the school

(iii) Bidder shall be responsible for Development and Running operations of the school as per the
norms of HSC/ CBSE/ ICSE as well as comply with the time-to-time directives received
from the Education Department, Govt. of Maharashtra.
(iv) Marathi Language shall be compulsory subject for all standards in the proposed schools for
the entire Concession Period.
(v) Whether RTE norms applicable to the Bidding entity or not, Bidding entity shall be registered
on RTE portal and shall not charge any fees for RTE recommended students. In any case,
such students shall not be more than 25% of occupancy of that particular year students
studying in a year in entire school in all batches / sections. However, Bidding entity shall note
that no compensation/grant shall be received to the bidding entity in connection with
admissions of RTE recommended students. Such compensation/grant shall be received by
BMC.
(vi) The bidder may conduct following activities along with school but not limited to the
mentioned below:

a) Coaching facility for sports / specialized training /Competitive exams/Cultural

activities
b) Hosting the sports events / tournaments / matches/Cultural events etc.
c) Introducing new sports facilities.
d) Physical fitness programs
e) Preparation for competitive exams like Science Olympiads, Maths Olympiads
The Concessionaire shall be liable to comply with the concession agreement (Volume II).
5.5 Other Provisions
a) During the execution of any civil work of the Project, the safety, security, including
dismantling & reinstatement of the existing cables, if required, the Successful Bidder
shall take due care of these during the execution of the work.
b) The Successful Bidder should consider the feasibility of installation of the equipment/
machinery required (if any) for the any Project Facility.
c) The Successful Bidder is required to take prior permission of BMC as applicable for
setting up the exact location of all Project Facilities on the site (if any). Also, any
changes to existing set up shall be done by Successful Bidder with prior approval of
BMC officials.

6. INFORMATION & INSTRUCTIONS TO BIDDERS

6.1 RFP Documents
RFP Documents contain the following:
i. Volume I - Request for Proposal
ii. Volume II - Draft Concession Agreement
6.2 Procurement of RFP Documents
The RFP Documents have been made available on Maha Tender’s portal -
‘[Link] through e-tendering link. The Bidders shall download
the RFP Document before the last date/ timeline.
6.3 General Provisions
6.3.1 Non-Discriminatory and Transparent Bidding Proceedings
BMC shall ensure that the rules for the Bid Process for the Project is applied in a non-
discriminatory, transparent and objective manner. BMC shall not provide to any Bidder
information with regard to the Project or the Bidding Process, which may have the effect of
restricting competition.
6.3.2 Prohibition against Collusion with another Bidder
Each Bidder shall warrant by its Bid that the contents of its Bid have been arrived at independently.
Any Bid which has been arrived at through consultation`n, collusion, or understanding with any
other prospective Bidder for the purpose of restricting competition shall be deemed to be invalid
and the Bidder shall lose its EMD. The format of the required anti-collusion certificate (Exhibit
13) has been provided in Section 12 of this RFP Document.
6.3.3 Inducements
Any effort by a Bidder to influence processing of Bids or award decision by BMC, or any officer,
agent or advisor thereof may result in the rejection of such Bidder’s Bid. In such a rejection of Bid,
the Bidder shall lose its EMD.
6.4 Confidentiality
6.4.1 BMC shall treat all Bids, information and solutions submitted by Bidders as confidential
and shall take all reasonable precautions that all those who have access to such material
treat this in confidence. BMC will not divulge any such information unless it is ordered to
do so by any authority having jurisdiction to necessitate its release.
6.4.2 Each Bidder shall, whether or not it submits a Bid, treat the RFP Documents, information
and solutions provided by BMC in connection with the Project or the bidding proceedings

as confidential for a period of thirty (30) years from the issuance of the RFP Documents.
During this period, the Bidder shall not disclose or utilize any such documents, information
without the written approval of BMC or as required by law or any governmental authority.
6.4.3 BMC shall have the right to release the Bid information provided by the Bidders to its
advisors for the purpose of Bid evaluation and negotiations. Each Bidder shall have the
right to release these RFP Documents to its advisors and to financial institutions for the
purpose of Bid preparation, negotiations and financing. Both BMC and the Bidder shall
ensure that their advisors and/ or financial institutions treat this information in confidence.
6.4.4 Any information relating to examination, clarification, evaluation and comparison of Bids
and recommendations for the award of a contract shall not be disclosed to Bidders or any
other person not officially concerned with the Bid Process until the award to the Successful
Bidder has been announced.
6.5 Number of Proposals and costs thereof
No Bidder shall submit more than one Proposal for the Project. In case any Bidder submits more
than one Proposal, both shall be rejected and EMDs shall be forfeited. The Bidders shall be
responsible for all of the costs associated with the preparation of their Proposals and their
participation in the Bid Process. BMC will not be responsible or in any way liable for such costs,
regardless of the conduct or outcome of the Bidding Process.
6.6 Communication between Bidders and BMC
All communication, unless specified otherwise, on these RFP Documents to BMC shall be

6.7 Site Visit and Survey
Bidders may prior to submitting their Proposals for the Project, visit and examine the site of the
Project and its surroundings at their own expense and obtain and ascertain for themselves, at their
own responsibility, all technical site data and other information necessary for preparing their
Proposals. The Bidders shall be responsible for all arrangements and shall release and indemnify

BMC, and/or its agents from and against all liability in respect thereof, and shall be responsible
for any personal injury, loss of or damage to property or any other loss, damage, cost or expenses,
however caused, which, but for the exercise of such permission, would not have arisen.
Bidders shall be deemed to have full knowledge of the site, whether physically inspected or not.
BMC does not accept any responsibility or liability for any errors, omissions, inaccuracies or errors
of judgment with respect to information or materials provided by BMC, in this RFP Document
or otherwise, respecting these sites and their surroundings. Although such information and
materials are to the best of BMC’s belief, their verification is the sole responsibility of Bidder.
6.8 Right to accept any Proposal and to reject any or all Proposals
Notwithstanding anything contained in this RFP, Commissioner, BMC reserves all the rights to
accept/reject/modify any Proposal and to annul the bidding process and reject all Proposals, at
any time prior to the issuance of Letter of Award (L.O.A.) without incurring any liability to the
rejected Bidders or any obligation to inform the affected Bidders of the grounds for rejection
6.9 Corrupt and Fraudulent practices
BMC requires that the Bidders observe the highest standard of ethics during the procurement and
execution of the Project. In pursuance of this BMC.
(a) will reject a Proposal for award if it determines that the Bidder recommended for award has
engaged in corrupt or fraudulent practices in competing for the contract in question.
(b) will declare a firm ineligible, either indefinitely or for a stated period of time, to be awarded
a BMC contract if it at any time determines that the firm has engaged in corrupt or fraudulent
practices in competing for, or in executing, a BMC contract.
‘Corrupt and Fraudulent practices’ shall mean the following:
(i) “corrupt practice” means the offering, giving, receiving or soliciting of anything of value to
influence the action of a public official in the procurement process or in contract execution;
and
(ii) “fraudulent practice” means a misrepresentation of facts in order to influence a procurement
process or the execution of a contract to the detriment of BMC, and includes collusive practice
among Bidders (prior to or after bid submission) designed to establish bid prices at artificial
non-competitive levels and to deprive BMC of the benefits of free and open competition.

6.10 Interpretation of Documents

The Proposal will be evaluated by BMC and BMC will have the sole discretion in relation to:
a) The interpretation of this RFP, the Proposals and any documentation provided in support of
the Proposals
b) All decisions in relation to the evaluation and ranking of Proposals, whether or not to require
any clarifications or additional information from Bidder in relation to its Proposal and the
selection of the Successful Bidder.
c) BMC will have no obligation to explain its interpretation of this RFP, the Proposals or their
supporting documentation and information or to explain the evaluation process, ranking
process or the selection of the Successful Bidder.
In the event of conflicts of any sort among the Information and Instructions to Bidders and the
Concession Agreement, the documents shall be given the following priority:

6.11 Pre-Bid Conference
BMC will hold a pre-bid conference in order to clarify and discuss any provision or requirements
with respect to technical/ commercial parameters of the Project, these RFP Documents or any
other related issues. It is mandatory to purchase the RFP documents to attend the pre-bid meeting
on scheduled date and time. A maximum of two representatives of each Bidder shall be allowed
to participate, on production of authority letters from the Bidder.
During the course of pre-bid conference, the Bidders will be free to seek clarifications and make
suggestions for consideration of the Authority. The Authority shall endeavour to provide
clarifications and such further information as it may, in its sole discretion, consider appropriate for
facilitating a fair, transparent and competitive Bidding Process. Any such clarification/ addendum/
corrigendum will be uploaded on the Maha Tender portal

6.12 Enquiries concerning the RFP/ Concession Agreement
For any clarifications, queries on the RFP the Bidders shall notify in writing through e-mail to

The Bidders should send their queries before the date specified in the Schedule of Bidding Process
contained in Clause 6.9. BMC shall endeavour to respond to the queries within the period specified
therein, but no later than prior to the Proposal Due Date. The responses to queries will be
uploaded on the Maha Tender’s portal- [Link]
BMC shall endeavour to respond to the questions raised or clarifications sought by the Bidders.
However, BMC reserves the right not to respond to any question or provide any clarification, in
its sole discretion, and nothing in this Clause shall be taken or read as compelling or requiring
BMC to respond to any question or to provide any clarification.
BMC may also on its own motion, if deemed necessary, issue interpretations and clarifications to
all Bidders. All clarifications and interpretations issued by BMC shall be deemed to be part of the
RFP Document. Verbal clarifications and information given by BMC or its employees or
representatives shall not in any way or manner be binding on BMC.
6.13 Amendment of RFP Document
At any time prior to the deadline for submission of the Proposals, Commissioner, BMC may, for
any reason, whether at its own initiative or in response to clarifications requested by a Bidder,
modify the RFP Document by the issuance of Addenda.
Any Addendum, thus issued, will be uploaded on the Maha Tender’s portal -

form part of the RFP Document.
In order to afford the Bidders a reasonable time for taking an Addendum into account, or for any
other reason, BMC may, in its sole discretion, extend the Proposal Due Date.

6.15 Submission of Bids
6.15.1 Bid Validity Period
1) Each Proposal shall indicate that it is a firm Proposal and that the Proposal will remain valid
for a period not less than 180 days from the due date of the submission of the Proposal
(“Proposal Due Date”). BMC reserves the right to reject any Proposal, which does not meet
this Bid Validity Period requirement.
2) BMC may request one or more extensions of the Bid Validity Period for a Bid for a total
period of up to 270 days from the Proposal Due Date. To make such a request, BMC shall
give notice in writing to the Bidder(s) at least 14 (fourteen) days prior to expiration of the Bid
Validity Period. If any Bidder does not agree to the extension, it may withdraw its Bid without
forfeiting its EMD by giving notice in writing to BMC of its decision prior to the expiration
of the Bid Validity Period. In case, BMC does not receive any written notice of withdrawal
prior to expiration of the Bid Validity Period, the requested extension shall be deemed to have
been accepted by the Bidder(s).
3) When an extension of the Bid Validity Period is requested, Bidders shall not be permitted to
alter or make additions to the original terms and conditions of their Bids.
6.15.2 Proposal Due Date
1) BMC requires that Proposals responding to this solicitation be submitted through Maha
Tender’s e-tendering system at ‘[Link] latest by 2nd May,
2025 – 03.00 pm (Proposal Due Date) in the manner and form as detailed in this RFP
Document.
2) In the online submission process, Bidders will be required to fill up formats for General
Submissions, Technical Proposal and Financial Proposal and attach soft copies of all
evidences, brochures, client certificates, including Detailed Designs etc. as attachments.
3) BMC assumes no responsibility for inability of a Bidder to submit Bids through Maha
Tender's "e-Procurement/ Tendering" system on account of delay in submission at Bidder's
end. Bidders shall ensure that they submit Bid well before the Proposal Due Date & time of
Bid submission. BMC shall not be responsible if Bidder is not able to submit the Bid on

"Digital Certificate [Class-3]" on their own and BMC will be not at all responsible for a Bidder
not having acquired the valid "Class-3 Digital Certificate".
BMC may, in its absolute discretion and prior to the Proposal Due Date stated above, extend the
deadline for submission of the Proposals. Notice of any extension of the Proposal Due Date shall
be given promptly to all in the form of a supplementary advertisement notice on Maha Tender
portal ‘[Link]
6.15.3 Modification and Withdrawal of the Proposal (please refer to Special Instructions
to Bidders for e-tendering)
The Bidder may modify or withdraw his Proposal after the Proposal submission, provided that the
modification/ withdrawal notice is received by BMC prior to the Proposal Due Date and time.
Any change in the Proposal terms will not be permitted after Proposal Due Date.
Any Bidder may withdraw its Proposal on or prior to the Proposal Due Date without forfeiting its
Earnest Money Deposit. Withdrawal by a Bidder of its Proposal after the Proposal Due Date shall
entitle the BMC to forfeit the EMD.
6.15.4 Language and Currency
The language of Proposal and all related documents and correspondence shall be English only.
Supporting documents and printed literature furnished by Bidder along with the Proposal may be
in any other language provided that they are accompanied by appropriate translations in English
duly authenticated by a Notary Public and consularised by the concerned Embassy/ High
Commission/ Consulate of the country of incorporation of Bidder, in India. Supporting materials,
which are not authentically translated into English, shall not be considered for evaluation. For the
purpose of interpretation and evaluation of the Proposal, English language translation
authenticated as above shall prevail. However, the authentic English translation of Technical
documents need not be consularised.
The currency for the purpose of the Proposal shall be Indian Rupees (INR) only.
6.15.5 Preparation & Submission of Proposals (Please refer to Special Instructions to
Bidders for e-tendering)
Bidder shall prepare one set of General Submission, Technical Proposal and Financial Proposal
along with all supporting documents for online submission of the Proposal. The Proposals shall
be typed or written in indelible ink and shall be digitally signed by the authorised representative &
signatory. All the amendments made to the Proposal shall be digitally signed by the authorised
representative.

All documents should be bound, either singularly or with several documents bound together. The
Proposal should not include any loose papers.
The Proposal must be submitted online through Maha Tender's "e-Procurement/ Tendering"
system at ‘[Link] Bidders shall submit “General Submission”,
“Technical Proposal and "Financial Proposal” through Maha Tender's "e-Tendering" portal only.
Proposals submitted in any other form, such as courier / post / in-person / fax/ email / telegram
/ telex, shall not be accepted.
Addendum/ Corrigendum to this RFP Document, if any issued, must be digitally signed and
submitted online through Maha Tender’s “e-Procurement/ Tendering” system at
‘[Link] along with the submission of the Proposal.
Each Bidder shall submit only one Proposal. A Bidder who submits more than one Proposal will
be rejected. Alternative Proposals will not be accepted.
Important: Complete Proposal in all respects must be digitally signed by the “authorised
signatory” of the Bidder.
6.15.6 Bid Opening
BMC shall open all Proposals received prior to and on Proposal Due Date as per the date
mentioned under Schedule of Bidding Process or on any date as extended by BMC and
communicated to the Bidders. The Proposals shall be opened in the presence of Bidders’
representatives, who choose to attend Bid opening. Bidders’ representatives attending the Bid
opening shall register to evidence their presence.
The following information will be announced at the Proposal opening and recorded:

▪ Bidding Entity Representative Names
After the Proposal opening, information relating to the examination, clarification and evaluation
of Proposals and recommendations concerning the Award of the Proposal shall not be disclosed.
6.15.7 Earnest Money Deposit
The Bidder shall furnish, as a part of Proposal/s, an Earnest Money Deposit (EMD) as mentioned
in Annexure I for the respective location. Bidders are required to pay the EMD through BMC’s
CFCs (Citizen Facilitation Centres) through offline payment via challan. The copy of the receipt
of the EMD paid should be uploaded along with the other relevant documents at the time of
submission of Proposal on Maha Tender’s Portal ‘[Link]
through e-tendering link.

The EMD shall be valid for a minimum period of 90 days more than Bid Validity Period. Upon
any extension of the Bid Validity Period, the validity of the EMD shall be extended by a
corresponding period. Notwithstanding anything provided in this Instruction to Bidders, the
validity of the EMD of the Successful Bidder, on issue of the Letter of Award (LoA) by BMC,
shall be automatically extended until issuance of the Performance Security in accordance with the
provisions of the Concession Agreement.
When an extension of the Bid Validity Period is requested, Bidders shall not be permitted to
change the terms and conditions of their Proposal, BMC reserves the right to reject the Proposal
submitted by any Bidder who fails to extend the validity of the Proposal Security in line with the
provisions of this Clause.
The EMD of the Bidders whose Proposal have been unsuccessful will be returned by BMC,
without any interest, as promptly as possible on acceptance of the Proposal of the Successful
Bidder or when the Bidding process is cancelled by BMC, and in any case within 60 (sixty) days
from the Proposal Due Date.
The EMD of the Successful Bidder shall be released within thirty (30) days from the date of
submission of Performance Security in accordance with the provisions of the Concession
Agreement.
BMC shall have the right to reject the Proposal, which does not include the Earnest Money
Deposit as being non-responsive. The EMD of Bidders whose Proposals are rejected on the basis
of financial evaluation in accordance with the RFP, will be returned within a period of ten (10)
days from the date of execution of the Memorandum of Understanding with the Successful Bidder.
The EMD shall be forfeited by BMC, in the following cases:
1. The Bidder withdraws his bid after the Proposal Due Date
2. In the case of a Successful Bidder, if the Bidder fails to sign the Memorandum of
Understanding or the Concession Agreement; or
3. As per the provisions of the Concession Agreement
6.15.8 Performance Security
The Successful Bidder/ Concessionaire shall for due and faithful performance of its obligations
during the concession period shall provide to BMC Performance Security as mentioned in
Annexure I for the respective site and the same shall be provided by the Concessionaire in form
of bank guarantee from any Nationalised/ Scheduled Bank (as per format provided at Exhibit 17
of this RFP Document) in India in favour of ‘Brihanmumbai Municipal Corporation’.

The Successful Bidder/ Concessionaire will make all necessary arrangements to keep the
performance security valid and in force at all times during the concession period. The Performance
Security shall be released as per the provisions of the Concession Agreement.

7. DESCRIPTION OF SELECTION PROCESS

7.1 Submission of Proposal
The Bidders are required to make online submission of the Proposals through e-tendering link on
Maha Tender’s portal - ‘[Link] which shall include online
submission of General Submission, Technical Proposal and Financial Proposal (the “Proposal”)
The Proposals received would be subject to a responsiveness check followed by a stepwise
evaluation procedure as described in Clause 7.2 below.
7.2 Responsiveness of Proposal
The Proposal submitted by Bidders shall be initially scrutinized to establish “Responsiveness”. A
Proposal shall be deemed “Responsive” if it satisfies all of the following requirements:
a) It is received by the due date specified
b) It includes sufficient information for it to be evaluated and is in the specified formats
c) It is signed in the manner and to the extent indicated in Section 5 of this RFP Document
d) It is accompanied by a valid Earnest Money Deposit
e) General Submission and Technical Proposal should not contain the Financial Proposal
A Proposal not satisfying any of the above conditions may be deemed to be Non-Responsive. The
“Responsive” Proposal of Bidders shall be evaluated in the following stages.
7.3 Evaluation of General Submission
In Stage-I of the Proposal evaluation, the General Submissions (Envelope A) submitted by the
Bidders shall be checked for responsiveness with the requirements of the RFP Documents.
Proposals not accompanying Earnest Money Deposit (EMD) shall be summarily rejected.
7.4 Evaluation of Technical Proposal
In the Stage–II of Proposal evaluation, Technical Proposal (Envelope B) submitted and presented
by the Bidders shall be discussed and evaluated. The evaluation criteria of the Technical Proposal
(Envelope B of the Bidder’s Proposal) are detailed in Section 9, clause 9.3 of this RFP Document.
The Technical Proposals, which are found acceptable, shall be deemed as technically evaluated
responsive bids. The Bidders with such Technically Evaluated Responsive Bids and securing
technical score of minimum 70 marks (comprising of Envelope A and Envelope B) would be
considered as Technically Evaluated Responsive Bidders and thus would be eligible for next stage
of the Bidding Process i.e., Financial Evaluation.

7.5 Evaluation of Financial Proposal

In Stage III, Financial Proposal of Technically Evaluated Responsive Bidders would be evaluated.
The evaluation criteria for assessment of the Financial Proposals are described in Section 9 of this
RFP.
7.6 Selection of Successful Bidder
All Technically Evaluated Responsive Bidders shall be ranked on the basis of evaluation of the
combined score obtained in Technical and Financial Proposal as detailed in Clause 9.8 of Section
9 of this RFP Document. The Bidder whose score will be highest shall be designated as the
“Successful Bidder”.
7.7 Issue of Letter of Award
On completion of the confirmation evaluation to the satisfaction of BMC, the BMC shall issue a
Letter of Award to the Successful Bidder which needs to be accepted by Successful Bidder within
3 working days of issuance of LOA.
7.8 Signing of Concession Agreement
The Concession Agreement will be signed within 30 days of the Issuance of the Letter of Award.
However, BMC may extend the date of signing of the concession agreement, as per the provisions
of the Concession Agreement.

8. RULES AND REGULATION OF THE BIDDING

8.1 Who can apply?
The Bidder should be Single Entity
The Bidder is a single entity and required to form an appropriate Special Purpose Vehicle,
incorporated under the Indian Companies Act 2013 or any other legal Bidding Entity (the “SPV”),
to execute the Concession Agreement and implement the Project, In addition to forming an SPV,
comply with the following additional requirements:
1. Bidding Entity shall nominate one representative of Bidding Entity.
2. The Bidding Entity committing to hold a minimum of 51% (fifty one percent) of the paid
up and subscribed equity capital of the Project Company. The nomination(s) shall be
supported by a Power of Attorney, as per the format at Exhibit 2
3. Bidder shall comply with the lock-in-period conditions as mentioned in the Concession
Agreement.
4. The Proposal should include a brief description of the roles and responsibilities of
individual members, particularly with reference to financial, technical and O&M
obligations;
5. Any entity which has been barred by the Central/ State Government, or any entity
controlled by it, from participating in any project (BOT or otherwise), and the bar subsists
as on the date of Proposal, would not be eligible to submit a Proposal.
6. A Bidder should, in the last 30 (thirty) years, have neither failed to perform on any contract,
as evidenced by imposition of a penalty by an arbitral or judicial authority or a judicial
pronouncement or arbitration award against the Bidder
7. Bidding Entity, as the case may be, nor has been expelled from any project or contract by
any public entity nor have had any contract terminated any public entity for breach by such
Bidder.
8.2 Change in Ownership
The Concessionaire shall not cause any change in the ownership of the Bidding Entity without the
written permission of BMC and in the event any such change is affected without the requisite
approval then, BMC will have the right to terminate the Concession Agreement, immediately after
such change of ownership, as well as forfeit the Performance Security furnished by the
Concessionaire.

9. METHODOLOGY AND CRITERIA FOR EVALUATION OF PROPOSAL

The objective of the evaluation is to qualify bidders with the requisite financial and technical
capability to implement the proposed project for Design, Build, Finance, Operate, Maintain &
Transfer of School Education Facility at various locations as per Annexure I in Mumbai on Public
Private Partnership (PPP) basis.
9.1 Proposal Evaluation
i. This part of the Request for Proposal provides information on the methodology that will
be used to evaluate the Proposals received.
ii. The Concession will be awarded to the Eligible Bidder, as per provisions of Clause 7.6 of
this RFP.
iii. These RFP Documents stipulate the technical and commercial parameters of the Project
These RFP Documents may be amended, or parameters of the Project may be changed by
BMC by issue of an Addendum. Such an Addendum will form part of these RFP
Documents and would be common for all the Bidders. BMC reserves the right to reject the
Proposals, which do not meet the parameters stipulated in the RFP Documents.
iv. Once the evaluation is completed and a Successful Bidder is selected, any change in the
variables, which form the basis of the Bidders’ Financial Proposal will not affect the
Concession terms except as provided in the Concession Agreement.
v. Evaluation of the Proposal of eligible Bidders shall be done in two stages. In Stage-I,
General Submission & Technical Proposal would be evaluated to determine & select the
Technically Evaluated Responsive Bidders. In Stage-II, Financial Proposal of only
Technically Evaluated Responsive Bidders would be opened and evaluated. The Financial
Proposals of the other Bidders would be returned to the respective Bidders unopened
9.2 Eligibility Criteria
The objective of the evaluation is to qualify bidders with the requisite financial and technical
capability to implement the proposed project for Design, Build, Finance, Operate, Maintain &
Transfer of School Education Facility at various locations as per Annexure I in Mumbai on Public
Private Partnership (PPP) basis.
The bidder should be a Single Entity
a) Charitable Trust registered under Bombay Public Trust Act, 1950 and/or any
other Statutory Charitable Act, in India OR
b) Societies registered under Societies Registration Act, 1860

The Bidder is required to possess all of the qualifying criteria of financial and technical nature so
as to be considered for the detailed evaluation based on the marking system as mentioned in Clause
9.3 below.
In case the required information is not provided in the formats provided for qualification then
such bids will be summarily rejected, and will be considered incomplete and therefore not be
considered for further evaluation.
The technical and financial strength of the Bidding Entity with negative net-worth shall not be
considered. The Bidders submitting Proposal shall have following eligibility criteria:
9.2.1 Financial eligibility criteria
(i) Net Worth: The Bidder shall have minimum Net Worth as per Annexure I of this document
for respective locations, at the close of the audited financial year immediately preceding the
bid due date.
9.2.2 Technical eligibility criteria
i. The Bidder entity should have been involved in at least two educational facilities from
any of HSC/ CBSE/ICSE board, from where at least two consecutive batches have
passed out from class 10 / Class 12 as on the Bid Due Date. OR
ii. The Bidder entity should have been involved in running the operations of at least four
School/Higher educational institutions in any education stream as on the Bid Due
Date. Here Higher Educational Institutions means institute with its main function to
run/operate a college/ university. Such institutions should be accredited or sanctioned
by the relevant national education authorities or equivalent authorities.

9.3 Prequalification of Bidders

Only those Bidders who satisfy both the financial eligibility criteria and technical eligibility criteria
as above shall be called Eligible Bidders and considered for detailed evaluation as under:

9.5 Methodology for Evaluation of Technical Criteria

▪ For the evaluation of technical criteria, apart from the strength of the Bidder, the strength
of the Associates/ subsidiaries would not be considered
▪ The Bidders are requested to submit necessary documentary evidence in support of
information claimed.
9.6 Rectification of Discrepancies
The rectifiable discrepancies in the Technical Proposal, if any would have to be corrected by the
Bidder within a period of seven (7) days of the intimation given to them failing which his financial
proposal would not be opened even if bidder has passed the technical evaluation.
9.7 Financial Proposal Format
1) The Financial Proposal shall be submitted as per format provided in Exhibit 16.
2) Significant lack of clarity on any cost of item as called for above could lead to the bid being
rejected, if it hinders a uniform evaluation process, even if the bid meets all other bidding
requirements.
3) Financial proposals of all bidders will be opened for which intimation will be given to all
bidders who so desire can remain present.
4) In consideration of grant of right of use of land by BMC, the Bidder is required to pay
One Time Premium for the Project.
5) As per the conditions of this RFP, The Bidder is required to do his own study and estimate
One Time Premium which he can offer to BMC, such One Time Premium should be more
than Expected One Time Premium mentioned in the Annexure 1 of this document.
Whoever offers a higher One Time Premium to BMC should be ranked higher.
6) The Bidders are requested to use the format provided in this RFP (Financial Proposal),
which has been uploaded on the website, for preparing their price quote.
7) Financial Proposal should not have any conditionality attached or deviations from the
Price Quote format as indicated in the Bid document. Bids with conditions attached may
be treated as non-responsive and liable for rejection at the discretion of BMC.
8) Apart from Annual Concession Fees and One Time Premium, bidders shall Contribute
3% p.a. of the Gross Revenue received from the Educational Services from 3rd year onward
and 10% p.a. of the Gross Revenue received from the Non-Educational Services to BMC’s
Student Education Welfare Cess in the respective year. Apart from above money receivable
from the government of Maharashtra as compensation/reimbursement on account of

RTE admissions shall not be paid to Concessionaire and same will be deposited as
contribution to BMC’s Student Education Welfare Cess.

9.8 Evaluation of Technical and Financial Proposal

The score on price quote will be calculated in the following manner:
The bid with the highest One Time Premium offered to BMC will be awarded 100 points.
Other bids will be allotted points in proportion to highest One Time Premium offered to BMC
by the highest Bidders.
The total score shall be out of 100.
SF = (100 x F1/ Fm)
Where
SF = the Financial Score
Fm = One Time Premium offered to BMC by highest priced Proposal
(getting 100 marks)
F1 = highest One Time Premium offered to BMC

Weightage for Technical and Financial proposal:

The Technical Proposals submitted by the bidder/applicant would carry a Weightage of 80% and
the financial proposals that will follow the Technical Proposals would carry a Weightage of 20%.

Bids will finally be ranked according to their combined technical (ST) and Financial (SF) scores
using the weights as mentioned above.

proposals

10. FINAL EVALUATION OF BID

1. The Bidder having the highest Combined Score of the Bidder shall be the “Highest
Ranked Bidder” (H1 Bidder). BMC will issue a LOA and sign the Master Services
Agreement with such Bidder. In case the Highest Ranked Bidder decides to withdraw from
the bid process, its EMD will be forfeited.
2. In the event the Total Score of 2 (two) or more Bidders, are the highest and the same (the
“Tied Bidders”), the bidder with the higher Technical Score shall be the “Highest
Ranked Bidder” (H1 Bidder).
3. Auction: In case the technical scores of such bidders are also tied, BMC shall hold an
auction amongst such tied Bidders only and declare such bidder who has offered the
highest One Time Premium to BMC’s Student Education Welfare Cess in such
auction to be the Selected Bidder. Bidders’ representatives who choose to attend the
Financial Proposal opening should therefore be duly authorized to participate in such an
auction. In the event a tied Bidder is not represented on the Financial Proposal opening
date or the authorized representative of such Bidder does not or is unwilling to participate
in such auction, the auction would be held amongst the remaining tied Bidders and if there
be only one remaining tied Bidder, the latter will be declared as the Selected Bidder
provided that such remaining tied Bidder offers a higher price than that already offered in
its Financial Proposal. In the event the Highest Ranked Bidder withdraws or is not declared
as the Selected Bidder after the auction process, the BMC may invite fresh bids for the
Project.
4. Maximum two plots shall be allotted to a selected single bidding entity.

11. SELECTION AND COMMENCEMENT OF OPERATIONS

11.1 Selection of Successful Bidder
A. BMC shall declare the Bidder, whose bid is unambiguous and as per the format and having
highest Combined Score as the highest bidder. Such Successful bidder would be issued a
Letter of Award in due course of time.
B. BMC reserves the right to reject any Proposal if:
a) At any time, a material misrepresentation is made or uncovered, or
b) The Bidder does not respond promptly and thoroughly to requests for supplementary
information required for evaluation of the Proposal
c) The Proposal deviates from the commercial parameters of the RFP Document
d) The Municipal Commissioner reserves the right to reject all or any of the offers/e-Bid(s)
without assigning any reason at any stage
11.2 Project Commencement
The Successful Bidder shall be required to commence the implementation of the Project within a
period of 180 days from the Compliance Date.
11.3 Monitoring of operations
The Authority shall as per the provisions of the Concession Agreement possess the right and
authority to appoint a Project Manager to review and monitor the following –
⮚ Development of surroundings
⮚ Maintenance and commercial operations

11.4 Sources of Funds

The responsibility to raise funds for the Project would rest with the Successful Bidder.

with any other Bidder or other person(s) and also not done any act, deed or thing which is
or could be regarded as anti-competitive.
2) We further certify and confirm that we have not paid, given or offered nor will we pay,
give or offer directly or indirectly any illegal gratification in cash or kind to any person or
agency in connection with the present Proposal.
3) We also certify that we have not and we undertake that we will not before the award of
any contract for implementation of the Project (a) communicate to any person (outside

Mahapalika Marg, Fort, Mumbai 400001, India and having its Office for communications and
project at Education Officer, Triveni Sangam Municipal School Off, Currey Rd Bridge,Lower
Parel, Mumbai, Maharashtra 400013 (hereinafter referred to as the “Authority”, which expression
shall, unless repugnant to the context or meaning thereof include its administrators, successors or
assigns).

WHEREAS
A. The Authority has entered into an agreement dated ------------------- with …………., a
company incorporated under the Companies Act, 2013, with CIN…… having its
registered office at ---------------------- (the “Concessionaire”) for the operation,
maintenance and transfer of the Project as identified in the agreement (the “Concession
Agreement”).

B. In terms of Article 9.1 of the Concession Agreement, the Company is required to furnish
to the Authority an unconditional and irrevocable bank guarantee for an amount of
{Performance Security Amount} as security for due and punctual performance and/or
discharge of its obligations under the Concession Agreement and as a portion of the
Performance Security in terms of the Concession Agreement (the “Guarantee Amount”).

C. At the request of the Company, the Bank has agreed to provide guarantee, being these
presents guaranteeing the due and punctual performance and/or discharge by the
Company of its obligations under the Concession Agreement.
NOW, THEREFORE, the Bank hereby affirms as follows:
1. Capitalized terms used herein but not defined shall have the meaning assigned to them in
the Concession Agreement.
2. The Bank hereby unconditionally and irrevocably guarantees the due and faithful
performance of the Concessionaire’s obligations under and in accordance with the
Concession Agreement, and agrees and undertakes to pay to the Authority, upon its mere
first written demand, and without any demur, reservation, recourse, contest or protest, and
without any reference to the Concessionaire, such sum or sums up to an aggregate sum of
the Guarantee Amount as the Authority shall claim, without the Authority being required
to prove or to show grounds or reasons for its demand and/or for the sum specified
therein.
3. A letter from the Authority, under the hand of an Officer not below the rank of Education
Officer in the Authority, that the Concessionaire has committed default in the due and
faithful performance of all or any of its obligations under and in accordance with the
Concession Agreement shall be conclusive, final and binding on the Bank. The Bank
further agrees that the Authority shall be the sole judge as to whether the Concessionaire
is in default in due and faithful performance of its obligations under the Concession
Agreement and its decision that the Concessionaire is in default shall be final, and binding
on the Bank, notwithstanding any differences between the Authority and the
Concessionaire, or any dispute between them pending before any court, tribunal,
arbitrators or any other authority or body, or by the discharge of the Concessionaire for
any reason whatsoever.

4. In order to give effect to this Bank Guarantee, the Authority shall be entitled to act as if
the Bank was the principal debtor and any change in the constitution of the Concessionaire
and/or the Bank, whether by their absorption with any other body or corporation or
otherwise, shall not in any way or manner affect the liability or obligation of the Bank
under this Bank Guarantee.

5. It shall not be necessary, and the Bank hereby waives any necessity, for the Authority to
proceed against the Concessionaire before presenting to the Bank its demand under this
Bank Guarantee.

6. The Authority shall have the liberty, without affecting in any manner the liability of the
Bank under this Bank Guarantee, to vary at any time, the terms and conditions of the
Concession Agreement or to extend the time or period for the compliance with, fulfilment
and/ or performance of all or any of the obligations of the Concessionaire contained in
the Concession Agreement or to postpone for any time, and from time to time, any of the
rights and powers exercisable by the Authority against the Concessionaire, and either to
enforce or forbear from enforcing any of the terms and conditions contained in the
Concession Agreement and/or the securities available to the Authority, and the Bank shall
not be released from its liability and obligation under these presents by any exercise by the
Authority of the liberty with reference to the matters aforesaid or by reason of time being
given to the Concessionaire or any other forbearance, indulgence, act or omission on the
part of the Authority or of any other matter or thing whatsoever which under any law
relating to sureties and guarantors would but for this provision have the effect of releasing
the Bank from its liability and obligation under this Bank Guarantee and the Bank hereby
waives all of its rights under any such law.

7. This Bank Guarantee is in addition to and not in substitution of any other guarantee or
security now or which may hereafter be held by the Authority in respect of or relating to
the Concession Agreement or for the fulfilment, compliance and/or performance of all or
any of the obligations of the Concessionaire under the Concession Agreement.

8. The Bank undertakes not to revoke this Bank Guarantee during its currency, except with
the previous express consent of the Authority in writing and declares and warrants that it
has the power to issue this Bank Guarantee and the undersigned has full powers to do so
on behalf of the Bank.

9. Any notice by way of request, demand or otherwise hereunder may be sent by post

when it ought to have been delivered in due course of post and in proving such notice,
