LETTER OF INTENT

Date: April 18 , 2025

Dear Sir,

On behalf of CNOOC Co., Ltd, China, I would like to thank you for
the quality products and services you have provided in our cooperation. Our company
focuses on energy construction and is committed to coordinating crude oil resources for
Chinese refineries. Therefore, our company has influence in refineries in Henan,
Shandong, and Hebei provinces, and can organize multiple refineries with import crude oil
quotas to jointly purchase Russian crude oil.

We plan to buy crude oil from you on a permanent basis, and we are pleased to
make an inquiry.

COMMODITY:

1. Product Name: Crude Oil.

2. Origin: Russia.

3. Specification: As per the details provided in the SPA

4. Packaging: As per the details provided in the SPA.

5. Quantity: 800，000 to 1 million tons per year, being possible to gradually increase
the quantity and possible to readjust the price according to supply and demand.

7. PRICE & PAYMENT TERMS: EXW, FOB, CIF.

8. Payment Method: Bank transfer to the Seller’s designated bank account


immediately after product inspection.
We CNOOC Co Ltd hereby appoint:

1. Ms. Saman Shah is a representative of our company.

At the same time, the said representative is hereby to be respon sible for

all the activities relating to the company.

This letter of representation shall remain valid until the Company

removes or replaces its designated representative upon written notice.

The buyer reserves the right to define the transport mode EXW, FOB, CIF, to
formulate the price, the buyer can use the seller's logistics and its pre-defined price
or its own logistics as it sees fit.
