NON-DISCLOSURE AGREEMENT (NDA)
This Non-Disclosure Agreement ("Agreement") is entered into as of April
14, 2025 ("Effective Date"), by and between:
Disclosing Party: InnovateTech Inc., a corporation organized and existing
under the laws of the State of California, with a principal office located at
101 Future Blvd, Silicon Valley, CA.
Receiving Party: DevPartner LLC, a limited liability company with a
principal office located at 202 Code Street, Techville, NY.
WHEREAS, the Disclosing Party possesses certain confidential and
proprietary information;
WHEREAS, the Receiving Party is willing to receive disclosure of the
Confidential Information pursuant to the terms of this Agreement for the
purpose of evaluating a potential business relationship.
NOW, THEREFORE, in consideration of the mutual covenants and
promises herein contained, the parties agree as follows:
1. DEFINITION OF CONFIDENTIAL INFORMATION
For purposes of this Agreement, "Confidential Information" means any
data or information, oral or written, disclosed by the Disclosing Party to
the Receiving Party that is not generally known to the public and that the
Receiving Party understands is proprietary.
2. OBLIGATIONS OF RECEIVING PARTY
The Receiving Party shall:
Maintain the confidentiality of the Confidential Information;
Not disclose the Confidential Information to any third party without
the prior written consent of the Disclosing Party;
Use the Confidential Information solely for the evaluation of the
potential business relationship.
3. EXCLUSIONS FROM CONFIDENTIAL INFORMATION
Confidential Information does not include information that:
Is or becomes publicly known through no breach of this Agreement;
Is received from a third party without breach of any obligation of
confidentiality;
Is independently developed by the Receiving Party.
4. TERM
This Agreement shall remain in effect for a period of two (2) years from
the Effective Date. The obligation to protect Confidential Information shall
survive termination of this Agreement for a period of five (5) years.
5. NO LICENSE
Nothing in this Agreement grants the Receiving Party any rights in or to
the Confidential Information except as expressly set forth herein.
6. RETURN OF MATERIALS
Upon request, the Receiving Party agrees to return or destroy all materials
containing Confidential Information.
7. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with
the laws of the State of California.
IN WITNESS WHEREOF, the parties hereto have executed this Non-
Disclosure Agreement as of the Effective Date.
