After discussion, it is mutually agreed to enter into this Contract whereby Seller
agrees to sell and Buyer agrees to buy goods on terms and conditions as follows:

Article 2: Quality – Delivery term
1. Quality
- Maximum impurities 0,5%
- Maximum number of damaged 0,1%
2. Delivery term: CFR LOS ANGELES, Incoterms 2020
Delivery time: Within 02-03 days after signing this contract the seller receive a
deposit from the buyer.
Article 3: Payment
1. Contract Value (Giá trị hợp đồng):
Total Contract value (Tổng giá trị hợp đồng): 120.000,00 USD
2. The terms and method of payment will be as follows: Payment 100% by T/T
within 7 working days after signing of sales contract.

Article 4: Responsibility for both of parties
Responsibilities for Party A
- Inspection for quantity and quality of goods at delivery place.
- When Party B has the notice for delivery, Party A have to prepare the storage and
arrange receiver so that Party B deliver goods conveniently and quickly.
- Party A must pay to Party B according to Article 3 of this Contract.
- Pay the fee: Import customs clearance fees at Los Angeles port, import tax, local
charge like bill, D/O, CIC,..., transportation from port to party A’s warehouse.
Responsibilities for Party B
- To be responsible for delivery of goods according to Article 1 of this Contract.
- Delivery on time indicated at Article 2 of this Contract.
- Prepare export licenses and other licenses as required by the buyer.
- Buy international transportation insurance from loading port to unloading port.
- Pay the fee like export tax at CAI MEP port, issuing documents like C/O, B/L,...,
local charge like bill, seal, THC,...
Article 5: Penalty
- In case Party A fails to make the payment on time as stated in article 2 of this
sales contract, 8%/Per day will charged by Party B.
- In case Party B fails to make delivery on time after receiving the payments as
stated in article 2 of this sale contract, the charge for the late delivery is 8%/ Per
day on the total late value.
Article 6: General clauses
- Both of parties commit themselves to perform this Contract strictly in accordance
with the terms and conditions provided herein. Should any difficulty or trouble
arise, both parties should meet each other for settlement, failure to settle any
dispute should be referred to the Commercial International Singapore Court. All
costs shall be borne by the party who lost their case.
- These modifications or supplementations must be made in terms of addenda of
this contract.
Article 7: The validity of contract
- This Contract takes effect from the date of sugning and automatic liquidation
when both parties have fully discharged their respective obligatiob under this
agreement.
- This contract is made out in 2 copies by English and 2 copies by Vietnamese,
Each party keeps 1 copies. In case of a discrepancy between the English and
Vietnamese texts of this contract, preference shall be given to the Vietnamese text.
