BOARD OF DIRECTORS REPORT DURING THE SPECIAL GENERAL MEETING
HELD ON 16TH NOVEMBER 2024 AT WIYUMIRIRIE PRIMARY SCHOOL

Distinguished Guests, Board of Directors and the Supervisory, Unison SACCO Members, Unison SACCO Stakeholders, Ladies
and Gentlemen. We hope you are well.
As we approach the end of the fiscal year, we are pleased to present our proposed budget for the upcoming year. This budget
reflects our collective priorities and aligns with our strategic goals to strengthen our SACCO’s financial health, support
sustainable growth, and continue delivering value to our members, whom, we popularly refer to as Honourable Members.
We kindly request for your review and approval of this budget. Your input is invaluable, and your support is crucial as we
work together to achieve our financial goals. We have ensured the budget has reasonable estimates to the benefit of us all.
Honourable members, allow me now to delve into the estimates and do the following highlights;
a). Income
We propose to get a total income of Ksh. 1,436,520,274.44 of which Ksh. 699,175,804.04 shall go to payment of interest on
savings and deposits. We are proud to report that our income growth allows us to improve member services, expand our loan
offerings, and strengthen our financial reserves. The SACCO remains committed to sound financial management and secures
our long-term stability and supports each member’s financial growth.
Of paramount importance as a SACCO and even as individual members is to control income leakages. One authority called
Natasha Munson said and I quote, “Money, like emotions, is something you must control to keep your life on the right track”.
We are optimistic that we shall be able to realize the proposed income during the year 2025.
Indeed, Walt Disney said, and I quote, “All dreams can come true if we have the courage to pursue them”.
b). Expenditure
Colleagues and fellow members, we have proposed to spend Ksh. 460,788,596.85 on SACCO’s operations. In managing our
funds, we prioritize transparency and accountability to ensure every decision we take aligns with our SACCO’s mission and
supports our members’ financial well-being.
Friends, our greatest risk remains the possibility of bad loans on our loan book. Any loan whether salaried or business that goes
beyond watch category causes an increase in our provision for loan loss. We are continually reviewing our credit policies with
a quest to prevent bad loans in our books. On behalf of the Board of Directors, I implore on all borrowers to repay their loans
well to ensure our SACCO remains financially healthy.
We commit, in a very deliberate way to ensure that every expense is carefully managed to maximize value for you, our
members, while securing the SACCO’s growth and stability.
c). Ladies and gentlemen, allow me also to request each one of us, especially the salaried members, to prioritize contribution
on long term deposits with a view to ensuring that we achieve a balance between the deposits and loan. Deposits are your
investment. They are a point of reference when borrowing loan.
d). Further, we have proposed a Capital Budget of Ksh. 39,869,628.92. We successfully implemented the 2024 capital budget,
and we shall be done by close of this year. We thank you for supporting us to achieve key milestones for Unison SACCO
courtesy of capital budget. We are careful not to dilute our retained earnings through capital expenditure for what reason we
have drastically reduced it as compared to the year 2024.
In conclusion, this budget reflects our SACCO’s commitments to sustainable growth, improved members services, and
long-term financial stability. We have carefully balanced our income channels with prudent spending to achieve both short-term
and long-term value.
By approving this budget, we are empowering our SACCO to meet its strategic objectives. We ask you for support and approval
to move forward with this plan, so together, we can continue to grow a strong and resilient SACCO that works for all of us.

MIN 01/18/11/2023: READING AND CONFIRMATION OF THE PREVIOUS MINUTES.
The Hon Secretary read the minutes of the previous Special General Meeting.
They were proposed and seconded by Mno 3577 and 4368 respectively.
MIN 02/18/11/2023: MATTERS ARISING
There were no matters arising.
MIN 03/18/11/2023: BOARD OF DIRECTORS REPORT TO THE SPECIAL GENERAL MEETING
The Chairperson, Mr. Gichimu presented the Board of Directors’ report to the SGM which highlighted the following;
Income
Proposed budget on total income of Ksh. 1.34 billion where 88% of this income will be realized from interest on loans and
12% from other operations including rental income.
Expenditure
Proposed interest on savings and deposits of Ksh. 612.9 million.
Proposed total expenditure of Ksh. 476.4 million leaving a surplus of Ksh. 255.9 million before tax.
Dividends and retained earnings
Proposed dividends payout of Ksh. 58.6 million and retained earnings of Ksh.186.6 million.
Capital Expenditure
Proposed expenditure of Ksh.100.9 million on procurement of Sacco assets and constructions of Nanyuki, Nyahururu and
Timau Branches.
The report further highlighted other issues;
a) Business expansion as contained in our strategic and action plan to open more branches and a satellite in 2024.
b) Dividend plough back
- Members can plough back their dividends at their convenience percentage to become preferential
members and enjoy benefits from preferential loan with better terms
c) Electronic channels
Alternative channels include;
- Mobile banking accessible through USSD code *882*80#
- Unicash app
- ATMs
- Sacco Agencies
d) New products
Golden Plan - It is a retirement saving plan with affordable terms.

The report was proposed and seconded by Mno 5155 and Mno 3558 respectively for discussion.
There was no reaction from members.

MIN 04/18/11/2023: BUDGET ESTIMATES FOR THE YEAR 2024
The treasurer presented the budgetary estimates for the year 2024.
They were approved for implementation through the proposal and secondment of Mno 41709 and Mno 71556
respectively.
The budget projected as follows;

Member reaction on the budget;


Mno 3289 sought to be clarified on the breakdown on expenditure on item No. 26 on capital budget estimates.
The treasurer made the clarification to the member and the SGM.
MIN 05/18/11/2023: ANY OTHER BUSINESS
- The County Executive Committee Member (CECM) for Co-operatives in his remarks praised UNISON
SACCO for its continued provision of good and quality products and services to its members.
- He also conveyed Governor`s greeting to the SGM and pointed out that the challenges faced by the
co-operative societies in the county will be solved by the current government.
- In her remarks the Director for Co-operatives applauded the Sacco for its co-operation and assistance during
this year Ushirika Day.
- She also advised members to invest wisely through borrowed loans.

• Mno 2306 raised an issue relating to elections .


• Mno 6630 had an issue with refund insurance cover on loans.
• Mno 7005 raised an issue on the difficulties she encountered as she sought to offset her loan.
The chairperson responded to all three issues raised.

The meeting ended at 2.04 pm with prayer from Mno. 7005.
