LETTER OF APPOINTMENT

Dear Varish,
With reference to your application and subsequent interview with us Corporate Infotech Pvt. Ltd., CIPL now takes
immense pleasure in welcoming you on board, subject to the terms and conditions contained in this appointment
letter.
You hereby understand and agree that your employment with CIPL will be governed by the following terms and
conditions:
1. COMMENCEMENT OF EMPLOYMENT
1.1. Your employment will be effective as of 01 Jun 2023.
1.2. You are being employed for HO - (HEAD OFFICE).
1.3. If you have been employed for a particular project then your employment will be effective till the project
duration or the extended project duration, subject to successful completion of the project or till such time
period as the management of the Company may deem decide in its sole discretion.
1.4. Not with standing anything contained in the afore-mentioned clause, the Company reserves its right to
transfer your employment as per Clause 5.2 of this Letter of Appointment.
2. JOB TITLE
2.1. Your job title will be NETWORK TECHNICIAN.
2.2. You shall report to Mr Intzar Hussain or any other person designated by or on behalf of the Company.
3. SALARY
3.1 Your cost to company (CTC) will be INR 1,95,000.00 /- per annum.
3.2 The afore-mentioned payment of salary under clause 3.1 is fixed during the entire tenure of employment,
subject to increments and promotion as per Clause 11 and is all inclusive and comprehensive in nature and
unless specifically approved or pursuant to separate policy formed by the Company for this purpose. It is
hereby clarified that you shall not be eligible for any other reimbursements, allowances, expenses etc.
3.3 Subject to the terms and conditions contained herein, the payment will be made on a monthly basis after
deduction of income tax at source at applicable rates under the Income Tax Act,1961 or any modifications
thereto.
4. PLACE OF WORK
4.1 Subject to Clause 5.2 and 5.3 contained herein, you shall be initially posted at Noida Office of the Company
E- 81, Sector – 6, Noida. Uttar Pradesh – 201301.
4.2 At the sole discretion of Company’s management, your services may be transferred to Company’s any other
project or department or sister concern/group company/associates or organizations of the CIPL, anywhere in
India or abroad.
4.3 The transfer under Clause 5.2 above, shall not terminate or modify the terms and conditions of this Letter of
Appointment and you will continue to be liable to comply with your obligations arising herein.
5. NATURE OF DUTIES
5.1 You shall perform, to the best of your ability, all the duties as are inherent in your posting or your Job Title
and such additional duties as the Company may call upon you to perform from time to time.
5.2 Your services are hired for Corporate Infotech Pvt. Ltd. (CIPL), Noida office, Uttar Pradesh - 201301.
5.3 The Company may consider using your services within its core team/other projects by giving due
consideration to your performance and as per the requirements of the Company’s projects and clients.
6. HOURS OF WORK
6.1 You will be required to work as per Company’s clients’ requirements and for proper discharge of your
assigned duties
6.2 The Company’s normal working hours are from 9:30 a.m. to 6:30 p.m., however, you are expected to work
for not less than 48 (Forty-Eight) hours every week during the subsistence of your employment, barring any
leave or holiday during such week.
6.3 If necessary, you may be required to put in additional hours as maybe required for performing your assigned
duties competently and to meet the Company’s and Company’s clients’ requirements.
6.4 The terms of this Clause 7 shall apply uniformly during the subsistence of the Probation Period and after
completion of the Probation Period and confirmation of your employment in the Company.
7. HOLIDAYS / LEAVES
7.1 Your employment is governed by the administrative rules of the client place.
7.2 Your leaves and holidays will be as per the client project, where you have been deputed. However, all such
leaves should be pre-approved from your Reporting Manager/Client SPOC.
7.3 Absence for a continuous period of 1 (One) week from work, without prior approval of your reporting
manager, (including overstay on leave/training) would result in termination of your service or employment
with the Company without any notice or intimation and without payment of any monetary compensation.
7.4 If the Company suffers any kind of financial loss or loss of reputation or goodwill in the market or in eyes of
existing or potential clients, customers, vendors, manufacturers, suppliers etc. on account of your absence
from work then you shall be liable to compensate the same to the Company such amount, as may be
ascertained by the Company after taking into account all relevant considerations.
7.5 The leaves & holidays shall vary from project to project to the employees working at customer’s site..
8. ADHERENECE OF COMPANY’S POLICIES AND CODE OF CONDUCT
8.1 You shall adhere at all times to the internal code of conduct of the Company and all of Company’s policies
and rules and regulations for the time being in force including the practices, systems and procedures used by the
Company. Further, you shall abide by the Company’s Clients’ policies, procedures and specifications or
instructions in due discharge of your assigned duties up to the satisfaction of such client(s) and your concerned
project manager.
8.2 Any amendment, modification, alteration and/or addition to the Company’s or its clients’ existing policies or
code of conduct or rules and regulations will be binding on you.
8.3 You shall at all times comply with all the statutory laws enacted by Central or State Government or local
authorities or any executive order or subordinate legislation, as may be applicable from time to time.
9. RESPONSIBILITY TOWARDS COMPANY’S PROPERTY
9.1. You shall exercise utmost care and caution while making use of any of Company’s property(ies), items,
documents, clients’ files etc. in your use or possession.
9.2. You shall report at the earliest any loss of property, if any, in your possession, to the Company and the local
police authorities for lodging a claim with the insurance company.
9.3. At the time of termination of your employment, you shall handover all properties, files, documents etc, back
to the Company in good condition.
9.4. Violation of any of the afore-mentioned Clauses will entitle the Company to claim the value of such
properties or items or loss suffered on account of such properties, documents etc. from your salary/dues or
to claim separately in case of insufficiency of dues.
10. APPRAISALS AND PROMOTIONS
10.1 Your salary appraisal will follow after successful completion of minimum 1 (one) year’s employment with the
Company from the Date of Joining. However, the management may, at its sole discretion, decide to give
appraisal before completion of such period.
10.2 The appraisal or promotion would depend solely on satisfactory performance of your assigned duties in
terms of efficiency, regularity, punctuality, conduct, discipline and contribution to the Company.
10.3 The appraisals or promotions will be given after taking into account the increase in the project cost and
project results during the relevant period as also the performance and results of the Company and upon the
sole discretion of Company’s management.
10.4 The appraisals or promotions may be withheld, if your performance is found to be unsatisfactory or below
expectations or may be accelerated in case of good performance.
10.5 Salary appraisals are usually given on an annual basis and linked to the performance appraisal results.
11 INDEMNIFICATION
11.1 You hereby agree to indemnify, defend and hold the Company, its management and all its officers, authorized
representatives, affiliates, staff, employees, customers, clients, vendors, suppliers etc. ,harmless at all times
from and against any loss, liabilities, claims, damages, costs or expenses of any kind, including reasonable
attorney's fees and legal costs (incurred whether in protection or defense) to which the Indemnified Person(s)
may be subjected, arising on account of and/or by reason of breach of any terms of this Letter of Appointment
or non-compliance of any applicable laws.
12 CONFIDENTIAL INFORMATION
12.1 During the tenure of employment and 3 (Three) years thereafter, you shall not disclose to anyone in the
Company or to any third party or use or share any Confidential Information (defined herein below) without
prior written consent of the Company.
12.2 In case of unauthorized disclosure or use of Confidential Information during subsistence of your employment
or within 3 (Three) years post termination of your employment with the Company, in violation of the afore-
mentioned clause, your employment will be terminated by the Company without any notice or payment in lieu
thereof. In addition, you shall be liable to pay such monetary compensation to the Company as the Company
may determine and will also be liable to be prosecuted in accordance with the applicable laws.
12.3 For the purpose of this Clause, "Confidential Information" shall include any of Company’s and/ or its
subsidiaries or Associate Companies and/ or customer’s/ project’s and/ or organizations’ confidential,
proprietary or trade secret information that is disclosed to you or received by you during the course of your
employment including but not limited to the information concerning the business plans, contracts entered
with the vendors and suppliers, clients’ list, financial statements, software diagrams, flow charts and product
plans, business processes, cost calculations, particulars of vendors’ or client’s, tender data, any intellectual
property etc. Such Confidential Information shall also include the related processes, marketing techniques
and arrangements, mailing lists, financial information, customers’ names, prospects, names, and/or
information relating to Company's business and activities and the manner in which Company does business,
product developed or derived design concepts and related documentation and manuals. It shall also include
all other materials or information related to the business or activities of the Company, which are not generally
known to others engaged in similar business or activities.
12.4 Confidential Information shall not include any information available in the public domain not as a result of
breach of any duty owed to Company by you or any other employee of the Company or any other person;
information already known to you prior to the Date of Joining; information published or disseminated by the
Company without any restrictions to persons other than employees; and information identified in writing by
the Company as not being Confidential Information.
12.5 Lack of any marking or statement that particular information is Confidential Information shall not affect its
status as Confidential Information.
13 NON-COMPETE CLAUSE
Upon cessation of your employment with the Company, you will not directly or indirectly recruit, select, entice
or influence in any way, any employee of the Company as well as those of its group companies and/or
respective affiliates or subsidiaries or anyone working for the Company on contractual basis, to join your
future employment/employer, as an employee or partner or any other form of work association for a period of
1 (One) year, after cessation of your association with the Company.
14 TERMINATION
14.1 During or after completion of Probation Period, your employment maybe terminated by the Company, without
any cause, by giving not less than 1 (One) month’s prior notice in writing or salary in lieu thereof. For the
purposes of this Clause, salary shall mean monthly gross salary earned at that point of time.
14.2 Notwithstanding anything contained hereinabove, the Company shall have a right to terminate your services,
without prior notice or monetary compensation if you are found guilty of misconduct or in breach of any of the
terms and conditions of this Letter of Appointment, including unauthorized absence from work, disclosure of
Confidential Information, violation of Company’s and its clients’ code of conduct, policies, instructions etc. or
in violation of any rules and regulations, process and policies, business code of conduct or
falsification/suppression of any information provided by you for the purpose of seeking employment with the
Company. Such termination by the Company shall not affect any other claims the Company may have
against you, in law and/or in equity.
14.3 During your Probation Period, you may terminate your employment with the Company, without any cause, by
giving prior written notice of not less than 30 (Thirty) days or 60 (Sixty) days’ salary in lieu thereof. If your
appointment has already been confirmed with the Company, then you shall be required to serve prior written
notice of at least 3 (Three) months’ or salary in lieu thereof. However, the Company’s management may, at
its sole discretion, relieve you from such date as it may deem fit even prior to the expiry of the notice period.
14.4 In the event you decide to terminate your employment with the Company within the first year of your
employment (including Probation Period), you shall reimburse the Company for expenses incurred in the
training process or any relocation expenses incurred during the subsistence of your employment, including
but not limited to in-house training, travel and accommodation expenses.
14.5 Upon suspension or cessation of your employment with the Company for any reason whatsoever, you shall
facilitate seamless handover/assignment (wherever applicable) and transition of all ongoing work-in-
progress, work product and services to a designated person/entity identified by the Company. To this effect,
contingent on Company’s discretion, post cessation, you shall also continue providing reasonable support to
the Company for any pending work/project.
15 MISCELLANEOUS
15.1 Representations: This contractual appointment is made on the underlying premise of your representations in
relation to your educational qualifications, experience and other academic and professional achievements.
To the aforesaid extent, this appointment is valid subject to your providing valid proof of date of birth and
other certificates/substantiating documents that establish your candidature as outlined in the recruitment
application form and resume. In this regard, willful non-disclosure, fraud/forgery or wrong disclosure would
result in immediate termination of your employment.
15.2 Amendment: No waiver, amendment or modification of any provisions of this Letter of Appointment shall be
effective unless agreed to in writing by both the employee and the Company.
15.3 Effective Date: This Letter of Appointment shall be effective from the Date of Joining.
15.4 Borrowings/ Accepting Gifts: You shall not borrow or accept any money, gift, reward or compensation for
your personal gains from or otherwise place yourself under pecuniary obligations to any person, client,
vendors, strategic partners, business competitors and /or any other relevant stakeholders with whom you
may be having official dealings.
15.5 Commitment to Work: During Probation Period and thereafter, you shall carry out all the duties and
responsibilities of your position and shall perform all such duties as may be entrusted on you from time to
time, with due diligence, punctuality and to the best of your ability and skill and shall conduct honestly,
faithfully, diligently at all times throughout the period of your employment. During the period of your
employment with the Company, you shall not be employed in any capacity whatsoever whether advisory,
executive or otherwise for any person, firm or company and shall not participate, be engaged or interested in
or concerned directly or indirectly in any other business or occupation of any kind whatsoever.
15.6 Dress Code: You shall be dressed appropriately and professionally at all times keeping in mind the business
occasion and your position in particular. A professional appearance is especially important while coming in
contact with the clients and/or potential customers. Engineers deputed at the client site are required to wear
Company’s uniform.
15.7 Superannuation/Retirement: You shall be superannuated/ retired on attaining the age of 60 (Sixty) years.
15.8 Survival: Clause 16 (Dispute Resolution), 13 (Confidential Information), Clause 14 (Non-Compete) shall
survive the termination of this Letter of Appointment.
I have read and understood/have been explained the above terms and conditions and service rules and regulations of
the Company. All the terms and conditions/service rules and regulations are acceptable to me and I shall abide by
them.
