BSHEC may in its absolute discretion, but without being under any obligation to do so, update, amend or
supplement the information, assessment or assumption contained in this RFP.
The issue of this RFP does not imply that the BSHEC is bound to select an Applicant o r t o appoint t he
Selected Applicant, as the case may be and BSHEC reserves the right to reject all or any of the
Proposals without assigning any reasons whatsoever.
The Applicant shall bear all its costs associated with or relating to the preparation and submis sion of it s
Proposal including but not limited to preparation, copying, postage, delivery fees, expenses as sociated
with any demonstrations or presentations which may be required by BSHEC, or any other costs incurred
in connection with or relating to its Proposal.
All such costs and expenses will remain with the Applicant and BSHEC shall not be liable in any manner
whatsoever for the same or for any other costs or other expenses incurred by an Applicant in preparation
or submission of the Proposal, regardless of the conductor outcome of the Selection Process.

b) The requirement under this RFP is to select an agency for a Project Management Unit (PMU) for Bihar
State Higher Education Council, Government of Bihar.
c) Any contract that may result from this procurement competition will be issued for a term of Three (03)
Years ("the Term").
d) BSHEC reserves the right to extend the Term for f urther period of maximum of Two (02) Years on the

2.1 Introduction
The Department of Education, Bihar is tasked with providing education and setting up related framework
and inf rastructure across the State with five directorates and several apex bodies. The D epart ment has
been working to facilitative an environment in which the youth of the state and other stakeholders would
explore their knowledge and skills by pursuing primary, secondary, higher and mass education.
The National Policy on Education 1986 visualized setting up State Councils of Higher Education (S CHE)
to strengthen higher education policy and planning at the state. Following the rec ommendations of t he
National Policy on Education, the University Grants Commission (UGC) issued guidelines to set up
SHECs in 1988. According to the UGC guidelines, SHECs are entrusted with planning and coordination,
academic, advisory and administrative functions. Within the scope of the Twelfth Five-year plan, National
Mission on Higher education 2013 has placed greater premium on the need for state lev el p lanning f or
higher education, wherein state councils for higher education are expected to play a key role. One of t he
pre-requisites of the Rashtriya Uchchatar Shiksha Abhiyan (RUSA) Scheme requires that states form
a State Higher Education Council (SHEC). RUSA relies on SHECs for the planning and implementation in

each of the states. The State Higher Education Council in Bihar was formed by an Executive Order in t he
year 2015. It was enacted by an Act of the State Legislature in the year 2020.
Bihar State Higher Education Council is a body to advise the Education department in matters relating t o
Higher Education. Promoting accessibility, quality, excellence and equity in higher Education, along wit h
sharing of resources between Universities & Colleges. It also leads academic and governance ref orms at
institutional level, establishes principles for funding of institutions, maint aining a d at a bank o n Higher
Education and conduct research and evaluation studies. BSHEC is also an integral part in the process of
implementation of National Education Policy – 2020.
Due to the onslaught of the Covid-19 pandemic across the country since March 2020, it has become a
necessity to adopt virtual/online classes to ensure continuity in learning for s t udents at all lev els . The
virtual mode has now become the order of the day in all the major HEIs of the country. To cope with t he
above, the universities and colleges of Bihar need to be well equipped for online teaching pedagogy. The
exponential growth and penetration of mobile phones/devices among college/universit y s tudents and
improved internet connectivity have opened a window to plan f or introducing digital expansion and
f acilitate the hosting of major courses of higher education.
Strengthening and augmenting the existing facilities of Nalanda Open University may help the BSHEC t o
start ODL courses across the state and shall enable to serve a larger population to upgrade their
educational qualifications and acquire knowledge in various fields of learning. This will also addres s t he
issue of many shadow areas in the state as there are many blocks that still do not have HEIs.
Additionally, this will have a direct impact on the GER in the short and medium terms.
The HEIs in the state have significant scope for improvement in NIRF ranking, as well as in b ecoming
NAAC accredited institutions. In the current scenario, due to various reasons, the state's HEIs have lower
participation in NIRF and NAAC. Consequently, accredited institutions are v ery f ew, whic h indicates
quality gaps in the sector. To address this at an intrastate level, institutional metrics c overing dif ferent
parameters about access, equity, quality (e.g. teacher quality, graduates quality, employability, res earch
outcome) etc. need to be created.
Understanding the nuances of the above areas - in the context of the huge surge in education technology
and f ast-evolving policy in the education sector would require the support of a rep uted global advisory
f irm with requisite expertise in - technology, education, processes and higher education management.
The consultant should be cognizant of the nuances of the public education processes and should ensure
high outcomes in these areas. Some of these areas may require collaboration with other Govt. Agencies
& Private Partners to optimize the outcomes. Finally, these are emerging areas - as an outcome of Covid-
19 and NEP - and hence, Departments and Universities would require hands-on support to ens ure t he
successful execution of these initiatives.

The State of Bihar has envisioned itself to be a globally renowned State and embarked on the journey t o
become the pref erred education destination of the country. In line with its vision, Government o f B ihar
has accorded top priority to the Higher Education sector as an engine for growt h of human c apital. To
f urther sharpen its competitive advantage and to identify the areas for improvement, BSHEC, Bihar wants
to onboard such firms to provide project and program management advisory services to the department.
The overall direction provided by the National Education Policy (NEP) 2020 to allow for 40% of the credits
to be offered by online mode and the disruption caused due to COVID-19 has created an urgency for t he
Department of Higher Education, Bihar to accelerate along the following dimensions
a) Digitization of Higher Education Systems
b) Modernization of Nalanda Open University for GER Enhancement
c) Strengthening governance through an indigenous Bihar State Institutional Ranking Framework
3. Eligibility Criteria
The invitation to Proposal is open to all bidders who qualify the eligibilit y c riteria g iv en below and t he
bidders must produce the required supportive documents/information as indicated against eac h as part of
their technical proposal:

The scope of work in this section is not exhaustive and the successful bidder s hall hav e t o undert ake
other tasks as may be necessary or incidental to accomplish the objectives outlined in this RFP.
The selected bidder is expected to provide qualified manpower to provide consultancy servic es t owards
the achievement of the following objectives:

4.2. Support in developing an indigenous Bihar State Institutional Ranking Framework (BSIRF) to
enhance quality in Higher education
4.2.1 Creation of BSIRF Framework (Universities + Colleges)
• Specific to the needs of State Higher Education System
• Assist in suitably covering the criteria of National Ranking / Accreditation Bodies like NIRF,
NAAC, NBA and Global Ranking like Times Higher Education, QS Ranking et c. wit h f ocus o n
research, publication, diversity of faculty and students etc.
4.2.2 Development of questionnaire for BSIRF
• Collect and incorporate feedback from various stakeholders on areas s uch as q ues t ionnaire,
marks, weightage, relevance etc.
4.2.3 Familiarization and Handholding of HEIs on BSIRF for effective implementation
• Support in grievance redressal (doubt clearing, clarification and Data Management) and hand-
holding support for HEI officials
• Assist in data validation
• Assist in preparation and finalization for overall ranking
• Ensuring data-access and drill-down is enabled on the dashboard created
4.2.4 Extending strategic support in Unified MIS
• Unif ied Management Inf ormation System (UMIS) is proposed to be implemented separat ely by
the Department. PMU would facilitate the (implementing team or agency) in development of U-

MIS in aspects of MIS synchronization, data f ormats, expected data and inf ormation in the
desired formats. The UMIS is supposed to help in data management, warehousing and analyt ics
to the Department.
4.2. Monitoring and Evaluation of Departmental initiatives in Higher education System in Bihar
4.2.1 Support in development and finalization of an output – out come-bas ed M& E f ramework t o overs ee t he
dif ferent initiatives of Department in Higher Education
4.2.2 Identif ication of verifiable indicators for M&E of stated milestones in sync with BSIRF frameworks
4.2.3 Monitor the schemes / programs/ interventions sanctioned under the Department across all components and
provide inputs for monitoring and corrections, if any
4.2.4 Assist in monitoring of the allocated fund from different sources such as UGC, RUSA, State government
4.2.5 Provide technical support during budget formulation, approval, execution, and evaluation
4.2.6 Support in aligning the M&E plan with national and international standards in Higher Educations (NEP, S tat e
priorities , UGC guidelines etc.)
4.2.7 Identif ying & establishing right attribution of project interventions for Impact Assessment
4.2.8 Support in dissemination of Department achievements in user-friendly formats to relevant stakeholder groups
and the public at large;
4.2.9 Support in designing methodologies for assessment of students’ and faculties’ satisfaction at HEIs
4.3. Academic collaborations with national / foreign universities of repute
4.3.1 Designing a road map for collaboration of Bihar HEIs with national / international institutes of repute for driving
academic and research excellence
4.3.2 Support in designing Research/teaching collaborations and faculty/student exchanges programs wit h Indian
and / or global institutions
4.3.3 Develop a plan for introduction of hybrid education models or blended education programs based on national
/ global best practices
4.3.4 Providing technical Support in procuring approval of such initiatives at the academic council
4.4. Miscellaneous
4.4.1 Preparing reports, Power Point Presentations as and when required on project related activities
f or meetings, conferences, etc.
4.4.2 The Agency shall depute additional resources as per work requirements f or execution of the
assignment on mutually agreed terms.

4.4.4 The resources of the selected bidder will have to carry out any other related function as d irec t ed b y
BSHEC/DoE from time to time, with a view to bring about the accelerated development in the HEI sector.
4.5. Roles and Responsibilities of BSHEC, Bihar and its authorized agent(s):
4.5.1 BSHEC, Bihar will provide approvals for all plans, strategies and materials produced.
4.5.2 Provide Sign-off / acceptance of various project deliverables submitted by the agency:
a) Major Deliverables (Strategy & Plan documents) – within 1 week.
b) Minor Deliverables (Derived Deliverables, as and when required by the department) – within 3
days.
4.5.3 BSHEC will work closely with the agency in the formulation and planning of the required activities.
4.5.4 Conduct project review meetings with the deployed team and monit or t he implement ation and
overall progress of the project activities.
4.5.5Provide direction to the deployed resources and enable them to achieve overall objective.
4.5.6Provide periodic feedback.
4.5.7 Review and approve the payments to the selected agency as per quality services provided by t he
resources of the agency.
4.5.8 Physical office space will be provided by the department along with other facilities in this of f ice like
computer, photocopier, scanner, printers, paper, toner, seamless internet etc.
4.5.9 Provide TA towards any travel of any resource outside Patna after the approval from the competent
authority for the assigned and approved tasks like discussions/meetings with any important stakeholders,
network sources etc., for meeting the deliverables effectively.
4.5.10 BSHEC shall take up the following costs or reimburse later to agency for effective func tioning of
agency in delivering the tasks:
a) Cost involving the agency to meet the additional demands towards delivering the outputs
than what has been decided upon selection or in direct scope of work of this RFP document.
b) Cost involving any External agency to meet the tasks or additional demands towards
delivering the outputs.
c) BSHEC, Bihar shall take up any cost towards the event management t hat is b eyond t he
scope of agency.
A monthly review meeting to be done at Patna, Bihar. In this meeting the agency will brief the BSHEC officials
of the progress made by their team.
5. Project Deliverables &Timeline
The selected agency shall f ully abide by various time limits as prescribed f or different assignments and
the perf ormance of the agency shall be judged as per the adherence to such quality and time parameters
as laid down for the respective work.

Note:
i) The bidder needs to submit CV of all proposed manpower.
ii) The proposed team other than “Program Lead” would be based in Bihar
iii) The proposed team shall be available and stationed in Patna on all the working days of Govt.
of Bihar, and on public holidays also as and when necessary as f elt necessary by the
department. This is necessary since the agency needs to support the department
continuously throughout the consultancy period. The attendance of t he pers onnel will b e
monitored by the Department or an authority/authorities so specified by BSHEC.
iv) The successf ul bidder is advised to deploy experienced & qualif ied resources f or the
assignment.
v) If at any point of time, BSHEC, Bihar f eels that a resource is not up to the mark, the
replacement will be demanded in writing and will need to be replaced within 30 working days.
During such period, the incumbent shall be available for d isposal of t he t ask t ill t he new
resource comes on board.
vi) The service provider will provide the CV of the resources engaged f or the project f or
screening. If any specific work could not be completed due to poor manpower quality, at t he
time of review, the service provider will provide a suitable substitute, if required. Any c hange
of resource during the period of contract should be done only with the prior consent of
BSHEC. For whatsoever reason provided the target for schedule of work shall not suffer.
vii) Above mentioned resource requirement is the minimum number and category of resources to
be provided for the Term of the contract. It is up to the bidder to assess the requirement and
provide more resources if required. At all times, the schedule and delivery of t he work shall
not suffer.
viii) Leave f or Consultancy Team Resources:
a) The proposed team has to follow the working hours, working days and Holidays of S tat e
Government of Bihar.
b) Resources may avail maximum of 20 days/year of leave.
c) Leave entitlement and computation are linked to the year starting commencement of work
prorated to December 31 of that year. Thereafter computations are linked t o t he c alend ar
year f rom January 1 to December 31.
d)Leave can be ref used, revoked, curtailed by the BSHEC based on administrative
exigencies.
e) A resource can proceed f or leave only af ter approval by the competent authority of
BSHEC, Bihar.
f) When applying f or a half day leave a resource is required to spend a minimum of 4
business hours at office.
g) Unused leaves cannot be accumulated or carried forward to the next year.

7. Bidding Process
✓ The Bidder shall submit his bid/tender on e-Procurement platform at www. eproc 2. [Link]. in.
Of f line bids shall not be entertained by the Tender Inviting Authority for the tenders published in e -
procurement platform.
✓ The Bidder must have the Class II/III Digital Signature Certificate (DSC) with signing + E ncrypt ion,
and User-ID of the e-Procurement website bef ore participating in the e-Tendering process. The
Biddermay use their DSC if they already have. They can also take DSC from any of t he aut horized
agencies. For user-ID they have to get registered themselves on e-procurement website
[Link] and submit their bids online on the same.
✓ The bidders shall submit their eligibility and qualification details, technical bid, Financial bid etc., inthe
online standard f ormats given in e-Procurement 2.0 web site at the respective stage only. The
bidders shall upload the scanned copies of all the relevant certificates, documents etc., in support of
their eligibility criteria / technical bids and other certificate /documents in the e-Procurement 2. 0 web
site. The bidder shall digitally sign on the supporting statements, documents, certificates, upl oaded
by him, owning responsibility for their correctness/authenticity. The bidder shall attach all the required
documents for the specific tender by uploading the same during the bid submission proces s as per
the tender notice/ bid document.
✓ The bidders are required to submit Earnest Money Deposit in the form of Bank Guarantee/ Online
Payment.
✓ All the required documents should be attached at the proper place as mentioned in t he e -f orms
otherwise the tender of the Bidder may be liable for rejection. Tender Process ing Fee (TP F) and

A. Pre-Qualification Bid
1. Letters on bidder‟s letter head
I. Certif ying that the period of validity of bids is 180 days from the last date of submission of bid,
II. Asserting that the bidder is quoting for all the items mentioned in the tender,
III. Accepting all terms of this RFP

2. All f orms mentioned in RFP document along with the requisite documents asked in the respective
f orms to prove that the bidder meets the eligibility criteria.
3. Power of Attorney/ Board resolution (authorizing the bid signatory) granting the person signing the bid,
the right to bind the bidder as the Constituted Attorney of Agency.
4. Permanent Account Number (PAN) from INCOME TAX authorities of area of operation of the bidder.
5. GST Registration Certificate of the bidder.
6. The Bidder should not be blacklisted by Government of Bihar or its agencies f or any reasons
whatsoever and/or the bidder should not be blacklisted by Central / any other State/UT Government or its
agencies for corrupt or fraudulent practices or for indulging in unfair trade pract ices o r f or back ing o ut
f rom execution of contract after award of work in India as on the date of application made to this RFP. The
Bidder shall submit an affidavit to this effect.
B. Technical Bid as per specified criteria
The Technical Bid document shall detail all the information sought f rom t he b idders and req uired for
BSHEC to evaluate the bids as prescribed as part of the technical evaluation in Section 6 and 7 o f t his
document. Hence it is mandatory that the bidders read this section in c onjunc tion wit h t he t echnical
evaluation section to provide information as necessary and adequate to evaluate the proposals.
C. Commercial Bid Specified
The commercial bid shall be submitted for all requirements of the BSHEC for the Reques t f or P roposal
(RFP) Selection of an agency for providing services as per details mentioned in the RFP.
The bid shall be submitted online through e-Procurement portal at [Link]. . Bids
complete in all respects - both Technical Bid (available on e-Proc Portal) and Financial Bid (available on
e-Proc Portal) along with all supporting documents/annexure as per Bid document must be s ubmitt ed
online in the e-Proc portal till 02.00 pm on or bef ore The TECHNICAL BID of all the Bidders will be
opened online. The FINANCIAL BID of those Bidders whose TECHNICAL BID does not fulfil the criteria
/ eligibility / requirements of Bid Documents shall not be opened. The Financial B id of only t echnically
qualif ied bidders shall be opened in online mode. Date of opening of financial bid will be announced lat er
by the BSHEC which shall also be available online.

All pages of the bid, except for un-amended printed literature, shall b e initialled and st amped by t he
person or persons signing the bid.
7.16.4 Clarifications
If deemed necessary, BHSEC may seek clarifications on any aspect from the bidder. However, that would
not entitle the bidder to change or cause any change in the substance of the tender s ubmit ted or p rice
quoted. BHSEC may, if so desire, ask the bidder to give a presentation/ demonstration for the purpose of
clarif ication of the tender. All expenses for this purpose, as also for the preparation of documents and
other meetings, will be borne by the bidders.
7.16.8 Disqualifications
The bid is liable to be disqualified in the following cases:
• The Bid not submitted in accordance with this document.
• During validity of the bid, or its extended period, if any, the Bidder increases their quoted prices.
• The Bidder qualifies the bid with his own conditions.
• Bid is received in incomplete form.
• Bid is not accompanied by all requisite documents.
• Inf ormation submitted in Technical Bid is f ound to be misrepresented, incorrect or f alse,
accidentally, unwittingly or otherwise, at any time during the processing of the contract (no
matter at what stage) or during the tenure of the contract including the extension period if any.
• Commercial bid/ pricing is included in the Technical Bid.
Form;
2. Or in case of a successful Bidder, if the Bidder fails:
a. To sign the Contract; or
b. To f urnish the performance security.
7.18 Criteria for Evaluation of Proposals
BSHEC will f orm a Committee to evaluate the proposals submitted by the bidders for a detailed scrut iny.

c) If there is a discrepancy between words and figures, the amount in words s hall prevail, unles s t he

The process of selection of successful bidder for the purpose of award of contract shall be as follows:

7.23 Disqualification
BSHEC, BIHAR may at its sole discretion and at any time during the evaluation of Proposal, d is qualif y
any bidder, if the bidder has:
a) Submitted the Proposal documents after the response deadline.
b) Made misleading or false representations in the forms, statements and attachments.
c) Exhibited a record of poor performance such as abandoning wo rks, not properly c omplet ing t he
contractual obligations, inordinately delaying completion or financial failures, et c . in any project in t he
preceding three years.
d) Submitted a proposal that is not accompanied by required documentation or is nonresponsive.

8.5 Indemnity
The Selected Bidder shall indemnify BSHEC from and against any costs, loss, damages, expense, claims
including those from third parties or liabilities of any kind howsoever suffered including patent, copyright,
trademark and trade secret, arising or incurred inter-alia during and af ter the Contract periodout of:
a) Negligence or wrongful act or omission by the Selected Bidder or it‟s team or any Agency/ Third -p art y
in connection with or incidental to this Contract; or
b) Any breach of any of the terms the Selected Bidder‟s Proposal as agreed, the Tender and this
Contract by the Selected Bidder, its Team or any Agency/Third Party.

c) The maximum indemnity by the Consultant or BSHEC, Bihar shall be to the extent of 100% o f
Contract value in favour of BSHEC, Bihar.
8.6 Right of Monitoring, Inspection and Periodic Audit
BSHEC, Bihar reserves the right to inspect and monitor / assess the progress / performance at any t ime
during the course of the Contract, after providing due notice to the Selected Bidder. BSHE C, B ihar may
demand, and upon such demand being made, the selected bidder shall provide with any document, dat a,
material or any other information required to assess the progress of the project. BSHEC shall also hav e
the right to conduct, either itself or through any another agency as it may deem fit, an audit to monitor t he
perf ormance by the Selected Bidder of its obligations/f unctions in accordance with the standards
committed to or required by BSHEC and the Selected Bidder undertakes to cooperate with and provide to
the BSHEC, Bihar/ any other Consultant/ Agency appointed by BSHEC, Bihar, all document s and o ther
details as may be required by them for this purpose. Any deviations or contravention identified as a result
of such audit/ assessment would need to be rectified by the Selected Bidder f ailing which t he B SHE C
may, without prejudice to any other rights that it may have, issue a notice of default.
The Selected Bidder shall, upon termination of this agreement f or any reason, or upon demand by
BSHEC, Bihar, whichever is earliest, return any and all information provided to the S elect ed B idder b y
BSHEC, including any copies or reproductions, both hardcopy and electronic.
The Selected Agency shall obtain the sign-off from BSHEC, BIHAR or its nominee for all the doc uments
submitted f or this Project and shall make necessary changes as recommended by BSHEC bef ore
submitting the final version of the documents.
The Selected Agency shall maintain logs of the internal review of all the deliverables s ubmitt ed to t he
BSHEC or its assignee(s). The logs shall be submitted to BSHEC or the designated agency on request.

8.13 Copyright
The f ull copyright of all creative and publicity material produced would rest with BSHEC, Bihar f or all t ime
use. This would include full copyright of images used in the creative and publicity material.
8.14 Assignments
The f irm/company shall not assign the project to any other agency, in who le or in p art, t o perf orm it s
obligation under the Contract, without prior written consent of BSHEC /GoB.
c) If delay in delivery of service is observed, a performance notice would be given to the selected b idder
to speed up the delivery.

3) The Perf ormance security shall be payable to the BSHEC as compensation for any loss resulting from
the Agency‟s failure to complete its obligations under the Contract.
4) The Perf ormance Security will be discharged by BSHEC and returned to the Bidder on complet ion of
the bidder‟s performance obligations under the contract.
5) In the event of any contract amendment, the bidder shall, within 21 days of receipt of such amendment,
f urnish the amendment to the Performance Security, rendering the same v alid f or t he durat ion of the
Contract, as amended for further period.
6) No interest shall be payable on the PBG amount. BSHEC, Bihar may invoke the above bank guarantee
f or any kind of recoveries, in case; the recoveries from the bidder ex ceed t he amount pay able t o t he
bidders.

8.20 Plagiarism
The selected agency will at no time resort to plagiarism. BSHEC will not be a party to any dispute aris ing
on account of plagiarism resorted to by the agency.
8.21 Confidentiality
Inf ormation relating to the examination, clarif ication and comparison of the proposals shall not be
disclosed to any bidders or any other persons not officially conc erned wit h s uch p rocess unt il t he
selection process is over. The undue use by any bidder of confidential information related to the p rocess
may result in rejection of its proposal. Except with the prior written consent of the other p arty , no p arty ,
shall, at any time communicate to any person or entity any confidential information acquired in the course
of the Contract.
No party shall, without the other party‟s prior written consent, disclose cont ract , s pecif icat ions , plan,
pattern, samples or other documents to any person other than an entity employed by the af f ect ed p arty
f or the performance of the contract.
8.22 Deliverables
The selected bidder‟s firm/company should have to submit deliverables in hard / s oft copy (including
editable soft copy); as desired by the BSHEC.
8.23 Termination
Under this Contract, BSHEC may by written notice terminate the contract agreement entered with the
f irm/company in the following ways:
a) Termination by Default for failing to perform obligations under the Contract or if the quality is not up to
the specification or in the event of non-adherence to time schedule.
b) Termination f or Convenience in whole or in part thereof , at any time. However, terminat ion f o r
Convenience will be invoked with a notice period of one month.
c) Termination f or Insolvency if the firm/company becomes bankrupt or otherwise insolvent.
In all the three cases termination shall be executed by giving written notice to the firm/company.
Upon termination of the contract, payment shall be made to the firm/company for:
i. Services satisfactorily performed and reimbursable expenditures p rior t o t he ef f ect iv e d ate o f
termination
ii. Any expenditure actually and reasonably incurred prior to the effective date of termination
No consequential damages shall be payable to the firm/company in the event of such termination.
For purposes of this clause “Force Majeure” means an event beyond the control of the consulting
f irm/company and not involving the consulting firm/company‟s fault or neg ligence and which was not
f oreseeable. Such events may include wars or revolutions, fires, floods, epidemics, quarantine restrictions
and f reight embargos. The decision of the BSHEC, Bihar regarding Force Majeure shall be f inal and
binding on the firm/company.
If a Force Majeure situation arises, the firm/company shall p romp t ly not if y t o t he B SHEC, B IHAR in
writing, of such conditions and the cause thereof. Unless otherwise directed by t he B SHE C, B IHA R in

writing, the f irm/company shall continue to perf orm its obligations under the agreement as f ar as
reasonably practical and shall seek all reasonable alternative means for performance not prevent ed by
the Force Majeure event.
If , af ter fifteen (15) days from the commencement of such informal negotiations, State and t he select ed
Bidder have been unable to amicably resolve dispute, either party may require that the dispute be
ref erred f or resolution to the formal mechanisms, which may include, but are not restricted to, conciliation
mediated by the Development Commissioner, GoB.
All negotiations, statements and/or documentation pursuant to these disputed matters s hall b e wit hout
prejudice and confidential (unless mutually agreed otherwise). The time and resources costs of complying
with its obligations under this Governance Schedule shall be borne by respective parties.
All Arbitration proceedings shall be held at Patna, Bihar State, and the language of the arbitration
proceedings and that of all documents and communications between the parties shall be in English.
8.27 Notice
Any notice, request or consent required or permitted to be given or made pursuant to this c ontrac t s hall
be in writing. Any such notice request or consent shall be deemed to have b een g iv en o r mad e
when delivered in person to an authorized representative of the party t o who m t he c ommunicat ion is
addressed, or when sent to such party at the address mentioned in the project specif ic Contract
Agreement.

The validity of the contract is for “the Term” of the contract and shall be extended for further period of Two
years at the same terms and conditions.
8.30 Others
• The Bidder will need to coordinate and approach various institutions and agencies working under
BSHEC, Govt. of Bihar during course of providing the solution.
• The successful bidder is responsible to maintain documentation on the progress of the work and
will have to update the same on regular basis. Bidder will have to submit the p rogress rep ort s
regularly, as per the guideline issued by BSHEC, Bihar.
• BSHEC shall provide office space to the operational onsite resources of select ed agenc y in
its own premise during project period.
• Time is the essence of the Project and hence the bidder shall at all t imes maint ain s uf f icient
manpower, resources, and facilities, to provide the Services in a wo rk man like manner o n a
timely basis. If required and to meet SLAs, the bidder shall pool additional res ources to ens ure
that work is completed within defined time frame with no additional cost to BSHEC.
• The bidder shall ensure that security measures, policies and procedures implemented are
adequateto protect and maintain the confidentiality of the Confidential Information. B idder also
agrees and acknowledges that it shall adhere to reasonable security practices over all s ens it ive
personal information of the said project as prescribed by various rules.
9. Deployment of Personnel
9.1 The estimate of Personnel costs and man day rates are specified in Financial proposal Form 2.
Additional resources as may be required to carry out of the servic es would be ap proved on a
case to case basis as deemed appropriate by the Authority in consultation with t he Co nsultant.
The rates would be equivalent to the rates set out for Manpower in the agreement. A deviation in
the rate would need to be discussed & agreed between the Authority and Consultant.
9.2 The Authority expects the Key Personnel to be available either physically or through e-mail/c all
during entire duration of the Agreement. The Authority will consider substitution of the Key
Personnel only in extraordinary/unavoidable circumstances and with penal deduction as
mentioned under the Clause 11.1.2 of this RFP. Such substitution shall ordinarily b e subject t o
equally or better qualif ied and experienced personnel being provided to the sat isfac tion o f
the Authority and the consultant shall not be allowed to propose more t han 3 K ey P ersonnel
substitutions in a year, beyond which, the Consultant shall be liable to be penalised. The
Authority reserves the right to select the number of Key Personnel f o r d ep loy ment as and
when required and payment will be made as per the quoted man-month rates.
9.3 If additional work is required beyond the scope of the Services specif ied in the Terms of
Ref erence, the estimated periods of engagement of Personnel, set forth in t he A nnexes of t he
Agreement may be increased by agreement in writing between the Authority and the
Consultant. Additional resources as may be required to carry out of the services would be
approved on a case to case basis as deemed appropriate by the Authority in consultation with the
Consultant.
9.4 For the manpower deployed, the consultant shall keep with them, their present and p ermanent
address with contact details, educational and technical qualification details, specimen signature,
and two passport size photographs and furnish these details/information t o Aut hority, as and
when required.
9.5 Approval of Personnel
The Key Personnel listed in the proposal submitted against the RFP are hereby approved by t he
Authority. Other Key Personnel shall be engaged only on prior approval of the Authority.
9.5.1 Substitution of Key Personnel
The Authority expects the Key Personnel to be available during entire duration either physically

or by email/phone of the Agreement. The Authority will consider substitution of the Key Personnel
only in unavoidable circumstances and with penal deduction @ 5% of total Monthly Professional
or Retainership Fee against each substitution of key personnel with maximum of 10% f o r mo re
than 3 substitutions. Such substitution shall ordinarily be subject to equally or better qualified and
experienced personnel being provided to the satisfaction of the Authority and the consultant shall
not be allowed to propose more than 3 Key Personnel substitutions in a year and shall be
considered as event of default by Consultant. The Authority reserves the right of s ubstit ution of
key personnel as and when required.
Providing Services/Support
a. The key personnel shall be used for providing work/services as s pecif ied by Aut hority in t he
tender or the contract agreement. In case any personnel of the consultant is f ound engaged in
doing any work other than the above or f ound not capable/usef ul the consultant shall
withdraw him/her f rom service and arrange f or replacement immediately within 30 day‟s time
at their own cost.
b. The consultant shall be responsible for any physical damage to equipments, p ropert y and
third party liabilities caused by acts on part of its deployed manpower at Authority
premises. All equipment shall be used only for the purpose of carrying out legitimate bus ines s
of Employer organization and shall not be put into any other use.
c. The manpower deployed by the consultant shall maintain of f ice decorum. They shall be
courteous, polite and cooperative and able to resolve the users‟ problems. The consult ant s hall
verif y the character antecedents before deploying any person at Authority.
BSHEC shall verify and process the same and will remit the payment through Cheque/RTGS/NEFT within
21 days of submission of the Invoice along with the necessary supporting documents.

The BSHEC RFP mandates that the period of validity of bids is 180 days from the last date of submission of the bid, including a certification from the bidder to this effect . It also requires that prices quoted by the bidder be all-inclusive, firm, and final, with no escalation allowed during the contract period . These measures ensure that the validity of bids is upheld and prices remain firm.
The RFP stipulates that the selected bidder must not carry or transmit proprietary materials or information belonging to the Government of Bihar out of premises without prior written permission from BSHEC . Upon contract termination or demand by BSHEC, all information, including copies and reproductions, must be returned. The RFP ensures that intellectual property rights for any plans, processes, software, and components developed under the project vest with BSHEC immediately upon creation .
The RFP ensures integrity and confidentiality by prohibiting the disclosure of information related to the examination and comparison of proposals to any bidders or external parties until the selection process is complete . The undue use of confidential information by any bidder can result in rejection of their proposal. Disclosure of contract details, specifications, and other sensitive information without prior written consent is also forbidden .
The RFP requires the firm/company to employ qualified and experienced personnel to perform the services specified under the scope of work. The firm is responsible for ensuring that personnel act as faithful advisors to BSHEC, adhering to all professional standards and practices and complying with the provisions and acts of information technology in the country .
In the BSHEC RFP process, bidders are required to submit their bids online through the e-Procurement portal . The bid must be signed by the bidder or an authorized person to bind the bidder to the contract, supported by a written power-of-attorney . Each page of the bid should be initialed and stamped by the signatory, ensuring authentication of the submission .
BSHEC uses a detailed technical evaluation process as outlined in the RFP.
