Project Financing Program

Summary:

The Service Provider and/or its affiliated partner funds offered Project Financing Program to select
clients and industries. Please tell us selection criteria for client (profitability, return onn investment…)
and your preferred industries

Project Financing Program is based on multiples. As the project owner, the Client is required to bring a
minimum amount of funds to the project (20% of the total projected budget), and the Client can be
provided with up to 4x the initial amount already raised, and in place (the remaining 80%) to fulfill the
budget.

For clients with a specific project to finance, or who have a series of projects that can be approved
through a funding pool, Project Financing Program can provide a Credit Facility of up to 4X the amount
of the Client’s Initial Deposit.

• Minimum Initial Deposit amount is $20M USD – no maximum. Meaning the minimum project value
should be $100M USD, of which project owner $20M USD and financing $80M USD?

• All in cost range up to 10% p.a. => Can you further explain this

• Clients keep their Initial Deposit capital in safe-keeping. Their Initial Deposit is never drawn upon, nor
exposed to any risk.
• For Initial Deposits of $20M USD or more, the funds would remain in the Client’s own bank account.
• The project is then funded per a monthly draw down schedule that is agreed to by both parties (and
the group’s insurer) as part of the Loan Contract.

Process:

• The Service Provider and/or its affiliated partner funds performs initial due diligence on the project.
Who bear due diligence costs in case the project is accepted or refused?

• If the project is approved, the Service Provider affiliated lender will then provide a Term Sheet to the
Client, outlining the specific terms and conditions of the eventual Loan Agreement. Please note that
there are NO additional personal or corporate guarantees required. There will only be a General Security
Agreement against the asset/project that the loan funds are being used for.

were made to the borrower must be fully repaid upon exit.

At the end of the term of the loan, the borrower has four options:

1) Pay off the loan as per the Loan Agreement.

2) Renew the agreement for up to another 48 months under the same terms and conditions as the
original agreement.
3) Convert all or part of the outstanding debt into equity in the project based on a previously agreed
upon formula.
4) Convert the outstanding debt to long term mortgage.

The Client's Initial Deposit is safeguarded by remaining in a secure bank account, either theirs or one with oversight from a qualified 3rd Party Custodian. It is never drawn upon nor exposed to any risk throughout the loan term. The Client retains full control and can withdraw the Initial Deposit once the loan disbursements are complete. During the loan term, if the client decides to exit the loan, they must repay any disbursements made, but the deposit itself remains secure .

Clients with projects that qualify for funding through the pool mechanism in the Project Financing Program can benefit from potentially easier access to broader financing, as their project may be grouped with others to leverage overall fund capacity. This can result in streamlined approval processes and favorable financing terms due to aggregated project strength and diversified risk. Additionally, pooling can attract attention from larger investors due to the scale and variety offered by multiple projects, enhancing overall appeal .

The documents specify that management fees are part of the financial structure of the loan but do not explicitly detail the percentage charged or distribution specifics. Generally, management fees are essential for covering administrative and operational costs related to financing. Brokers typically receive a portion of these fees as a commission for facilitating the deal, which can vary in percentage based on their contractual agreement within the financial structure .

Converting outstanding project debt into equity allows the borrower to align more directly with the success of the project by becoming a partial owner, which could be beneficial if the project is expected to be profitable. This could also relieve immediate cash flow pressures for loan repayment. However, this option dilutes ownership and might limit strategic autonomy if equity holders gain control influence. Additionally, if the project's profitability is uncertain, this conversion may not be financially advantageous for the borrower .

The minimum financial requirement for a client to participate in the Project Financing Program is an Initial Deposit of $20 million USD, which represents 20% of the total projected budget. The financing program then allows the client to receive up to 4 times the amount of their initial deposit, effectively fulfilling the remaining 80% of the project budget. This means the minimum overall project value is $100 million USD, with the project owner contributing $20 million USD and the program providing $80 million USD as additional financing .

The Service Provider and/or its affiliated partner funds perform initial due diligence on the project. If the project is accepted or refused, the document does not explicitly state who bears the costs, but typically, due diligence costs are factored into the initial project evaluation and may be an implicit part of the financial package assembled by the lender .

The monthly drawdown schedule is a pre-agreed financial arrangement between the client and lender that dictates the phased release of financing throughout the project's development. This is significant because it aligns funding with actual needs and project stages, minimizing idle capital and reducing cost exposure for both parties. It also ensures financing is available as required, enhancing project liquidity and reducing financial risk .

At the end of the loan term, borrowers have several options: 1) Pay off the loan as per the agreement terms. 2) Renew the agreement for up to another 48 months under the same terms and conditions. 3) Convert all or part of the outstanding debt into equity in the project based on a pre-determined formula. 4) Convert the outstanding debt to a long-term mortgage .

The term 'General Security Agreement' in the Project Financing Program's loan agreements refers to a legal document that provides security to the lender by creating a security interest in the assets or projects funded by the loan. This ensures the lender's ability to reclaim the financial outlay in the event of default by the client, thereby mitigating risk without the need for additional personal or corporate guarantees .

The interest rate implications in the Project Financing Program involve costs that can range up to 10% per annum, though the document does not specify exact terms of payment schedules, such as whether interest is paid quarterly or annually. The repayment schedule is similarly not clearly delineated in the summaries provided, but could potentially include installment-based repayment or be structured to require lump-sum repayment at the end of the loan term .
