SECTION V SCOPE DESCRIPTION

PROVISION OF SPREAD
General

CONTRACTOR shall provide SPREAD necessary to perform SCOPE in compliance to CONTRACT


including for surveys, preparatory work, removal, BACK-LOADING, Transportation and LOAD-
IN of STRUCTURES near quay side of DECOMMISSIONING YARD and debris removal.

CONTRACTOR shall provide a fully International Association of Classification Society (IACS)


members certified and complete SPREAD, adequately equipped and manned by qualified
PERSONNEL capable of safely and efficiently performing the SCOPE described herein. The
SPREAD shall fully comply with the COMPANY latest revision of Maritime Assurance Process
(included Maritime Assurance Workflow) and the MARINE WARRANTY SURVEYOR
requirements and specifications as described in Section X TECHNICAL INFORMATION.

CONTRACTOR shall use Shell EP Time Contract Model as the basis for vessels contracting. Shell
EP Time Contract is attached in Section VIII Attachment 32.

Specialised LIFTING VESSELS and cranes shall be appropriately classed for such work and has
the necessary stability to be able to execute.

CONTRACTOR shall supply fully outfitted, safe, classified and fit-for-purpose barges, including
all necessary winches, mooring lines, ballast transfer pumps, towing bridle and emergency
towing lines.

CONTRACTOR shall be wholly responsible for the import clearance of the equipment and
SPREAD required to execute SCOPE in Brunei territorial waters.
Milestone Zero

COMPANY shall perform a pre-Milestone Zero (pre-mobilisation) survey/inspection of the


proposed SPREAD and CONTRACTOR shall ensure that the total SPREAD has been checked and
tested in full working order, in full compliance with the requirements of the CONTRACT and
that the back-up systems are available for key equipment are complete.

In the event that the SPREAD is incomplete, CONTRACTOR shall inform the COMPANY and any
incomplete SPREAD will be inspected at the final Milestone Zero inspection in Brunei.
CONTRACTOR shall rectify any defect in the SPREAD.

CONTRACTOR shall notify COMPANY in writing of the timing for the pre-Milestone Zero
survey/inspections of any part (vessel) of the SPREAD, at least twenty - one (21) calendar days
prior to the proposed date of survey/inspection.

Specifically for the Marine Milestone Zero and inspection, CONTRACTOR is required to comply
with Maritime Assurance Process. The inspection shall be done 3 months prior to Vessel
mobilization. Vessel milestone zero includes the acceptance of Shell/COMPANY Technical
Authorities (TA) requirements and Local requirements.
Inspection and Certification

CONTRACTOR shall have all valid certificates and Third Party (IACS members - ABS, DnV, BV,
Lloyds, etc.) survey reports on the condition and suitability of all vessels prior to and available
during this survey.

CONTRACTOR shall test all equipment necessary for the proper completion of the SCOPE.
Procedures and/or specifications for all test programs, calibrations and surveys shall be
one (21) calendar days prior to
commencement of the pre-Milestone Zero survey/inspections.

COMPANY shall have the right to witness all tests and CONTRACTOR shall dismantle as
required, any item or parts to be inspected by COMPANY. If an inspection reveals that the
equipment is not in serviceable condition, CONTRACTOR shall make repairs or replacement to
the satisfaction of the COMPANY.

If there are subsequent changes by the CONTRACTOR to a confirmed SPREAD, costs incurred
by COMPANY to changes in designs by OTHERS or costs incurred by the COMPANY to inspect
the different SPREAD shall be borne by CONTRACTOR.
Mobilisation of the SPREAD

CONTRACTOR shall mobilise from their point of origin, the requisite units of the SPREAD, fully
equipped and manned in due time for the commencement of the SCOPE at the WORKSITE.

CONTRACTOR shall not have the right to substitute any unit of the SPREAD except where prior
approval of COMPANY is obtained in writing.

Where the SPREAD or any unit thereof requires to be modified in order to comply with the
COMPANY and/or MARINE WARRANTY SURVEYOR Specifications, the CONTRACTOR shall carry
out the modification(s) and or upgrading and any subsequent re-testing and/or certification.

CONTRACTOR shall provide a mobilisation plan for each vessel mobilisation. The plan shall be
prepared and issued for COMPANY review and approval. The plan shall be provided to
COMPANY prior to each vessel mobilisation.

Immediately prior to any mobilisation to Brunei of any SPREAD, CONTRACTOR shall notify
COMPANY of such arrivals seventy two (72) hours prior to the arrival in Brunei.
SPREAD mobilisation plan

The mobilisation plan shall include;


(i) Planned Mobilisation date.
(ii) Name of all vessels of SPREAD, including supply vessels, anchor handling tugs,
positioning tugs and any other support vessels.
(iii) Mobilisation schedule for all personnel and major elements of the construction
equipment.
(iv) A schedule of mobilisation activities, surveys and tests.
(v) Inspection and test procedures for major elements of the construction equipment
including spare parts thereof.
(vi) Specifications and certificates for all major elements of the construction equipment
including spare parts thereof.
(vii) Relevant vendor data.
(viii) Relevant certificates of conformity.

(ix) Record of performance tests.


(x) Mobilisation check list.

Site Restoration and Waste Disposal

CONTRACTOR shall clear all temporary installations, construction aids and any other related
items along the channel upon completion of the SCOPE.

CONTRACTOR shall remove all unwanted remaining equipment, spares, dredging spoils,
debris, waste and slops after completion of the SCOPE in strict compliance with the approved
Project Specific Environmental and Waste Management plans and procedures to the
satisfaction of the COMPANY.

Disposal of water and/or other fluid used or generated from these activities shall be in full
compliance to COMPANY requirements for such disposal in order not to introduce any unsafe
level of toxicity, contaminants and substances into the seawater. There is a special requirement
for disposal in the proximity of manned platforms.
Demobilisation of the SPREAD

CONTRACTOR shall, upon completion of the respective SCOPE and upon approval of
COMPANY, demobilise the SPREAD or parts thereof from the WORKSITE.

DIVING SPREAD
General

CONTRACTOR shall be responsible to ensure that all diving activities are performed in
accordance with all statutory diving regulations and obtain any necessary permits for same.

CONTRACTOR shall ensure that diving personnel are familiar with the SCOPE and the use of all
equipment to be employed in the SCOPE. Where necessary, the CONTRACTOR shall conduct
training and familiarization programmes for all divers.

CONTRACTOR
Diving Centre of Excellence (DCOE) to carry out diving operations on behalf of the COMPANY.
Proposed diving SUBCONTRACTOR shall be subjected to Shell diving approval process at
CONTRACTORs cost.

CONTRACTOR shall submit the associated details as part of the technical submission for
COMPANY review and approvals.

CONTRACTOR proposed diving system audit shall be completed as per International Oil and
Gas Producers (IOGP) 411 January 2021 2.9.4. In compliance to IMCA design audits D023, D024,
D053 at tenderers cost and all action points shall be closed prior to mobilisation of diving
system. As a minimum CONTRACTOR proposed diving system shall be a Modular class diving
system under IOGP 411. CONTRACTOR to note that the formal approval system from Shell
DCOE is mandatory. Diving system, methodology and equipment shall also comply with IMCA
D014 and other IMCA applicable standards and guidelines.

Diving equipment shall comply with IOGP Report 468 Recommended Practice Diving system
assurance process.

A FMEA shall be carried out on all diving systems, whether Surface Supplied, Saturation, or
Subsea Habitats. It should remain with the system as a living document, periodically reviewed
and validated to ensure relevance and accuracy from design phase through to operational
deployment and throughout its lifecycle.

Diving operations shall at all times comply with:


(i) National Legislative Requirements.
(ii) The IOGP Diving Recommended Practice Report 411 for the type of diving proposed for
the project scope.
(iii) All Diving Recommendations and Guidance Notes produced by the International
Association of Oil and Gas Producers. The latest revisions are available on the IOGP
website.
(iv) The International Marine Contractors Association (IMCA) Guidance and Information
notes (if applicable).
(v) The Diving Medical Advisory Committee Guidance Notes.
(vi) International Maritime Organization requirements and Port and Flag State
Requirements (where Classification Societies Requirements (where applicable)).

In the event of any conflict the most stringent shall apply. Diving contractors must be approved
by the Shell Diving Operations PTE through a physical audit of equipment, procedures,
experience, qualification and safety culture.

Shell diving management includes the approval of a diving operation plan prior to the diving
commencing and verification of compliance by onsite personnel.

A diving operation plan shall include but not limited to:


(i) Project plan (scope, codes, standards and reference document).
(ii) Task and site-specific job hazard analysis.
(iii) Numbers, experience and certification type of the diving team.
(iv) Diving equipment (list and certification).
(v) Dive vessel lock out / tag out procedure.
(vi) Emergency response and contingency plan.

CONTRACTOR shall comply with OGP report number 478 and IMCA D053 for hyperbaric
emergency evacuation of the divers. CONTRACTOR shall establish the requirements of a
Hyperbaric Reception Facility (HRF) at the proposed working depth for diving in their
EXECUTION STATEMENT within the technical submission for the ITT, in of the event that
saturation diving is proposed.

SUBCONTRACTOR shall be a member of the International Marine


Contractor Association for SAT and Air diving.

Air diving spreads shall be utilised for construction activities up to 30 meters depth of the sea
water, CONTRACTOR shall propose the activities which will be carried out using the air diving
vs saturation diving systems within their EXECUTION STATEMENT. CONTRACTOR shall provide
the adequate number of qualified and certified divers for the SCOPE. COMPANY shall approve
all the diving project team, OCS / Dive Supt, Dive Supv, Air and Saturation Divers, LSS, LST, ALST
and Dive techs before mobilisation.

CONTRACTOR shall provide an adequate number of Diver Medivac Technicians (DMTs) as


specified by IMCA D014, DMAC28 rev2.

Air diving systems shall comply to class requirements as specified within IOGP RP411, however
CONTRACTOR shall demonstrate ALARP. All Diving equipment shall be built to classification
rules.

CONTRACTOR shall ensure the emergency evacuation plan and systems comply to IOGP 478
and IMCA D053.

Deployment of diving crew shall comply to IOGP 411 and competent divers shall be deployed
only after prior approval from COMPANY. Lifting bag operations and specifications shall comply
with IMCA D016.

Diving supervisors must have DP familiarisation as per IMCA / OGP requirements.

CONTRACTOR shall:
(i) Ensure that self-propelled hyperbaric lifeboats (SPHL) are available for emergency
evacuation of divers as per IMCA/IOGP requirements (OGP Report no- 478) prior to
commencing diving operations.
(ii) Ensure current meter for current measurement and monitoring devices are installed on
the vessel prior to commencing diving operations.
(iii) Develop a Diving Manual highlighting all the applicable safety requirements and a copy
of the manual shall be available at site for reference\
PERSONNEL and COMPANY.
(iv) Ensue that a Risk Assessment (HIRA lev 1 and 2) is prepared for all diving activities.
(v) Maintain redundancy in the critical equipment utilized for diving services.
(vi) Develop and implement an Adverse Weather Working Policy, including tidal and sea
state parameters acceptable to COMPANY.
(vii) Develop a project specific Diving Emergency Response Plan. All required life support
equipment including diving medical support for Diving together with a 24 hrs onshore
support facility shall be ready before sail of SPREAD.
(viii) Prepare and provide a bridging document/ Diving Project Plan and other interface
documents.
(ix) Provide a copy of IMCA/TPI certification for the saturation and air dive systems deployed
for the execution of the project.
(x) Provide design audit as per IOGP 411 requirement prior to mobilisation at

(xi) Provide secondary diver recovery, with regards to diving equipment.


(xii) Provide the policy on Diver Medic Technician numbers per team. COMPANY expects
back up in each shift should the primary member is unable to respond.
General Diving Requirement, Approvals and Offshore Operations:

The following clauses give the general requirements, approval process and offshore
operations related to Diving activities that are required as a minimum. For any conflict, the
IOGP 411 standards should be referred to.
12.2.1 Diving Equipment

All diving equipment shall be IMCA/IOGP compliant and hold a relevant free of Non conformity
DESIGN Document, the diving systems shall as a minimum be built, maintained and certified in
accordance with a classification society (IACS) approved by COMPANY for compliance with
classification society rules applicable to diving systems. The diving systems shall remain
certified by the Classification Society throughout the CONTRACT period. Prior to the
mobilization of any diving system, the CONTRACTOR shall ensure that an audit is conducted
complying to IOGP 411 in accordance with the Diving Equipment and Systems Inspection
Guidance Note (DESIGN), issued by D023, D024 and D053. The completed checklists shall be
made available to COMPANY for review. Once the audit is conducted, COMPANY has the right
to perform a Verification audit, verifying the diving system certification is valid, observing
diving system function tests, especially on emergency backup systems, launch and recovery
systems and winches. The diving gases being used should conform to international standard
and be verified by a Third-Party Agency.

The Diving Team shall carry its own suitable rigid inflatable boat together with 40 HP OBM and
spares. With the exception of divers utilising dry suits and full-face band-mask/helmet, all
divers are required to wear a full ' skin suit ' incorporating systems to ensure the suit does not
ride up the arms and/or legs of the diver during use. The ' skin suit ' must be in good condition
without holes or tears. Where the skin suit does not incorporate a hood a seal is required
between the skin suit's neck and the neck dam of the helmet or skirt/hood of the band-mask.
The diver's booties and gloves shall be secured / sealed to the skin suit in a manner that
prevents the ingress of marine organisms.

CONTRACTOR shall ensure that alternate and independent depth measurement mechanisms
are utilized for ascertaining the depth of the diver. Contractor shall mobilised adequate current
meters to ensure safe operating envelop for diving.
12.2.2 Diving Personnel

COMPANY/Certification agency reserves the right to review and approve the entire diving
crew; any diving personnel found not suitable shall be replaced.

All Divers/Diving Supervisors being deployed by the CONTRACTOR shall be qualified under

familiarization as per IMCA/IOGP requirements.

CONTRACTOR shall ensure All Divers/Diving Supervisors being deployed by the CONTRACTOR
should be qualified personnel i.e. IMCA D16-16 Guidance, or latest version (dived in the
preceding quarter) and certified medically fit by Doctor qualified in the field of underwater
medicine.

CONTRACTOR shall adhere to the Diving regulations/procedures with respect to safety,


manning levels and equipment in accordance with IMCA Code of Practice for Offshore Diving
D 014 Rev 2.1 and to include IOGP 411.
12.2.3 Diving Methodology

CONTRACTOR shall develop a Diving Methodology and shall include:


(i) All diving safety requirements using international / maritime regulations, guidelines
from IMCA/IOGP Code of Practice The methodology should cover the following as a
minimum:
(ii) All relevant regulatory requirements and applicable Guidance such as IMCA/IOGP
(iii) The proposed Diving Support Vessel and Diving Spread
(iv) Safety regulations, procedures, and restrictions
(v) Roles and Responsibilities
(vi) Minimum equipment and manpower as per IMCA / AODC Guidelines \ Specifications.
(vii) Minimum Offshore dive team composition and provision of additional diving medical
support as per IMCA/AODC/IOGP guidelines.
12.2.4 Surface Supplied Air Diving

CONTRACTOR shall ensure the following minimum requirements for surface supplied air
diving when two divers are deployed simultaneously, the communication system must allow
the divers two-way voice contact with the Supervisor and two-way voice contact between
both divers.
(i) Surface standby diver is mandatory during all diving operations.
(ii) The approximate depth of each dive shall be determined prior to the start of operation.
(iii) Repetitive Diving will be permitted only in exceptional circumstances by the COMPANY
(iv) Weights belts or weight integrated vests shall be worn for the appropriate suit and
depth, except when conditions dictate otherwise for the safety of the diver.
(v) A separate safety harness with a positive buckling device shall be worn.
(vi) The breathing mixture supplied to the diver must be composed of a mixture of gases
that is appropriate for the depth of the dive.
(vii) An appropriate decompression chamber shall be ready for use at the dive location.
(viii) Each diver will be continuously attended whilst in the water by a separate dive team
member.
(ix) Each diving operation shall have a primary and secondary breathing gas supply sufficient
to support divers for the duration of the planned dive including decompression. When
divers are breathing directly from inline compressor there shall be an alarm and an
automatic shutdown device for that compressor when purification / filter system has
reached an unacceptable level of contamination.
(x) When a HP compressor is in use to charge breathing gas storage devices, there shall be
an automatic shutdown device for that compressor when purification/filter system has
reached an unacceptable level of contamination.

(xi) Each diver will carry a reserve supply of breathing gas (bailout) which can be quickly
switched into the breathing circuit in an emergency.
(xii) All critical equipment should have been satisfactorily inspected by a reputable Third-
Party Inspection Agency prior to deployment
12.2.5 Saturation Diving

CONTRACTOR shall ensure the Minimum requirements for saturation diving are:
(i) Where 3-man bell runs are envisaged, the third diver will undertake the duties of
bellman and remain dry unless called upon in an emergency. Each diver may spend up
to 6 hours out of the bell in water.
(ii) Where 2-man bell runs are envisaged, each diver will spend no more than 4 hours out
of the bell in the water.
(iii) Bell runs SHALL last for no more than 8hrs. This time is taken from bell lock off, to bell
lock on.
(iv) The communication system must allow the divers two-way voice contact with the
Supervisor and two-way voice contact between both divers.
(v) Divers in saturation should take part in one bell run of no more than 8 hours in a 24-hour
period.
(vi) Divers in saturation should be given 12 hours rest period in every 24hs.
(vii) Divers will remain in saturation for a maximum of 28 days including decompression.
(viii) One qualified Saturation diver will be available for surface standby duties in every 12
hours work period.
(ix) The approximate depth of each dive shall be determined prior to the start of operation,
diver umbilical excursion limits to be adhered to.
(x) A separate safety harness with a positive buckling device shall be worn.
(xi) Weights belts or weight integrated vests shall be worn for the appropriate suit and
depth, except when conditions dictate otherwise for the safety of the diver.
(xii) The breathing mixture supplied to the diver must be composed of a mixture of gases
that is appropriate for the depth of the dive.
(xiii) Each diver will carry a reserve supply of breathing gas (bailout) which can be quickly
switched into the breathing circuit in an emergency
(xiv) Divers should be able to enter and leave the bell without difficulty.
(xv) Lifting equipment will be in place to enable a person in the bell to lift and unconscious
or injured diver in to the bell.
12.2.6 Gas Purity Requirements

CONTRACTOR shall
(i) Ensure all compressors, transfer pumps or booster pumps used for breathing air service
are subject to an air quality test every six months.

(ii) Ensure tests are taken at the discharge point which would normally supply the breathing

(iii) Ensure the documentation of these tests are kept on file and available on request.
(iv) Ensure compressors used for breathing gas transfer other than atmospheric air, are
checked every six months to ensure they do not induce contaminants into the gas being
processed. All Heliox gas supply quds shall be analysed not only for oxygen content, but
also for the helium balance gas.
(v) Ensure gas supply standard for helium oxygen mixes to BS EN 12021 table 8 or an
equivalent which allows a level of other unspecified non-toxic gases of less than 0.5% of
the volume.
12.2.7 Diving Operations

CONTRACTOR shall identify the tasks that constitute the diving operations and shall develop
the execution plan as part of .

CONTRACTOR to note that, all diving operations should be monitored by a CSR. All Diving

should participate in all risk assessments relating to the planned scope and is required to be
appointed in good time to achieve these objectives.

CONTRACTOR shall develop a diving project plan which should be reviewed and approved by
the relevant SME. It should include detailed work procedures and task plans. All concurrent
operations that may affect the diving operation including any isolations must be
communicated to the diving contractor to allow their risks to be assessed and their control
agreed.

The Diving Project Plan shall be inclusive but not be limited to:
(i) Outline Scope;
(ii) Codes, Standards and Reference Documents;
(iii) Risk Assessments (ref. OGP 411)
(iv) Specific Safety Concerns;
(v) Communication and responsibility organograms;
(vi) Interface with existing facilities and/or third parties;
(vii) Site Specific Emergency Response Plan HRC and Surface Supplied Reception Facilities
which include all necessary support for the evacuated life boat shall be provided at a
location where it is planned to be taken. An emergency plan shall be created, which
to affect this evacuation.
(viii) Step by step work procedure inclusive detailed procedural sketches and drawings;
(ix) Deployment of divers and standby divers;
(x) Equipment, tools and materials to be used and their deployment;
(xi) Permit to Work system;
(xii) Contingency procedures for e.g. equipment failures and deteriorating weather
conditions;

(xiii) Monitoring procedures (involvement e.g. of ROV);


(xiv) Reporting;
(xv) Quality control;
(xvi) Drilling mud and chemical risk assessments;
(xvii) Lift plans

The Diving Contractor is required to prepare and provide all contractual documentation which
must include but not be limited to the following:
(i) A mobilisation plan;
(ii) Safety Management Systems Interface Documents;
(iii) Guidelines and weather limits for working in adverse weather, written relative to the
capability of the vessel;
(iv) Emergency response planning;

CONTRACTOR shall plan the Pre start-up audits including Inspecting and auditing personnel,
equipment, vessels, procedures and controls against contract conditions prior to mobilisation.
In addition, diving contractors should have a process for self-auditing their systems and
equipment.

Require Diving Contractors to demonstrate proper functioning of critical systems.

IMCA Diving equipment auditing templates or their equivalent should be used for diving
systems All equipment should conform to OGP requirements. The Auditor shall be independent
of the Diving Contractor and approved by the Diving Centre of Excellence.

Familiarization of Diving Personnel - When arriving at a dive site before the start of a project,
all members of the dive team should familiarise themselves with the project and work
procedures, plant and any other relevant details, such as the deck layout of a ship. Also
following a crew change familiarisation of the personnel is required. Furthermore, a
familiarisation plan should be developed by the Contractor and should be included in the diving
project plan.

Diving operations - Offshore manned diving operations shall be executed only when a Diving
CSR is present (OGP Report 431). Where 24 hrs or continuous operations are carried out, there

under a permit to work. The CSR may request, but not order, the start of diving operations,
and has the authority to veto the start, or order the termination of diving operations through
the Diving Supervisor. Diving operations are to be carried out in accordance with the OGP
Diving Recommended practice and all Diving recommendations and Guidance notes produced
by the OGP.

MARINE TRANSPORTATION

CONTRACTOR shall provide marine transportation for all facilities removed as part of the
SCOPE including, but not limited to:

(i) All cargo barges, which shall be in all respects sound and seaworthy, certified within
class, capable of performing all required marine operations and suited to the cargo to
be transported and the LOAD-IN method;
(ii) All inshore and ocean going support vessels (including pilotage dues, necessary
equipment and personnel) shall be in all respects sound and seaworthy, certified within
class, capable of performing all required marine operations to transport the cargo barges
from their point of MOBILISATION to the PROJECT SITE, from there to the
DECOMMISSIONING YARD and ultimately to their point of DEMOBILISATION.
(iii) All cargo barges and the LIFTING VESSEL shall be delivered to the PROJECT SITE or
sheltered at an inshore transfer location complete with all necessary internal and
underdeck reinforcement, mooring points, bollards, mooring ropes, navigational aids,
ballast pumps, winches and support grillages.
(iv) CONTRACTOR shall provide all necessary personnel to undertake barge and LIFTING
VESSEL ballasting and mooring operations during all phases of the work and shall be
responsible for all aspects of safety relating to marine transportation, LOAD-IN from
TRANSPORT BARGES, and TRANSPORT BARGE[S] are moored to the quayside(s) at the
DECOMMISSIONING YARD .
(v) CONTRACTOR shall obtain all approvals, permits and authorisations necessary for the
tow of all cargo barges with the STRUCTURES removed as part of the project. This shall
include the provision of supporting documentation including certification, towing plans,
routes and safe havens, transportation analysis and calculations, weather forecasting
data and regulatory approvals and consents. No towing operation shall commence
without the unqualified written approval of the MWS.
(vi) CONTRACTOR shall tow the cargo barges to their ports of demobilisation on completion
of load-in of the STRUCTURES. Demobilisation activities shall also include the restoration
of the barges and their general cleaning.

LOGISTICS

CONTRACTOR shall provide all marine logistics support for the SCOPE. CONTRACTOR shall
develop a Marine Logistics Plan which clearly defines the marine logistics, operational
procedures and constraints and anchor patterns (where applicable) for all vessels operating at
or near the offshore WORKSITE and DECOMMISSIONING YARD, from initial MOBILISATION
through to final DEMOBILISATION.

CONTRACTOR shall supply all equipment


including anchor pennant buoys and, where required, mid-line buoys.

CONTRACTOR shall prepare and execute a Logistics Support Plan which shall define the source,
method of transportation and route for the supply of all permanent and temporary equipment,
spare parts and consumables required for SPREAD.

CONTRACTOR shall be fully self-sufficient for all phases of the offshore installation SCOPE and
shall be responsible for the supply of all crew (except COMPANY team members) and
supporting them twenty four (24) hours per day, seven (7) days per week with all necessary
equipment and services including, but not limited to, fully-crewed and equipped support and
accommodation vessel(s), fuel, food, water, HSSE requirements, Medivac facilities,

accommodation, logistics, communications, consumables, crew-changes, crew-change


helicopters if applicable, supply/support vessel(s), tow-tugs and AH tugs and all the required
loose lifting gears and containers to carry the materials.

OFFSHORE OPERATIONS
General

CONTRACTOR shall ensure that all personnel travelling offshore by helicopter must have
completed and be in possession of a valid BOSIET and HUET certificate carried out by OPITO or
similar approved agency.
Survey Equipment

All equipment shall comprise of state of the art technology, and the CONTRACTOR shall
demonstrate to the COMPANY the compatibility of the equipment with the relevant
installation vessels and equipment, and verify that they are suitable for use within the project
site.

All survey equipment shall be calibrated prior to commencement of the SCOPE, and re-
calibrated following completion of SCOPE. Pre-mobilisation testing shall be performed by
CONTRACTOR, to verify the proper functioning of all equipment at existing facility within the
field.
Anchoring and Mooring Operations

CONTRACTOR shall note that the field has existing pipelines in the vicinity of the WORK
locations and therefore installation barge anchor patterns will require careful detailing and
COMPANY approval.

The responsibility for correct laying and recovery of moorings and anchors in COMPANY
operated areas rests entirely with the CONTRACTOR.

All anchor handling and placement shall be performed in accordance with COMPANY approved
procedures and anchor placement envelopes. Failure to comply with requirements shall be
considered as negligence by CONTRACTOR. A log shall be maintained on the lifting barge and
SPREAD, detailing the date, time, location and description of each anchor placed.

All anchor patterns shall be submitted to COMPANY for approval prior to use, together with
full and detailed procedures.

accurately positioning anchors and directing the anchoring operation.

All installation barges and vessels using anchors must use a positioning system with accuracy
of more than 5 metres for mooring purposes.
Mooring Criteria

The mooring analysis must include a single worst case scenario and should be able to
demonstrate that such a failure shall not result in a collision of the vessel with any installation
and will not result in any other condition that may result in asset damage and or personnel
injury. It should clearly define the limiting parameters for the operation to continue.

The Mooring system (anchors, chains, wires, winches and brakes) as a whole shall have
adequate integrity and capability to withstand relevant operating conditions, extreme storm
conditions and any relevant accidental or temporary conditions (single component failures,
etc);

Where buoys are used to provide clearances, a means to detect their loss should be provided
e.g. tension monitoring, transponders, etc. The operating procedures should document the
loss monitoring procedure and the remedial actions required. Suitable spares should also be
readily available and stored on the barge. All buoys and jewellery required as per the mooring
analysis shall be provided by the CONTRACTOR.

CONTRACTOR shall:
(i) Ensure all marine activities shall be subject to review and approval by MWS and
COMPANY.
(ii) Supply all the installation and survey vessels, as well as equipment and personnel,
necessary to perform the WORK, together with all associated communications,
consumables, spares, rigging, victuals, and any other items or services necessary to
support the WORK
(iii) Original certification for all rigging items shall be included in the Installation Manual
prepared by the CONTRACTOR and reviewed and approved by COMPANY
(iv)
Management Procedure for all CONTRACTOR equipment
(v) Prepare detailed anchor plans. These shall indicate (where appropriate) the use of mid
line buoys or other methods of protecting the existing infrastructure during deployment
or use of the anchors. Catenary curves shall be presented for all critical anchor lines and
clearances to existing structures and pipelines shall be identified
(vi) Prior to the commencement of any installation activities, CONTRACTOR shall ensure that
all personnel are fully briefed of all installation procedures and requirements using the
COMPANY approved detailed and comprehensive installation manuals.
(vii) Provide weather forecast information from at least two independent sources on a
continuous basis during the transportation and installation phase to assist decision
making
(viii) Ensure the transfer of personnel between installations is controlled by the use of
identity/ T- cards and card racks so that in the event of emergency the location of all
personnel can be readily determined.

PIPELINE END PLUGGING AND PROTECTION

CONTRACTOR shall securely close all cut pipeline openings with concrete grout not less than

the pipeline. The pipeline ends shall be protected by installing concrete articulated mattress
with a minimum of 1m on either side resting on the seabed.

CONTRACTOR shall cut the subsea spools (both main and piggyback pipeline) near to the
platforms at J tube section to disengage the riser, install plug and protect the pipeline end with
concrete articulated mattress.

CONTRACTOR shall cut the risers at suitable location on each platform which will facilitate the
smooth removal of the Topsides as per approved removal plans. CONTRACTOR shall recover
the cut portion of spool either along with jacket removal or separately based on the feasibility
assessment and removal study at Normally Unmanned Installation (NUI) end.

CONTRACTOR shall protect pipeline ends with a grouted plug or equivalent. CONTRACTOR shall
explore the opportunity of executing the platform based cutting and plugging operations with
minimum diving intervention (platform based grouting operation utilizing hoses/coil tubing
etc.).

CONTRACTOR to note that both the pipeline and piggyback line will be cut in a single operation.
CONTRACTOR shall install the plug in both main and piggyback pipeline. CONTRACTOR to note
that the purpose of these pipeline plugs being to act as a barrier to prevent marine life from
entering the pipeline and prevent the flow of water through the pipeline not pressure
retaining.

CONTRACTOR shall transport the pipeline and piggyback line spool segment removed offshore
to DECOMMISSIONING YARD and dispose of or preferably recycle the same meeting regulatory
requirements.

RISER REMOVAL AND TRANSPORTATION

CONTRACTOR shall develop the detailed EXECUTION PLAN for the riser removal and issued for
the COMPANY to review and approval. CONTRACTOR to note that plug and end protection shall
be provided to both main pipeline and piggy back line.

CONTRACTOR shall be responsible for the disposal of facilities removed while executing the
removal scope and to complying with regulatory requirements.

CONTRACTOR shall comply with the roles and responsibilities matrix developed for the
interface. CONTRACTOR shall perform required engineering and develop technical documents,
resolve and incorporate technical comments provided by the COMPANY.

STRUCTURES REMOVAL AND TRANSPORTATION


General

CONTRACTOR shall carry out all the engineering activities, preparatory work, securing of loose
objects /equipment, removal of obstructions, survey, procurement, strengthening, retrofitting
and fabrication necessary for the removal, back loading and transportation of the STRUCTURES
in accordance with the requirements of the CONTRACT.

CONTRACTOR shall provide all resources, SPREAD, removal equipment, MATERIALS, labour and
consumables necessary to perform the removal, back loading and transportation of the
STRUCTURES in accordance with the requirements of the CONTRACT.
CONDUCTORS REMOVAL AND TRANSPORTATION

CONTRACTOR shall cut Conductors at -2.0 meters below the reference mudline elevations.

CONTRACTOR shall remove, transport and dispose of or preferably recycle the conductors
onshore, together with casings and any other internal strings.

CONTRACTOR shall establish the survey and preparatory work (strengthening and
reinforcement of existing members as well as scaffolding) requirements prior to the conductor
removal based on the proposed resources, removal methodology and technical information
provided within Section X- TECHNICAL INFORMATION.

CONTRACTOR shall carry out the removal engineering for lifting, removal and transportation
of the conductors, develop lift plans and design lifting aids to comply with the basis of design
for the project.

CONTRACTOR shall develop the removal plan for the conductors which shall include the
sequencing, lifting aids, lift plan, strengthening (if required) to temporarily support the
conductors on the jacket walkway or at cellar deck level.

CONTRACTOR shall review the lift weight, conductor height, structural integrity and propose
the resource to lift with sufficient redundancy to execute the removal operations safely. If
CONTRACTOR is proposing to remove conductors in multiple pieces then CONTRACTOR shall
develop the cutting plan, provide resources for the cutting operations and develop and provide
the temporary support requirements for the conductors. CONTRACTOR EXECUTION PLAN shall
include the high level feasibility assessment for the conductor removal (and describe whether
it is platform based removal, single piece removal or multiple piece removal using LIFTING
VESSELS etc.).

CONTRACTOR shall conduct additional survey if required to ascertain the structural integrity of
the conductor and develop optimum removal method for same. CONTRACTOR shall remove
any obstruction, damaged structural members and correct the misalignment in the event that
this is obstructing the safe removal of the conductors.
CONDUCTOR CUTTING

CONTRACTOR shall review the provided details within Section X- TECHNICAL INFORMATION
and develop the plan for cutting and removal of conductor, casings along with cutting drill
string.
BRIDGE REMOVAL AND TRANSPORTATION

Remove the identified bridge connects platform with the central processing facilities and blind
off process pipework, instrumentation and firewater connections between the two platforms.
TOPSIDES AND JACKET REMOVAL

CONTRACTOR shall carry out all activities to achieve the removal of the STRUCTURES, back
loading and transportation to the DECOMMISSIONING YARD.

CONTRACTOR shall carry out all the engineering activities, preparatory work, survey,
procurement and fabrication necessary for the removal, back loading and transportation of the
STRUCTURES.

CONTRACTOR shall provide all resources, SPREAD, removal equipment, MATERIALS, labour and
consumables necessary to perform the removal, back loading and transportation of the
STRUCTURES.

CONTRACTOR shall be responsible to ascertain the structural integrity of STRUCTURES and to


provide mitigation / reinforcement if required to perform safe removal, back loading and
transportation operations.

CONTRACTOR SCOPE for removal, back loading and transportation of STRUCTURES shall
include but not limited to -
(i) Removal, back loading and transportation Engineering and develop procedures
(ii) Preparatory work and Pre-decommissioning Survey if required
(iii) Separation / Cutting operations
(iv) Removal, back loading and transportation operations offshore.
TOPSIDES SEPARATION

If CONTRACT can perform the removal SCOPE only by separating the topside STRUCTURES in
parts, then CONTRACTOR will include, but not limited to:
(i) CONTRACTOR shall review the technical information provided within Section X -
TECHNICAL INFORMATION, conduct additional surveys if required to establish structural
integrity of the topsides and to verify the TECHNICAL INFORMATION attached in
CONTRACT to plan the removal operations.
(ii) CONTRACTOR shall perform all design and engineering, procurement and fabrication
activities to undertake the separation operations of the topsides from jacket by means
of cutting.
(iii) CONTRACTOR shall provide all the resources, SPREAD, MATERIALS, removal equipment
required for topsides separation.
(iv) Determine final cutting method and develop procedure.
(v) Develop schedule, estimated duration, planning and notification of the cutting
operations;
(vi) Establish access and scaffolding requirements;
(vii) Perform cutting operations for topsides separation and Maintain the stability of the
topsides during / post cutting operations.
TOPSIDES REMOVAL, BACK LOADING

CONTRACTOR SCOPE for topsides removal, back loading and transportation shall include, but
not limited to:
(i) CONTRACTOR shall execute Topsides removal, lifting, back-loading, securing, installation
of sea-fastening and transportation to the DECOMMISSIONING YARD in accordance with
the requirements of the CONTRACT.
(ii) CONTRACTOR shall perform all required design and engineering, procurement and
fabrication activities to undertake the removal, back loading and transportation of
Topsides.
(iii) CONTRACTOR shall provide all the resources, necessary or incidental labour, SPREAD,
removal equipment, MATERIALS required to undertake Topsides removal, back loading
and transportation operations.

(iv) CONTRACTOR shall be responsible to manage the transportation and logistics required
to execute the work.
(v) CONTRACTOR shall provide safe means of access and egress from top of Topside during
Topside removal activities;
(vi) CONTRACTOR may conduct pre-decommissioning survey to establish the structural
integrity of topsides, to validate technical information provided in CONTRACT and
provide reinforcement if required to perform removal, back loading and transportation
operations safely.
(vii) CONTRACTOR shall provide all the resources and spread required to execute lifting
operations including but not limited to rigging, slings, lifting aids, spreader beams, lift
frames, etc.;
(viii) CONTRACTOR shall execute all activities associated with setting up barge(s) and vessel(s)
alongside the platform;
(ix) Design equipment, tooling and sea-fastening with sufficient tolerances to allow for
possible inaccuracies in COMPANY provided drawings and documents. Develop the
details of counter weights, if required, for safe removal, transportation and back loading
operations of the topsides.
(x) CONTRACTOR shall obtain all approvals, permits and authorizations, statutory and
regulatory approvals necessary for the tow of all cargo barges with their respective
STRUCTURES. CONTRACTOR to note that no towing operation shall commence without
the consent of the MWS and COMPANY.
(xi) CONTRACTOR shall provide all necessary items for back-loading, load-in and
transportation operations inclusive of:
(A) Temporary securing arrangement during back loading, Load-in shoes/Support,
(B) Rigging (shackles, slings, approach platforms),
(C) Installation aids and counter weights if required,
(D) Stability check of vessel and mitigation if applicable during back loading
operations
(E) Sea-fastening and Grillage.
(F) Modification and strengthening work on vessels and barges if applicable
JACKET REMOVAL AND BACK LOADING
a) CONTRACTOR SCOPE for Jacket removal, back loading and transportation shall include, but
not limited to:
(i) CONTRACTOR shall execute Jacket removal, pile cutting, lifting, back loading, securing,
installation of sea-fastening and transportation to the onshore DECOMMISSIONING
YARD in accordance with the requirements of the CONTRACT.
(ii) CONTRACTOR shall carry out all required engineering, procurement and fabrication and
provide all necessary resources, removal equipment, MATERIALS, SPREAD, necessary or
incidental labour required to undertake the removal, back loading and transportation of
Jacket.

(iii) CONTRACTOR may conduct Jacket survey if required to ascertain structural integrity of
the Jacket, and to validate the TECHNICAL INFORMATION attached in CONTRACT and to
plan the removal operations.
(iv) CONTRACTOR shall provide the safe means of access and egress from top of Jacket
during removal operations;
(v) CONTRACTOR shall maintain the Jacket stability during the cutting and removal
operations and shall review the requirement of supporting the mud-mat due to scour to
get the sufficient on bottom stability.
(vi) CONTRACTOR shall remove the soil plug or any other obstructions inside the piles and
Jacket structure obstructing cutting or removal operations.
(vii) CONTRACTOR shall cut the pile at -2.0 meter below the reference mud-line, however
any difficulties or technical challenges are encountered in utilizing internal cutting tools
while performing the offshore operations, piles will be cut externally not be less than -
0.5 meters from the reference mud-line level with prior approval from COMPANY.
(viii) CONTRACTOR shall review and develop a cutting method for jacket piles. CONTRACTOR
shall submit the jacket removal EXECUTION PLAN including the pile cutting method
within their technical proposal.
(ix) CONTRACTOR shall be responsible for collecting all necessary data and carry out the
survey (if required) to ensure removal, Pile cutting, back loading and transportation
operations are executed in accordance with the CONTRACT.
(x) CONTRACTOR shall provide all the resources and spread required to execute lifting
operations including but not limited to rigging, slings, lifting aids, spreader beams, lift
frames, etc.;
(xi) CONTRACTOR shall remove any other loose debris or structural elements within the
jacket periphery which could potentially lead to a dropped object scenario during lifting
and removal of the jacket.
(xii) CONTRACTOR shall perform all the activities associated with setting up barge(s) and
vessel(s) alongside the Jacket;
(xiii) Removal from the seabed of items placed or inadvertently dropped by the
CONTRACTOR, and verification thereof, as set out in the Article hereof entitled Debris
removal;
(xiv) CONTRACTOR shall provide navigational aids and anti-collision measures if required due
to removal of Jacket in more than one campaign;
(A) Provision, installation, decommissioning and removal of any permanent or
temporary provision of wreck identification measures (buoys, transponders, etc)
until completion of the work.
(B) CONTRACTOR shall reinstate the integrity of the spider deck walkway if required
and the access route via the stairways leading to cellar deck level, including the
intermediate platform if required. Alternatively, CONTRACTOR may plan for a
prefabricated working platform to be installed for the safe operations to support
the cutting spread and rigging required during the removal activities.

(C) CONTRACTOR shall provide the equipment for soil plug removal such as airlifting
type or any other equipment to remove the entrapped soil within the piles to allow
access for internal cutting tools. CONTRACTOR shall ensure the sufficient
redundancy for planning and designing the soil plug removal tool.
(D) CONTRACTOR shall be responsible for the removal of all marine growth of the
STRUCTURES. Marine growth shall not be disposed offshore and shall be
transported with the STRUCTURES to the DECOMMISSIONING YARD.
(xv) CONTRACTOR shall provide all necessary items for back-loading, load-in and
transportation operations inclusive of:
(A) Temporary securing arrangement during back loading, Load-in shoes/Support,
(B) Rigging (shackles, slings, approach platforms),
(C) Installation aids and counter weights if required,
(D) Stability check of vessel and mitigation if applicable during back loading
operations
(E) Sea-fastening and Grillage.
(F) Modification and strengthening work on vessels and barges if applicable
REDUNDANCY / CONTINGENCY FOR THE CUTTING SPREAD

CONTRACTOR shall build sufficient redundancy and contingency for mobilization of the cutting
spread and tools, including planning for the alternative cutting tools. Any standby time incurred
plug or any mismatch with
as-built information etc. shall be for CONTRACTOR responsibility.
LOAD-IN OPERATIONS FOR STRUCTURES

CONTRACTOR shall carry out all required load-in engineering, procurement, fabrication and
provide all necessary equipment, resources, materials, temporary work, fabrication, labour,
consumables required to undertake the LOAD-IN operations for the STRUCTURES /any other
object removed offshore as part of the SCOPE.

CONTRACTOR shall execute the Load-in of the STRUCTURES by lifting, skidding or using trailers
as applicable or any other alternative method based on approved design and procedures.
CONTRACTOR shall develop the EXECUTION PLAN for LOAD-IN operations including
engineering activities to be performed, proposed resources and method for executing the
same near quay side onshore and include the same within technical proposal.

CONTRACTOR shall preform all design and engineering activities required in sufficient details
complying with the Code and Standards in Section X TECHNICAL INFORMATION.
CONTRACTOR shall develop LOAD-IN manual which will subject to COMPANY and MWS
approvals. CONTRACTOR shall obtain all the regulatory and statutory approvals required to
perform LOAD-IN operations.

DEBRIS CLEARANCE

CONTRACTOR shall plan and execute a survey prior to removal of structures activities in order
to identify, verify and inventories the debris which was caused by COMPANY operations and
for safe removal of structures.

CONTRACTOR shall be responsible for the removal of all debris.

CONTRACTOR shall remove large debris, within a radius of 500m from the centre of the
platform. Large debris would be considered as, but not limited to; dropped pumps, valves,
structural members, scaffolding materials and the like.

CONTRACTOR shall remove large debris that pose a snagging hazard, then sweep the rest with
a 500m radius from the
centre of each platform.

CONTRACTOR shall transport recovered Debris to onshore DECOMMISSIONING YARD, transfer


and recycle or dispose the same in compliance with applicable statutory and regulatory
requirements and technical information attached within Section X TECHNICAL
INFORMATION.

CONTRACTOR shall develop Debris Removal Plan based on the base line survey data and submit
the same for COMPANY approvals before executing the same offshore .CONTRACTOR may
utilize a gorilla net of sufficient size and capacity to clear the debris found near the platform
area and in the event large debris cannot be retrieved from the gorilla net and may impact the
other users of the sea, it shall be retrieved by CONTRACTOR using an appropriate removal
method.

CONTRACTOR shall propose the wire net or gorilla net size and other technical details based
on their expertise of similar projects within their technical submission for COMPANY review
and approvals.

CONTRACTOR may propose any other alternative and efficient method for the debris removal
within their technical proposal together with technical justification for COMPANY review.

CONTRACTOR shall be responsible, at its cost, for the retrieval of any object temporarily placed
on the seabed or inadvertently dropped during the execution of the SCOPE.

CONTRACTOR shall immediately notify the COMPANY of any dropped object occurrence during
the survey, removal and transportation operations.

CONTRACTOR to note that Debris is considered to be any man-made object or obstruction that
is leftover as a direct result of operational life of the offshore field and the associated
decommissioning activities.

CONTRACTOR shall remove debris from the seabed in a safe and controlled manner, reducing
the risk to marine life, COMPANY assets, personnel and the environment to as low as
reasonably practicable (ALARP). CONTRACTOR shall engage with reasonable notice to the
COMPANY on any debris they consider not necessary to remove as per the Pre-
Decommissioning Debris survey. COMPANY shall confirm to the CONTRACTOR if such debris
can remain can be left in place.

POST DECOMMISSIONING SURVEY

CONTRACTOR shall perform the required post decommissioning surveys at all PROJECT SITES
following completion of the removal SCOPE.

After completion of removal activities, CONTRACTOR shall carry out the survey to verify that
the site is clear of seabed debris and obstructions. CONTRACTOR shall carry out the sonar
survey which must cover 100% of the appropriate grid area, ensuing sonar signals with a
frequency of at least 500kHz to demonstrate that site is clear from the obstructions.

CONTRACTOR shall carry out all the survey in the presence of a Third-Party Inspector
(TPI)/MWS and shall obtain the required MWS/TPI approvals and submit all records along with
report to COMPANY for review and approvals.

CONTRACTOR shall carry out the survey to ensure that both cut and disconnected ends of the
pipelines have been plugged and protected. CONTRACTOR shall carry out the survey for the
pipeline location within the pipeline corridor. This survey data and the pipeline location will
form the reference location for the pipeline and will be utilised to compare it with the post
monsoon survey data planned for the stability confirmation of the pipeline.

SITE CLEARANCE AND VERIFICATION

CONTRACTOR shall prepare the detailed completion report which should include a summary
of facilities (topsides, jacket and pipeline) decommissioning operations including date of
completion, any mitigation measures taken and a statement confirming that platforms and
pipelines have been decommissioned as per the approved decommissioning plan. A
completion report shall be generated and signed by authorized representative and submitted
within 45 days of facility decommissioning being completed.

CONTRACTOR shall perform As-left surveys by suitable acoustic scan surveys covering 100 per
cent of the appropriate grid area and being certified by a third-party for verification.
CONTRACTOR shall submit a scanned report together with a completion letter after the facility
removal is completed and this shall be signed by an authorized representative within 60 days
of the completion of the verification activities to certify that the WORKSITE is clear of all
obstructions. The letter shall include the date the verification work was performed, and the
vessel used, together with the survey method and the extent of the survey area.

CONTRACTOR shall submit the third-party audit report on the contractors SCOPE completion
dossier to COMPANY after carrying out site clearance within 90 days.

CONTRACTOR shall perform a stability baseline survey for the abandoned pipelines which will
be used as baseline/reference location and to be used to demonstrate the stability by
conducting the post monsoon survey of the as left pipelines.

DISPOSAL AND WASTE MANAGEMENT

General

CONTRACTOR shall be responsible for the onshore disposal activities of all debris, wreckage
from offshore. The CONTRACTOR shall ensure that waste is disposed safely without harm,
hazard to people or environment. CONTRACTOR shall prepare and submit for review the Waste

Management Plan in line with all applicable rules and regulation. CONTRACTOR shall also refer
to BSP-02-Procedure-1636-Waste Handling Procedure in Section X Technical Information.

CONTRACTOR shall ensure that all dismantling, disposal and waste management operations
are complying with national statutory and regulatory requirements.

The CONTRACTOR shall ensure that waste is managed in a responsible way, through
application and active stimulation of source reduction, reuse, recycling, recovery, treatment,
minimise disposal to landfill (on the basis of the ALARP principle).

The CONTRACTOR shall be responsible for all permits, consents and notifications required for
the dismantling and disposal of the STRUCTURES and shall maintain a schedule of applications
and receipts of such permits and consents.

The CONTRACTOR and SUBCONTRACTORS are expected to demonstrate their effort towards
continuous improvement through developing new technologies of processing methods that
have less impact on the environment and/or increasing safety and efficiency.

The CONTRACTOR shall be entirely responsible for ensuring that the CONTRACTOR and
SUBCONTRACTORS have, maintain and operate within all necessary licences, exemptions,
consents and authorizations for waste removal, recovery and/or disposal for every waste
stream relevant to the CONTRACT.

CONTRACTOR shall ensure that DECOMMISSIONING YARD fulfil all regulatory requirements as
applicable and other authority requirements and permission for waste disposal for all materials
including hazardous materials (e.g. Environmental consent) transported from offshore.

CONTRACTOR shall have procedures in-place for measuring and handling all waste products
and such procedures shall be fully understood by all applicable personnel of the CONTRACTOR
and its SUB-CONTRACTORS. CONTRACTOR is encouraged to reduce waste and move it up the
waste hierarchy. CONTRACTOR is responsible for creating a map waste inventory map against
the materials inventory. The waste inventory map will convey the status and route of the waste
generated from yard to final disposal site.

CONTRACTOR shall clean and prepare the facilities in such a way as to maximise the
subsequent recycling of materials and to minimise the amount of hazardous waste produced.
This will include removal of all hydrocarbons such as diesel and hydraulic oil that may be
present on platforms. There shall be no discharges to sea without treatment or which is non-
compliance to applicable statutory standards. All wastes generated during the cleaning and
preparation process shall be properly treated and discharged safely and in compliance to
applicable rules and regulations.

CONTRACTOR shall provide copies of waste management licences/permits for the sites to
COMPANY for review.

Waste Tracking System

CONTRACTOR shall develop a comprehensive waste inventory and material tracking system to
allow recording and reporting of all waste and agreed handover at various points in the waste
management chain from receipt of STRUCTURES through to final fate (i.e. reuse, recycling or
disposal). The system shall be agreed in advance with the COMPANY, implemented throughout

the duration of the CONTRACT and will be subject to audits by the COMPANY to verify
compliance.

CONTRACTOR shall be responsible for producing reports in a format and timescale required by
the COMPANY and specific to the legal requirements of the country in which the waste is
handled.

All waste streams shall be identified and adequately segregated for proper treatment.
Transportation used for waste material evacuation shall be weighed upon arrival at and
departure from the DECOMMISSIONING YARD. Where waste streams are transported in
containers, the CONTRACTOR shall obtain the actual weight/volume from the final
DECOMMISSIONING CONTRACTOR.

CONTRACTOR to note that the CONTRACTOR and SUBCONTRACTOR GROUP/S who will dispose
the waste must be approved by the Governing Authorities to receive, store, transport and
dispose the waste and shall acquire all requisite environmental consents for safe disposal of
the materials from the Concerned Authorities.

CONTRACTOR to note that the waste disposal vendor shall maintain records of waste receipt,
transportation, storage and disposal along with specific waste disposal details including date
of disposal, disposal method (Reuse, Recycle, Landfill, Incineration etc.) quantity of disposal,
details about end use etc. in a timely manner and share the same with the COMPANY on a
routine basis.

CONTRACTOR shall provide the end use declaration for all materials to be disposed and where
applicable, dual use control undertaking as per governing regulations.

CONTRACTOR shall have the right to inspec -


contractors) facility, disposal site, associated locations and management documentation at any
point of time.

CONTRACTOR shall provide the end user certificate for all materials to be disposed off as part
of SCOPE. CONTRACTOR shall provide the access to DECOMMISSIONING YARD to COMPANY
representative / TPI to conduct the inspection and audit required as part of the project.

Waste Survey / Identification

STRUCTURES will have been drained, cleaned and flushed by the COMPANY. However, this is
no guarantee that hydrocarbons, other flammable liquids, NORM, mercury, asbestos or other
wastes are not present in the systems. CONTRACTOR shall be responsible for its own survey to
establish for itself the nature and quantities of all substances and materials in the STRUCTURES.
Removal and Disposal of Hazardous Wastes

In the event that Hazardous waste including but not limited to NORM, Mercury, Asbestos are
found by CONTRACTOR, CONTRACTOR shall be responsible for its safe disposal and its
management.
(i) CONTRACTOR shall provide trained personnel and equipment for the removal of
hazardous wastes from the STRUCTURES and subsequent storage, treatment and
disposal, including, where necessary, specialist licensed waste SUBCONTRACTORS.

(ii) CONTRACTOR shall remove all hazardous waste and treat, recover or dispose of such as
soon as possible after delivery of the STRUCTURES to the DECOMMISSIONING YARD, and
shall provide the COMPANY with Certificates that such waste has been recovered or
disposed of in an environmentally acceptable manner.
(iii) CONTRACTOR shall, following removal of hazardous wastes from the STRUCTURES, carry
out all necessary cleaning of the STRUCTURES in preparation for re-use, recycling or
disposal.
(iv) CONTRACTOR shall ensure and demonstrate that all recovery and disposal activities,
including reuse and recycling, are carried out in full compliance with all governing
legislation, permits and in accordance with agreed disposal procedures.

DECOMMISSIONING YARD
General

CONTRACTOR shall LOAD IN STRUCTURES to the DECOMMISSIONING YARD located at Pulau


Muara Besar in Brunei unless approved otherwise.

CONTRACTOR shall be responsible for all associated planning in performing SCOPE with the
DECOMMISSIONING YARD.

CONTRACTOR has provided an alternative Dismantling Yard outside Brunei as attached in


CONTRACTOR shall be responsible for all associated requirement including regulatory
approvals in and outside Brunei in transporting STRUCTURES out of Brunei.

As a minimum any Decommissioning Yard shall meet following requirements:


(i) Availability and access of a waterfront area with adequate draft for proposed resources
and load-in method.
(ii) Access to available yard space in proximity to the above waterfront.
(iii) Direct marine (jetty operations) or yard handling experience
(iv) Load-in facility with sufficient load bearing strength of soil
(v) Crane, breaking, and recycling facilities
(vi) Waste management (incl. for hazardous waste) facilities and permits should be
available incl. extraction, storage, treatment and disposal facilities
(vii) Infrastructure availability
(viii) Facilities for processing consents and approvals from the local Government or
statutory bodies for various types and quantities of wastes inventories.
(ix) Linkages with approved local subcontractors and interfacing facilities to carry out
similar waste management work and demonstrate safe disposal
(x) Required permits and consents to perform the SCOPE.

The disposal activity starts as soon as the STRUCTURES are safely placed and secured at the
disposal site.

CONTRACTOR shall develop the Reuse, Recycle, and disposal plan based on the inventory of
material and clearly define the elements which will be reused, recycled and disposed of
including the methodology.
Dismantling of STRUCTURES

CONTRACTOR shall be fully responsible for all activities required to safely dismantle and
dispose of the STRUCTURES including:
movement of STRUCTURES from the quayside to the demolition locations;
safe storage of all STRUCTURES (including intermediate and final storage locations);
preservation if reuse is identified for STRUCTURES, piping and equipment;
removal of marine growth from the Jacket;
STRUCTURES to be made safe and inert (hydrocarbon free) before dismantling
commences, if required
demolition of STRUCTURES into disposable sizes and quantities;
segregation of non-hazardous wastes by waste type;
interim storage of non-hazardous waste streams on demolition or intermediary sites;
loading and transport of recycled materials to recycling locations or point of shipment;
loading and transport of all other non-hazardous waste streams to ultimate disposal
locations.

CONTRACTOR shall develop the project specific emergency and disaster management plan for
the onshore yard.

CONTRACTOR shall prepare and issue Method statement for load-in, site move, erection or
demolition, lift of components of the STRUCTURE weighing more than 25 tons and for any
complex lifts involving devices regardless of weight. COMPANY may require the document for
information only.
DELIVERABLES FOR ONSHORE RECYCLING AND DISPOSAL

As a minimum CONTRACTOR shall develop the following deliverables for onshore recycling and
disposal SCOPE
(i) Environmental, social and health management plan (ESHMP).
(ii) Dismantling engineering report.
(iii) Dismantling procedure/plan.
(iv) Waste Management plan.
(v) Updated inventory of material.
(vi) Waste inventory tracking system / map.
(vii) HAZID update report.
(viii) Permits and Consent register.

Purpose of this section is to provide CONTRACTOR an overview of:
a) IT Governance & Control.
b) IT Data Security Standards and DEP.
c) Manage IT Software for CONTRACTOR.
d) Manage IT Hardware materials that CONTRACTOR will supply if required in the duration of
the project.
IT Information Security and Control
CONTRACTOR shall as a minimum, comply with the following:

CONTRACTOR shall implement solutions and service changes that comply with subsequent
releases of the ISO 27001/2 or other equivalent information security standards and to the
COMPANY specific additional controls.

CONTRACTOR shall ensure, at its own cost and expense, that its staff performing the work
always complies with the terms and conditions of this agreement including, if applicable, the
requirements of the ISO 27001/2 or another security framework. CONTRACTOR shall
furthermore comply with the COMPANY requirements.

CONTRACTOR will ensure COMPANY data at rest or in transit is at all times segregated from
RACTOR has a
business relationship.

CONTRACTOR will ensure that all and any of its SUBCONTRACTORS comply fully with the
requirements herein specified.

CONTRACTOR will ensure that, in the event of any security incident they shall isolate all systems
and infrastructure containing COMPANY data immediately in such a way as to minimise loss or
damage to COMPANY data, systems or components and minimise the overall business impact
of the incident to COMPANY.

CONTRACTOR shall maintain clear guidelines and policies for disciplinary action (or similar)
associated with breach of security policies, and shall operate an effective security education
program for their staff on a continuous basis.

CONTRACTOR shall notify COMPANY in advance of any material changes to the CON
information security strategy, policies, operational standards or procedures and shall obtain
COMPANY written agreement to such changes before they are implemented.

CONTRACTOR shall maintain accurate and up-to-date records of all software owned by or
distributed by COMPANY, and issued hereunder and shall control and use such software only
in accordance with COMPANY instructions.

CONTRACTOR shall ensure that their computer at all times runs a version of the Windows
operating system for which Microsoft actively provides security patches and that these patches
are installed.

CONTRACTOR shall ensure that their computer/ assets at all times run up to date anti-virus
software and a personal firewall and a process for maintaining it.

CONTRACTOR shall ensure that COMPANY data classified as Most Confidential data shall not
be accessed or stored through any Third Party Access Method.

CONTRACTOR agrees and COMPANY ensure that CONTRACTOR PERSONNEL uses any public or
third party managed email accounts using COMPANY Third Party Access will be solely for
purposes of the performance of the CONTRACT and furthermore shall notify any COMPANY
staff receiving messages from such account(s) are aware that such messages are provided in
ERSONNEL

CONTRACTOR shall develop, implement and maintain a set of processes designed to maintain
appropriate information security requirements, including a process to manage and remedy
temporary situations of non-compliance only in so far and to the extent necessary to

Upon onboarding of CONTRACTOR, the Information Management/Information Technology


(IM/IT) Agreement for IT Access and Security form will be signed between CONTRACTOR and
IT Department of COMPANY. The clauses stipulated in this agreement is attached in Section XI
- Forms.

Access by CONTRACTORS to the COMPANY information systems can present security risks to
both the information systems and the supporting IT Infrastructure. To ensure that connections
from the site office are controlled, the following IT agreements are required:

(i) All direct network connections to COMPANY must be covered by the IT Security
Agreement.

(ii) All relevant CONTRACTORS PERSONNEL must sign the Secrecy Agreement for protecting
COMPANY information assets.

(iii) For specific Application, a Business Information Disclosure form will need to be approved
by COMPANY. This will be initiated by COMPANY upon formal request from CONTRACTOR
via a COMPANY focal point to have access to specific application and specific data.
COMPANY approval will come from COMPANY Data Owner and COMPANY Application
Owner at that point in time.

(iv) For specific Application requested by COMPANY, a Third Party Access form will need to be
approved by COMPANY for the CONTRACTORS before Third Party Access method and
application is provided.
IT Software

e CONTRACTOR shall utilise technical information assets,


software, in connection with this CONTRACT which will be advised by COMPANY.

The COMPANY will provide access to acceptable tools for aspects such as 3D modelling,
planning and scheduling.

The COMPANY IT team provides support for applications where the project team is based.

CONTRACTOR shall complete a form or letter that lists the names of the proposed Authorised
Users and specifies the location from which the proposed Authorised User will access the

at its sole discretion, may make its approval depended on additional conditions.

Project for Engineering Information. Any CONTRACTOR system or software used will be Setup,
managed and supported by CONTRACTOR IT Focal Point.
Access and/or Use of IT Systems and Resources

CONTRACTOR shall access the COMPANY environment via their own computer, personal or
company, or Workstation provided by COMPANY for the purpose of executing and fulfilling the
scope of work agreed between COMPANY and CONTRACTOR. COMPANY systems/ network will
be maintained by COMPANY and third party suppliers engaged by COMPANY. COMPANY will
retain authority for approval and control of all COMPANY data and/or access rights/ IT
privileges.

CONTRACTOR must make use of the COMPANY systems and/or COMPANY IT facilities strictly
to the extent required to perform the work in accordance with the requirement of the Original
Contract and this agreement and shall not attempt to access any other systems nor attempt in
any way to disable or reconfigure any log files or facilities on COMPANY systems.

The availability of COMPANY IT helpdesk support is limited to access technology and shall be
provided in English. COMPANY will support and maintain custom applications only. For
purposes of carrying out work under this agreement, the connectivity between COMPANY and
CONTRACTOR shall be provided either through (a) internet access, or (b) on Brunei Shell
Petroleum premises.

CONTRACTOR shall not modify or add to the COMPANY IT Facilities and/or COMPANY IT
Equipment or connect such COMPANY IT Facilities and/or COMPANY IT Equipment to any other
network, facilities and/or equipment without the prior written approval of COMPANY.
CONTRACTOR shall ensure that any other party connected to CONTRACT
gain access, directly or indirectly, to the COMPANY IT Facilities and/or COMPANY IT Equipment

equipment as the case may be) whether specified in the Supply Order or not, without the prior
written approval of COMPANY.

COMPANY makes no representations, extends no warranties of any kind, either express or


implied, accepts no liability, and assumes no responsibilities whatsoever with respect to fitness

completeness of the COMPANY IT Facilities and/or COMPANY IT Equipment or any information
accessible through the COMPANY IT Facilities and/or COMPANY IT Equipment to the fullest
extent permitted by law. COMPANY extends no warranty concerning the results or effects
obtained through the use of the COMPANY IT Facilities and/or COMPANY IT Equipment.
COMPANY also does not guarantee that the access to the Customer IT Facilities and/or
Customer IT Equipment will not be interrupted or error free.

CONTRACTOR shall provide Internet access and printing services to COMPANY representatives
on both offshore Vessels and onshore CONTRACTOR offices for working purposes.

CONTRACTOR must report to COMPANY in a readily-accessible format and without delay, all
security incidents; suspected incidents; near-misses; suspected near misses; anomalies;
contact by law enforcement, regulatory or security authorities; and civil injunctions or search

attempt to access, use, steal, disclose, modify or destroy information and interference with or
misuse of information process infrastructure, applications and data relevant to the COMPANY
contract.

CONTRACTOR must report to COMPANY without delay and in detail any incidents or near
misses which constitute a potential or actual loss of income, loss or damage to data, loss or

CONTRACTOR must also cooperate with investigations reasonably deemed necessary in case
of a suspected incident. CONTRACTOR shall nominate a point of contact for security incident
management.

When developing and using an action plan and escalation procedures for any potential or
actual security breaches under the Agreement, CONTRACTOR must reasonably collaborate
with COMPANY in the root cause analysis and forensic investigation of the situation at stake.

Furthermore, CONTRACTOR undertakes to comply with COMPANYS chain of custody


requirements in regard of incidents or investigations under way, and support and facilitate
investigations initiated by COMPANY in accor

CONTRACTOR shall:

environmental baseline survey records, diving records, pre and post decommissioning survey
reports, close out report, TPI approved certificates etc. developed during the execution of the
SCOPE.

CONTRACTOR shall at all times maintain detailed records of the treatment, recovery and
disposal of all hazardous and non- -
The records shall, as a minimum, contain a detailed specification of materials, volumes/weights
and destinations. Such records shall provide confirmation of final disposal, the final disposal
site and the party responsible for such. Such documentation shall be in compliance with all
applicable laws.

CONTRACTOR shall provide the following not later than thirty (30) days after COMPLETION or
part thereof for each platform.
(i) As-Disposed Documentation, including the waste inventory and waste tracking
records;
(ii) Close out Report.

Final documentation shall be submitted in accordance with the requirements of Section VII
ADMINISTRATION INSTRUCTIONS, the Article headed INFORMATION MANAGEMENT.

CONTRACTOR shall maintain properly indexed as built files, which shall contain all relevant
documentation produced in the execution of the SCOPE.

All Documentation shall be handed over in accordance with COMPANY Procedures, ensuring
the requisite number of electronic copies are provided. All documentation shall spell out the
procedure number.

As part of the HANDOVER requirements for each discreet asset, CONTRACTOR shall handover
a complete package of technical documentation relating to that asset. Notwithstanding the
documents already provided during the CONTRACT the package shall contain all technical
documentation.

CONTRACTOR shall index and book mark all documentation to facilitate easy navigation. The
files should all be native files accompanied with the scanned *.pdf equivalent (book-marked in
content searchable format) versions showing all signatures.

Where it is not possible to provide native files in accordance with the above, CONTRACTOR
shall propose an alternative for consideration by COMPANY.

Information that is passed to COMPANY on a day-to-day basis (i.e. working copies), whether
for approval or otherwise, shall not form part of the final Information Handover package.

COMPANY shall undertake a final review to approve the Information Handover package.

SECTION VI INSURANCE REQUIREMENTS

1 TYPES AND AMOUNTS OF INSURANCE TO BE PROVIDED BY CONTRACTOR:


1.1 Worker's Compensation Insurance

(a)
employees of CONTRACTOR, who are engaged in the performance of SCOPE, to the minimum
limit required by any applicable legislation, including extended cover (where required) for
working offshore, but in any case, in an amount not less than USD $1,000,000 per occurrence.

1.2 General Third Party Liability Insurance
CONTRACTOR will arrange third party liability insurance, including coverage for sudden and
accidental pollution and contractual liability, for any incident or series of incidents covering the
operations of CONTRACTOR in the performance of the CONTRACT, in an amount not less than
USD $5,000,000 per occurrence.
1.3 Third Party and Passenger Liability Insurance
CONTRACTOR will arrange third party and passenger liability insurance as may be required by
applicable law or similar regulation in the countries of use for motor vehicles used by
CONTRACTOR in connection with the execution of SCOPE, in an amount not less than USD
$1,000,000 per occurrence.
1.4 Marine Insurance

(a) If any of SCOPE supplied under the CONTRACT involves the provision of vessels by
CONTRACTOR or is performed on or over navigable waters, CONTRACTOR will require the
owner or operator of those vessels to arrange the following additional insurances:
(i)
and, to the extent not provided below, collision liability in respect of all vessels used by
CONTRACTOR GROUP in the performance of SCOPE in an amount not less than the full
value of all vessels, craft, or floating equipment owned or hired by CONTRACTOR
GROUP; and
(ii)
performance of SCOPE including, but not limited to, coverage for injuries to or death of
masters, mates, and crews, wreck and debris removal, collision and (if applicable)
perty
damage liability, excess collision liabilities, and pollution liabilities.

(b) The policy limit for this insurance must be not less than the following United States dollars per

third party installations.
1.5 Aircraft Liability Insurance
If any of SCOPE supplied under the CONTRACT involves the provision of aircraft by
CONTRACTOR, or aircraft is used by CONTRACTOR GROUP in connection with the execution of
SCOPE, CONTRACTOR will arrange or require its SUBCONTRACTORS to arrange aircraft liability
insurance with a minimum limit of USD $150,000,000 per occurrence, unlimited as to the
number of occurrences.
1.6 Additional Insurance Requirements

(a) If directed by COMPANY, adequate goods in transit insurance to cover loss of or damage to
MATERIALS until arrival at any WORKSITE;

(b) CONTRACTOR will provide such further insurance as may be required under APPLICABLE LAWS.
