– Pursuant to the Commercial Law with the effect from 01 January 2006.

Both parties agree to the following terms and conditions:
 
Article 1: Subject of Contract
Party B provided services as below:

 Vehicles: New fully-equipped Type XXX cars with modern air-conditioners,


televisions, reclining seats..., Enthusiastic, attentive, and safe drivers
 Meal rate:100.000.d/meal According to the program + Breakfast
50.000d/meal supported by the company (if any)
 3-star standard room, Stay from 2-4 people/room
 Tour guide: Professional, enthusiastic, proficient, attentive service
throughout the route
 Sightseeing tickets: Guests can buy entrance tickets to the sights included in
the tour
 Boat tours according to the program
 Travel insurance according to regulations of Vietnam National Administration
of Tourism
 Drinking water in the car, anti-sickness medicine...

 If Party A reduces the minimum number of guests as stated in the signed
contract.5... guests, Party A shall bear 50% of the reduced unit price per
guest according to the contract. The increased number of guests is
calculated according to the unit price on the contract.

Article 3: Contract value


3.1 Tour fare:
– Package per 01 adult or children from 11 years old: 3 million…. VND
– Package per 01 children (from 5 years old to 10 years old): 1,5 thousand… VND
+ Adults and children from 11 years old: 3
+ Children (from 5 years old to 10 years old):2
Total: 13.200.000 VND ( 10% VAT included)
3.2 Payment method:
– Party A has the responsibility to make the payment for 80% of total tour fare on the
date of signing the contract. The amount of 80% of the overall payment: …9.600.000

Party A has the responsibility to make the payment for 20% of the overall payment and
other extra services (if any) to Party B when Party A receives the request of payment and
invoice from Party B.
Article 4: Rights and Liability of Party B
4.1 Rights:
– Require Party A to provide correct information of tourists in groups to facilitate travel.
– Receive the overall payment at the payment date of Article 3 of this Contract.
– If Party A cannot comply with the above stipulations in this Contract, Party B shall be
unilaterally terminated prior to its expiration. In this case, Party A shall pay a penalty of
the amount equal to work completed progress of Party B at this present when the
contract is terminated prior to its expiration.
4.2 Liabilities:
– Properly and fully implemented travel program with quality of service as commitment in
the Travel program or Appendix contract.
– Timely informing Party A of all difficulties, changes (if any) in the Travel program to
discuss and solve together.
Article 5: Rights and Liability of Party A
5.1 Rights:
– Require Party B properly and fully comply with the above stipulations in this Contract,
Travel program and Appendix contract.
– Require Part B to compensate when Party B cannot comply with the above stipulations
in this Contract, Travel program and Appendix contract.
– Incase Party A is not satisfied with services (if any) reasonably, Party B shall adjust
services.
5.2 Liability:
– Provide correct information for tourists in groups to facilitate travel.
– Pay the overall payment at the payment date of Article 3  of this Contract.
– If any changes of the travel program, inform Party B to discuss and agree together.
– In case of changing the number of members in a group or services after signing the
contract, Party A informs Party B as soon as possible about the situation to adjust
services and the contract. Party A shall fulfill all obligations arising before.
Article 6: Revision/Amendment and Cancellation of the Contract
6.1 Revision or Amendment:
– After signing the contract, in case of modification of the date of departure by Party A,
Party A must inform Party B as soon as possible to adjust services and fulfill all
obligations arising before and lose 10% deposit.
6.2 Cancellation:
– In case where the Contract is canceled by Party A or Party B, the penalty charge shall
be 50% of the overall payment.
– In case where the Contract is canceled by Party A or Party B no earlier than 02 to 04
days prior to the starting day of the tour, the penalty charge shall be 70% of the overall
payment.
– In case where the Contract is canceled by Party A or Party B no earlier than 01 days
prior to the starting day of the tour, the penalty charge shall be 100% of the overall
payment.
Article 7: Disclaimer
Party B shall bear no responsibility in the statements as below:
– Party A does not follow as mentioned at article 4.
– Party A does not use services as mentioned at article 1.
– Member(s) of groups of Party A leave the tour without notice and agreement of both
parties.
– In the event of any cause beyond reasonable control, including but not limited to: Acts
of God, Natural Disasters, Acts of War or Terrorism, Strike, Orders or Regulations of the
Government, accident, storm … etc… Party A and Party B agree to discuss and solve
together.
Article 8: Terms policy
8.1 Both parties undertake to perform strictly and fully the articles and conditions
stipulated in this present contract. Any/all amendment, cancellation or addition of one or
more terms, conditions of this present contract must be agreed by both parties in writing
and must be made into relevant annex.
8.2 Any disputes arising in reaction to this present contract or the breach of this present
contract shall be settled firstly by negotiation under goodwill, cooperativeness. Should
the negotiation fail, the matter shall be submitted to the competent court in Hanoi for
settlement. And the Court’s decision will be considered as final and binding on all
concerning parties to execute. The Court charges and other expenses, if any, must be
borne by the losing party, unless otherwise agreed.
This present contract is made into 02 (two) copies in Vietnamese and and 02 (two) in
English languages of equal validity. Each party will keep 02 (two) copies of each
language with the same validity. In the event of any inconsistency between the two
versions, the Vietnamese language shall prevail.

It might also incur additional costs for Party B in terms of reallocation of resources or adjustments needed, affecting overall service delivery efficiency.

If Party B fails to meet the contractual terms, Party A has the right to require compliance or compensation for undue services as specified in the contract . Party A can also demand service adjustments if dissatisfied with the initially provided ones, implying a refund or enhanced service to rectify the failing .

If Party A cancels the contract 3 days before the start of the tour, they are subject to a penalty charge of 70% of the overall payment, as mentioned in the contract .

The contract incorporates a disclaimer in Article 7, exempting Party B from responsibility for unforeseen events like natural disasters and acts of war .
