 Rental payment and Security will be 100% Cash at the time of Delivery.

 The entire responsibility of the products will be of yours i.e. any Breakage / Theft / Burnt shall be charged extra at actual.
 In case of damage and burnt the amount will be inform after inspection of the products.
 Also the rental will be payable till the time of clearance of all repaired/lost payments.
 CDP will maintain service and maintenance of the above mentioned products.
 No software and data backup support will be provided.
 The customer should not install any pirated software on the Desktop otherwise the customer will be responsible for any
legal consequences.
 Security amount is refundable at the time of returning the material in good and working condition.

Detailed Rental Terms & Conditions

COUNTWELL DATA PROCESSING (CDP) Services:


That CDP shall provide, hardware maintenance free of cost for the supplied hardware/equipment,
promptly, during office working hours and days.

Exclusion

 Responsibility of any ‘Virus infection’ to System/Computer will not be of CDP and CDP shall not provide
any ‘remedial anti-virus software’ and support.

 CDP does not take responsibility for any loss of data that may be caused due to failure of hard disk or
any machine failure.

Not Part OF Supply From CDP:

CDP shall be supplying the equipment without any OS / software unless and until specifically
specified by us. CDP can provide Microsoft software on monthly basics Under SPLA program with
Microsoft and same will be charge extra as applicable The customer/party undertakes not to upload any
unlicensed / pirated soft wares on the computer / equipment and if it does so, it does it on its own cost
and consequences.

On Extension Of Rental Period

Payment terms shall remain the same upon extension of rental tenure.
(The customer is required to inform in writing or via proper e-mail to extend the rental period of the
equipment, at least 7 days before the expiry date of rental period)

If the systems are not De-installed on due date and no further intimation is given, the equipment will
be Treated as extended and billing will be done for the same till the date of De-installation of
equipment.

Prorate Billing

 Payment terms shall remain the same upon short extension of rental tenure.
 Prorate billing shall be applicable only in specific cases.

Equipment Ownership:

That the equipment shall be used and remain in the custody of party during the hire period only and will
be handed back to CDP (the owner) at the time of expiry of hire period. In case party fails to hand over
equipment to CDP at the time of expiry of hire period, damages equal to hire charges for the hire
period/month shall become payable at once and equipment shall not remain under the use of party after
the expiry of hire period.

Shifting / Relocation of Equipment:

That the party shall install the equipment at the agreed place and the equipment shall not be moved to
any other place by party without written permission from CDP within the premises or outside the
premises.

In case party intimates for shifting of equipment from one location to other all expenses pertaining to
such shifting shall be borne by the party. However, CDP may offer to supervise the shifting process.
Customer’s Responsibility:

 In no case whatsoever the equipment be opened by anybody other than CDP or their authorized
representatives. Any such evidence will be escalated and assessed for loss or damage. This will violate
terms and affect CDP services. Customer shall stand fully responsible for all damages by such
occurrences.

 At the time of installation, Customer should make sure that the seal on the equipment is intact and the
seal should not be opened at any cost by the customer and if the seal is seen broken/opened after
installation any damage caused will be borne by the customer.

 The Customer is expected to provide proper power conditions (Earthing, Spike etc.) to the equipment
for its smooth performance and functioning. CDP will not be responsible for any connections or
electrical conditions external to the rental equipment.

 Customer will have to provide full access and support for inspection/verification of CDP system as and
when required.

Loss/Damage:

 In case of loss/damage/fault to equipment during the period the equipment is in the custody of the
Customer it would be for the CDP to assess the extent of monetary loss and recover the same from
Customer. The Customer in such a situation shall have the option to pay either the price of the
equipment or provide equivalent equipment as per satisfaction of CDP representative. The rent till the
date of such payment will be payable.

Termination of contract:

 Either party may terminate the contract/agreement, by giving to the other party 7 days’ notice in writing
of its intention to do so. Termination is subject to 50% payment of the balance rental duration.

 That all disputes or differences between the parties arising out of this agreement shall be subject to
jurisdiction of courts of Delhi only.

Force Majeure: CDP will not be responsible for any non-performance of its services due to natural
disaster, riots or law and order problems and situations that may fall beyond its control.

CDP reserves the right to take back the rented equipment from party’s premises in the event of any
violation of the conditions mentioned herein.

Customers must ensure the equipment is returned in good condition with intact seals. Any shifts of location require written permission and expenses for relocation are the customer's responsibility. Upon de-installation, equipment should not exhibit any unauthorized opening or tampering .

COUNTWELL DATA PROCESSING provides hardware maintenance free of cost during office hours but excludes responsibility for virus infections or data loss from machine failures. The customer is responsible for damages or losses during their custody, either paying for the damages assessed by CDP or providing equivalent equipment. The rental charges continue until repairs or compensation are settled .

Customers must ensure proper power conditions and prevent unauthorized equipment opening. They are fully responsible for damages during their custody, including covering financial costs or replacing the equipment to CDP's satisfaction. Full access for inspection and proper installation according to CDP's guidelines are mandatory .

If a customer wishes to extend the rental period, they must inform COUNTWELL DATA PROCESSING in writing or via email at least 7 days before the expiry date. Payment terms remain the same, and if no further intimation is given, the equipment will be treated as extended, and billing will continue until de-installation. Any agreed short extension period allows for prorate billing under specific cases .

CDP can reclaim equipment and terminate the agreement if customers violate terms, particularly involving equipment movement without consent or legal breaches such as software piracy. Either party may also terminate the contract with 7 days' notice, subject to a 50% payment of the remaining rental balance .

Installing pirated software on rented equipment is explicitly prohibited by COUNTWELL DATA PROCESSING. Customers are liable for all legal consequences if they install such software, as the CDP disclaims responsibility for any repercussions arising from the violation of this condition .

If the rented system is not de-installed and no intimation is provided, the equipment is considered to be under extended rental, and billing continues until it is de-installed. The equipment remains in the customer's custody during this period, with rent charges applicable until final return .

All disputes arising from the agreement between COUNTWELL DATA PROCESSING and the customer are subject exclusively to the jurisdiction of the courts of Delhi, ensuring legal proceedings are centrally located .

Customers are accountable if equipment is lost, damaged, or faulty while under their custody. They must either pay the assessed price or provide an equivalent replacement. Untimely returns also incur liability, with rent payable until financial reparations are made .

The security amount of Rs. 4500.00 is refundable upon returning the equipment in good and working condition. The security and rental payments must be made in cash at the time of delivery .
