This material is a general guide about the basic vocabulary you will need to develop
proficiency in English. Specially, this guide is designed to give you a basic understanding of
contract law vocabulary based. To help you understand, the guide is written in English-Spanish
form.

Este material consiste en una guía general del vocabulario básico que necesitarás para
desarrollar fluidez en inglés. Especialmente, a guía está diseñada para darte un entendimiento
general del vocabulario utilizado en derecho contractual. Para ayudarte a entender el

1 CONTRACT FORMATION – LA FORMACIÓN DEL CONTRATO

1.1 ELEMENTS OF THE CONTRACTS – LOS ELEMENTOS DEL CONTRATO


1.1.1 Definite terms
The basic or essential elements of the contract, without which the contract cannot exist.
Los elementos definitivos o esenciales del contrato, sin los cuáles no puede existir.

If a contract is not reasonably certain as to its material terms, then it is not enforceable as a contract.
Si un contrato no es lo suficientemente certero en cuanto sus elementos fundamentales no es exigible
como contrato.

1.1.2 Offer
An offer is an invitation to enter into a contract. The offer must be definite and create in the offeree an
expectation that with his acceptance a binding contract will be formed.
Oferta, invitación a contratar. Una oferta debe ser definitiva y crear en el receptor la expectativa de
que con la aceptación se creará un contrato que obliga.

1.1.3 Acceptance
Manifestation of assent, made by the perso that receives the offer, that he want to form a contract
according to the terms of the offer.
Manifestación definitiva de voluntad, por parte de quien recibe la oferta, de querer formar un contrato
de acuerdo con los términos de la oferta.

1.1.4 Consideration
A bargain for exchange, a detriment or a benefit received by a party or suffered by the other.
Consideration must exist to create a contract.
Negociación e intercambio, un detrimento o un beneficio recibido por una parte o sufrido por otra.
Este elemento, “consideration” debe existir para crear un contrato.

1.1.5 Executory contract


An executory contract is a contract awaiting full performance.
Un contract es ejecutable cuando se espera su cumplimiento completo.

1.2 GENERAL CATEGORIES OF CONTRACTS- CATEGORIAS GENERALES DE CONTRATOS

1.2.1 Contract implied in fact


A contract implied in fact arises from one party’s conduct that evidences she has impliedly entered into
a contract.
Un contrato implícito de hecho ( implied in fact ) surge de la conducta de una parte la cual muestra
que ella a celebrado in contrato.

1.2.2 Contract implied in law


Contracts implied in law are a fiction imposed by law to prevent one party’s unjust enrichment or to
compensate a performing party who has detrimentally relied on an express but unenforceable contract.
Un contrato implícito en derecho es una ficción de la ley para prevenir el enriquecimiento injusto de
una parte o compensar a la parte que ha actuado (ha pintado, ha construido, etc.) quien a sufrió un
detrimento con base en la promesa expresa pero no exigible de otro.

1.2.3 Unilateral contract


When the offeror seeks a complete performance and not a return promise to perform from the other
contracting party. The offeror simply promises to pay for an act if that act is completed. For example,
reward offers.
Cuando el oferente espera la ejecución completa de un acto y no una promesa en retorno. El oferente
sólo promese pagar por un acto si es ejecutado de forma completa. Por ejemplo, una oferta de
recompensa.

1.2.4 Bilateral contract


A bilateral contract contains two promises. Both parties make binding promises to perform and one
party’s promise is “bargained for” consideration for the other’s promise. To constitute a binding bilateral
contract there must be an express or implied offer coupled with an express or implied acceptance of
that offer.
Un contrato bilateral contiene dos promesas. Ambas partes hacen promesas obligatorias (firmes y
definitivas). Para crear un contrato bilateral obligatorio debe haber una oferta expresa o implícita y una
aceptación expresa o implícita.

1.3 AUCTION
An auction is where an auctioneer invites bids and the buyer’s bid is the offer which the auctioneer will
then have to accept to form a binding contract.
Una subasta existe cuando el subastador invita a otros a hacer oferta de pago (bids) y la oferta de
pago del comprador, es la oferta que el subastador tiene que aceptar para formar un contrato
vinculante.

1.4 OFFER EXPIRATION


The time by which the offer is not binding anymore.
El momento en el que la oferta ya no es vinculante.

1.5 OFFER REVOCATION


The act of the offeror removing the offer or finishing it.
El acto del oferente retirando la oferta o finalizándola.

1.6 REJECTION
The manifestation or conduct of the offeree not accepting the offer. It can be express or implied. It is
implied by conduct.
La manifestación o conducta del receptor de la oferta rechazando (no aceptando) la oferta. El rechazo
de la oferta puede expreso o implícito.

1.7 OPTION
An option is an offer that provides the offeree with assurances that the offeror will not revoke the offer
for a period of time. For an option use language such as: “This offer is firm and will not be withdraw
for one month”.
Una opción es una oferta que otorga al receptor de la oferta garantía de que el oferente no revocará
la oferta por un periodo tiempo. “Para una opción usa un lenguaje así: “Esta oferta es firme y no será
retirada por un mes”.

1.8 ACCCORD AND SATISFACTION


An accord and satisfaction is a procedure allowing contract parties to settle unliquidated good faith
disputes about what is owed under a contract without having to go to court.
Procedimiento que permite a las partes contratantes conciliar controversias, no liquidadas (la suma
está en disputa) en buena fe, acerca de lo que es debido bajo el contrato, sin haber tenido que acudir
al juez.

1.9 AMOUNT UNLIQUIDATED


An amount is unliquidated where the amount owed:
1. Was never agreed upon.
2. Was uncertain.
3. Was fixed in the original contract but is now disputed by one party in good faith.
Una suma es ilíquida cuando la suma debida:

1. No fue acordada.

2. Era incierta.

3. Fue fijada en el contrato original pero ahora es controvertida por una de las parte en buena fe.

1.10 CONTRACT CONDITIONS


A condition in a contract makes its enforceability depend on the occurrence or non-occurrence of an
uncertain event.
Una condición en un contrato hace que la su exigibilidad dependa de la ocurrencia o no ocurrencia
de un evento incierto.

1.10.1 Express conditions


Express conditions must be literally complied with.
Condiciones expresas deben ser cumplidas de manera literal.

1.10.2 Implied conditions


Implied conditions are inferred from the contract.
Condiciones implícitas se infieren del contrato.

1.10.3 CONDITIONS OF SATISFACTION


A contract may condition payment upon one party being satisfied with the tendered performance. If the
satisfaction involves a person esthetics or taste, then, that party is the sole judge of the performance.
Un contrato puede condicionar el pago en base a que una parte este satisfecha con la ejecución
realizada. Si la dicha satisfacción envuelve la estética o el gusto de una persona, dicha parte es el
único juez de la ejecución realizada.

1.10.4 Waiver
A waiver is one party’s intent to voluntarily abandon a contractual right.
Una renuncia es la intención de una parte de abandonar un derecho contractual.

1.10.5 Third-party beneficiary


A third-party beneficiary is a party intended as the beneficiary of a contract. The third-party beneficiary
is not a party to the contract but is allowed by law to enforce the contract.
Un tercero beneficiario es una parte entendida con la parte beneficiaria del contrato. El tercero
beneficiario no es una parte en el contrato pero la ley le permite ejecutar o exigir el contrato.

2 TRANSACTIONS IN COTRACTS – TRANSACCIONES EN CONTRATOS

2.1 DELEGATION OF DUTY


A delegation of a duty is the assignment to another of the duty to perform under the contract.
Delegar una obligación es asignar a otro la obligación de hacer algo de acuerdo con el contrato.

2.2 ASSUMPTION
An assumption agreement is a promise by an assignee to personally assume liability for the contract’s
performance.
Una acuerdo para asumir un contrato es una promesa, hecha por la persona a quien se asigna el
contrato, de asumir de manera personal responsabilidad por el cumplimiento del contrato.
