UNDERTAKING

I, __________________________________, understand that the following are


confidential in nature:

(a) information relating to commercial, financial, marketing, technical, information


technology, planning or other business affairs and internal records of the Company;

(b) trade secrets, know-how, methods, techniques, processes, computer programs,


inventions and other information relating to products, services or processes
marketed or used in the course of business;

(c) customer lists and other information relating to other persons, including customers
(existing and potential), subcontractors, aggregators, independent contractors,
employees, and co-venturers or any of their customers or potential customers; and

(d) log-in details, passwords, service auto logins, technical / service platforms of the
Company including those of its clients, credit card / payment details of its clients or
callers, service subscriber details, pricelists, service manuals and guidelines, training
modules or computer applications.

Notwithstanding the foregoing enumeration, in case of doubt as to whether a


particular information is confidential, the same shall be treated as confidential.

I shall not wittingly or unwittingly divulge the foregoing information to any


person or entity, even after my employment.

I shall exert utmost diligence to protect the foregoing confidential information,


and I shall hold myself liable for breach thereof whether intentional or due to
carelessness, inadvertence or failure to observe utmost diligence in handling the same.

I likewise understand that neither I, nor the Company can control the influx and
nature of messages to be processed, and that messages from the client’s subscribers are
varying in nature so much so that messages may range from friendly to adult. I
understand that messages that are adult in nature must be digressed from through the
employment of creative writing techniques.

Breach of this Undertaking shall render me liable criminally and / or civilly under
applicable laws and shall be a ground for my termination from employment.
