comprise the Contract#
The Co!ra&!or is a person or corporate 6ody =hose Bid to carry out the

The Co!ra&!orC( Bi% is the completed Biddin* !ocuments su6mitted 6y the
Contractor to the 2mployer and includes Technical and inancial Bids#
The Co!ra&! 'ri&e is the price stated in the Letter of Acceptance and
thereafter as ad5usted in accordance =ith the pro)isions of the Contract#
Da6( are calendar daysG mo!#( are calendar months#
A Defe&! is any part of the -ro5ects not completed in accordance =ith the
Contract#
The Defe&!( <ia9i7i!6 Perio% is the period named in the Contract !ata and
calculated from the Completion !ate#
The Em'7o6er is the party =ho =ill employee the Contractor to carry out the
=or>s includin* maintenance#
The Egieer is the person named in the Contract !ata (or any other
competent person appointed and notified to the contractor to act in replacement
of the 2n*ineer) =ho is responsi6le for super)isin* the Contractor4
administerin* the Contract4 certifyin* payments due to the Contractor4 issuin*

specified in the Contract !ata# The (ntended Completion !ate may 6e re)ised
only 6y the 2n*ineer 6y issuin* letter of e3tension of time#
Ma!eria7( are all supplies4 includin* consuma6les4 used 6y the contractor for
incorporation in the -ro5ects#
P7a! is any inte*ral part of -ro5ects =hich is to ha)e a mechanical4 electrical4
electronic or chemical or 6iolo*ical function#
A"ar!er means a financial year <uarter#
The Si!e is the area defined as such in the Contract !ata#
Si!e I:e(!iga!io Re'or!( are those =hich =ere included in the Biddin*
documents and are factual interpretati)e reports a6out the surface and su6'
surface conditions at the site#
S'e&ifi&a!io( means the Specification of the -ro5ects included in the Contract
and any modification or addition made or appro)ed 6y the 2n*ineer#
The S!ar! Da!e is *i)en in the Contract !ata# (t is the date =hen the Contractor
shall commence e3ecution of the pro5ects# (t does not necessarily coincide =ith
any of the Site -ossession !ates#
A S"9&o!ra&!or is a person or corporate 6ody =ho has a Contract =ith the
Contractor to carry out a part of the =or> in the Contract =hich includes =or>
on the Site#
The S"'eri!e%ig Egieer is the en*ineer in char*e of an administrati)e

Tem'orar6 ;ork( are =or>s desi*ned4 constructed4 installed and remo)ed 6y
the Contractor =hich are needed for construction or installation of the Wor>s#
The Te%er Pro&e((ig Commi!!ee ETPCF is the committee constituted 6y the
2mployer for recei)in*4 openin*4 processin* and e)aluatin* the 6ids#
A Varia!io is an instruction *i)en 6y the 2n*ineer4 =hich )aries the -ro5ects#
The ProMe&!(4 as defined in the Contract !ata4 are =hat the Contract re<uires
the Contractor to construct4 install4 maintain and turn o)er to the 2mployer
throu*h the 2n*ineer4 as defined in the Contract !ata# This term shall 6e used
synonymously =ith the term CWor>sD hereinafter or any=here in the Contract#
.3 INTERPRETATION
(n interpretin* these Conditions of Contract4 sin*ular also means plural4 male
also means female or neuter and the other =ay around# 1eadin*s ha)e no
si*nificance# Wor>s ha)e their normal meanin* under the lan*ua*e of the

4#$ 23cept =here other=ise specifically stated4 the 2n*ineer shall decide
contractual matters 6et=een the 2mployer and the Contractor in the role
representin* the 2mployer# Any clarifications on the Contract !ata shall 6e
*i)en 6y the 2n*ineer#
43 DE<EGATION
9#$ The 2mployer may dele*ate any of his duties and responsi6ilities to other
people after notifyin* the Contractor and may cancel any dele*ation after
notifyin* the Contractor#
-3 COMMUNICATIONS
+#$ Communications 6et=een parties =hich are referred to in the conditions are
effecti)e only =hen in =ritin*# A notice shall 6e effecti)e only =hen it is
deli)ered (in terms of (ndian Contract Act)#

+3 SUB-CONTRACTING
The contract shall not 6e assi*ned or su6'contracted =ithout the =ritten
appro)al of the 2n*ineer# 2mployment of la6our on piece rate 6asis shall not4
ho=e)er 6e deemed as su6'contractin*# (f the contractor assi*ns or su6lets
his contract or attempts to do so =ithout appro)al as aforesaid or 6ecomes
insol)ent or commence any on sol)ency proceedin*s or ma>e any
composition =ith his creditors or attempt to do so or it any 6ri6e4 *ratuity4 *ift4
loan4 per<uisite4 re=ard or ad)anta*e4 pecuniary or other=ise4 shall either
direct or indirectly 6e *i)en4 promised or offered 6y the Contractor or any of
his ser)ants or a*ents to any pu6lic officer or person shall 6ecome in any
directly or indirectly interested in the contract4 the 2n*ineer may a6solutely
thereupon terminate the contract as specified hereinafter =ith specified
conse<uences#
23 OTHER CONTRACTORS
7#$ The Contractor shall cooperate and share the Site =ith other contractors4
pu6lic authorities4 utilities and the 2n*ineer 6et=een the dates *i)en in the
Schedule of other Contractors# The Contractor shall as referred to in the
Contract !ata4 also pro)ide facilities and ser)ices for them as descri6ed in the
Schedule# The en*ineer may modify the schedule of other contractors and
shall notify the contractor of any such modification#
B3 CHANGE IN CONSTITUTION
Where the contractor is a partnership firm4 the pre)ious appro)al in =ritin* of
2n*ineer shall 6e o6tained 6efore any chan*es is made in the constitution of
the firm =here the contractor is an indi)idual or a 1indu'Indi)ided family
6usiness concern4 such appro)al as aforesaid shall li>e=ise 6e o6tained
6efore the contractor enters into any partnership a*reement4 =here'under the
partnership firm =ould ha)e the ri*ht to carry out the =or> here6y underta>en
6y the contractor# (f prior appro)al as aforesaid is not o6tained4 the contract
shall 6e deemed to ha)e 6een assi*ned in contra)ention of clause 0 hereof
and the same action may 6e ta>en and the same conse<uences shall ensure
as pro)ided in the said clause 0#
*,# MATERIA<S> MACHINER= ? EAUIPMENT
$%#$ The contractor shall arran*e and supply at his o=n cost all material4
machinery4 e<uipment4 plant4 tools 4appliances 4 implements 4ladder 4
corda*e 4tac>le 4 scaffoldin*s 4 =ater and po=er supply and temporary =or>s
re<uisite or proper for effecti)e e3ecution of the =or> 4 =hether ori*inal4
altered or su6stituted and =hether included in the specification or other
documents formin* part of the Contract or referred to these conditions or not
all =hich may 6e necessary for the purpose of satisfyin* or complyin* =ith the
re<uirements of the 2n*ineer as to any matter =hich under these conditions
he is entitled to 6e satisfied or =hich he is entitled to re<uire to*ether =ith the
carria*e therefore to and from the =or> #

$%#, The Contractor shall 6ear all the ta3es includin* transportation4 loadin*4
unloadin*4 stac>in* stora*e4 safe custody a*ainst the dama*e due to sun4
rain4 dampness4 fire4 theft etc#
$%#: The Contractor shall procure all material from sources appro)ed 6y the
2n*ineer in char*e in =ritin*# All the material 6rou*ht to the site shall 6e duly
accounted for 6y the contractor and *ot insured a*ainst loss due to any
reason =hat so e)er# -roof re*ardin* this supported 6y the copies of the
re<uisite document shall 6e re*ularly su6mitted to the 2n*ineer in char*e#
The department may summon the complete record of the procurement of
materials from the contractor at any time if needed# At site4 the material shall
6e accounted in a manner prescri6ed 6y 2n*ineer in char*e in =ritin*#
The material procured 6y the contractor shall 6e strictly accordin* to the
specification of that material conformin* to (S( standard&!epartmental
specifications or any other appro)in* authority as applica6le# Stora*e of the
material should 6e as per appro)ed norm# No dama*ed or inferior material
=ill 6e >ept at site of =or> for more than se)en days from the date of orders of
2n*ineer in char*e to remo)e the material#
**3 <ABOUR
The Contractor shall unless other=ise pro)ided in the Contract4 ma>e his o=n
arran*ements for the en*a*ement of all staff and la6our4 local or other4 and
for their payment4 housin*4 feedin* and transport#
The contractor shall4 if re<uired 6y the 2n*ineer4 deli)er to the 2n*ineer a
return in detail4 in such form and at such inter)als as the 2n*ineer may
prescri6e4 sho=in* the staff and the num6er of the se)eral classes of la6our
from time to time employed 6y the Contractor on the site and such other
information as the 2n*ineer may re<uire#
*.3 COMP<IANCE WITH <ABOUR REGU<ATIONS
!urin* continuance of the contract4 the Contractor and his su6'contractors
shall a6ide at all times 6y the all e3istin* la6our enactments and rules made
there under4 re*ulations4 notifications and 6ye la=s of the State or Central
;o)ernment or local authority and any other la6our la= (includin* rules)4
re*ulations4 6ye la=s that may 6e passed or notification that may 6e issued
under any la6our la= in future either 6y the State or the Central ;o)ernment
or the local authority# Salient features of some of the ma5or la6our la=s that
are applica6le to construction industry are *i)en 6elo=# The Contractor shall
>eep the 2mployer indemnified in case any action is ta>en a*ainst the
2mployer 6y the competent authority on account of contra)ention of any of
the pro)isions of any act or rules made there under4 re*ulations4 or
notifications includin* amendments# (f the 2mployer is caused to pay or
reim6urse4 such amounts as may 6e necessary to cause or o6ser)e or for
non o6ser)ance of the pro)isions stipulated in the notifications&6ye
la=s&Acts&"ules&re*ulations includin* amendments# (f any on the part of the
contractor4 the 2n*ineer&2mployer shall ha)e the ri*ht to deduct any money
due to Contractor4 the 2n*ineer&2mployer shall ha)e the ri*ht to deduct any
money due to the Contractor includin* his amount of performance security#
The 2mployer&2n*ineer shall also ha)e ri*ht to reco)er from the Contractor
any sum re<uired or estimated to 6e re<uired for ma>in* *ood the loss or
dama*e suffered 6y the 2mployer#

The employees of the Contractor and the Su6'Contractor in no case shall 6e
treated as the employees of the 2mployer at any point of time#
*@3 PERSONNE<
$:#$ The Contractor shall employ the >ey personnel named in the Schedule of Rey
-ersonnel as referred to in the Contract !ata to carry out the functions stated
in the Schedule or other personnel appro)ed 6y the 2n*ineer# The 2n*ineer
=ill appro)e any proposed replacement of >ey personnel only if their
<ualifications4 a6ilities and rele)ant e3perience are su6stantially e<ual to or
6etter than those of the personnel listed in the Schedule#
$:#, (f the 2n*ineer as>s the Contractor to remo)e a person =ho is a mem6er of
ContractorBs staff or his =or> force statin* the reasons4 the Contractor shall
ensure that the person lea)es the Site =ithin se)en days and has no further
connection =ith the =or> in the Contract#

$4#$ The 2mployer carries the ris> =hich this Contract states are 2mployerBs ris>s4
and the Contractor carries the ris>s =hich this Contract states are

$4#, Em'7o6erC( Ri(k(
The 2mployer is responsi6le for the e3cepted ris>s =hich are (a) in so far as
they directly affect the e3ecution of the Wor>s in (ndia4 the ris>s of =ar4
hostilities4 in)asion4 act of forei*n enemies4 re6ellion4 re)olution4 insurrection
or military or usurped po=er4 ci)il =ar4 riot commotion or disorder (unless
restricted to the ContractorBs employees) and contamination from any nuclear
fuel or nuclear =aste or radioacti)e to3ic e3plosi)e4 or (6) a cause due solely
to the desi*n of the Wor>s4 other than the contractorBs desi*n#
$4#: Co!ra&!orC( Ri(k(
All ris>s of loss of or dama*e physical property and of personal in5ury and
death =hich arise durin* and in conse<uence of the performance of the
Contract other than the e3cepted ris>s are the responsi6ility of the Contractor#
*43 INSURANCE
$9#$ The contractor shall pro)ide4 in the 5oint names of the 2mployer and the
Contractor4 insurance co)er from the Start !ate to the end of the !efects
Lia6ility -eriod4 in the amounts and deducti6les stated in the Contract !ata
for the follo=in* e)ents =hich are due to the ContractorBs ris>:
(a) loss of or dama*e to the Wor>s4 -lant and MaterialsG
(6) loss of or dama*e to 2<uipment:
(c) loss of or dama*e of property (e3cept the Wor>s4 -lant4 Materials and
2<uipment) in connection =ith the Contract: and
(d) personal in5ury or death#
$9#, -olicies and certificates for insurance shall 6e deli)ered 6y the Contractor to
the 2n*ineer for the 2n*ineerBs appro)al 6efore the Start !ate# All such
insurance shall pro)ide for compensation to 6e paya6le in the types and
proportions of currencies re<uired to rectify the loss or dama*e incurred#
$9#: (f the contractor does not pro)ide any of the policies and certificates re<uired4
the 2mployer may affect the insurance =hich the Contractor should ha)e

pro)ided and reco)er the premiums the 2mployer has paid from payments
other=ise due to the contractor or4 if no payment is due4 the payment of the
premiums shall 6e a de6t due#
$9#4 Alterations to the terms of insurance shall not 6e made =ithout the appro)al
of the 2n*ineer#
$9#9 Both parties shall comply =ith any conditions of the insurance policies#
*-3 WORLS TO BE COMP<ETED B= THE INTENDED COMP<ETION DATE
$+#$ The contractor shall construct and install the =or>s in accordance =ith the
Specification and !ra=in*s#
$+#, The Contractor may commence e3ecution of the =or>s on the Start !ate and
shall carry out the =or>s in accordance =ith the pro*ramme su6mitted 6y the
contractor4 as updated =ith the appro)al of the 2n*ineer4 and complete them
6y the (ntended Completion !ate#
*+3 ECO<OGICA< BA<ANCE
$0#$ The contractor shall maintain the ecolo*ical 6alance 6y pre)entin*
deforestation4 =ater pollution and defacin* of natural landscape# The
contractor shall so conduct his construction operation as to pre)ent and
destruction4 scarrin* or defacin* of natural surroundin*s in the )icinity of =or>
or dama*e to any tree4 scru6 or =ater course unless any of same is
specifically re<uired to 6e cleared or remo)al for construction purpose# Such
remo)al shall only 6e done =ith prior appro)al of 2n*ineer =ho may re<uire
the contractor to compensatory plantation at his cost#
$0#, No separate payment shall 6e made for compliance =ith pro)isions of this
clause and all costs shall 6e deemed to ha)e 6een included in the 6id#
$0#: The contractor shall ma>e his o=n arran*ement for the disposal of the
spoils from the =or>s to such place =here the same shall not cause nuisance
and should 6e accepta6le to the authorities concerned#
*2# DIRECTIONS OF THE DIRECTOR
All the =or>s to 6e e3ecuted under the contract shall 6e e3ecuted under the
directions and su65ect to the appro)al in all respects of the director4 Water
"esources . 2n)# !irectorate4 =ho shall 6e entitled to direct at =hat point or
points and =hat manner they are to 6e commenced and from time to time
carried out#
*B3 APPROVA< B= THE ENGINEER
$@#$ The Contractor shall su6mit specifications and dra=in*s sho=in* the
proposed construction methodolo*y to the 2n*ineer4 =ho is to appro)e it if it
complies =ith the specifications and dra=in*s#
19.2 The contractor shall 6e responsi6le for desi*n of temporary =or>s#
$@#: The 2n*ineerBs appro)al shall not alter the ContractorBs responsi6ility for
desi*n of the temporary =or>s#
$@#4 The Contractor shall o6tain appro)al of third parties to the desi*n and
dra=in*s of the temporary =or> =here re<uired and inform the 2n*ineer and
2mployer a6out the same alon*=ith copies of appro)ed desi*n and
dra=in*s#

$@#9 Before their use4 all desi*ns and dra=in*s prepared 6y the Contractor for the
e3ecution of the permanent =or>s are su65ect to appro)al 6y the 2mployer as
stipulated in the Technical Conditions#
.,3 SAFET=
,%#$ The Contractor shall 6e responsi6le for maintainin* the safety of all acti)ities
on the site4 =ithout any o6stacle to smooth flo= of =ater &traffic at his o=n
cost#
,%#, (n respect of all la6our directly or indirectly employed in the =or> for the
performance of the Contractor?s part of this contract4 the Contractor shall at
his o=n e3pense arran*e for the safety pro)isions as per Safety Code framed
from time to time and shall at his o=n e3pense pro)ide for all facilities in
connection there=ith# (n case the Contractor fails to ma>e arran*ement and
pro)ide necessary facilities as aforesaid4 he shall 6e lia6le to pay a penalty of
"s#9%%%&' for each default day and in addition the 2mployer shall 6e at li6erty
to ma>e arran*ement and pro)ide facilities as aforesaid and reco)er the
costs incurred in that 6ehalf from the Contractor#
.*3 DISCOVERIES
,$#$ Anythin* of historical or other interest or of si*nificant )alue une3pectedly
disco)ered on the site is the property of the 2mployer# The Contractor is to
notify the 2n*ineer of such disco)eries and carry out the 2n*ineerBs
instructions for dealin* =ith them#
..3 POSSESSION OF THE SITE
,,#$ The 2n*ineer shall *i)e possession of all parts of the Site to the Contractor# (f
possession of a part is not *i)en 6y the date stated in the Contract !ata the
2n*ineer is deemed to ha)e delayed the start of the rele)ant acti)ities and
this =ill 6e Compensation 2)ent for the purpose of time e3tension only#
.@3 ACCESS ? INSPECTION
,:#$ The Contractor shall allo= the 2n*ineer or any other person authoriJed 6y
the 2n*ineer access to the Site4 to any place =here =or> in connection =ith
the Contract is 6ein* carried out or is intended to 6e carried out and to any
place =here materials or plant are 6ein* manufactured&fa6ricated&assem6led
for the =or>s#

23.2 All the =or> under or in course of e3ecution or e3ecuted in pursuance of the
contract shall at all times 6e open to the inspection and super)ision of the
2n*ineer and his senior&su6ordinate and the contractor shall at all times
durin* the usual =or>in* hours and at all other times at =hich reasona6le
notice of the intention of the 2n*ineer or his senior & su6ordinate to )isit the
=or>s shall ha)e 6een *i)en to the contractor 4 either himself to 6e present to
recei)e orders and instructions or ha)e a responsi6le a*ent4 duly accredited
in =ritin* 4 present for that purpose# /rders *i)en to a contractorBs a*ent shall

6e considered to ha)e the same force as if they had 6een *i)en to the
contractor himself#
./3 INSTRUCTIONS
24.1 The Contractor shall carry out all the instructions of the 2n*ineer pertainin* to
=or>s =hich comply =ith the applica6le la=s =here the site is located#
,4#, The Contractor shall permit the 2mployer to inspect the ContractorBs accounts
and records relatin* to the performance of the Contractor and to ha)e them
audited 6y auditors appointed 6y the 2mployer4 if so re<uired 6y the 2mployer#
.43 DISPUTES RESO<UTION MECHANISM
i) (f any dispute or differences of any >ind =hat'so'e)er arise 6et=een the
;o)ernment4 its authoriJed representati)es and the contractor in connection
=ith or arisin* out of this contract or the e3ecution of =or>4 these shall 6e
resol)ed as under#
ii) Whether 6efore its commencement or durin* the pro*ress of pro5ect or after
the termination4 a6andonment or 6reach of the contract4 the dispute shall4 in
the first instance4 6e referred for settlement to the 2n*ineer of the =or> and
he shall4 =ithin a period of si3ty days after 6ein* re<uested in =ritin* 6y the
contractor to do so4 con)ey his decision to the contractor# Such decision in
respect of e)ery matter so referred shall4 su65ect to appeal 6efore the
Superintendin* 2n*ineer and ar6itration if any4 as hereinafter pro)ided4 6e
final and 6indin* upon the Contractor# (n case the =or> is already in process4
the contractor shall proceed =ith the e3ecution of the =or> on receipt of the
decision of the 2n*ineer as aforesaid =ith all due dili*ence4 =hether any of
the parties re<uires ar6itration as hereinafter pro)ided or not#
iii) (f the 2n*ineer has con)eyed his decision to the contractor and no claim for
ar6itration has 6een filed 6y the contractor =ithin a period of si3ty days from
the receipt of the letter communicatin* the decision4 the said decision shall 6e
final and 6indin* upon the contractor and =ill not 6e a su65ect matter of
ar6itration at all#
i)) (f the 2n*ineer fails to con)ey his decision =ithin a period of si3ty days from
the date on =hich the said re<uest =as made 6y the contractor or if the
contractor is dissatisfied =ith the instructions or decision of the 23ecuti)e
2n*ineer or 2n*ineer' in' char*e4 the contractor may =ithin :% days after
recei)in* the instructions or decision file an appeal to the Superintendin*
2n*ineer =ho shall afford an opportunity to the contractor to 6e heard and to
offer e)idence in support of his appeal# The Superintendin* 2n*ineer shall

connected =ith the =or> under this contract# The contractor shall =ithin thirty
days of receipt of this list select and communicate to the Chief 2n*ineer the
name of one officer from the list =ho shall then 6e appointed as the sole
ar6itrator# (f contractor fails to communicate his selection of name =ithin the
stipulated period4 the Chief 2n*ineer shall =ithout delay select one officer
from the list and appoint him as the sole ar6itrator# (f the Chief 2n*ineer fails
to send such a list =ithin si3ty days4 as stipulated4 the contractor shall send a
similar list of ser)in* Superintendin* 2n*ineers of the (rri*ation !epartment4
to the Chief 2n*ineer =ithin thirty days# The Chief 2n*ineer shall then select
one officer from the list and appoint him as the sole ar6itrator =ithin thirty
days# (f the Chief 2n*ineer fails to do so the contractor shall communicate to
the Chief 2n*ineer the name of one officer from the list4 =ho shall then 6e the
sole ar6itrator#
)ii) The 2mployer shall ha)e the authority to chan*e the ar6itrator on an
application 6y either the contractor or the 2n*ineer re<uestin* chan*e of
ar6itrator *i)in* reasons thereof4 either 6efore the start of the ar6itration
proceedin*s or durin* the course of such proceedin*s# The ar6itration
proceedin*s =ould stand suspended as soon as an application for chan*e of
Ar6itrator is filed 6efore the 2mployer and a notice thereof is *i)en 6y the
applicant to the Ar6itrator# The 2mployer after hearin* 6oth the parties may
pass a spea>in* order re5ectin* the application or acceptin* to chan*e the
ar6itrator or simultaneously4 appointin* a technical officer as Ar6itrator under

Superintendin* 2n*ineer shall 6e final and 6indin*# (f the claim pertains to
rates or reco)eries introduced in the final 6ill4 the reference to the ar6itrator
shall 6e made =ithin si3 calendar months from the date of payment of the
final 6ill to the contractor or from the date a re*istered notice is sent to the
contractor to the effect that his final 6ill is ready 6y the 2n*ineer (=hose

claims4 the party in)o>in* ar6itration shall specify the disputes 6ased upon

scheduled 6an> in the name of the Ar6itrator4 6y his official desi*nation =ho
shall >eep the amount in deposit till the announcement of the a=ard# (n the
e)ent of an a=ard in fa)our of the claimant4 the deposit shall 6e refunded to

3i) -erformance under the contract shall continue durin* the ar6itration
proceedin*s and payment due to the contractor shall not 6e =ith held unless

Chandi*arh as may 6e fi3ed 6y the ar6itrator in his sole discretion# The =or>

3)) The fee4 if any4 of the Ar6itrator shall4 if re<uired to 6e paid 6efore the a=ard is
made and pu6lished4 6e paid half and half 6y each of the parties# The costs of
the reference other than ar6itration fees shall 6e settled at the discretion of
the Ar6itrator#
3)i) The stamp fee due on the a=ard shall 6e paya6le 6y the party as desired 6y
the Ar6itrator and in the e)ent of such partyBs default 4 the stamp fee shall
reco)era6le from another sum due to such party under this or any other
contract#
3)ii) Neither party shall 6e entitled to 6rin* a claim for ar6itration4 if it is not filed as
per the time period already specified or =ithin si3 months of the follo=in*:'

6) /f the date of a6andonment of the =or> or 6reach of contract under any

=ill set up fully e<uipped field la6oratory to conduct <uality control tests
re<uired as per rele)ant specifications# The records shall 6e maintained in the
prescri6ed formats and the contractor shall supply copies thereof to the
2n*ineer re*ularly =ith the 6ills =ithout =hich no payment shall 6e made# (n
case the contractor fails to set up the la6oratory and&or to employ the <uality
control consultant for the =hole or part of the period of e3ecution4 the
2n*ineer on 6ehalf of the 2mployer may order settin* up of the la6oratory
and&or employment of 8uality Control Consultant at the cost of the Contractor
or may order the departmental staff to carry out the <uality control tests# A
deduction W $#9 H of the total cost of the =or> or actual e3penditure incurred
in this respect4 =hiche)er is more4 shall 6e made from the payments of the

(d) Nothin* in this clause shall reduce the o)erall responsi6ility of the
Contractor re*ardin* <uality and he shall remain lia6le for any defect in

Contract# The 2n*ineer on 6ehalf of the 2mployer =ill perform such duties in
re*ard to the deduction of such ta3es at source as per applica6le la=#

of the local 6ody or pu6lic authority under the 5urisdiction of =hich the

*i)en in the contract data upto end of the initial intended date of completion or

cost of materials and 2lectrical 2ner*y supplied 6y the 2mployer at fi3ed

shall 6e )alid until a date ,7 days pursuant to the date of e3piry of the !efects
Lia6ility -eriod and the additional security for un6alanced 6ids shall 6e )alid
until a date ,7 days from the issue of the certificate of completion#

/2. CARRIAGE OF MATERIA<S> MACHINER= ETC.
The Contractor shall ensure that each )ehicle transportin* his material4
machinery etc# to the =or> site does not e3ceed its stipulated loadin*
capacity# (n case it is found that the material4 machinery etc# are 6ein*
transported is in o)erloaded )ehicles4 then the 2n*ineer shall ma>e reco)ery
from the payments of the contractor of an amount e<ui)alent to 9%H of the
rate of the carria*e of material 6rou*ht to the site 6y the Contractor# or the
purpose of this clause4 the rates of the carria*e shall 6e considered as those
*i)en in the !epartmental Common Schedule of "ates (CS") plus
Sanctioned premium pre)ailin* on the date of receipt of 6ids# The 2n*ineer or
his field staff shall certify that the actual carria*e of material is =ithin the
norms and no o)erloadin* has 6een done#
/B3 COST OF REPAIRS
4@#$ Loss of dama*e to the Wor>s or Materials to 6e incorporated in the Wor>s
6et=een the Start !ate and the end of the !efects Correction periods shall 6e
remedied 6y the Contractor at ContractorBs cost if the loss or dama*e arises
from the ContractorBs acts or omissions#
E3 FINISHING THE CONTRACT
4,3 COMP<ETION
9%#$ The Contractor shall re<uest the 2n*ineer to issue a Certificate of Completion
of the =or>s and the 2n*ineer4 =ithin :% days of the receipt of such re<uest4
shall inspect the =or> and if there is no defect in the =or>4 shall furnish the
contractor =ith a certificate of completion# /ther=ise4 the 2n*ineer may issue
a pro)isional certificate of completion indicatin* the defects (a) to 6e rectified
6y the contractor and & or (6) for =hich payment shall 6e made at reduced
rates# 1o=e)er no certificate4 pro)isional or other=ise4 shall 6e issued nor
shall the =or> 6e considered to 6e complete until the Contractor has cleared
all scaffoldin*4 surplus materials4 *ar6a*e and all huts and sanitary
arran*ements set up for the la6our at the site and cleaned off the dirt from
=or>#
4*3 TALING OVER
9$#$ The 2n*ineer on 6ehalf of the 2mployer shall ta>e o)er the Site and the
Wor>s =ithin se)en days of ha)in* issued a Certificate of Completion to the
Contractor#
4.3 FINA< ACCOUNT
9,#$ The Contractor shall supply to the 2n*ineer a detailed account of the total
amount that the Contractor considers paya6le under the Contract 6efore the
end of the !efects Lia6ility -eriod# The 2n*ineer shall issue a !efect Lia6ility
Certificate and certify any final payment that is due to the Contractor =ithin 9+
days of recei)in* the ContractorBs account if it is correct and complete# (f it is
not4 the 2n*ineer shall issue =ithin 9+ days a schedule that states the scope
of the corrections or additions that are necessary# (f the inal Account is still

unsatisfactory after it has 6een resu6mitted4 the 2n*ineer shall decide on the
amount paya6le to the Contractor and issue a payment certificate4 =ithin 9+

4/3 TERMINATION
94#$ The 2n*ineer on 6ehalf of the 2mployer may terminate the Contract if the
other party causes a fundamental 6reach of the Contract# or this purpose4 $4
days notice in =ritin* shall 6e ser)ed 6y either party on the other party clearly
mentionin* the particular *rounds of Breach of Contract =ith a copy to the
2mployer#
94#, undamental 6reaches of Contract include4 6ut shall not 6e limited to the
follo=in*:
(a) the Contractor stops =or> for ,7 days =hen no stoppa*e of =or> is sho=n on
the current pro*ramme and the stoppa*e has not 6een authoriJed 6y the
2n*ineerG
(6) the 2mployer or the Contractor is made 6an>rupt or *oes into li<uidation other
than for a reconstruction or amal*amationG
(c) the 2n*ineer *i)es Notice that failure to correct a particular !efect is a
fundamental 6reach of Contract and the Contractor fails to correct it =ithin a
reasona6le period of time determined 6y the 2n*ineerG
(d) the Contractor does not maintain a security =hich is re<uiredG
(e) the Contractor has delayed the completion of =or>s 6y the num6er of days for
=hich the ma3imum amount of li<uidated dama*es can 6e paid as defined in
the Contract dataG and

en*a*ed in corrupt or fraudulent practices in competin* for or in e3ecutin* the

rectify4 reconstruct or replace any defecti)e =or> or continues the e3ecution of

accordance =ith sound 2n*ineerin* practices or =ithout complyin* =ith the
directions and re<uirements =ithin a period of $% days of the issue of said
notice#
(h) (f the Contractor 6ein* a company shall pass a resolution or a court shall
ma>e an order of the effect that the company shall 6e =ound up or if a
recei)er or a mana*er on 6ehalf of the credit or shall 6e appointed or if
circumstances shall arise =hich entitle the court of creditor to appoint a
recei)er or mana*er or to ma>e a =indin* up order#
(i) (f the contractor commits any acts of defaults =ith respect to conditions of
contract#
(5) (n the e)ent of the death or the insanity of the contractor4 the contract may 6e
terminated 6y notice in =ritin*4 pasted at the site and ad)ertised in one issue
of the local ne=spaper# All accepta6le =or>s shall thereafter4 6e paid at
appropriate rates after reco)erin* all the contractorYs dues to ;o)t#4 to the
persons entitled to recei)e and *i)e a dischar*e for such payment#
(f the contractor is imprisoned4 6ecomes insol)ent4 compound =ith his
creditors4 has a recei)in* order made a*ainst him or carries on 6usiness

2# CRECHES

there shall 6e pro)ided t=o rooms of reasona6le dimensions for the use of their
children under the a*e of si3 years# /ne room shall 6e used as a play room for
the children and the other as their 6edroom#
ii) The rooms shall 6e pro)ided =ith suita6le and sufficient openin*s for li*ht and
)entilation# There shall 6e ade<uate pro)ision of s=eepers to >eep the places

iii) The contractor shall supply ade<uate num6er of toys and *ames in the play room

on the =or>4 air =a*e means =a*e =hether for time to piece =or> notified4 at the

application for or recei)e a further ad)ance on the security of materials
=hich are not a6solutely his o=n property and free from
encum6rances of any >ind and the Contractor indemnified the
2mployer a*ainst all claims to any materials in respect of =hich an
ad)ances has 6e made to him as aforesaid#

($) That the materials detailed in the said account of Secured Ad)ances and all other
materials on the security of =hich any further ad)ance or ad)ances may hereafter 6e
made as aforesaid (hereafter called the said materials) shall 6e used 6y the
Contractor solely in the e3ecution of the said =or> in accordance =ith the directions
of the 2n*ineer#
(,) That the contractor shall ma>e at his o=n cost all necessary and ade<uate
arran*ements for the proper =atch4 safe custody and protection a*ainst all ris>s of
the said materials and that until used in construction as aforesaid the said materials
shall remain at the site of the said =or>s in the ContractorBs custody and on his o=n
responsi6ility and shall at all times 6 open to inspection 6y the 2n*ineer or any officer
authoriJed 6y him# (n the e)ent of the said materials or any part thereof 6ein* stolen4
destroyed or dama*ed or 6ecomin* deteriorated in a *reater de*ree than is due to
reasona6le use and =ear thereof the Contractor =ill forth=ith replace the same =ith
other materials of li>e <uality or repair and ma>e *ood the same re<uired 6y the
2n*ineer#
(:) That the said materials shall not 6e any account 6e remo)ed from the site of the said
=or>s e3cept =ith the =ritten permission of the 2n*ineer or an officer authoriJed 6y
him on that 6ehalf#
(4) That the ad)ances shall 6e repaya6le in full =hen or 6efore the Contractor recei)es
payment from the 2mployer of the price paya6le to him for the said =or>s under the
terms and pro)isions of the said a*reement# -ro)ided that if any intermediate
payments are made to the Contractor on account of =or> done than on the occasion
of each such payment the 2mployer =ill 6e a li6erty to ma>e a reco)ery from the
ContractorBs 6ill for such payment 6y deductin* there from the )alue of the said
materials than actually used in the construction and in respect of =hich reco)ery has
not 6een made pre)iously4 the )alue for this purpose 6ein* determined in respect of
each description of materials at the rates at =hich the amounts of the ad)ances
made under these presents =ere calculated#
(9) That if the Contractor shall at any time ma>e any default in the performance or
o6ser)ance in any respect of any of the terms and pro)isions of the said a*reement
or of these presents the total amount of the ad)ance or ad)ances that may still 6e
o=in* of the 2mployer shall immediately on the happenin* of such default 6e
repaya6le 6y the Contractor to 6e the 2mployer to*ether =ith interest thereon at
t=el)e per cent per annum from the date or respecti)e dates of such ad)ance or
ad)ances to the date of repayment and =ith all costs4 char*es4 dama*es and
e3penses incurred 6y the 2mployer in or for the reco)ery thereof or the enforcement
of this security or other=ise 6y reason of the default of the Contractor and the
Contractor here6y co)enants and a*rees =it the 2mployer to reply and pay the same
respecti)ely to him accordin*ly#
