And whereas M/s G.S Express Pvt Lid main contractor has requested the sub-contractor
M/s Trenchless Engineering Services, Raipur totake and execute the construction work
of sky walk at Shastri Chowk Raipur, as mentioned agreement work as mentioned in
Annexure-1. The Sub Contractor M/s Trenchless Engineering Services has accepted the
request on following terms and conditions accepted by Main Contractor on terms and
conditions as under:

1 G.S. Express Pvt. Ltd. shall as Main Contractor and M/s Trenchless Engineering
Services as its Sub Contractor for the Execution of work as mentioned in Annexure
1.

2. The scope of work shall be as defined in Technical specifications, Design,

9. All man, material, machinery, tools & plants, infrastructure resources etc. as
required for timely completion of work to the required specifications shall be
arranged by Sub Contractor. All the taxes, duties, royalty, Octroi etc. also included
in the offer of Sub Contractor including applicable GST. However any new
imposition of taxes etc shallbe on account of Main Contractor.
10. Sub Contractor shall ensure compliance with all rules and regulations applicable
during execution and indemnify Main Contractor /Employer against any claim for
damages whatsoever on any account.
11. The Sub Contractor will submit the running account bill including escalation (if
applicable) to the Department Employer as per agreemented rate between Employer
and main-contractor and the department/employer will pay the same to sub
contractor through escrow account Main Contractor will be responsible for the
deduction of security deposit, performance guarantee labour cess, penalty for time
extension (if applicable) etc. Main Contractor will ensure advance deposit for SD
(in formn of FDR) & for PG (in form of FDR/Bank Guarantee). In case Main
Contractor fails to do so, he will be liable for the recoveries from the Main
Contract. Any advance payment made to Main Contractor will be deducted from
the bill of Main Contractor.

12. Payment of work done by Sub Contractor is to be made through escrow account,
jointly open by Main Contractor and Sub Contractor. Without permission of
Employer and consent of sub contractor escrow account will not change & close.

TDS as per relevant laws applicable shall be deducted from the bills submitted by
Sub Contractor.

Contractor on the conditions (i) that the materials have actually been brought by
the Sub Contractor to the site of work. (ii) that those materials are of an
imperishable nature and are required by Sub Contractor for use on the work

18. The work is required to be executed by Sub Contractor according to the rules &
regulations, conditions and specifications as described by the Govt. or any other
competent or authorized authority.
19. Before commencing the execution of the works, the Sub Contractor shall ensure
against his liability for any material or physical damage, loss injury which may
occur to any property, including that to the owner and other adjoining properties
and to any person including any employee for the Main Contractor, consultant,
Architect, by or arising out of the execution of the works or in the carrying out of
the contact, and shall fully indemnify the Main Contractor against all claims,
proceedings, damages, costs, Charges and expenses whatsoever arising out of any
damage caused to them. However the defect liability period given in the contract
agreement would be out of the responsibility of Sub Contractor.
20. The Sub Contractor shall :

settled between the parties and employer.

and fully understood them.
