TERMS & CONDITIONS :


1) SUB-CONTRACTOR shall provide at its own cost all labour, materials, constructional plant & machinery
and everything whether of a permanent or temporary nature required for execution and satisfactory
completion of the said work as required by the Work order. SUB-CONTRACTOR shall take utmost care
to ensure best quality of work and ensure compliance with specifications and conditions of Work order.
SUB-CONTRACTOR shall be responsible for removal of all defects in work executed and during defect
liability period.
2) The required Plant, Equipment s, Machinery and Crew thereof indicated in the Contract document and as
required for the execution of work, in the sole opinion of AKIPPL, for execution of the Work, as per the
requirement of the Work order shall be provided /procured / hired by SUB-CONTRACTOR at its own cost
and risk. Additional requirement/ resources, if any, required/ as directed by the Employer whether
temporary or permanent in nature shall be brought to the site by SUB-CONTRACTOR at its own cost
and risk.
3) SUB-CONTRACTOR shall be wholly responsible for execution of the work (subject to condition of Work
order). SUB-CONTRACTOR has confirmed that they have examined and fully understood the terms,
conditions, and requirements of the Work order and the scope of Work to be executed.
SUB-CONTRACTOR has further warranted that it possesses the necessary skill, expertise and
experience of executing similar works under similar conditions and that it is capable of mobilizing all the
necessary resources for completion of the works. SUB-CONTRACTOR further confirms that, it has full

knowledge of the provisions of the Work order . The provisions of Work order to the extent relevant and

applicable to this Agreement shall be binding on SUB-CONTRACTOR.
4) This is a fixed rate contract and there shall be no change of rates any time till the completion of contract.
Rate sheet of the contract is attached herewith as Annexure I.
5) Any work which is not as per quality standard will be rejected and will corrected by contractor at his own
risk and cost.
6) ALL Quality Related documents will be prepared and maintained by contractor.
7) Filed testing is in scope of Contractor and its responsibility of contractor to conduct field testing according
to field quality plan or instructed by A.K INFRA engineer in charge.
8) Source approval of Building & Construction materials is in scope of contractor test report should be
submitted before execution of the work. Contractor should ensure that only approved materials will be
used for execution of work.
9) Work Duration for Overall Execution of the said work will be 90 days from date of agreement. If failed to
achieved the target date of completion Liquidated damage must be imposed which will be 10% over all
billable amount.
10) Detailed Planning for timely completion of the overall work will be submitted by contractor to achieve the
target date of completion. If any failure in planning observed continuously penalty will be imposed.
11) Work stopped by contractor without information or without any valid reason which is more than 2 days
work stop penalty must be imposed on per day basis.
12) If any condition of contract is violated or breached by contractor AK INFRA have the right to take legal
action against contractor and losses to the company will be compensate by SUB-CONTRACTOR .
13) If said work contract will be terminated by contractor in any condition 70% of overall project cost will be
paid to contractor by AK. INFRA.
14) Contractor Health safety agreement must be strictly followed & must be comply with All the terms &
conditions which is mentioned in the Contractor HSE Agreement during executing the project.
15) CONTRACT In case of any contradiction or conflict between any clauses indicated in this Contract and in any of the
DOCUMENT: : Work order Documents, the clauses indicated in this Work order shall prevail to the extent applicable. In
case of any conflict or contradiction between the Works order Documents, the terms of the document
bearing a later date shall prevail over the earlier document.
Save as provided herein, this Work order supersedes all other arrangements, correspondence and
understandings between the Parties unless specifically included in this agreement and/or attachments to
this agreement.
Any amendment to the Work order related to provisions under the Work order shall be agreed and signed
by duly authorized representatives of the Parties, with power and validity to bind the Parties, and the
same shall supersede the previous subject provision(s) under Work order and stay prevailing.
16) Scope of Work for 1. To arrange, transport, pay and supervise for execution of entire construction work as per the
SUB-CONTRACTOR: : specification of the Work order .
2. All items mentioned in the scope must be executed by SUB-CONTRACTOR as mentioned.
3. In addition to the work elements specified above all work required to be carried out for completion of
the work will have to be arranged.
4. To carry out survey, drawing preparation, contour mapping, soil testing, cube testing and any other
testing as required by AKIPPL as and when required.
5. Cleaning the work site and restoring the same to its original condition by removing all surplus earth,
stone aggregate, rubble etc.
6. SUB-CONTRACTOR shall employ skilled, efficient staff and machinery to carry out the work assigned.
7. Cost incurred due to damage to any materials for wrong execution method used during execution of
work will be borne by SUB-CONTRACTOR.
8. Loading from AKIPPL stores, transportation of materials from sites, unloading at sites transferring the
materials at site shall be in the scope of SUB-CONTRACTOR. Transportation of all scrap materials if any
for finalization of reconciliation shall be in SUB-CONTRACTOR s scope.
9. SUB-CONTRACTOR shall arrange to take necessary insurance cover/EPF etc of their staff and
workmen for their vehicles, construction tools, etc as required.
10. All materials required for all types of works are to be procured by SUB-CONTRACTOR. Rates of

execution as per the attached Annexure I are inclusive of material supply rates.
11. SUB-CONTRACTOR shall help AKIPPL for liaising with local authorities, electrical inspectors,
AKIPPL, Forest Authority etc.
12. All applicable royalty fees including sand, metal, etc to be paid by SUB-CONTRACTOR and its
original Royalty challan to be submitted to AKIPPL on submission of each bills. One photocopy of it
should be attached with your bill for processing of SUB-CONTRACTOR s payment. The quantity of
royalty paid must match with the consumed and measured quantity. Any lesser amount shall not be
acceptable and your bill payment shall be kept on hold till full royalty challans are submitted by
SUB-CONTRACTOR. Payment for any excess amount is to be borne by SUB-CONTRACTOR.
13. SUB-CONTRACTOR has undertaken to execute the works at the respective sites, will keep AKIPPL
informed from time to time and will co-ordinate with AKIPPL in preparation, testing of materials, joint
measurement, processing the bills, joint measurements and facilitate in getting them certified accordingly
from AKIPPL. Cost incurred for preparation, testing of materials, joint measurement, processing the bills
will be borne by SUB-CONTRACTOR.
14. SUB-CONTRACTOR needs to provide prior written/ email intimation to AKIPPL to witness the quality
and quantity of work done at every stage of work. If prior intimation is not provided, AKIPPL shall ask to
excavate and prove the quality and quantity of work at any stage and cost for excavation/ demolition and
rework is to be borne by SUB-CONTRACTOR.
15. All materials that are to be used for Concreting & Muffing work must be as per the specifications and
standards approved and accepted by AKIPPL. All materials are to be duly approved for quality by
AKIPPL before being used. No material is to be used/ consumed before prior written acceptance by
AKIPPL in proper format.
16. Quality of material and work should be strictly as per AKIPPL approved drawings. Any compromise in
quality and quantity of material shall not be accepted. Any cost arising out of rework due to rejection shall
be at risk and cost of SUB-CONTRACTOR.
17. SUB-CONTRACTOR shall obtain all necessary clearances / permits from Central/ State/ Other
Government Authorities as required. SUB-CONTRACTOR shall obtain approval of drawings from
Electrical Inspector/ other competent authorities.
18. Shifting to execute the contract properly shall be SUB-CONTRACTOR s scope.
17) OTHER TERMS AND 1. If the work has to be temporarily suspended due to any exigency, no charges for idle labour shall be
CONDITIONS: : payable.
2. Calibrations of all your equipment s, machinery, safety equipment s and testing equipment s to be
done by SUB-CONTRACTOR from Govt. approved laboratory. All equipment s must have valid Govt.
approved certificate.
3. AKIPPL reserves the right to reduce or terminate the work with prior intimation to
SUB-CONTRACTOR, due non adherence of milestones by SUB-CONTRACTOR any time during the
project and transfer partial or total work to other contractors without SUB-CONTRACTOR s prejudice.
4. SUB-CONTRACTOR shall disburse monthly wages to your supervisors, labours, suppliers or any
other liabilities on time. SUB-CONTRACTOR shall not be liable to pay any pending amount for any of
your pending liabilities.
5. SUB-CONTRACTOR have to maintain enabling/ safe/ peaceful environment and healthy relations with
the project authorities, local authorities and all other government and local bodies during and after
completion of work.
6. Material once withdrawn by SUB-CONTRACTOR from stores shall be in SUB-CONTRACTOR s
custody till handing over of the completed work to AKIPPL. Security and safety of the materials shall be
in SUB-CONTRACTOR s scope while it is in SUB-CONTRACTOR s custody. Any loss/ theft/ damage of
material during this period shall be in SUB-CONTRACTOR s account.
7. Water and electricity requirement to be made available at site at SUB-CONTRACTOR s cost.
8. None of the parties shall do any act of omission or commission of whatsoever nature, which may
adversely affect the functioning of work order in execution of the work and the Work order. The parties
shall take all possible steps to safeguard the interest of one another without prejudice to rights of both
parties.
SUB-CONTRACTOR will not pouch gangs from other executing agencies.
SUB-CONTRACTOR will not divulge the details of the work order to any third party without the
explicit knowledge of each other in writing from AKIPPL.

11. SUB-CONTRACTOR shall never directly or indirectly create obstacles of any sort in the work of the
competitor companies carrying out work with you and cooperate in their work.
12. SUB-CONTRACTOR shall never catalyse local people to create problem which can hamper, delay or
increase financial burden on us in the work of the project.
13. Since procurement of all materials is in scope of SUB-CONTRACTOR, all wastages shall be in the
account of SUB-CONTRACTOR. No extra payment shall be envisaged for any wastage.
18) Scope of AKIPPL : a. To release timely payment to the contractor as per payment terms mentioned in this work order.
b. To release material in the scope of AKIPPL as per site requirement as assessed by authorized Site
Incharge.
c. Coordinating and creating enabling relations with AKIPPL representatives.
d. AKIPPL s responsibility shall be limited to monitoring of the progress of Work and Co-ordinate with
Employers for execution through a representative as and when required. For this purpose, AKIPPL will
nominate one or more personnel / representative during the contract period. The payment for these
personnel will be borne by AKIPPL.
19) COMPLETION SUB-CONTRACTOR is required to mobilize manpower and tools and tackle and furnish all list of
PERIOD AND equipment to be used for construction and erection within 3 days of written instruction by AKIPPL site
PROGRESS
MONITORING: : project in-charge and commence the construction activity as per his instructions.

Timely completion of work is the only essence of this work order. The entire construction activity till
finishing and handover in a position which is acceptable to AKIPPL should be completed within 03
Months of handover of the substation land. A schedule and weekly milestones as per the attached
Annexure II shall be binding to SUB-CONTRACTOR and measurement of SUB-CONTRACTOR s
performance. SUB-CONTRACTOR has to strictly adhere to the milestone achievement. If the progress
falls behind the milestone, then the contractor must take corrective action to comply the milestone within
7 days. If the contractor fails to cover up the delay as per milestone even after 15 days of intimation, the
following steps shall be taken:

1. A penalty amounting on the deviated work can be levied on SUB-CONTRACTOR as per discretion of
AKIPPL.
2. AKIPPL shall introduce new contractors/agencies or step in directly to finish off the pending work at
risk and cost of SUB-CONTRACTOR.
3. AKIPPL shall have the right to reduce SUB-CONTRACTOR s scope of work or terminate the contract
in total.

SUB-CONTRACTOR shall arrange to furnish daily and fortnightly progress report covering detailed
planning and progress of the project. You will submit additional information also as may be desired by
AKIPPL from time to time.
20) DEFECT SUB-CONTRACTOR shall be responsible for removal/ rectification of all direct or indirect defects in
LIABILITIES: : workmanship/ quality of work executed within 3 days of notification and during defect liability period of 30
months from the date commissioning and handing over of the entire activity to the AKIPPL authority.
Handing Over shall be mentioned in commissioning certificate and handing over/ taking certificates
issued by AKIPPL. If rectification is not done within the stipulated 3 days, AKIPPL shall rectify and make
good all defects at risk and cost of SUB-CONTRACTOR. The expenditure thus occurred in this situation
shall be reimbursed by SUB-CONTRACTOR within 7 days of intimation or else the amount shall be
deducted from the retention amount without any further intimation.
21) Performance The SUB-CONTRACTOR shall be wholly and exclusively responsible to arrange and provide, in due
Guarantee: : time, all deposits, guarantees, working capitals, advances, credit limits and funds, dues, cost as and
when required for the completion of the scope under this agreement.

22) LABOUR LAWS: : SUB-CONTRACTOR shall pay all workmen at least not less than the minimum prescribed wages as per
Central/ State labour laws as applicable. The contractor shall be responsible for compliance of all
provisions of Minimum Wages Act, PF, ESIC Act, Workmen Compensation Act and Contract Labour
Regulation & Abolition Act.

SUB-CONTRACTOR will ensure all compliance with all statutory rules and regulations as enforced by the
Labour Department. SUB-CONTRACTOR will ensure maintain all records, attendance registers of
workers engaged and the register for wages paid in the format specified by labour department. All the
workers shall be paid according to the minimum wages of the state where the work is carried out. The
Provident Fund deduction shall be made by SUB-CONTRACTOR as per the applicable laws and
deposited with the PF commissioner including the contribution of the Employer. In addition to this
SUB-CONTRACTOR must obtain labour license for the labour to be employed by them and submit the
copy of it to AKIPPL.

In case of non-compliance AKIPPL would take required action at the risk and cost of
SUB-CONTRACTOR.
23) SAFETY AND All security and safety rules enforced at site by AKIPPL. AKIPPL shall be strictly observed. You shall
INSURANCE: : follow all safety procedures to ensure accident-free working. You will use AKIPPL approved Protection
Equipment s for safety at site. You need to provide discharge rods, 33KV Insulated hand gloves, safety
shoes, safety helmets, safety belts, etc to your works and staff.

You shall also take a suitable insurance policy covering your staff and workers, so that in the event of
accident/casualty the workmen are suitably compensated as per labour law. SUB-CONTRACTOR shall
keep AKIPPL indemnified under any circumstances of accident. Any liability upon AKIPPL arising out of
any such circumstances shall be to your account copy of Insurance policy to be submitted within 30 days
from the date of letter of award issued. Insurance, Provident Fund, ESIC of your staff, workers is also
included in this cost.
24) QUALITY: : All quality of materials and execution norms enforced at site by AKIPPL. AKIPPL shall be strictly
observed by SUB-CONTRACTOR. All materials purchased by you should conform to minimum IS
standard and should be as per AKIPPL s specifications. Any compromise on quality and quantity shall
not be acceptable.
25) MISCONDUCT: : If and whenever any of the contractor, subcontractor, agents, subagents, consultant or your employees
shall in the opinion by Site In charge of AKIPPL (whose opinion in this case shall be final) be guilty of
misconduct or be incompetent or differently qualified or negligent in performance of his/ her/ their duties
or if in the opinion of Site In charge (whose opinion in this case shall be final) is undesirable for any
reason (which need not be disclosed to you) for such person(s) to be employed in the works, the
Contractor, if so directed by site Site In charge, shall forth with remove such person from employment
and shall not be re-employed by SUB-CONTRACTOR without prior written permission from Site In
charge.
26) Taxes: : SUB-CONTRACTOR will observe and comply with all direct and indirect taxes formalities and
regulations. AKIPPL shall deduct income tax at source (TDS) in accordance with the provisions of the
Income Tax Act as applicable.

Rates as per Annexure I are exclusive of GST.

The work order price is inclusive of income-tax, surcharge on income tax, withholding tax or any other
corporate tax. SUB-CONTRACTOR shall be liable and responsible for payment of all such taxes, if
attracted under the provisions of law applicable at given times. AKIPPL shall however, deduct applicable
tax at source as per law from payments to be made towards the provision of services as an agent
charged by SUB-CONTRACTOR and AKIPPL will issue the TDS certificates for the same to
SUB-CONTRACTOR.

OTHER CESS/TAXES AND LEVIES:


Any other local taxes and levies if applicable for this work order and payable by you are deemed to be

included in your price.
27) PAYMENT & TERMS 1. AKIPPL shall pay SUB-CONTRACTOR for work rates (as per Annexure-I) against the awarded work.
OF PAYMENT: : Payment of this amount shall be made in the following manner.

i. 2 80% Payment on approval of unit rates against running bills shall be paid after certification of
measurements by Board engineer in-charge and submission of certified reconciliation statements of
issued materials with every bill. Payment shall be released within 25 days from the submission date of
invoice with all supporting documents, 10% of the payment shall be released when testing &
Commissioning done & remaining 4 10 % Retention will be released after submission of Final bills with all
required statutory docs like NOC, No dues & No Claim certificates ,Site clearances etc

2. This is a turnkey contract. Quantities can vary as per actual site conditions. But Sub contractor per unit
rates as per Annexure I shall remain fixed. Payment shall be release as per actual executed quantity of
work duly certified by project in charge of AKIPPL.
3. AKIPPL under any circumstances shall not entertain any request of advance payment from
SUB-CONTRACTOR.
4. All payments shall be paid in Indian Currency. All payments are to be made through cheque or RTGS.
No cash payment shall be made.
5. If the required documents are not attached with invoice as mentioned above, the submitted invoices
shall not be entertained and no amount shall remain payable to you from our account.
6. SUB-CONTRACTOR shall submit the paid receipt challan of GST of the previous invoice while the
submission of subsequent invoice.
28) Labour Compliances: SUB-CONTRACTOR has to maintain all registers pertaining to Provident Fund provisions.
: SUB-CONTRACTOR must submit the following
a. Minimum wages attendance registers
b. Monthly PF submission challan
c. Monthly ECR list with associated people properly highlighted in the list.
If the documents are not submitted, AKIPPL shall deduct the assessed amount unilaterally from the
amount payable to SUB-CONTRACTOR.
29) Confidentiality: : Parties shall treat this Agreement and any document pertaining to the work as confidential and nothing
shall be divulged to third party.
30) Variations: : i) No variations in quoted unit rates are envisaged for the completion of the works as per this Work order.
ii) In case it is determined that any extra item, which is not appearing in any of the cost data sheets
forming part of the this document, is necessary and required for the satisfactory operation of the
completed work as determined by the AKIPPL s Representative, then in such case the
SUB-CONTRACTOR shall submit a proposal to the AKIPPL s Representative for approval of suitable
rate for such item. Such a proposal shall be accompanied by all supporting documents. Provision for
such extra item shall not be made by SUB-CONTRACTOR unless it is approved by the AKIPPL.
Payment for any extra variation shall only be made to SUB-CONTRACTOR after receipt of payment from
AKIPPL or after commissioning of works, whichever is later. SUB-CONTRACTOR under such
circumstances needs to continue and complete execution of works irrespective of any variation identified
or not. SUB-CONTRACTOR shall not claim any extra amount due to variation till payment from AKIPPL
is received or commissioning of work, whichever is later. SUB-CONTRACTOR is bounded to complete
the work with the variation up to the satisfaction and acceptance of AKIPPL and shall not stop work and
place demand for extra amount for reasons due to variations.
31) Termination: : AKIPPL may terminate the work order on SUB-CONTRACTOR s default i.e.

a. If the SUB-CONTRACTOR becomes bankrupt or insolvent, if the party assigns or transfers the work
order or any right or interest therein without prior consent of AKIPPL.
b. If the SUB-CONTRACTOR, indulges in corrupt or fraudulent practices in executing the contract.
c. If SUB-CONTRACTOR breaches the work order and or its clauses / conditions.
d. If SUB-CONTRACTOR abandons or repudiates the work order.
e. If SUB-CONTRACTOR fails to work as per milestone attached in Annexure II.

f. If the SUB-CONTRACTOR has without valid reason failed to commence work on the works promptly or
has suspended the progress of contract performance for more than thirty (07) days without just cause
after receiving a written instruction from the purchaser to proceed.
g. If the SUB-CONTRACTOR persistently fails to execute the work order in accordance with the work
order or persistently neglects to carry out its obligations under the work order without just cause

AKIPPL shall have right to complete the whole or any part of the Work without any prior intimation to
SUB-CONTRACTOR by itself or by engaging the incomplete part to workers, supplier, petty contractor or
any other agency entirely at the risk & cost of SUB-CONTRACTOR. The Extra expenses incurred by
AKIPPL in that event will be recovered by AKIPPL from any payment due to SUB-CONTRACTOR or will
be reimbursed by SUB-CONTRACTOR without demur.

Under any of the above circumstances, the AKIPPL may, without prejudice to any other rights it may
possess under the work order, give a notice to the Contractor stating the nature of the default and
requiring the Contractor to remedy the same. If the contractor fails to remedy or to take steps to remedy
the same within seven (07) days of its receipt of such notice, then the AKIPPL will terminate the contract
by giving a notice of termination to the Contractor.

Upon receipt of the notice of termination, the Contractor shall, either immediately or upon such date as is
specified in the notice of termination.

i. Terminate all subcontracts, except those to be assigned to AKIPPL.


ii. Deliver to AKIPPL all Agreements, documents, correspondences prepared by the contractor or its
subcontractors as of the date of termination in connection with the works.

Up on termination of contactor, company reserves the right to get the balance work done by other
agencies at the risk and cost of the contractor.

Company reserves the right to terminate the contract in part or in full due to the reasons other than those
mentioned above and are not resolved amicably by mutual discussion, Company shall in such an event
give fifteen (15) days notice in writing to the contract of his decision to do so.

If the work order is terminated as aforesaid in this clause, the contractor shall be paid by the company for
all work including any partially completed work or service, executed prior to the date of termination at the
rates and prices provided in the contract. If no rates and prices are provided in the contract, the amount
shall be as certified by company and will be commensurate with the proportion of work performed.

In all cases where the contractor is to be paid for work done by it, prior to releasing the payment, the
company shall be entitled to adjust all the amounts, which the company is entitled to or may be entitled to
recover from the contractor and not release such payment till all such amounts are adjusted.

In case suspension of the Contract as per clause suspension of work continues for a period of 15 days,
in such case, contractor may exercise the option to terminate the contract subject to 07 days prior notice.
AKIPPL may terminate the contract at his option by giving written notice of 07 days at any time if the
SUB-CONTRACTOR causes a fundamental breach of the contract.

Notwithstanding the fact that if dispute has been raised or referred to arbitration SUB-CONTRACTOR will
not obstruct / prevent/ create direct, indirect obstacle for the execution of work by AKIPPL or their
subcontractors and agencies.

32) Payment upon Wherein the following two conditions might arise:
Termination : 1. If the total amount due to the AKIPPL exceeds any payment due to the SUB-CONTRACTOR, the
difference shall be a debt payable to the AKIPPL. For this purpose, the performance security furnished by
the SUB-CONTRACTOR shall be taken into account. The Performance Security furnished by the
SUB-CONTRACTOR shall stand forfeited in favour of the AKIPPL without any restrictions or
preconditions.

2. If the total amount due to the AKIPPL is less than any payment due to the SUB-CONTRACTOR, the
difference amount shall be released by AKIPPL to SUB-CONTRACTOR.
33) ARBITRATION/ a. Any ambiguity or discrepancy concerning any of the provision of this agreement shall be mutually
DISPUTE RESOLUTION: settled between the parties and will be reduced in writing. In case, the parties are not able to resolve the
:
same then the decision of AKIPPL s Joint Managing Director shall be final, binding and conclusive.
b. Any dispute or difference of any kind whatsoever arising between the parties in connection with or
arising out of the Scope or this agreement or the sub-contract works shall in the first instance be resolved
by discussion between the authorized representatives of both parties. In the event, the parties fail to
arrive at any amicable settlement, then such disputes or differences shall be referred to the Jt Managing
Director of AKIPPL whose decision shall be final & binding upon both the parties.

c. In the event, the parties fail to arrive at any amicable settlement then all such disputes or differences
shall be referred to arbitration consisting of three arbitrators. AKIPPL and SUB-CONTRACTOR shall
nominate one arbitrator each and the two arbitrators so nominated shall appoint the third arbitrator who
shall be presiding Arbitrator.

d. The arbitration shall be conducted in accordance with the Indian Arbitration and Conciliation Act 1996
including all amendments from time to time. The decision of the Arbitral Tribunal shall be final and
binding upon both the parties.

e. Notwithstanding any other provision of this Agreement, where the dispute between the AKIPPL and
SUB-CONTRACTOR is connected with or raises issues which relate to, or could give rise, to any dispute
between the AKIPPL and the SUB-CONTRACTOR(hereinafter referred as Related Dispute ) the parties
herein agree that AKIPPL shall submit the Related Dispute for resolution under the Work order and the
SUB-CONTRACTOR shall be bound by the resolution of the dispute or any relevant determination by
competent forum in Work order or finding or award in the Related Dispute that arises in connection with
or applies to the dispute between AKIPPL and SUB-CONTRACTOR. Further the SUB-CONTRACTOR
shall render all assistance to the AKIPPL in the resolution of the Related Disputes with Employer.

f. The execution of work will continue, and SUB-CONTRACTOR shall not cause any direct or indirect
hindrance or try to provoke any concerned authorities, even if the matter is under dispute resolution.

g. The place of arbitration shall be Varanasi. (Uttar Pradesh) India.
