Dear Sir,
This has reference to your offer dated 06.10.2024 and subsequent discussion we had
over phone, we are pleased to place the work order for New labor quarters civil
work for our MTC Company as per scope and terms and conditions are mentioned
below-:

CONSTRUCTION OF NEW QUARTERS AT MTC BUSINESS 1300
PVT LTD
1 SIZE OF ROOM 15 FEET X 15 FEET - 20 NOS
2 PCC with all materials and labor
3 Block wall work including block cost m. sand, cement, labor
cost & other labor costs.
4 Lintel work with shuttering labor charges & steel labor
charges.
Note:
The above rates are inclusive of Cement, Tools & Tackles, scaffolding
Materials, Equipments/ Machines required for execution of work. However, we
shall provide safe place for storage of your Materials and Machines. The entire
responsibility for shortage, spillage etc will be yours.
Any Excess amount work from above mentioned amount will be not paid & if
quantity of work will be less than it will be deducted from above amount.

STANDARD TERMS & CONDITIONS:
Price: The above Rates are all inclusive and will remain fix till completion of entire
work. No escalation will be entertained. However, GST as applicable will be extra.
TDS as applicable will be deducted as per Govt. rules.
1. Payment Terms:
1) Payment will be released on progressive running bills basis.
2. Time Schedule:
Base: 60-70 days , incase work completed in 70 days Incentives will be given as
per the Management decision, however in case delay in your part beyond 70
days , penalty will be imposed as per management decision.
3. Warrantee of Workmen ship:
The job/work shall be warranted towards its performance as well as towards
workmen ship for a period of 18 months from the date of completion of work.
In case the workmen ship is found defective within warrantee period you shall
promptly rectify it at your own cost to our satisfaction excluding consumable
nature items.
You have to issue us a certificate for competency of civil work by a certified
charted engineer.
4. Order Amendment:
Any modification to terms of this work order or specifications shall be made by
written amendment letter after mutual agreement only.
5. Observation of Safety Precautions during Execution of work at our
site:
During the execution of work at our plant site, your persons have to follow the
norms of Safety of (Man, Machine, and Material), Health & Environment as
prescribed by the company. It shall be your prime responsibility to maintain safe
work atmosphere, safe work methods and practices to prevent any injury to your
workmen and damage to company’s machines, equipment, materials and
environment.
You have to make sure that your persons during execution of work are using
Personal Protective Equipment while at work.
You have to take an Insurance policy duly covering all of your Engineer/workmen
under Workman Compensation Act, against the accidental hazards and
occupational diseases. A copy of such policy shall be submitted to personal
department before commencement of work.
If any injury occurs to your workman out of and/ or during the course of
execution of work, you have to arrange and provide all medical, financial and
moral support to the injured persons till his fitness and pay compensation, if any.
MTC shall not be responsible for any compensation, whatsoever to any of your
workmen.

You have to provide copy of identity proof of your persons to HR department of
MTC.
SPECIAL CONDITIONS OF THE SALE CONTRACT:
One person to be deployed from day one.
You have to ensure that work is to be carried out in safe manner and you
have to provide safety PPE to your workmen.
b. You have to take care of all the Government and Labour Law rules and
regulation, including PF and ESI.
c. You will be entirely responsible for your Man, Machines and Materials.
MTC will not be held responsible for any loss, theft, accident and dispute
etc.
CONTROL OVER EXECUTION OF WORK:
You have to deploy skilled number of workmen to be engaged for
execution of the work and will alone be entitled to dictate such workmen
about the method/ manner of the execution of work without any
interference or instruction or intervention of the company. However, the
work has to be done as per Guidelines of our site Engineer/supervisor.
TERMINATION:
Either party can terminate this contract by giving one-week notice.
6. Force Majeure:
Neither party hereto shall be held responsible for any delay or failure to
perform any nor all the obligations imposed upon such party caused by Force
Majeure. In such case, the time for performance of such obligations and the
obligations of the other party to the extent that they are directly affected by
such occurrence will be extended by a period equal to that time.
Notification of a circumstance of Force Majeure shall be given immediately of
its occurrence.
Only the following shall be considered as Force Majeure if they intervene
before contractual delivery date and impede performance: Wars, Revolutions,
Fire, Floods, and Epidemics, Earthquake, Quarantine restriction, Freight
Embargoes, Acts of Government, Strikes and lockouts which directly affect the
performance. But, you shall continue to perform your obligations under this
Order as far as practical and seek all reasonable alternative means for that
performance prevented by the Force Majeure event.
7. Arbitration:
If any dispute or difference of opinion arises between the parties in relation to
or in connection with this order, they will undertake negotiations in good faith
with a view to resolving the matter. If notwithstanding negotiations by and
between the parties the dispute or difference of opinions is not resolved,
either party may refer the dispute to a sole Arbitrator to be appointed by the
Company. The Arbitration proceedings shall be held in accordance as per the
provisions of the Arbitration and Conciliation Act, 1996. The award made by
the sole arbitrator in pursuance thereof shall be binding on the parties. The

place of arbitrator shall be Chennai and the language for the purpose of such
proceedings shall be English.
8. Jurisdiction:
Any dispute relating to this Order shall be subject to the court of competent
jurisdiction situated exclusively within the limits of Chennai.
