BOARD’S REPORT

Dear Members,

Your directors have pleasure in presenting their Fifth Annual Report on the business and operations
of the company together with the Audited Statement of Accounts for the year ended on March 31,
2022.

Performance:

The income of the company is INR 250 in FY 2021-22 compare to INR 1,348/- in FY 2021-22.
The loss incurred during the year is INR 23/- compare to loss of INR 655/- in previous financial
year 2021-22

2. Reserves & Surplus account and Dividend

The Company has transferred loss of INR 23/- to Reserves & Surplus account as reflected in the
Financial Statement.

Your Directors do not recommend any dividend for the year under review.

3. Changes in Share Capital

There is no change in the share capital of the Company during the year under review.

The Authorized and Paid-up Share Capital of the Company is INR 1,00,000/- divide into 10,000/-
equity shares of INR 10/- each as on 31st March 2022.

4. Change in the nature of business and Material changes between the end of financial year and
the date of the report

There is no change in the nature of business of the Company and no material changes have
occurred between the end of financial year and the date of the report affecting the financial
position of the Company.

5. Number of Meetings of Board

The Board of Directors met 5 (Five) times during the year under review. The intervening gap
between the Board Meetings was within the period prescribed under the Companies Act, 2013
and the Secretarial Standards on Meetings of Board of Directors (SS-1) issued by The Institute of
Company Secretaries of India.

6. Details of Subsidiary, Joint Venture and Associate Company

The Company has no Subsidiary, Joint Venture or Associate Company and hence AOC -1 is not
applicable to be attached to this report.

7. Statutory Audit report and Auditors

M/s S.M. Puj & Co., Chartered Accountants, having ICAI Firm Registration No. 108204W were
appointed as Statutory Auditors of the Company for the FY 2021-22 to fill the casual vacancy
caused due to resignation of previous auditor.

They have shown their willingness for re-appointment and accordingly, the Board have
recommended their appointment for a period of 5 years based on their performance.

The agenda for their re-appointment shall be placed at the ensuing AGM for the approval of
members.

The Board has duly reviewed the Statutory Auditors’ Report on the Accounts. The Auditor’s
Report does not contain any qualification, reservation or adverse remark. The observations and
comments appearing in the Auditors’ Report are self-explanatory and do not call for any further
explanation/clarification by the Board.

8. Board of Directors and Key Managerial Personnel

During the Financial Year 2021-22, there are no changes in the Directors and Key Managerial
Personnel.

Mr. Gautam Maniar and Ms. Khushboo Maniar are the Directors of the company as on 31 st
March, 2022.

9. Details in respect of frauds reported by Auditors under Sub-Section (12) of Section 143 other
than those which are reportable to the Central Government

No frauds are reported by the auditors of your Company for the period under review.

10. Particulars of loans, guarantees or investments

The Company has not given any loan or guarantee or made any investment or provided any
security under section 186 of the Companies Act, 2013 during period under review.

11. Deposits

The Company has not accepted any Deposits during period under review which fall under
Section 73 of Companies Act, 2013 read with Companies (Acceptance of Deposits) Rules, 2014.

12. Disclosure on Employee Stock Option/ Purchase Scheme

Details required to be provided under Section 62 of the Companies Act, 2013 and Rule 12(9) of

13. Related Party Transactions

The Company has not entered into any related party transactions which fall under Section
188(1) of the Companies Act 2013.

14. Adequacy of Internal financial controls with reference to financial statements

The Section 143(3)(i) of Companies Act, 2013 on Internal Financial Control is not applicable to
the company.

15. Directors Responsibility Statement

As required under clause (c) of sub-section (3) of section 134 of the Companies Act, 2013,
directors, to the best of their knowledge and belief, state that:

i. in the preparation of the annual accounts, the applicable Accounting Standards had been
followed along with proper explanation relating to material departures;

ii. the Directors had selected such accounting policies and applied them consistently and made
judgments and estimates that are reasonable and prudent, so as to give a true and fair view
of the state of affairs of the Company at the end of the financial year and of the profit and
loss of the company for that period;

iii. the Directors had taken proper and sufficient care for the maintenance of adequate
accounting records in accordance with the provisions of the Companies Act, 2013 for
safeguarding the assets of the Company and for preventing and detecting fraud and other
irregularities;

iv. the Directors had prepared the annual accounts on a going concern basis; and

v. the Directors had devised proper systems to ensure compliance with the provisions of all
applicable laws and that such systems were adequate and were operating effectively.

16. Conservation of Energy, Technology Absorption, Foreign Exchange Earnings and Outgo:

The Conservation of energy and technological absorption as stipulated under Section 134(3) (m)
of the Companies Act, 2013 read with Rule, 8 of The Companies (Accounts) Rules, 2014, is as
under:

Conservation of Energy:
The operations of the company are not energy intensive and every endeavor has been made to
ensure optimal use of energy and avoid wastages and conserve energy as far as possible.

Since business and technologies are changing constantly, your company continues its focus on
quality up-gradation of products and services development.

Foreign exchange earnings: NIL


Foreign exchange outgo: NIL

17. Risk Management Committee

The Company although does not have a Risk Management Policy in place as on date, however
the Board have taken suitable recourse action for the same on the basis of which your Directors
have identified elements of risk.

18. Significant & material orders passed by the regulators or courts

During the year under review, there were no significant and material orders passed by the
regulators or courts or tribunals, which may impact the going concern status of the Company
and its operations in future.

19. Particulars of Employees

The provision of rule 5(2) and 5(3) of the Companies (Appointment & Remuneration of
Managerial Personnel) rules, 2014 is not applicable to Private Company.

20. Corporate Social Responsibility

The Company does not fall within the purview of Section 135 of the Companies Act, 2013 and
rules made thereunder.

21. Policy for Protection of Women at Workplace:

The company has not received any complaint and instances of sexual harassment of women
employees during the current financial year.

22. Secretarial Standards

Your Company has complied with the provisions of the Secretarial Standards on Meetings of
Board of Directors (SS-1) and Secretarial Standards on General Meetings (SS-2) as approved by
the Central Government and issued by The Institute of Company Secretaries of India under the
provisions of the Section 118 (10) of the Act to the extent applicable to the Company during the
year under review.

23. Acknowledgement

Your Directors place on record their sincere thanks to bankers, business associates, consultants,
and various Government Authorities for their continued support extended to your Company’s
activities during the year under review. Your Directors also acknowledges gratefully the
shareholders for their support and confidence reposed in your Company.
