FREELANCE TUTOR ENGAGEMENT AGREEMENT

This Agreement is made and entered into on the date of acceptance by the
Freelance Tutor, by and between:

Aspire High Classes, an online educational institute (hereinafter referred to as the


“Institute”) and Ruchitha (ruchitha0705@[Link] ), (hereinafter referred to as
the “Tutor”).

1. Nature of Engagement

●​ The Tutor is engaged as an independent teaching professional (freelancer)


for delivering online academic instruction.
●​ The Tutor is not entitled to employee benefits such as insurance, paid leave,
maternity benefits, or protections under labour laws applicable to full-time
staff.
●​ This freelance engagement does not create any employer-employee
relationship.

2. Scope of Work of Tutor

●​ Deliver online classes to students from grades 9–12 .


●​ Use a laptop with a digital writing pen tab and a reliable internet connection
to ensure quality instruction.
●​ Ensure all sessions are conducted only through official platforms provided
by the Institute (usually Microsoft Teams or equivalent).
●​ All classes must be recorded and camera kept on in case any parent asks for
same.
●​ The tutor shall be available for demos and regular classes between 6am-10
am IST & 5.30-9.30 pm IST on weekdays, 12.30-7 pm IST on weekends &
any other additional timings when available later.
●​ The agreed-upon hourly rate is fixed for a period of eighteen (18) months
from the date of joining. No requests for salary increments or rate revisions
will be entertained until the completion of this 1.5-year term.
●​ Tutor is required to wait for a maximum of ten (10) minutes from the
scheduled start time for a student to join & inform the admin after 5 minutes
of student absenteeism. If the student remains absent after this window, the
tutor must log out. Please note that this 10-minute waiting period is
non-compensable

3. Demo & Class Commitment from Tutor

●​ Provide one free demo class (30 minutes) for new student enquiries
scheduled by the Institute with camera kept on.
●​ Commit to a minimum of 1 academic year with the Institute.
●​ Ensure punctuality, professional presentation, and class quality at all times.

4. Compensation & Payout


●​ The agreed payout is on hourly basis at 450₹/hour for grades 9-10 &
500₹/hour for grades 11-12.
●​ Monthly payouts will be credited by the 10th of the subsequent working
month, for completed sessions only in the previous calendar month, as per
the mutually agreed rates.
●​ No compensation will be made for:
○​ Cancelled classes
○​ Incomplete classes
○​ Sessions not conducted via official links
○​ Classes shortened without reason

5. Communication & Contact Protocol

●​ All communication with students or parents shall occur:


○​ Only through the Institute, or
○​ Within the official class link’s chat window (Microsoft Teams or
equivalent).
●​ In certain parent-requested cases, the Tutor may be added to a WhatsApp
group that includes the Institute and the student/parent. In such cases:
○​ Communication must remain strictly related to academic classes.
○​ No direct messaging is permitted outside the group chat.
○​ Even if a parent or student initiates direct contact outside the
whatsapp group,the Tutor is strictly prohibited from replying and must
immediately report the incident to the Institute.
○​ Tutor must never use the number visible in the WhatsApp group to
call, message, or collect any personal information from the student or
parent.
●​ Under no circumstances shall the Tutor:
○​ Share their phone number, email ID, social media handles, profile
links, personal website, or any contact information with the student or
parent.
○​ Ask for any contact details, social media information, or other
personal identifiers from the student or parent.
○​ Discuss or negotiate fees, discounts, or payment terms with students
or parents during class or outside class.
○​ Share Links to any personal or professional profiles, websites or blogs
○​ Share Payment links or bank details
○​ Share Any third-party platform IDs used for teaching, tutoring, or
communication (Zoom, Google Meet, Whiteboard apps, etc.)
○​ Share Personal address, Google Maps links, or GPS location data.
○​ Share Photographs or any form of media that can identify or connect
them outside the class.
○​ Share Referrals to other institutes, teachers, or services.
●​ Any such exchange, whether direct or implied, verbal or written, shall be
treated as a major contractual breach and may result in immediate
termination without further notice, along with forfeiture of dues and possible
legal action.

6. Non-Solicitation & Confidentiality


●​ The Tutor agrees not to solicit, tutor, or engage any student from The
Institute privately, either:During this engagement or for 12 months after
contract termination.
●​ Any Violations will result in immediate termination and recovery of
damages.
●​ All student data, class recordings, materials, and academic content remain
confidential and property of the Institute.

7. Leave, Emergencies & Disclosure

●​ Planned leave requires minimum 48 hours’ notice.


●​ In emergencies, the Tutor must notify the Institute as soon as possible.
●​ In case of long-term health conditions, surgery, pregnancy, or any personal
circumstances affecting availability, the Tutor must disclose such matters in
a timely manner, as much in advance as possible
●​ Non-disclosure of such matters shall be treated as a contract breach.
●​ Any uninformed absence exceeding three days in a month will incur a
penalty equivalent to 2 hours of pay for each subsequent uninformed day,
deducted from the total monthly payout.

8. Contract Period & Termination

​Either party may terminate this agreement by providing 2 months’ written


notice.
​The Institute reserves the right to terminate the engagement immediately for
any of the following reasons:
○​ Failure to teach through the official platform
○​ Breach of any clause mentioned above.
○​ Breach of confidentiality or non-solicitation terms
○​ Misrepresentation or dispute over the validity of this contract after
voluntary acceptance.

9. Minimum commitment period

The Tutor agrees to a minimum service commitment of twelve (12) months from
the date of joining. This period is essential to maintain the academic consistency
required for our student-centric model.

10. Set-off and 'In Lieu' Rights

The Institute reserves an absolute Right of Set-off. Any financial penalties,


overpayments, or dues owed by the Tutor may be deducted directly from any
compensation payable. In the event of a breach of the commitment period or notice
protocols, the Institute may, at its discretion, accept a recovery payment in lieu of
the required notice or service. Such amounts may be set off against the final
settlement or any pending dues owed to the Tutor

In the event that the Tutor fails to serve the mandatory notice period or abandons
duties without completing the scheduled classes, the Institute shall have the
unrestricted right to:

Adjust any unpaid amounts against:

○​ Missed classes,
○​ Emergency replacement or substitute tutor costs,
○​ Student loss, refunds, or discontinuation,
○​ Operational, administrative, or reputational damages.
○​ Withhold, deduct, or forfeit any pending payout, either partially or
fully.
○​ The Tutor expressly agrees and acknowledges that no claim of any
nature shall be made against the Institute in cases of abandonment or
breach of the notice period requirement.”

11. Legal Standing & Jurisdiction

●​ This contract, once accepted, becomes legally binding.


●​ If any disputes arise, they shall be addressed first by mediation. If
unresolved, legal proceedings may be initiated under courts having
jurisdiction in Bangalore, India.

12. Acceptance

By signing below, Tutor confirms that He/She has understood and agree to the
above terms and acknowledge that He/She is engaged as a freelancer and not as an
employee.
