Dear Sir,
With reference to the above subject and subsequent discussions had with you, we are pleased to issue this
work order for execution of MS/DI/HDPE/DWC and 7 Way Pipe laying work in Zone-10 at ADCL
Project in Amravati, Andhra Pradesh with the following terms and conditions.

2.00) DEFINITIONS:
Project Head : Person heading the Concerned Project of ADCL Road Project,
Amaravati A.P on behalf of RVR Projects Ltd and holds the
authority from the company to discharge duties on its behalf.

Project Manager : Person heading the Total Project of ADCL Road Project,
Amaravati A.P on behalf of RVR Projects Ltd and holds the
authority from the company to discharge duties on its behalf.

RVR Projects Ltd : M/S RVR Projects Private Limited.

3.00) Scope of Work

3.01) Conformance of Work: The general workmanship shall strictly comply with the approved /required
Specifications and Drawings of this Project. All Specifications and conditions applicable to RVR Projects
Contract with Department of ADCL, CRDA Andhra Pradesh, shall be fully binding on Sub-Contractor in
respect of the portions of work executed by the Sub-Contractor. The Sub-Contractor shall be responsible for
making all the rectifications required after the works are checked by QC of RVR Projects/Department

Engineer. The Project Manager of RVR shall determine the conformity of the work and his decision shall be
final and binding.

3.02) Measurement of Work: The measurement of various items of Work Order shall be made as per the
relevant Clauses of IS Specifications. The Executed work shall be jointly measured under relevant work
order items for payment at unit rates set out in the Work Order. The joint measurement of the work shall be
subject to the approval of the Project Manager of RVR.

3.03) Rates: The rates stated in the Work Order shall encompass all the associated costs including, but not
limited to, all direct and indirect costs, cost of incidental works, overheads, profit margin, mobilization and
demobilization of manpower/machinery/plants, hand tools& tackles at site, wastage, transportation cost, etc
for executing of work at all heights, depths, lifts, leads shapes and sizes unless otherwise specially
mentioned in the item of the work order.

3.04) Taxes &Duties: The item rates are firm till completion of work. GST will be paid extra as applicable.

I. The Tax Invoice shall be raised as per Sec. 31 of CGST ACT 2017 & Invoice Rules of CGST Rules
– 2017.
II. You shall provide Credit Note as per Sec-34 of CGST ACT & Invoice Rules of CGST Rules – 2017,
if material/Service is found faulty at our site.
III. You shall mention our GST Reg. No. in your Invoice.
IV. You shall pay the GST to the Dept. by the due date and also include the transactions in your returns
(GSTR-1 & GSTR-3) by the due date to enable us to claim ITC, failing which the GST amount with
18% rate of interest will be debited to your account.

3.05) Variation in Rates: The item rates stated in the Work Order shall remain valid, fixed and firm and no
change shall be made due to any variation in the quantities to any extent. It means that the quantities shown
in the Work Order are approximate and liable to wide variations and any variation shall not entitle the Sub-
Contractor to any escalated payment in respect of any item of work on account of increase or decrease in the
scope of work, quantities, etc.

3.06) Additional Work: Any additional/extra items of work not covered under the Work Order but become
available to be executed as deemed necessary by the Project Manager of RVR shall be carried out by Sub-
contractor after rate is mutually agreed and work order towards the work is issued.

3.07) Escalation: The rates shall remain firm and fixed till the completion of the assigned job is completed
in all respects and no escalation whatsoever is admissible in view of any fluctuation of the rates of POL,
manpower, Machineries, Equipment, Tools, and Tackles, Consumables or any other item directly or
indirectly involved in the work this regard.

3.08) Time Period for Completion: The work shall be completed in all respects as per the timelines given
by the Project Manager.

3.09) Defect Liability: The defect liability period is 1 Year from the date of completion of work as certified
by the Project Manager of RVR. During the defect liability period all the defective works related to

workmanship, if any, shall be rectified/repaired timely by him conforming to the Technical Specifications
and to the satisfaction of Project Manager of RVR and/or Client Engineer.

4.00) AMENITIES FOR WORK

4.01) Accommodation and Water, Power Supply for the labour will be in the scope of RVR at base camp.

4.02) The Sub-Contractor will abide by all laws governing employment and safety of labour and in particular
with provisions of the Minimum Wages Act, 1856 and Workmen Compensation Act, 1923, Provisional Fund
Act 1956(ESI&PF) and the rules and regulations framed under the said Acts from time to time. If any
amount becomes payable by RVR, as a result of any claim, applicable in terms of provisions of he said
Act(s) and regulations thereof, such amount shall be recovered from the Sub-Contractor. The Sub-Contractor
shall also be responsible for payment of any compensation under Workmen Compensation Act. The Sub-
Contractor shall submit the labour license before commencement of the work to the Project Manager of
RVR.

4.04) Safety of the Adjoining Structures: The PRC shall take necessary steps to protect the safety of all
adjoining structures, Private Property, etc., which may be affected due to various operations (example:
Excavation, blasting operation, or movement of his equipment and Machinery involved in the execution of
‘Work Order’. If any existing structure is damaged due to improper methods of operations and/or negligence
of the Sub-Contractor, the same shall be rectified and restored to the original condition by the Sub-
Contractor at his own cost and risk.

4.05) The Sub-Contractor shall be responsible for proper coordination with other agencies working at the
site so that work may be carried out concurrently, if necessary, without any hindrance. The Project Manager
of RVR shall resolve disputes, if any, in this regard and his decision shall be final and binding.

4.06) The Sub-Contractor shall be solely responsible for damages of work of other agencies, if any,
committed by him and shall make good the losses incurred/claimed by other agencies.

5.00) PAYMENT FOR WORK

5.01) Monthly Bill Payments: The approved work executed during the preceding month shall be measure
jointly, after receipt of the RA bill from the Sub-Contractor in the prescribed format of RVR, for the
finalization of monthly bill under relevant Work Order items of the work. The Project Manager of RVR shall
recommend to the Project Head the monthly bill covering the measurements of work executed during the
preceding month for payment under the Work Order items, subject to deductions of retention, recoveries
against issues by RVR, penalty, other deductions as applicable in terms of this
Work Order and TDS. After scrutinizing, the Project Head of RVR shall approve the RA bill for payment.

5.02) Time for Payment: RVR shall make efforts to pay the RA bill amount after recovering all
advances/materials supplied to for the work within 15 days from the date of certification of RA bill. The
payment may get delayed due to any unavoidable circumstances.

5.03) Idle Charges: No idle charges towards machineries, manpower, or any materials/equipment’s shall be
payable for whatsoever reasons.

5.04) Interest on late Payment: No interest on late payment shall be made.

5.05) Retention: An amount equivalent to 5% of the gross value of Payable Amount shall be deducted from
the monthly bill payments. 2.5% of Such withheld retention amount shall be released after completion of the
work and on submission of ‘No Claim Certificate’ by the Sub-Contractor against ‘Work Completed
Certificate’ issued by the Project Manager of RVR. The balance 2.5% will be released after defect liability
period; and upon completion of all repair/defective works to the satisfaction of Project Manager of RVR as
stated in the ‘Scope of Work’. No interest will be paid for the Retention Money by the RVR.

5.06) Other Deductions: Deductions as determined by the Project Manager of RVR pursuant to any clause
of this Work Order terms & conditions shall be made from the amounts payable to the Sub-Contractor for
the work executed and measured. The payment or deductions of such sums shall not relieve the Sub-
Contractor from his obligation to complete the works or from his other obligations and liabilities under the
Agreement.

5.07) Tax Deduction at Source: TDS shall be deducted from the payments to the Sub-Contractor at
prevailing rates as per Government regulations. The Sub-Contractor shall submit Permanent Account
Number for Tax Deductions at Source purpose.

6.00) QUALITY OF WORK

6.01) Quality Control & Quality Assurance: The Sub-Contractor shall establish documents and maintain
an effective quality assurance system, which shall be approved by the RVR’s Project Manager of the work.
Officials of RVR’S clients shall have the right to inspect or witness; review any or all stages of work at
shop/site as deemed necessary for quality assurance. The Sub-Contractor shall abide by the instructions of
the Quality Control Engineer of RVR / Client Engineer to comply with the Quality Control requirements and
Quality Assurance Plan of RVR.

6.02) Assistance for checking/Inspection: The Sub-Contractors shall allow sufficient time as deemed
necessary by the Project Manager of RVR and their clients for enabling him/them to check the lines levels
etc. and the Sub-Contractor shall suspend work till that time the clearance is given by the Project Manager of
RVR for execution of works.

Inspection and acceptance of any part of work shall not relieve that Sub-Contractor from any of the
responsibilities under this ‘Work Order’. If any defect, etc. is noticed even at a later stage, in spite of
payment having been made for such item of work earlier: the Sub-Contractor shall immediately attend and
rectify the same at his own cost to the full satisfaction of the Project Manager of RVR failing which the
RVR shall be entitled to get the same executed at the Sub-Contractor risk and expenses, and debit the
expenditure so incurred to the Sub-Contractor account.

6.03) Rejection / Removal of Materials and Works: All the materials and completed works which are not
conforming to the Technical Specification and Drawings shall be removed forthwith from the site by the
Sub-Contractor at his own cost and risk and the Sub-Contractor shall carry out the rectification at his own
cost or shall be made good by the Project Manager of RVR engaging third party in case of THE Sub-
Contractor inability to attend and rectify the defect within the period directed.

6.04) Behaviour of Sub-Contractor: In case of indiscipline, misbehaviour with the representatives of RVR/
Client Engineer by any of the Sub-Contractor’s employees, the same shall result in immediate discharging of
the concerned employee from the site of work. The RVR shall not be responsible for any cost or damages in
that eventuality.

Persistent disregard of instructions from Project Manager RVR and/or their Representatives/clients shall be
treated as indiscipline and the Project Head of RVR shall hold the right to terminate this Work Order without
prejudice and shall have the right to execute the balance items of work by engaging a third party at the Sub-
Contractor risk and cost.

The Contractor Representatives have to attend the meetings for review of progress and work whenever
required and he will respond to the communications from RVR Projects.

6.05) Safety: The Sub-Contractor shall abide by the instructions of the Safety Engineer of RVR / Client
Engineer to comply with the Safety Plan of RVR. The RVR will not be held responsible for any untoward
incident happening due to negligence of safety aspect. The Safety PPE & gadgets will be issued to the Sub-
contractor and the same shall be returned after the completion of the work. In case of any damage to the
material, the cost of the material shall be recovered from the sub-contractor RA Bill.

The Sub-Contractor shall be solely responsible for the safety of his employees, workmen and liability of
their total security and safety wholly rests with the Sub-Contractor. The RVR shall in any event be not
responsible for the same. The Sub-Contractor shall also be solely responsible for all other damage to any
property arising out of and incidental to his negligent or defective workmanship. The RVR reserves the right
to recover from his bills/payable sums any expenditure incurred by us on account of the Sub-Contractor for
failure to comply with any statutory requirements. The decision of the Project Manager/Project Head of
RVR in assessing the recoverable sum form the Sub-Contractor in any such occurrences shall be final,
conclusive and binding on the Sub-Contractor.

If the Sub-Contractor doesn’t follow the safety regulations and rules set by RVR Projects even after notice
are served, he would be penalised according to the norms set by Safety department of RVR projects.

In the event of any accident-causing injury resulting into partial or total disability or even causing death, the
PRC shall be totally responsible and absolve the RVR from all damages or expenses related to it.

6.06) Environment: The Sub-Contractor shall abide by the instructions of the Environmental Engineer of
RVR to comply with the Environment Management Plan of RVR.

6.07) Conflict Management: Any conflict encountered in complying with the instruction made out pursuant
to this Work Order terms as above shall be referred to the Project Head of RVR whose decision in this
regard shall be final and binding.

7.00) REQUIREMENTS FROM THE SUB-CONTRACTOR

7.01) Knowledge of the Work Requirements: The Sub-Contractor is deemed to have, prior to the
acceptance of this Work Order, visited, inspected and examined the work location and the work
requirements and to have taken into consideration all such information while agreeing to the rates, terms and
conditions of this Work Order and no claims whatsoever shall be considered in this regard.

7.02) Resource Deployment: The Sub-Contractor shall mobilize adequate manpower/plants/
machinery/equipment required for temporary and permanent works to ensure execution of the work with
proper quality and workman ship. The labour deployed shall be subject to the approval of the Project
Manager of RVR

7.03) Technical Requirements: The Sub-Contractor shall carry out the work as per approved / required
Technical Specifications & Drawings. The PRC shall deploy competent technical/skilled manpower to
execute the work accordingly.

7.04) Employees of Other Sub-Contractor’s: The Sub-Contractor shall not employ or engage directly or
indirectly in the work, the employees of any other Sub-Contractor working at RVR without the written
consent of such Sub-Contractor and without the approval of Project Manager of RVR.

7.05) Local Conditions: The Sub-Contractor shall familiarize with the local rules, regulations and
conventions governing the movement of resources and construction works accordingly.

7.06) Provident Fund: The Sub-Contractor shall comply with the PF rules applicable for his workers, make
timely payment, submit all documents to the concerned authorities and submit copies to RVR as
documentary evidence. The Sub-Contractor shall obtain PF Account No. And provide the details to the
Project Manager of RVR within 7 days of the start date of the work. The Sub-Contractor shall submit the
register of wages and muster roll upon payment of wages to the workmen employed by the Sub-Contractor
for the work every month. In case of failure of the Sub-Contractor to comply with PF rules or to pay wages
in a timely manner, RVR shall deduct the amounts from the PRC’s dues and make the payments directly as
appropriate.

7.07) Indemnification: The Sub-Contractor shall indemnify RVR and RVR’s employer of the above-
mentioned Project from implications of any failure of the Sub-Contractor to adhere to all statutory laws and
regulations. The Sub-Contractor shall indemnify RVR and its representative, RVR’s employer of the above-
mentioned Project from implications of any accidents / injuries / casualty / damages to resources due to
negligence or action of the Sub-Contractor. No director or official or employee of RVR shall in any way
personally bound or liable for performance of the acts or obligation under this ‘Work

Order’ or answerable for any default or omission in the observance or performance of the acts, matters or
things which are herein contained.

7.08) Responsibility for Damages: In case the Sub-Contractor damages any of RVR’s or RVR’s
employer’s property or resources while executing the work, then the Sub-Contractor shall be fully
responsible for the same and make good / compensate the loss.

Drains, pipes, cables, overhead wires and similar services encountered in the course of execution of work
shall be guarded from being damaged by the Sub-Contractor at his own cost. Should he damage any lines,
cables or pipes, (whether above or below ground level etc.),Whether or not shown on the drawings, he shall
make good or bear the cost of making good the same without delay to the full satisfaction of the Project
Manager of RVR.

8.00) CONCLUSION OF WORK

8.01) Termination of PRC Work: If the Project Head of RVR feels at any time that the Sub-Contractor are
not executing the work to match the stipulated time schedules or not executing the work according to
drawings, specifications, instructions, or not meeting the requirements set forth in this Work Order, he shall
have full authority to cancel the Work Order outright without assigning any reasons and get the balance
works executed by Engaging other agencies at the Sub-Contractor risk and cost. Excess expenditure incurred
in the process shall be deducted from the Sub-Contractor’s payable sums. The assessment of the Project
Manager of RVR regarding excess expenditure incurred shall be final and binding on the Sub-Contractor.

The RVR Reserves the right to cancel this Work Order at any time for any reason whatsoever and in such an
event the PRC shall not be entitled to any compensation on any account whatsoever.

8.02) Force Majeure: Neither RVR nor the Sub-Contractor shall be responsible or considered to be in
default, if the execution of Work Order is delayed or interrupted due to the cause absolutely beyond their
control such as act of God, Natural calamities, war, major civil commotion, fire, storms, floods, strikes or
lockouts and bandh. However, only these causes which have duration or more than 7 days are considered as
being causes of force-majeure. In such event, either party shall not compensate the other for the loss that
might occur or might have occurred because of the effect of such event upon the execution of the Contract.

8.03) If any of the conditions contained herein contradict the ‘Special Conditions of Contract’, the conditions
as stipulated in the ‘Special Conditions of Contract’ shall prevail.

8.04) In case of disputes regarding meaning and intend of specifications, terms and conditions etc., the same
shall be referred to the Project Head of RVR whose decision shall be final and binding on both the parties.

8.05) Settlement of Disputes: Any dispute arising out of this Work Order shall be settled amicably through
the Project Head of RVR within the terms of this Work Order. Further the Work Order shall be Governed
and constructed in accordance with the laws of India which might be in force from time to time. For any
disputes which are not settled amicably then only the courts of Visakhapatnam shall have exclusive
Jurisdiction.

SPECIAL CONDITIONS OF CONTRACT

1) The Sub-Contractor shall comply with the rules, regulations by laws and directions given from time
to time by any local and public authorities in connection with this work and shall pay charges/fees
and shall obtain necessary licenses/certificates/documents.

2) The planning, execution and completion of entire works shall be strictly in accordance with agreed
terms with RVR as amended by them from time to time.

3) The rate laid down in the schedule of works is firm during the initial and extended period of
completion of the whole work.

4) Necessary laying of cables, etc. for arrangement of electricity shall be made by the Sub-Contractor
cost in work location.

5) The Sub-Contractor shall strictly adopt and adhere to all safety rules and regulations lay down by the
contract conditions and the local requirement and in general with no extra cost to RVR.

6) The entire work shall be executed to the complete satisfaction of Project Manager of RVR and
meeting the needs of our client or its representatives and required Specifications. All defective
works shall be rectified / remade by himself at his own cost only and RVR shall not be liable for
such additional expenditure. In the event of his failure to rectify and/or redo such sub-standard work,
RVR shall get the same completed and cost incurred there of shall be recovered from the amounts
due and/or becoming due to the PRC and no claim whatsoever shall be raised by him on that
account.

7) The Sub-Contractor shall have to abide by all provision of the Contract Labour (Regulation and
Abolition) Act 1970 as amended. Necessary labour provident fund and other statutory records are to
be maintained properly and to submit the same to the concerned authorities from time to time for
inspection. The total cost involved in this aspect shall be to his account.

8) The Sub-Contractor are to submit all particulars, details, bills, RA bills, quantities of work done and
other required details to RVR from time to time without any extra cost.

9) The Schedule of items and quantities, as agreed upon between the Sub-Contractor and RVR is
applicable to him. Bills will be prepared as per actual quantities executed and measured by Project
Manager of RVR at site.

10) The costs of all tools and tackles, plant & machinery and equipment required skilled and unskilled
labour shall be arranged by the Sub-Contractor and at his cost, which is necessary for completion of
above said scope of work.

11) As agreed, the Sub-Contractor should submit running bills and final bill to RVR for his bill payment
after certification of his work from the Project Manager of RVR.

12) The payments shall be made to the Sub-Contractor within Fifteen (15) days from the date of
Submission/Certification of RA bill.

13) The Sub-Contractors responsible to carry out the work as per the schedule prepared by us. Under
any circumstances Sub-Contractor fail to complete or carry out the work within the prescribed time
period, RVR shall have the right to terminate this work order and hand over the balance work to any
other party at the Sub-Contractor risk and cost.

14) Any other material supplied by us will be charged with 5% of handling charges and subsequently
debited from the Sub-Contractor in the running bills.

15) No idling charges shall be paid to the Sub-Contractor under any circumstance.

16) All machinery of Sub-Contractor has to be insured, and all taxes have to be paid and the proofs have
to be submitted to RVR.

1) a) To comply with the provisions of Minimum Wages Act, 1948, Workmen’s Compensation
Act,1923, Employee State Insurance Act,1948, and all other acts that are applicable to this work
order.
b) Any losses or claims or damages on account of 1 (a) above.

2) For abiding by all laws of the Government enacted time to time and shall maintain all registers and
records as required under these Acts and also in respect of any claims thereof including payment of
wages.

3) Against any losses or claims or injuries/total or partial disability/death of his own workmen.

4) Against any losses/claims of third party or damages to any product within the premises.

5) To ensure proper behaviour, safety and security of his workmen/employees and to exercise proper
control over his workmen to ensure that none of them vitiates the work environment by resorting to
illegitimate activities, thefts etc.

SPECIFICATIONS AND SPECIAL TERMS AND CONDITIONS

1) SCOPE OF WORK
A. RVR Scope:
1. RVRPPL will provide material (Pipes, Values, specials, bolts, gaskets etc.,) at work location.
2. Loading and transportation of material from stock yard to designated location shall be RVRPPL
Scope.
3. Water for Hydro Testing will be provided at site by RVR Projects Pvt Ltd.
4. Providing Sand Near to the Trench is in RVR Projects Pvt Ltd Scope.
5. De Watering if Required in the Scope of RVR Projects Pvt Ltd.
6. RVRPPL will provide electricity at working location.
7. Accommodation for labour shall be provided by RVRPPL at Labour camp.
B. Subcontractor Scope:
1. Machinery, Equipment, tools and tackles shall be under subcontractor’s scope.
2. Subcontractor Should deploy skilled manpower for completion of the subjected work.
3. Unloading of materials at designated site location will be subcontractor’s scope.
4. Dressing of excavated bed, spreading of sand with required thickness, lowering, aligning, jointing,
and maintaining specified spacing with suitable spacers as directed by the Engineer -in-charge/client.
5. Hydraulic testing after completion of laying shall be subcontractor’s scope.
6. Sub-contractor shall be responsible for Security of material, Machinery, Equipment, tools and
tackles.
7. Carting of Surplus Soil up to 2 Km is in Sub - Contractor Scope.
8. Carting of Surplus Soil beyond 2 Km - Rs.9/Cum/Km (Sub - Contractor Scope).
9. Food and Internal transportation of labour shall be subcontractor’s scope.

PAYMENT TERMS & CONDITIONS

Payment Schedule:
1) 75% of the total rate shall be released on satisfactory completion of Lowering the Pipes in Trenches,
Laying and Jointing after successful certification by the Project In Charge.

2) 10% of the total rate shall be released on satisfactory completion of Testing (Hydro Testing, Rope
Testing, Leakage Testing) and after successful certification by the Project In Charge.

3) 10% of the total rate shall be released on satisfactory completion of Fixing of Specials (Except
Valves) etc, after successful certification by the Project In Charge.

4) 5% Security Deposit shall be retained from the value of each Running Account bill after all statutory
deductions and recoveries, if any. Security Deposit will be released after 6 months from successful
completion of the commissioning of the Project, on due certification of the same by the Engineer-In-
Charge.

MINIMUM STAFF TO BE DEPLOYED AT SITE

Site Engineer - One Site Engineer with min. of [Link] experience to take care of the Quality
and Progress of work also to attend the review meetings and respond to the
communications of M/s RVR Projects.

Supervisors - Min. 2 No’s to ensure the quality and progress of works.
