Dear Sir,
With reference to your Expression of Interest through your referred quotation above and our subsequent
discussion & negotiation, we are pleased to issue the Work Order towards the following Works for
Supply, Installation, Testing, and Commissioning (SITC) of LED scrolling display boards for CJV
free-flow lanes at Bandala Toll Plaza.

All these Works shall be executed in the following terms & conditions.

NOW, THIS WORK ORDER WITNESSES AND IT IS HEREBY AGREED BY AND BETWEEN THE
PARTIES HERETO A S FOLLOWS:

1 GENERAL

1.1 Definitions
For the purpose of this Contract, unless otherwise agreed between the Parties, the words and
expressions below shall have the following meanings:
(a) "Applicable Laws" means all laws, brought into force and effect by Government of India
or the State Government including rules, regulations, by laws, ordinances, and

notifications made thereunder, and judgments, injunctions, decrees, writs and orders of
any court, tribunal, judicial or arbitral body, national, state, provincial, local or similar
government, governmental, regulatory or administrative authority, branch, agency, any
statutory body of competent jurisdiction, having the force of law in India, as they may be
issued and be in force from time to time
(b) " Authority" refers to National Highways Authority of India (NHAI).
(c) “Business Day” shall mean any day when banks are open for business at the place from
where the funds are to be transferred to the account of the Vendor.
(d) "Contract Price" means the sum agreed in the Contract as payable to the Vendor for the
execution and completion of the Works and for remedying of any defects therein in
accordance with this Contract.
(e) [“Concession Agreement” means the Concession Agreement signed between the
National Highways Authority of India (NHAI) and SHREE JAGANNATH
EXPRESSWAYS PRIVATE LIMITED (“CLIENT”) including any Supplementary
Agreements.]
(f) “Change in Law” shall be as described in Article 34 of the Concession Agreement.
(g) “Contract” means this maintenance contract entered between CLIENT and the Vendor,
including the schedules and annexures annexed hereto, as amended, modified, or
supplemented from time to time in accordance with provisions herein.
(h) "Contract Period" refers to the period from the date of issuance of Notice Period or from
the Commencement Date (whichever is earlier) to Completion Date as per the Contract
or such other extended time as mutually agreed between the Client and the Vendor.
(i) “Date of Taking Over” shall mean the date the Vendor takes over the site inventory by
way of a sign-off by a representative of CLIENT and Vendor after verifying all inventory
to their satisfaction, upon receipt of Notice to Proceed.
(j) “Encumbrances” shall mean, in relation to the Project Highway, any encumbrances such
as mortgage, charge, pledge, lien, hypothecation, security interest, assignment, privilege
or priority of any kind having the effect of security or other such obligations, and shall
include any designation of loss payees or beneficiaries or any similar arrangement under
any insurance policy pertaining to the Project Highway, where applicable herein but
excluding utilities referred to in Clause 11.1 of the Concession Agreement and charge
on Project receivables only for purposes of securing Debt repayment and for no other
purpose
(k) “Force Majeure” shall have meaning as ascribed in Article 27.1 of the Concession
Agreement.
(l) “Good Industry Practice” shall mean the standards, practices, methods, and procedure
confirming to the Applicable Laws and the degree of skill, diligence, prudence, and
foresight which would reasonably be expected from a skilled and experienced O&M
agency including its representatives deployed at the site.
(m) “Heavy Repair or Heavy Maintenance” shall include all activities that relate to the
structures of roads, bridges and includes pavement refurbishment ( other than repair of
local patches, pothole repairs or crack sealing), reinforcing of structures such as bridges,
tunnels, steel structures, large scale painting campaigns, replacement or large scale

improvement of fencing, kerbs, traffic panels, or any other such item and more generally
of substantial parts or components of the project assets etc .
(n) "Inspection Certificate" means a certificate issued by the CLIENT upon successful and
satisfactory completion of the Works on a monthly basis under this Contract and prior to
certification of RA bills submitted by the Vendor.
(o) “Mobilization Period” shall mean the mutually agreed period commencing immediately
from the issuance of Notice to Proceed, during which, the Vendor mobilizes his
manpower, material, and machinery in consultation with the Client to provide the
Services.
(p) Project Monitoring Committee (PMC) means a team of experts appointed by the Client
for overseeing the works under this contract for both quality, timeliness and compliance
with specifications.
(q) “Program" means the program provided by the CLIENT to the Vendor for undertaking
various activities under the scope of Works as per mutually agreed therein,
(r) "Retention money" refers to an amount of 5% per bill retained by CLIENT.
(s) “Services” means the services to be rendered by the Vendor as more fully described in
Scope of this Contract.
(t) “Vendor Event of Default” shall mean breach by the Vendor of its obligations under the
Contract.
(u) “Vendor’s Staff” shall mean each individual and collective group of Vendor’s
employees, licensees, invitees, advisors, consultants, subcontractors, agents, officers,
and representatives who are provided and are utilized by the Vendor for the performance
of its obligations under this Contract and any other personal notified to CLIENT by the
Vendor and will include all workmen and contract labour being retained by the Vendor.
(v) "Site/Project Stretch/Concession/Project" means the entire length of the road asset under
the control of CLIENT, within the Right of Way as per the Concession Agreement, along
with all assets constructed/installed/erected/planted as per provisions of the Concession
Agreement where the proposed works as per scope are to be carried out.
(w) "Taking Over Certificate" means a certificate jointly signed by CLIENT and the Vendor
upon successful and satisfactory taking over of all the assets by the Vendor on the Date
of Taking Over.
(x) "The Works/Services" means the works to be executed and completed as specified in this
Contract.
(y) "Temporary Works" means all temporary works of every kind required on Site for the
execution and completion of the Works and the remedying of any defects therein.

1.2 Interpretations
In this Contract, where the context requires otherwise: -
(a) words indicating the singular also include the plural and words indicating the plural
also include the singular.
(b) provisions including the word "agree", "agreed" or "agreement" require the agreement
to be recorded in writing, and

(c) "written" or "in writing" means hand-written, type-written, printed, or electronically


made, and resulting in a permanent record.
(d) the headings or notes in this Contract are for convenience only and shall not be deemed
to be part thereof or be taken into consideration in their interpretation.
(e) Priority of agreements, clauses, and schedules
(f) This Contract, and all other agreements and documents forming part of or referred to in
this agreement are to be taken as mutually explanatory and, unless otherwise expressly
provided elsewhere in this Contract, the priority of this Contract and other documents
and agreements forming part hereof or referred to herein shall, in the event of any
conflict between them, be in the following order (a) the Concession Agreement, (b) this
Contract; and (c) all other agreements and documents forming part hereof or referred
to herein; i.e. the Concession Agreement at (a) above shall prevail over the agreements
and documents at (b) and (c) above.

2 LEGAL RELATIONSHIPS
The Vendor and its sub-contractors, if any, shall have the status of an independent contractor vis-
à-vis the CLIENT. This Contract shall not be construed to create any principal and agent
relationship of any kind between the CLIENT or the Vendor and any subcontractor(s) of the
Vendor, however, the CLIENT shall, in the exercise of its rights under this Contract, be entitled
to the performance of the Vendor and any sub-contractor(s) of the Vendor of his/her/its
obligations, and to the enforcement thereof.

3 VENDOR'S GENERAL OBLIGATIONS


3.1 Obligation to Perform in Accordance with Contract: -
The Vendor shall execute the Works safely and remedy any defects therein in accordance with the
Contract and the requirements of the Concession Agreement, and to the satisfaction of the
CLIENT, and shall provide labour, machinery, tools, and tackles includ ing the supervision
thereof, whether of a temporary or permanent nature, required in and for such execution. The
Vendor shall ensure that all applicable permissions and approvals from the competent
Governmental / quasi-Governmental authorities are taken prior to start of work. In this regard, the
Vendor acknowledges that it has received from the Client a draft of the concession agreement
proposed to be executed between NHAI and the Client for the Project, and that the Vendor and
the Client shall execute an amendment to this Contract on the execution of the Concession
Agreement to further align the provisions thereof.
3.2 Responsibility for Site Operations: -
(a) The Vendor is fully responsible for the adequacy, stability and safety, temporary lane closures
as per the laid down procedure of all Site operations.
(b) The Vendor at its own risk has to make his/her/its arrangement for the accommodation/
transportation of his/her/its workforce and no extra cost will be payable in this regard.
(c) Transportation of the workforce shall be mandatorily in a passenger vehicle and in accordance
with applicable labour and transportation laws.
(d) The Vendor acknowledges that prior to the execution of this Contract, the Vendor has, after a
complete and careful examination, made an independent evaluation of the Request for Proposals,

Scope of the Project, Specifications and Standards, Maintenance Requirements, Safety


Requirements, as-built drawings, Site, existing structures, local conditions, physical qualities of
ground, subsoil and geology, traffic volumes and all information provided by the Client or
obtained, procured or gathered otherwise and has determined to its satisfaction the accuracy or
otherwise thereof and the nature and extent of difficulties, risks and hazards as are likely to arise
or may be faced by it in the course of performance of its obligations hereunder.
(e) The Client makes no representation whatsoever, express, implicit or otherwise, regarding the
accuracy, adequacy, correctness, reliability and/or completeness of any assessment,
assumptions, statement or information provided by it and the Vendor confirms that it shall have
no claim whatsoever against the Client in this regard.
(f) The Vendor acknowledges and hereby accepts the risk of inadequacy, mistake or error in or
relating to any of the matters set forth in this Clause 3.2 and hereby acknowledges and agrees
that the Client shall not be liable for the same in any manner whatsoever to the Vendor or any
person claiming through or under it.
(g) The Parties agree that any mistake or error in or relating to any of the matters set forth in this
Clause 3.2 shall not vitiate this Contract or render it voidable. In the event that either Party
becomes aware of any mistake or error relating to any of the matters set forth in this Clause 3.2,
that Party shall immediately notify the other Party, specifying the mistake or error; provided,
however, that a failure on part of the Client to give any notice pursuant to this Clause 3.2 shall
not prejudice the disclaimer of the Client contained in this Clause 3.2 and shall not in any manner
shift to the Client any risks assumed by the Vendor pursuant to this Contract.

3.3 Responsibility for Employees: -


The Vendor shall be responsible for the professional and technical competence of his/her/its
employees and will select for work, reliable individuals who will perform effectively in the
implementation of the Works safely, respect local customs and conform to a high standard of
moral and ethical conduct.
3.4 Source of Instructions: -
The Vendor shall neither seek nor accept instructions from any authority external to the CLIENT
including the PMC in connection with the performance of his/her/its Works under this presents,
unless approved by CLIENT. The Vendor shall refrain from any action which may adversely
affect the interests of the CLIENT.
3.5 Encumbrances
The Vendor shall not be permitted to create any Encumbrances on the Site. During the term of
this Contract, the Vendor shall protect the Site from any and all occupations, encroachments or
Encumbrances, and shall not place or create nor permit any Contractor or other person claiming
through or under the Vendor to place or create any Encumbrance or security interest over all or
any part of the Site or the Project Assets, or on any rights of the Client therein or under this
Contract.

4 Obligations of the Client


4.1 Client’s right to take remedial measures:

In the event the Vendor does not perform the contract in conformity with this agreement or
Safety Requirements, as the case may be, and fails to commence remedial works within 15
(fifteen) days of receipt of a notice from the Client, as the case may be, the Client shall, without
prejudice to its rights under the Contract and this Contract including Termination thereof, be
entitled to undertake such remedial measures at the risk and cost of the Vendor, and to recover
its cost from the Vendor.

4.2 Overriding powers of the Client


(a) If in the reasonable opinion of the Client, the Vendor is in material breach of its obligations
under this Contract and, and such breach is causing or likely to cause material hardship or
danger to the Users, the Client may, without prejudice to any of its rights under this Contract
including Termination thereof, by notice require the Vendor to take reasonable measures
immediately for rectifying or removing such hardship or danger, as the case may be.
(b) In the event that the Vendor, upon notice under clause 4.2 (a), fails to rectify or remove any
hardship or danger within a reasonable period, the Client may exercise overriding powers
under this Clause and take over the performance of any or all the obligations of the Vendor
to the extent deemed necessary by it for rectifying or removing such hardship or danger;
provided that the exercise of such overriding powers by the Client shall be of no greater
scope and of no longer duration than is reasonably required hereunder; provided further that
any costs and expenses incurred by the Client in discharge of its obligations hereunder shall
be recovered from the Vendor in accordance with the provisions of this agreement along
with the Damages specified therein.
(c) In the event of a national emergency, civil commotion or any other act specified in Clause
27.3 of the Concession Agreement, the Client may take over the performance of any or all
the obligations of the Vendor to the extent deemed necessary by it, and exercise such control
over the Project Highway or give such directions to the Vendor as may be deemed necessary;
provided that the exercise of such overriding powers by the Client shall be of no greater
scope and of no longer duration than is reasonably required in the circumstances which
caused the exercise of such overriding powers by the Client. It is also agreed that the Vendor
shall comply with such instructions as the Client may issue in pursuance of the provisions
of this Clause 4.2, and shall provide assistance and cooperation to the Client, on a best-effort
basis, for the performance of its obligations hereunder.

4.3 Restoration of loss or damage to Project Highway


Save and except as otherwise expressly provided in this Contract, in the event that the Project
Highway or any part thereof suffers any loss or damage in connection with the performance of the
Services during the term of this Contract, the Vendor shall, at its cost and expense rectify and
remedy such loss or damage forthwith so that the Project Highway conforms to the provisions of
this Contract.

5 SCOPE OF WORK:
The scope of work for the above subject project for Supply, Installation, Testing, and
Commissioning (SITC) of LED scrolling display boards for CJV free-flow lanes at Bandala
Toll Plaza as per BOQ in Annexure-1 and all other relevant allied activities to complete the scope
of work standards and technical specifications.

6 GENERAL CONDITIONS OF WORK ORDER:


6.1 The Vendor shall cover the minimum wages guideline under the relevant Act of State / Central
Government. The Vendor shall be fully responsible for all necessary permits & license for the
modality used for executing this Work Order at the Site.
6.2 All works to be executed as per the relevant technical terms and specifications as per good
industry practice.
6.3 SJEPL shall not be responsible for any other statutory compliance in executing this Work Order
and the Vendor shall be held responsible for any shortfall to this.
6.4 The Work Order is issued to you upon your confirmation that you have the requisite experience
in similar work and get approved from IE/ NHAI. All Coordination for working purposes with
IE (Independent Engineer), NHAI and NCEEPE etc. up to the completion of the work scope to
be done by you.
6.5 The said works shall be carried out strictly according to the directions, requirements and
specifications of MoRT&H, relevant codes, and circulars from NHAI, Technical Specifications
and according to the directions of SJEPL’s Authorized Representative and as per the attached
BOQ. It is deemed and understood that the Agency (you) has carefully read and understood all
the technical specifications, surrounding of project area and all relevant documents as applicable
to SJEPL as per the Concession Agreement.
6.6 The Agency shall closely liaise with SJEPL, IE and the Authorities/ related department for
smooth co-ordination and ensure approval process at all levels, if required.
6.7 The Agency shall not sublet any part or full of the works under any circumstances and any such
act shall lead to deformation of this contract. The description of BOQ item stated in brief which
shall be elaborated as per provision of MoRT&H/ IRC/ IS Code to cover all activities required
to complete assignment in all respect.
6.8 It is decided that the Agency is capable of executing similar works and agreed to submit their
credential for onward submission to IE/ NHAI. It is your responsibility to get approval/ no
comments of your appointment to work.
6.9 All the facilities for manpower i.e. logistics, transportation, accommodation, electricity, food,
water, stockyard, consumable, non-consumable, etc. shall be arranged by you to complete the
assigned work. The Agency shall be responsible for compliance with all Labour Laws, P.F.
rules, and other applicable Statutory Obligations. SJEPL shall provide the required electric
supply for the execution of work only.
6.10 All the required tools, tackles, equipment/ instruments, machinery, etc. shall be arranged by you
to complete the assigned work.
6.11 All the requisite material for completing the work shall be arranged by the Agency. The Agency
shall provide the requisite proof of the material supply i.e. Challan, MTC, etc. If any material
requires third-party testing, it will be borne by the Agency.

6.12 Warehouse/ land for storage of materials and its security shall be in the scope of Agency.
6.13 Preparation of the Method Statement and Work Program shall be your responsibility. All the
relevant documents shall be prepared/ provided by you to get the approval/ permission from
Authorities regarding the works.
6.14 Local and administrative liasoning and any other miscellaneous work to complete the scope of
work in all respect shall be executed by the Agency as and when required for the interest of
Project.
6.15 Any other allied work and material required for completion of your scope of work shall be
incidental to work.

Notwithstanding anything, the General Responsibilities of the Vendor shall also include the
following: -
(a) The Vendor shall comply with all Applicable Laws in the performance of the Services.
(b) The Vendor shall employ Safe Working Procedures, adhering to the PDCA cycle, when
executing designated Tasks. The Vendor shall employ risk-based thinking techniques,
including a documented procedure for Risk Assessment and Hazard identification. All
Tasks shall only be executed once Risks are minimized to ALARP through a Hierarchy of
controls. The usage of PPE shall be mandatory. Provision of one first aid kit in a satchel
for each Team deployed shall be ensured.
(c) The Vendor shall have in place a documented Emergency Response procedure to ensure
the safety of personnel deployed on and users of the Project Facilities and ensure end-to-
end responsibility towards management of all incidents of injury, loss of limb or life
relating to vendor’s staff.
(d) Minimizing disruption to traffic in the event of accidents or other incidents affecting the
safety and use of the Project Facilities by providing a rapid and effective response, Through
a documented and approved Work Zone Traffic management plan in accordance with IRC
SP 055:2014 Guidelines on Traffic Management in Work Zones
(e) Minimizing all adverse effects on the environment in the vicinity of the Project Facilities,
due to any of their actions. The Vendor is encouraged to have a documented Garbage
management Plan for the Safe Collection, Storage and Disposal of garbage.
(f) Any situation which has arisen or is likely to arise on account of any accident or other
emergency is responded to as quickly as possible and its adverse effects are
controlled/minimized. This shall be contained within the documented Emergency
Response procedures of the Vendor.
(g) Disturbance or damage or destruction to property of the third party by operations of the
Project Facilities is controlled/minimized.
(h) Permit safe, smooth, and uninterrupted flow of traffic during normal operating conditions.
(i) Users of the Highway are treated with due courtesy and consideration.
(j) Regular monthly meetings between the Vendor and Client shall be arranged on a mutually
agreed date to discuss the various issues, progress, and way forward of execution of the
contract.
(k) The representative of the vendor shall be present for the monthly inspection by IE/NHAI.
So that any adverse observations can be attended to and closed as soon as possible.

(l) While regular activities are largely to be planned and executed during the daytime, have a
Quick Response stand by team for any emergencies during other times, considering that
the Project is under operation 24X7. The Composition and Nature of such a team shall be
part of the documented Emergency Response procedures, including provision for
Emergency Drills.

7 TECHNICAL SPECIFICATION CODES AND STANDARDS:


7.1 The Works shall be carried out in accordance with the following:
SITC of P-10 single colour LED scrolling display board size (10 X 2) Ft as per Annexture-1
7.2 In case of discrepancy in the above documents, the order of priority shall be as above.
7.3 The Vendor shall perform the works in a professional manner conforming to generally accepted
industry standards.

8 BILL OF QUANTITY (BOQ):


Detailed BOQ is enclosed in Annexure-1.

9 RESOURCE DETAILS:
9.1 You have to engage team equipped with all materials, tools and tackles and manpower to execute
work.
9.2 You shall depute your representative to co-ordinate with SJEPL and to look after all your
requirements of the site like planning, mobilization etc.

10 RATES:
10.1 The quantity mentioned in Annexure-1 is tentative and may vary to any extent plus or minus
as per the site condition. The rates shall remain firm for any variation of quantity.
10.2 The rates are including of cost of all consumable and non-consumable materials, plant &
equipment, machinery, tools and tackles, fuel, supervision, labour, loading, unloading,
transportation overhead, insurance, safety and security, profit, operation, all taxes, etc.
10.3 The rates mentioned in Annexure-1 are firm and fixed. No escalation till completion of work
is allowed.
10.4 No idle charges shall be paid by SJEPL on any account.

11 TAXES:
11.1 The above rates are inclusive of all applicable taxes and duties including GST as per Govt.
prevailing rates on submission of the original Tax Invoice as per rule.
11.2 The payment shall be released after applicable statutory deductions of Income Tax TDS, GST
TDS, etc.
11.3 Further, in conformity with the GST compliance, the Contractor needs to issue receipts
vouchers for advances and GST Invoice in the prescribed form and is required to pay GST
within time duly disclosing the services to SJEPL in periodical GST Returns.

12 TIME FOR COMPLETION:


12.1 The Agency shall mobilize post issuance of this WO and complete the mentioned work within
30 days. The timeline of works shall be carried out as per the directives of the Project In-
charge of SJEPL or his authorized representative.
12.2 In case at any time during the course of execution, it is found that the Agency has not fully
deployed the planned resource or the progress of works has fallen below the targets and/ or
most likely to fall below targets due to reasons attributable to Contractor immediate
augmentation of resources at no extra cost to SJEPL shall be made by the Agency to ensure
timely completion of the works. In case action taken by the Agency is found to be inadequate
by SJEPL, necessary measures will be taken by SJEPL including deployment of additional
resources at the risk and cost of the Agency.

13 CONTRACT PRICE:
The Contract value is Rs. 1,87,620/- (Rupees One Lakh Eighty-Seven Thousand Six Hundred
Twenty Only). Including GST which is as per prevailing Govt. rates. However, the actual Contract
Price will be derived based on actual quantities executed at site and applicable rates as per Annexure-
1.

14 PAYMENT MILESTONE:
14.1 100% Payment shall be released within 45days after completion of work.
14.2 Payments shall be released within 45 (forty-five) days from the date of bill certification by an
authorized representative of SJEPL.
14.3 5% Retention Money shall be withheld from the total Bill and the same shall be released upon
completion of the Defect Liability Period (12) months from the date of successful completion
of work/supply as certified by the SJEPL representatives.
14.4 Penalty @ 0.1 % of the contract value per week (maximum up to 5% of contract value) will
be charged for delay working from the date of proposed completion of work i.e. 30days from
the date of issue of Work Order

(b) The Vendor shall be obligated to submit the proof of compliance with the enactments stated
above and the requisite documentary evidence shall be provided to the CLIENT on its
request. No extra payment will be made by the CLIENT for the purpose of Vendor's
compliance with such laws.
(c) The CLIENT shall be indemnified by the Vendor in case any action is initiated by the
authorities against the Client for contravention by the Vendor and any and all expenses,
penalties, charges as imposed by concerned Authorities shall be deducted from any amounts
due to the Vendor. The Vendor shall pay all statutory dues in respect of employees,
workmen and contractors’ employment by it. In the event of the Vendor engages
subcontractors, it shall ensure that the subcontractors are in compliance with all labour and
employment statutes.
(d) Vendor shall deploy its own employees as Workmen employed by the Vendor for rendering
Services to CLIENT. CLIENT will not be involved in selection and recruitment of
Workmen employed by the Vendor and any deployment to CLIENT will not establish any
Client-employee relationship between the Workmen employed by the Vendor and CLIENT.
The Workmen employed by the Vendor shall be informed by the Vendor that they are not
entitled to any of CLIENT’s employee benefits.
(e) Vendor shall be solely liable and responsible for the payment of all salaries, taxes, cesses,
dues (including statutory and other payments) to the Workmen employed by the Vendor
employed by it, in the manner prescribed under Applicable Laws.
(f) Vendor shall not engage directly/indirectly any person with criminal record or Terminated
by CLIENT on disciplinary grounds.
(g) Vendor shall undertake to conduct a background check of the credentials of the personnel
deployed by it.

(h) The Vendor shall be responsible for the conduct of its workmen employed by the Vendor.
During the tenure of this Contract if CLIENT is not satisfied with the Services of any of the
Workmen employed by the Vendor of Vendor for the following among other reasons:
(i) has engaged in any misconduct/misappropriation/ disobedience or has abandoned
the performance of their obligations under this Contract.
(ii)is incompetent or negligent in the performance of his/her duties.
(iii) Use of contraband substances, alcohol, while on duty.
(iv) engaged in a conduct which is prejudicial to safety, health or protection of the
environment and the objectives of CLIENT; or

(i) On the happening of any such event, Vendor shall immediately withdraw such Associate
from the Services of CLIENT without any prejudice to CLIENT and shall arrange for a
replacement at the earliest but not later than 7 working days from the date of intimation.
CLIENT shall not be liable for any termination costs or terminal payments associated with
the same and the Associate or Vendor shall in no manner be entitled to seek such payment
from CLIENT.
(j) For all the legal, practical, and statutory purposes the Workmen employed by the Service
Provider shall be the employees of the Vendor and are subject to general supervision and
control of the Vendor. It is clarified that the exercise of any limited supervision and control
over these Workmen by CLIENT will not lead of to the creation of any Client-employee or
master-servant relationship between CLIENT and Vendor / Workmen employed by the
Service Provider.
(k) It is understood by Vendor that CLIENT is an equal opportunity Client and that in
performance of this Contract, Vendor shall not engage in any conduct or practice which
violates any applicable local, State or union Law, order, or regulation, which is in force or
that may come in force during the tenure of this Contract.
(l) Vendor agrees, represents, warrants, and declares that its officers, directors, employees or
immediate family members of such officers, directors, employees (collectively" Vendor
Company Personnel") have not received or will not receive any benefit directly or indirectly
in connection with this Contract.
(m) Vendor shall obtain, maintain (and renew on a timely basis) all relevant labour registrations
and comply with all Applicable Laws in connection with the employment of the Workmen
employed by the Vendor and their deployment to CLIENT under this Contract. Further, the
Vendor shall not indulge in any unfair labour practices and shall also ensure that it complies
with the terms and conditions of all requisite registrations, licenses, permissions, and
approvals required under Applicable Laws that are necessary in order for it to provide
Services under this Contract. Self-attested copies of such documents affirming such
compliance/s shall be submitted to CLIENT on a regular basis and permit CLIENT to
inspect the records of Vendor after giving intimation of 3 (three) days in advance.
(n) Vendor shall make all deductions of tax at source and shall be solely responsible for the
payment of remuneration and all statutory and contractual benefits to the workmen
employed by the Vendor, including but not limited to gratuity, provident fund, employees
state insurance and such other benefits as may be required by Applicable Laws. Vendor

shall ensure that all Workmen employed by the Vendor employed by them comply with all
Applicable Laws concerning safety norms at work.
(o) Handling of events of all incidents of unfortunate injury/ death of a workman/workman of
the vendor, and subsequent activities including but not limited to payment of any workers’
compensation or disability benefit and timely appearance and handling of any claim duly
before the respective competent authority, settlement of any claim and managing the
dependents shall be the sole responsibility of the vendor. The vendor shall ensure that no
claims are made against the CLIENT, its directors, officers, employees, agents,
representatives, or affiliates by the next of kin of the deceased/ injured person. CLIENT’s
role shall be restricted to being a facilitator only. During all such instances, the vendor will
undertake a thorough incident investigation and share findings with CLIENT.
(p) Vendor shall be responsible to address grievances of their workmen expeditiously to their
satisfaction, in a manner that does not cause any hinderance to business operations of
CLIENT.
(q) The Vendor undertakes to notify CLIENT immediately of any events, which it believes may
result in a work stoppage, slowdown, labour dispute, strike, unionisation of workmen
employed by the Vendor or other labour related disruption, arising out of or as a result of
acts of the workmen employed by the Vendor.
(r) In the event that CLIENT pays any dues/ amounts directly to workmen employed by the
Service Provider or on behalf of the Vendor (and/or workmen employed by the Service
Provider) to any government fund, on account of refusal, denial, delay, non-payment, or
default on the part of Vendor, for any reason whatsoever, the Vendor shall be obligated to
repay the same on the demand of CLIENT. The CLIENT shall have the right to recover such
amounts from the Vendor by deducting the same from the Contracted Charges payable to
the Vendor under this Contract. or through any other means, as permitted under Applicable
Laws. Such a non-compliance on the part of the Vendor, will also be a ground for
termination of this Contract by CLIENT. Payment of any dues to the workmen employed
by the Vendor by CLIENT, on behalf of or in place of the Service Provider, will not create
any Client-employee relationship between CLIENT and the Associate.

16 SAFETY, SECURITY AND PROTECTION OF ENVIRONMENT:


The Agency shall, throughout the execution and completion of the Works and the remedying of
any defects therein:
16.1 Have full regard for the safety of all persons entitled to be upon the Site and keep the Site and
the Works (so far as the same are not completed or occupied by SJEPL/ NHAI) in an orderly
state appropriate for avoidance of danger to such persons.
16.2 Provide and maintain at its own cost all lights, guards, fencing, warning signs, safety cones,
watching, etc. when and where necessary or required by SJEPL/ NHAI, for the protection of
the Works or for the safety or others.
16.3 Take all reasonable steps to protect the environment on and off the Site and to avoid damage
or nuisance to persons or to the property of the public or others resulting from pollution, noise
or other causes arising because of its methods of operation.

16.4 All necessary safety arrangements at the Site and workforce is to be ensured including safety
jackets, helmets, safety shoes, hand gloves, safety cones, height safety etc., and all types of
safety arrangements for safe execution of Work. All safety gear will be followed as per the
safety matrix. (Safety matrix is enclosed with the work order in Annexure- 2).

17 SUBCONTRACT- SUB CONTRACTOR:


No sub-contracting is allowed in any works. In a few exceptional cases if sub-contracting is required,
it is to be permitted with prior written consent from the Project up to a max value of 25% of the
contract price.

18 SUFFICIENCY:
The Agency agrees that it has satisfied itself as to the correctness and sufficiency of the rates stated
in this Order. These rates would cover all Agency’s obligations under this order, all risks it has agreed
to undertake for this work, associated with the performance of its obligations under this order and all
things necessary as per their scope of work. The Agency also confirms that it has fully satisfied itself
with site working conditions, availability of all resources required for timely execution of work and
will not raise any claim for additional cost and/ or time on any such ground.

19 REJECTION BY SJEPL:
If, because of inspection and/ or testing, SJEPL determines that the material(s) are defective or
otherwise not in accordance with the order, it may reject the material(s) and shall notify the Agency
thereof immediately. The notice shall state SJEPL's objections with reasons. The Agency shall then
promptly make good the defect or ensure that rejected material(s) are replaced and complied with the
requirement without cost implications/ no extra cost.

20 FORCE MAJEURE :
In the event of either party being rendered unable by Force Majeure events to perform any obligations
required to be performed by them under the Work Order, the relative obligation of the party affected
by such Force Majeure shall upon notification to the other party be suspended for the period during
which Force Majeure event lasts. The cost and loss sustained by either party shall be borne by the
respective parties.

The term “Force Majeure” as employed herein shall mean acts of God, Earthquake, War, Revolts,
Riots, Fires, Floods, Rebellions, Explosions, Hurricane, Sabotage and Civil Commotions.

Upon the occurrence of any Force Majeure event, the affected party shall immediately give notice of
such event to the other party with full details thereof, and probable material adverse effect it may
have on its performance. Time for performance of the relative obligation suspended by the Force
Majeure shall then be extended by the justified period for which cause lasts. No claim or financial
compensation shall be admissible on account of Force Majeure conditions.

21 EXTENSION OF TIME FOR COMPLETION:


In case Agency’s performance is delayed due to any act or omission on the part of SJEPL or its
authorized agents, then Agency shall be given due extension of time for the completion of works, to
the extent such omission on the part of SJEPL has caused delay in Agency’s performance of work.

No adjustment in the Work Order price shall be allowed for reasons of such delays and extensions
granted except as provided in this Work Order, wherein SJEPL reserves the right to seek indulgence
of Contractor to maintain the agreed Time Schedule of completion.

However, SJEPL is not bound to make any determination for extension of time unless Agency has
notified SJEPL within 15 (fifteen) days after such event has first arisen, giving details thereof along
with documentary evidence.

22 RESPONSIBILITY TO RECTIFY LOSS OR DAMAGE:


If any loss or damage happens to the Works, or any part thereof, or materials for incorporation therein
or plant, during the period for which Agency is responsible for the care thereof, from any cause
whatsoever, Agency shall, at its own cost rectify such loss or damage to the satisfaction of SJEPL.
The Agency shall also be liable for any loss or damage to the Works occasioned by it in the course
of any operations carried out by it for the purpose of complying with the obligations laid down in this
Work Order.

23 DAMAGE TO PERSONS AND PROPERTY:


The Agency shall, except if and so far as the scope of this Order provides otherwise, indemnify the
SJEPL against all losses and claims caused due to the Contractor in respect of:

a. Death of or injury to any person, or


b. Loss of or damage to any property (other than the Works), which may arise out of or in
consequence of the execution and completion of the Works and the remedying of any defects
therein, and against all claims, proceedings, damages, costs, charges and expenses whatsoever
in respect thereof or in relation thereto.

24 DEFECTS LIABILITY PERIOD:


The defects liability period will be 12 (twelve) months, starting after the successful completion of
the works, as certified by the SJEPL representatives. If any defects are found during this period, the
contractor must rectify them at their own cost, to the satisfaction of the SJEPL representatives.

25 INSURANCE

Without limiting the Vendor's obligations and responsibilities, the Vendor shall insure immediately
following execution of this Contract, in the joint names of the CLIENT and the Vendor:

(a) for the entire tenure of the contract, against all loss or damage from whatever cause arising,
and

(b) against loss or damage for which the Vendor is responsible, in such manner that the CLIENT
and the Vendor are covered for the period of the tenure of the contract, and
(c) For any loss or damage occasioned by the Vendor in the course of any maintenance carried
out by him/her/it for the purpose of complying with his/her/its obligations.
(d ) The Vendor's equipment and other things brought on to the Site by the Vendor to the
replacement value of such equipment and other things.
(e) The Vendor shall also procure following insurances covering:
(i) its tools, plant and equipment and other property,
(ii) Workmen’s Compensation Insurance necessary for the works covering all
his/her/its workers) in case ESI is not applicable.
(iii) Any other insurance required in accordance with any of the acts /rules/ byelaws/
regulations.
(f ) The vendor at CLIENT’s request shall provide evidence to it showing that such insurance
has been obtained and maintained and that the current premiums thereof have been paid.
(g) Vendor shall not do or omit to do anything whereby such insurance may be cancelled,
modified, or allowed to expire. The Parties agree that if Vendor shall fail to effect and
keep in force all insurances for which it is responsible pursuant hereto, CLIENT shall
have the right (but not the obligation) to keep in force any such insurance, pay the applicable
premia and recover the costs thereof from Vendor.
(h) All the insurance policies shall be valid throughout the period of this Contract as stated in
this Contract and subsequent extensions if any.

26 INDEMNITY FROM VENDOR


(i) Without prejudice to the generality of the clause, Vendor shall indemnify and hold CLIENT,
its affiliates, directors, officers and employees indemnified and harmless, from any and all
claims, losses, costs, damages and expenses of every kind and nature:
(ii) In respect of any losses suffered or incurred on account of a breach of this Contract by the
Vendor.
(iii) in respect of payment of any dues, salaries and all applicable statutory dues and employee
benefits of the Workmen, employees and contractors employed by the Vendor.
(iv) non-compliance of statutory compliances stipulated under Applicable Laws by the Vendor
(or its sub-Contractors, if any) or Workmen employed by the Vendor; and
(v) failure by Vendor to perform any of its obligations under this Contract or breach of Contract
by Vendor or Workmen employed by the Vendor.
(vi) any robbery, theft, extortion, misappropriation, disruption of work, destruction or damage or
accident in relation to any assets or properties or documents of CLIENT including those
which are, or are deemed to be, in the custody of the Vendor or the Associate.
(vii) all adverse claims of whatsoever nature made against CLIENT by any Associate of the
Vendor
including claims of employment, regularisation or non-payment of any dues owed to them by
the
Vendor, as the case may be.

(viii) any stoppage of work, strike, slowdown, labour dispute, strike, or other labour related
disruption,
arising out of or as a result of acts of the Workmen employed by the Vendor.
(ix) Any claims/damages imposed by the Authority on the Client on account of failure of the
Vendor to initiate timely actions under its scope.
(x) Any claims against the Client by the subcontractors, suppliers or representatives of the
Vendor, or any claims for taxes required to be paid by the Vendor in respect of the income
or other taxes of the Vendor’s contractors, suppliers and representatives.

(a) Notwithstanding anything to the contrary to this Contract, in no event CLIENT shall be held
liable, whether in contract, tort, or otherwise, for special, punitive, indirect, or consequential
damages, including, without limitation, loss of profits arising under or in connection with this
Contract.
(b) Without prejudice to the foregoing, CLIENT shall also have the right to make deductions from
the Contract Price, such amounts as equivalent to the extent of loss or damages suffered by
CLIENT. In the event the deduction to be affected by CLIENT, from the Contract Price payable
to the Vendor is more than the Contract Price payable to the Vendor in a month, CLIENT is
entitled to recover the balance amount due from future invoices raised by the Vendor, subject to
Applicable Laws or by any other means available under Applicable Laws.
(c) CLIENT shall have no liability whatsoever for any loss of life or injury to any individual of
consultant employed /assigned by Vendor to perform the Services under this Contract or
otherwise, while on CLIENT premises or anywhere else. Vendor shall duly indemnify
and keep indemnified CLIENT in respect of any claim/ loss/ damages that may arise on account
of any demand for compensation/ ex-gratia payments/ any other claims from the legal heirs/
dependents/ claimants of the injured/deceased Associate. In an event where the legal heirs/
dependents/ claimants of the injured/deceased employee obstruct/interrupt the operations of
CLIENT thereby causing damage (or) loss to CLIENT, all such losses/claims/ damages incurred
by CLIENT shall be debited from the Contract Price payable to the Vendor under this Contract
in addition to the due indemnification by Service Provider. In case the losses/ claims/ damages
incurred are in excess of the dues payable by CLIENT, the Vendor agrees to make good the
losses to that extent or CLIENT may recover the balance amount due from future invoices raised
by the Vendor, subject to Applicable Laws.
(d) In the event this Contract is terminated consequent to the non-compliance of the provisions
of this Contract, no further liabilities or obligations shall accrue to CLIENT except for any actual
charges due and owing at the time of such termination, for the satisfactory Services rendered
under this Contract prior to such termination subject to deductions if any, as per Applicable Law
and this Contract.
(e) The Vendor (and its sub-Contractors, if any) shall co-operate with CLIENT in defending any
claim/s against CLIENT by any local, state, or central authority with respect to any levies, taxes,
duties, fines, and/or penalties etc. due and payable by the Vendor (and/or its sub-Contractors),
and shall indemnify CLIENT, fully and without limit, against the same.
(f) The Vendor shall fully indemnify, hold harmless and defend the Client Indemnified Persons
from and against any and all suits, proceedings, actions, claims, demands, liabilities and

damages which the Client Indemnified Persons may hereafter suffer, or pay by reason of any
demands, claims, suits or proceedings arising out of claims of infringement of any domestic or
foreign patent rights, copyrights or other intellectual property, proprietary or confidentiality
rights with respect to any materials, information, design or process used by the Vendor or by the
Vendor’s contractors in performing the Vendor’s obligations or in any way incorporated in or
related to the Project. If in any such suit, action, claim or proceedings, a temporary restraint
order or preliminary injunction is granted, the Vendor shall make every reasonable effort, by
giving a satisfactory bond or otherwise, to secure the revocation or suspension of the injunction
or restraint order. If, in any such suit, action, claim or proceedings, the Project Highway, or any
part thereof or comprised therein, is held to constitute an infringement and its use is permanently
enjoined, the Vendor shall promptly make every reasonable effort to secure for the Client a
license, at no cost to the Client, authorizing continued use of the infringing work. If the Vendor
is unable to secure such license within a reasonable time, the Vendor shall, at its own expense,
and without impairing the Specifications and Standards, either replace the affected work, or part,
or process thereof with non-infringing work or part or process or modify the same so that it
becomes non-infringing.

27 TERMINATION BY CLIENT
(a) Notwithstanding anything herein contained, CLIENT may, terminate this Contract under any
one or more of the following conditions by giving 30 days prior written notice to Vendor of
its intention of doing so:
(i) In the event of any default by Vendor or if in the reasonable opinion of CLIENT, the
performance of any of the Services under this Contract by Vendor, is not acceptable or is
being in contravention of any Applicable Law or the Concession Agreement as may be
applicable from time to time or industry practice, under the circumstances which would
amount to objectionable Service/s.
(ii) If Vendor fails to perform the Services under this Contract or to observe any of
obligations or breaches all or any of the terms of this Contract, which is incapable of remedy
or which in the case of a breach capable of remedy, has not been remedied within [15
(fifteen) days] of the receipt by it, of a written notice from CLIENT identifying the breach
and requiring its remedy.
(iii) On the expiry of the term as stipulated in these presents, this Contract may be terminated.
(iv) Upon the bankruptcy of the Vendor or if winding up or liquidation proceedings are
commenced against the Vendor or
(v) Upon breach of or failure of the Vendor to comply with all the Anti–Corruption Laws
(vi) Upon termination of the Project by the NHAI for any reason whatsoever.
(b) In the event of termination, CLIENT shall pay Vendor all undisputed amounts due until the
date of termination. However, no further liabilities or obligations shall accrue to the CLIENT.
(c) Nothing contained in this Contract shall be construed to limit the right of CLIENT to pursue
any and all other remedies (including claims for damages) which it may have arising out of
any non-performance, breach, or default of the Contract by the Vendor or for the recovery of
any sums/ amount owed by the Vendor to CLIENT.

(d) The Vendor shall, unless otherwise specified by CLIENT, be obliged to complete the pending
Services, which may have already accrued at the time of termination of this Contract. In case
of any dispute regarding fulfillment of pending Services, the CLIENT’s decision in this
matter will be final and binding on the Vendor.

28 TERMINATION BY VENDOR
(a) If the Client has failed to pay the Vendor any undisputed amounts or other dues payable herein
within the time period prescribed under this Contract, and the failure has not been remedied
within [15 (fifteen) days] of the receipt by it, of a written notice from the Vendor identifying
the failure and requiring its remedy.
(b) The Vendor may terminate this Contract in accordance with the provisions of this Clause and
for no other reason whatsoever.
(c) In case the client commits the material breach of any of the terms & conditions of this contract
and is called upon to rectify such breach and fails to rectify the same within the within [15
(fifteen) days] of the receipt by it, of a written notice from Vendor identifying the breach and
requiring its remedy.

29 DISPUTE RESOLUTION AND ARBITRATION


(a) Any claims, disputes and or differences (including a dispute regarding the existence, validity,
or termination of this Contract) arising out of or relating to this Contract including
interpretation of its terms will be resolved amicably by the Parties.
(b) However, if the disputes are not resolved by the discussions as aforesaid within a period 30
days from the date of a Party raising a dispute, then the same shall be referred to the sole
arbitrator to be mutually appointed by the Parties hereto.
(c) The Arbitration to be conducted in accordance with the provisions of the Arbitration and
Conciliation Act, 1996 and rules made thereunder and any other future amendment of re-
enactment thereto.
(d) The decision of the sole arbitrator shall be final and binding on the Parties.
(e) The venue for the Arbitration shall be at New Delhi and the language shall be employed
is English.
(f) The respective Party shall bear Cost of the Arbitration, unless otherwise instructed by the
arbitral tribunal.

30 GOVERNING LAW/JURISDICTION:
This Contract shall be governed by and construed in accordance with the laws of India and subject
to Clause 28 above, shall be subject to the exclusive jurisdiction of the courts at New Delhi.

31 LANGUAGE:
Notices required to be given by one Party to the other Party and all other communications,
documentation, and proceedings, which are in any way relevant to thisContract shall be in writing
and in English language.

(a) All notices to be given pursuant to the provisions of this Contract shall be sent to the

(c) Any notice, correspondence or any other communication given or made under or in
connection with the matters contemplated by this Contract shall be in writing or by way of an
email from the account of the authorized signatory and in English to the aforementioned
addresses of the respective Parties. WhatsApp or any social media shall not constitute an
authorized communication channel.
(d) All correspondence, notices, or any other communication, shall be deemed to have been duly
and sufficiently served (i) if sent by email from the account of an authorized signatory, (ii) if
sent by courier, 1 (one) day after deposit with the courier, and (iii) when sent by post, 4 (four)
days after the notice or communication is put into transmission.

33 COMPLIANCE TO ANTI-BRIBERY & CORRUPTION POLICY


(a) The Vendor undertakes to comply with all the Applicable Laws/ statutes/ directives or
regulations relating to any anti-corruption laws or anti-bribery law in India and shall promptly
notify CLIENT of any actual or suspected breach and provide all required information in this
regard.
(b) Upon the occurrence of an actual or suspected breach, the Vendor shall promptly take all
remedial actions as suggested by CLIENT and as per this Contract and in the event of any
failure to take such remedial measures by the Vendor, this Contract shall be automatically

terminated with immediate effect without prior notice or payment of damages or other
sanctions.

34 LIABILITY FOR REVIEW OF DOCUMENTS AND DRAWINGS


Except to the extent expressly provided in this Contract:
(a) no review, comment or approval by the Client or the Independent Engineer of any document
submitted by the Vendor nor the failure to review, approve, comment, observe or inspect
hereunder shall relieve or absolve the Vendor from its obligations, duties and liabilities under
this Agreement, the Applicable Laws and Applicable Permits; and
(b) the Client shall not be liable to the Vendor by reason of any review, comment, approval,
observation or inspection referred to in Sub- clause (i) above.

35 THIRD PARTY BENEFICIARIES:


Except as specifically set forth or referred to herein, nothing contained or implied herein is intended
or shall or shall be construed to convey any rights upon any person or entity other than that of Vendor
and CLIENT.
36 SURVIVAL OF PROVISIONS:
The terms and provisions of this Contract that by their nature and content are intended to survive
the performance hereof by any or all parties hereto shall so survive the completion and termination
of this Contract.

37 RIGHTS AND REMEDIES:


All rights and remedies conferred under this Contract or by law shall be cumulative and may be
exercised singularly or concurrently.

38 GENERAL PROVISIONS:
(a) Paragraph Headings: Paragraph headings are for convenience only and shall not be a part of
the terms and conditions of this Contract.
(b) Severability: if any term or provision or this Contract should be declared invalid by a court
of competent jurisdiction, the remaining terms and provisions of this Contract shall remain
unimpaired and be in full force and effect. Parties will cooperate to give effect to the
understanding contained in the severed clause/ provisions to the extent closest possible
under Applicable Law.

39 WAIVER:
Failure by the Parties to enforce at any time or for any period any one or more of the terms or
conditions of this Contract shall not be a waiver of them or of the right at any time subsequently to
enforce all terms and conditions of this Contract.

40 COMPLETE CONTRACT:
(a) This Contract supersedes any and all prior understandings, agreements, and contracts
written or oral between any of the parties hereto. This Contract is entire in itself and cannot
be changed or terminated orally. No modification waiver or amendment of this Contract

shall be binding unless communicated in writing and signed by the Parties. All legally
required amendments shall automatically become an integral part of this Contract subject to
the Client’s prior consent.
(b) This Contract shall be executed in duplicate which shall be retained by each Party. The
Parties have agreed to comply and perform their respective rights and duties in true spirit
and sense.

41 CORPORATE AUTHORITY/FURTHER ASSURANCES:


The vendor represents that it has taken all necessary corporate action and or has the necessary power/
authority to authorize the execution and consummation of this Contract and shall furnish
satisfactory evidence of same upon request. An authenticated list of the officers of Vendor who are
authorized to sign and/or execute this Contract and/or other related documents and writings shall be
provided to CLIENT by the Vendor.

42 TRANSITION OF SERVICE
As and when requested by CLIENT, the Vendor will provide such assistance, and cooperate
with CLIENT and any third parties, as may be reasonably required by CLIENT to (a) ensure the
efficient and effective transition of the Services (or similar services) to CLIENT or to such third
party, (b) assist CLIENT with transitioning to a new Vendor. Unless expressly stated to the contrary,
the exercise by CLIENT of any of their rights under this clause shall not be construed as notice of
termination of this Contract.

43 HEALTH, SAFETY AND ENVIRONMENT – RULES AND REGULATIONS:


The Vendor shall abide by all safety standards, precautions, specification, and practices on health,
safety and environment as per the Applicable Laws and agreed safety management plan which shall
conform to the generally accepted industry standards. Vend or is responsible to train its Workmen
employed by the Vendor to adhere to all health, safety and environment norms during hours of
duty and should provide all uniforms/PPE as specified by CLIENT. In the event of repeated
violation of safety rules by any of the Workmen employed by the Vendor, the violator shall not be
permitted at the Project site, and the Vendor shall ensure compliance with this. The Vendor shall
attend all safety meetings convened by the CLIENT and shall abide by its instruction failing which
CLIENT shall be entitled to execute the said instructions at the Vendor’s cost and expenses.

44 USE OF NAME, EMBLEM OR OFFICIAL SEAL OF CLIENT/ASSOCIATES:


(a) The Vendor shall not advertise or otherwise make public the fact that he/she/it is performing
or has performed services for CLIENT or use the name, emblem, or official seal of the Client
or its affiliates for advertising purposes or any other purposes, provided that the Vendor may
use the project details in their corporate presentation, profile, Website and credentials.

(b) However, the Vendor can use the Name of the CLIENT in relation to performance of
activities necessary to execute the Works, i.e., to apply for licenses, permits etc

45 RIGHT OF THE CLIENT FOR NOVATION, ASSIGNMENT OR DISPOSAL OF RIGHTS:


Notwithstanding anything to the contrary contained in this Contract, the Company shall be entitled
to novate, assign, or otherwise dispose of its rights, obligations or interest under this Contract
(including creation of any [Encumbrance] in favour of any lender, security agent or trustee) in whole
or in part, to any [person], without requiring any consent from the Contractor. In furtherance of and
to give effect to such security interest and/ or assignment/ novation, the Contractor agrees to do all
such acts and to enter into such contracts, direct agreements, consents and deliver such legal opinions
as may be required by the Concessionaire and/ or any of the lenders or their representatives.
