2. Compensation
Component Details
Base Salary $255,000 USD per year
Pay Frequency Bi weekly payroll
Bonus Eligibility Up to 20% annual performance bonus

3. Equity Compensation
OpenAI offers equity participation to align employee success with the long term growth and innovation
of the company. As part of your compensation package, you will be eligible for a grant of Restricted
Stock Units (RSUs) under the OpenAI Global Equity Incentive Plan. These RSUs represent the right to
receive company shares upon vesting according to the schedule below.

Initial RSU Grant Value $320,000 USD (estimated value at time of grant approval)
Equity Type Restricted Stock Units (RSUs)
Total Vesting Period 4 Years
Vesting Structure 25% annually over four years
First Vesting Date 12 months after employment start date

Additional Equity Terms:
• RSUs vest only while you remain continuously employed by OpenAI.
• The actual number of shares granted will be determined based on the company's fair market value at
the time of the equity grant.
• All equity awards are governed by the OpenAI Equity Incentive Plan and applicable grant agreements
provided separately.
• Equity may be subject to applicable taxation and withholding requirements.
