Introduction – Board members and visitors
On January 2026 a Cheque of Ksh. 30,000 was drawn for mr. John Karaja which to clear the rent
of 6 months ie January – June.
The meeting started with prayer by pastor patrick.
Auditor
He advised that the Sacco should Consider joining the money Market
Every member Should insure has loan
Member Should take loans that are Capable of paying Loan policy should always be followed.
Secretary requested to know if retained earning was Compulsory Poly Clarified it was
Compulsory
Peter ndungu requested to know if the members Can get dividend on Share Capital Poly
explained that it was always applicable for members to get dividend on Share Capital
Members were enlightened that they could a dividend at a rate of 16.95%
James Mwangi requested to know why the Sacco do not earn anything from Co-operative bank
even after Working with them for 6 yrs
Poly advised that the Sacco is only account holder not Share holders.

Treasurer Nganga informed members that the rate at which the dividend was calculated was
7.2%
He also reminded them that the money was taxable
The bookkeeper requested to know whether the members were okay with the dividend divided
among members.

Robert Gathogo requested to know how comes our book keeper claims that the amount of
savings indicated in the members pass book is different from what is in the bank.
Treasurer clarified that the accounts mistake happened before he took office
Evans Wekesa reminded members that after 2025 AGM which took place at Miale hall, the
members was convinced that whatever appeared on their pass book will be Concluded with what
was in the bank.
Kevin explained that the mistakes made by former treasurer was still affecting the Sacco and
may be some officials were taking cash from the members and instead of Depositing to the bank
accounts they used it for their personal needs.
Treasury’s opinion to recover the Savings was to Sell some more lots to new members.
Madam PolyRose advised that for the Sacco to Stabilize in terms of Saving a total Reconciliation
was necessary.
The Co-operative officer explained that retained earning is a requirement of the law for all
Societies.
Kevin Maina the book keeper explained that the said retained earning was still in the bank and
can be used to invest in future to earn the Sacco some money.
James Mwangi the Supervisory board member requested to know if the deficit could be deducted
from the members Saving in two instalment.
Martin Githaiga recommended total reconciliation even if it would take us 6 months.

The Co-op officer congratulated the management for holding the AGM on the timeline
She recommended the members for the increment of their Saving and Share Capital
She suggested that the AGM minutes should be read as they were in every AGM.
According to her insurance was necessary for all loans incase anything happen be it sickness,
passing on or even disability
She thanked the Supervisory Committee for their report but advised them that it should always
have Ownership.
She advised the management team to always sit down together and come up with a full
managerial report in every A.G.M.
She recommended an induction every two to three months after AGM to train new members in
the Managerial board.
She advised that we should look for other ways of investment to earn extra money, in this point
of investment she recommended Money Market.
She recommended we can introduce incentives,
She advised that members can change their next of kin nominees.
She also recommended we change shift from analogue to digital mode of running the Sacco.
We should also come up with a written Election policy.
She reminded members that in insurance matters if the member default the Company in question
will not stand in the gap if anything happens.
She advised that we don’t elect positions we elect board members.
The retirees included Daniel Thama,Haron Njoroge and Robert Gathogo.
ELECTIONS
The Cooperative Officer presided over the election and the below mentioned members were
elected.
She advised that a member can be elected in absentia.

Supervisory
The supervisory maintained their positions as elected before.
She requested for a report from the Treasurer regarding how those who were elected in the board
had performed in terms of loan and Savings for the last One year.
James Nganga explained to her on how each member had performed during the year 2025.
RECOMMENDETIONS
She advised that after every AGM we should always hold a meeting for the reconstitution
of the office so that everyone can be placed according to his strength.
She suggested that outgoing board members should always write handing over reports
She advised that we should also look at the morals of elected members.
She suggested that the board should lead as examples
She advised the board to set a date for education for every member of the board to be
trained on their respective Obligations
She advised the Supervisory to Counter Check the books on monthly basis and after
every 3 month, they should write a report.
We should come up with formulation policies for a better Sacco
The mandate of Signing was assigned to the executive to sign but any three are good to
go.
She adviced that we should work as a team.
