NON-DISCLOSURE AGREEMENT WITH CONTRACTOR
This Agreement is effective when signed by and between Bourntec Solutions Private Limited
(hereinafter referred as the “Company”), a private limited company having its corporate office at 5A2
Melange Towers, Madhapur, Hyderabad, Telangana 500081, India– 60173, and <Contractor
Name>(hereinafter referred as the “CONTRACTOR), S/o. Mr. XXX collectively referred to as the
“Parties”.
The Company has employed Mr. <Contractor Name> from 02nd February 2026 and this Agreement is
intended to protect the confidential information disclosed by the Company in the course of contract.
In consideration of the remuneration paid by the Company, the receipt and adequacy of which is hereby
acknowledged, the Contractor hereto agrees as follows:
1. Confidential Information: The Parties agree that information disclosed orally or in writing or
made available by the Company (“Company”) to another Party (“Contractor”), including, but not
limited to, information such as trade secrets; strategic plans; invention plans and disclosures;
customer information; computer programs; software codes; databases; suppliers; software;
distribution channels; marketing studies; intellectual property; information relating to process
and products, designs, business plans, business opportunities, marketing plans, finances,
research, development, know-how or personnel; confidential information originally received
from third parties; information relating to any type of technology, and all other material
whether written or oral, tangible or intangible, shall be deemed “Confidential Information”. In
addition, the existence and terms of this Agreement shall also be treated as Confidential
Information. The parties agree that any Confidential Information disclosed prior to the execution
of this Agreement during employment was intended to be and shall be subject to the terms and
conditions of this Agreement.
2. Restrictions: The Contractor agrees to maintain the confidentiality of all the Confidential
Information and to prevent its unauthorized dissemination or use and the obligations related to
Confidential Information shall survive perpetually.
3. Non-Disclosure: The Contractor expressly agrees that he/she shall not use Confidential
Information provided by the Company in the development or delivery or for personal gain from
providing of any products or services for his/her own account or for the account of any third
party. The Contractor shall protect the Confidential Information by using the same degree of
care, but no less than reasonable care, to prevent the unauthorized use, dissemination or
publication of the Confidential Information as the Contractor uses to protect its own
Confidential Information. The Contractor shall limit its internal disclosure of the Confidential
Information to only those Consultants and agents who have a need to know the information for
the limited purpose of executing his/her job responsibility.
4. Ownership of Confidential Information: All Confidential Information, and all material items
delivered by the Company to the Contractor, remains the property of the Company and no

license or other rights in the Confidential Information are granted to the Contractor by this
Agreement or by the act of disclosure.
5. Return of materials and documents: Upon the written request of the Company, the Contractor
shall return to it (or, at the request of the Company, erase or destroy) all materials that contain
or embody any Confidential Information of the Company, including but not limited to all
computer programs, documentation, financial statement, forms, notes, plans, drawings,
customer information and copies thereof. Return or destruction of such material shall not
relieve the Contractor of its obligations of confidentiality. Upon the request of the Company, the
Contractor will certify that it has complied with the provisions of this paragraph.
6. Non-Circumvention and Non-Solicitation:
The Contractor agrees that during this Agreement and for a period of 6 months year from the
date of resignation/relieving from his engagement with the Company or discontinuance of
engagement with the Company:
a) The Contractor will not, directly, or indirectly, offer employment to or hire, solicit, induce,
recruit, approach, entertain or accept an application or invitation from Client, Customer,
Vendor, Partner or any other party for employment introduced by the Company or encourage
any of the Company’s employees to leave their employment with the Company.
b) The Contractor will not directly or indirectly approach, solicit, contact, call upon,
communicate with or attempt to communicate with any Client, Customer, Vendor, Partner or
any other party introduced by the Company or otherwise interfere with the business
relationship of the Company with any party who is or was, during the term of the
engagement, with the Company or had/has a relationship with the Company and/or had/has
a material business with the Company; and
c) The Contractor will not, directly, or indirectly, as an agent, consultant, owner, partner,
director, employee, officer or participant, engage in or assist any other person or entity to
engage in any business that competes with the business of the Company including but not
limited to Client, Customer, Vendor, and other party introduced by Company.
d) The Contractor will not to directly or indirectly join or attempt to join any party that is a
customer, vendor, or partner, competitor of the Company or its subsidiaries during this
Agreement and Restricted Period of 6 monthsresignation/relieving from his engagement with
the Company.
In specific for clause 6 (a to d) in case the Company suffers any losses, damages, proceedings
which the Company might suffer due to any wrongful, malafide acts, negligence, gross
dereliction act of contractor. Such indemnity shall not prejudice the right of the Company to
terminate the services of the Contractor on such account or the right of the Company to seek
other legal remedies which the Company may have to make good the loss, damage, etc.

7. No Tampering: While Contractor is employed by the Company and for 6 months following the
termination of Contractor’s employment with the Company, the Contractor shall not (a) request,
induce or attempt to influence any supplier of goods or services to the Company to curtail or
cancel any business they may transact with the Company; (b) request, induce or attempt to
influence any customers of the Company that have done business with or potential customers
which have been in contact with the Company to curtail or cancel any business they may
transact with the Company; or (c) request, induce or attempt to influence any Contractor of the
Company to terminate his or her employment with the Company.
8. Remedy: The Contractor agrees and acknowledges that monetary damages would not be an
adequate remedy for breach of the provisions contained herein and that the Company shall be
entitled to equitable relief, including injunctive relief, specific performance and other equitable
reliefs, in the event of any threatened or actual breach of the provisions hereof and that no
proof of special damages shall be necessary for the enforcement of this Agreement. Such
remedies shall not be deemed to be exclusive remedies for a breach of this Agreement by the
Contractor but shall be in addition to and without prejudice to all other remedies available at
law or equity.
9. The Contractor hereby agrees to indemnify, defend and hold harmless the Company from and
against any losses, costs, expenses, damages of whatsoever nature which may be incurred or
suffered by the Company which arises out of or as a result from any breach of contract,
warranty, tort (including negligence) or otherwise of the Contractor’s obligations contained
herein.
10. This Agreement shall be governed by and shall be construed in accordance with Indian laws and
the courts of Hyderabad shall have exclusive jurisdiction to settle any dispute that may arise in
relation to the interpretation and performance of this Agreement.
11. Termination: This Agreement shall survive and remain in effect and expressly terminated in
writing and signed by all Parties with a written notice of 30 days by either Party.
12. General: This Agreement contains the entire agreement between the parties and supersedes
any prior written or oral agreements between them concerning the subject matter contained
herein. The provisions of this Agreement may be waived, altered, amended, or repealed, in
whole or in part, only upon the written consent of all parties. The waiver of any party of a
breach or violation of any provision of this Agreement shall not operate as or be construed to be
a waiver of any subsequent breach hereof. This Agreement constitutes the product of
negotiations of the parties hereto and any enforcement hereof will be interpreted in a neutral
manner and not more strongly for against any party based upon the source of the draftsmanship
of this Agreement. If any provision of this Agreement shall be held invalid or unenforceable by a
court of competent jurisdiction, the remaining provisions hereof shall continue to be fully
effective.
13. Payment and Deliverables: There will be monthly deliverables which shall be fulfilled by the
Contractor and signed off by the Delivery Manager deployed by the Company for payment

eligibility. The failure of deliverables assigned will give Company the authority to stop payments
which are due.
The Contractor acknowledges that the Company shall or may in reliance of this agreement provide
Contractor access to trade secrets, customers and other confidential data and good will. Contractor
agrees to retain said information as confidential and not to use said information on his or her own
behalf or disclose same to any third party.
