CONSIGNMENT SERVICE: TERMS & CONDITIONS
1. Purpose
The Consignor agrees to deliver certain goods ("Goods") to the Consignee for the purpose of display, sale, or
distribution on a consignment basis.
2. Description of Goods
The Goods filled up on above form subject to this Agreement are described as follows:
- Detailed information, including quantities, SKUs, brands, or other identifiers;
- Condition of Goods: New/ Recycled/ Refurbished.
3. Ownership & Risk of Loss
- The Consignor retains ownership of the Goods until sold to a third-party buyer.
- Risk of loss or damage to the Goods transfers to the Consignee upon delivery. The Consignee is responsible for
insuring the Goods while in possession.
4. Pricing & Payment
- Selling Price: The Goods will be sold at Consignee’s discretion/ negotiated price.
- Consignee’s Commission: The Consignee shall be offered consignee price/ discount on selling price as commission.
- Remittance: The Consignor will be paid within [number] days of sale. Payment method: [Bank transfer/check/etc.].
5. Term & Termination
- Term: This Agreement begins with consign date and period as shown on above form or until all Goods are sold.
- Termination: Either Party may terminate with five (5) days’ written notice. Upon termination, unsold Goods shall
be returned to the Consignor at the Consignee’s expense.
6. Consignee’s Responsibilities
- Act in good faith to sell the Goods.
- Maintain accurate records of inventory and sales.
- Not modify or use the Goods for personal purposes.
7. Consignor’s Responsibilities
- Ensure Goods are delivered in agreed condition.
- Provide necessary documentation (e.g., authenticity proof or photo).
8. Dispute Resolution
Disputes shall be resolved through mediation/arbitration/litigation in Jurisdiction of local government where
Consignee located.
9. Miscellaneous
- Governing Law: This Agreement is governed by the laws of Malaysia or local government in connection.
- Entire Agreement: This document constitutes the entire agreement between the Parties.
