THE ORGANISER CONTRACT FOR THE 2024 WDSF BfG Challenge Series

Each of the parties can be referred to as a “Party” and together as the “Parties”.

55 WHEREAS,

i. WDSF is the World Governing Body recognised by the International Olympic Committee as being
responsible for the sport of DanceSport and is the owner of rights including but not limited to the
worldwide commercial rights to the 2024 WDSF BfG Challenge Series Adult & Youth (hereinafter
60 referred to as the “Event”) which are subject to this Organiser Contract. (hereinafter referred to as
“Agreement”).

ii. NMB has presented its Bidding Application Form to organise the Event in Villa de Leyva, Colombia
subject to certain terms and conditions including those set out below.

iii. WDSF wishes to grant to NMB, and NMB wishes to accept the right and obligation to promote
and stage the Event and will act as the Organiser, and will assume all responsibilities regarding the
organising of the Event and will be liable for all costs associated with the Event, under the terms and
conditions as stated in this Agreement, unless specifically stated to the contrary.

70 iv. The provisions laid down in the Agreement cover the minimum requirements to be met by NMB
and NMB. It is anticipated that the Parties may negotiate in future so that some provisions may be
adjusted and clarified by the WDSF in the course of the Event preparations, at WDSF’s request by
WDSF acting reasonably and in good faith, in which case the Parties shall agree in writing on any such
adjustments and clarifications.

NOW THEREFORE, it is agreed as follows:

ORGANISATION OF THE EVENT

80 1. NMB agrees to commit to stage the following Event in the following date and Venue:

• 2024 WDSF BfG Challenge Series on 2 – 3 November 2024

in Villa de Leyva Bicentenaries “Los Olivos” covered coliseum, 5a 5 # 185 Villa de Leyva,
Colombia (hereinafter referred to as “Venue”)

Any change in the date and Venue must be approved by the WDSF in writing before it will be accepted
and included in the WDSF International Calendar.

2. NMB confirms that the Venue is suitable for a major DanceSport competition, ensuring sufficient
90 seating to cover the expected number of attendees. NMB shall be responsible for the mediation of the
Venue under the approval of the WDSF, timely coordination, obtaining of all required permissions,
planning and commissioning of the venue in accordance with the applicable laws and safety
regulations as well as the terms of this Agreement. NMB undertakes to provide WDSF with all
reasonably required information regarding the Event Venue development project progress, to support
95 site visits and communication with the involved authorities and contractors, if that will be required.

3. The necessary lighting will be installed for the expected television production. An indication of the
description of the lighting required is included in Annex 2 enclosed to this Agreement.

100 4. The Event Venue will have suitable audio facilities, changing rooms and warm up areas for the
competitors.

5. The dance floor (field of play) of the Venue shall be of the highest quality to be approved by the
WDSF taking into account all requirements of this Agreement and shall be installed well in time for
105 the training/practice opportunities requirements of the competitors. The training floor should be the
same quality and the same size with the competition floor.

6. Only entries submitted by WDSF National Member Bodies will be accepted.

110 7. The deadline for the registration of athletes shall have prior written approval of WDSF.

8. No performance of the same disciplines as the granted events by non-WDSF athletes may be
included at or near any part of the event without the prior written agreement of the WDSF Sports
Department. NMB confirms that all WDSF events applied for will not be run together (same
115 dates/location) with DanceSport & Breaking events of other organisations without the prior written
agreement of the WDSF Sports Department.

RIGHTS OF THE WDSF

120 9. WDSF alone shall retain and exploit the following international commercial rights (hereinafter
referred to as the “International Rights”), with exception of the Domestic Rights as granted to NMB
pursuant to the provisions of Clause 19:

9.1. radio and television rights which will include audio, video, DVD, CD ROM, CDI, etc. to be exploited
125 by the WDSF or by an agency that WDSF contracts;

9.2. new media rights including internet, broadband, mobile devices and any other new technology to
be exploited by the WDSF or an agency that WDSF contracts;

130 9.3. all intellectual property rights relating to the Event (including for the avoidance of doubt any Event
coverage, Event logos etc.);

9.4. all rights to the WDSF name, logo and other WDSF marks and designs;

135 9.5. title, presenting and similar sponsorship rights to the Event that could get marketed
internationally to the mutual benefit of WDSF and NMB and executed in reasonable mutual
coordination between WDSF and NMB;

9.6. computer games rights (if any); and

9.7. all other rights not specifically granted to NMB hereunder.

10. WDSF shall retain the right to have a sponsorship and/or partnership for any of WDSF BfG
Challenge Series or all of them. In this event NMB is obliged to provide a necessary advertisement
145 spots at the request/instruction of the WDSF. NMB agrees and undertake to provide the necessary
items as applicable regarding sponsorship as listed in Annex 3.

11. WDSF will provide the design/logo to be used by NMB on the dance floor (field of play) and for
all digital and non-digital communication, including television and all other applications. WDSF Logos

150 and the correct title of the event must be clearly and sufficiently displayed to the extent that it can be
clearly perceived as a WDSF event. No WDSF logo or print will be used without specific approval of
WDSF.

12. The type, brand of the floor to be used as a competition floor (field of play) must be approved by
155 WDSF in advance, NMB must ensure that FoP meets all WDSF specifications, which are detailed in
Annex 4.

The floor must have the WDSF Logo in the centre and any other logos, title, names or designs on the
floor, for example the ones from partners can be on the floor but the final design requires prior written
160 approval by WDSF.

RIGHTS AND OBLIGATIONS OF NMB

13. NMB will be responsible for:

13.1. All costs and expenses of organising 2024 WDSF BfG Challenge Series Competition, including the
payment to WDSF of a granting fee of CHF 500 (hereinafter referred as the “Granting Fee”). VAT will
not need to be charged.

170 13.2. Paying the Granting Fee to the WDSF in the amount of CHF 500, as agreed in the payment terms,
by transfer to the bank account indicated by WDSF.

13.3. Payment terms: Payment terms: CHF 500 will be paid 30 (thirty) days before the Event, after
issuance on an official invoice sent by WDSF to NMB.

13.4. Providing prize money with maximum amount of up to EUR 4200, net after taxes (hereinafter
referred as the “Prize Money”).

13.5. All Prize Money and payments to judges and officials of the Event as indicated in this Agreement
180 are specified in the net amount after any applicable tax deductions. NMB shall bear the costs of all
local taxes related to Prize money; athletes should receive the full amount of the prize money
advertised. Any tax deductions shall be covered by the organiser. All required tax payments shall be
made by NMB in accordance with the applicable laws of Colombia by accordingly grossing up the net
amounts indicated in this Agreement.

13.6. The distribution of Prize Money (net amounts payable to competitors after any applicable tax
deductions and payments by NMB) in EUR is shown in the table below.

13.7. The above amounts are net amounts, meaning that NMB must pay the relevant taxes applicable
to the Prize Money. NMB shall pay the amount in correct application of any local tax rules. If, in
200 particular, any withholding taxes are applicable and no exemption can be obtained by NMB, such shall
notably, be deducted and duly remitted to the tax authorities. In such case, NMB shall also provide
the athletes with corresponding certificates. NMB shall be responsible for the correct application of
taxes and shall indemnify the WDSF in the event any claims are raised against it in this respect.

205 13.8. Prize Money distributed to entitled athletes as specified in the table above shall be paid in cash
at the event, on the day of the final standings are released.

13.9. Provision of HD signal broadcasting the Event and conform the broadcasting guidelines. National
media rights belong to NMB, International Rights belong to WDSF.

13.10. Providing, at no cost for them, accommodation in twin rooms (double rooms for single use) or
single room of a 3 or 4 star hotel, full board, local transportation and round-trip flight tickets (including
a luggage allowance of 20-23 kg) meal (three meals and coffee as well as coffee break snacks including
coffee during all of the Event), and other agreed and approved costs for Event officials and delegates
215 during the Event (minimum 4 nights for delegates and judges). Visa related expenses will be covered
by the NMB to all officials as well as parking tickets or similar after presentation of related receipts.
There provisions are based on the following estimate of officials and delegates:

• 5 (five) Judges
220 • 1 (one) Head Judge;
• 1 (one) Chair;
• 3 (three) Communication Specialists;
• 2 (two) Hosts (Masters of Ceremony);
• 2 (two) DJs;
225 • 2 (two) Scoring Specialists (Scrutiny service providers).

NMB shall offer accommodation at a reasonable rate for extra officials, trainers, team leaders, WDSF
staff etc. The accommodation rate will be communicated to WDSF in advance, before it is officially
released.

All Event officials and delegates, as hereinabove mentioned, are subject to nomination by WDSF
exclusively. The Parties acknowledge that the above list of Event officials and delegates is of
preliminary nature and may be subject to reasonable amendments in coordination between WDSF
and NMB.

13.11. Providing accommodation, local accommodation and meals (three meals and coffee), and
other agreed and approved costs for all WDSF athletes at no cost for them. NMB will provide
accommodation for a minimum two athletes per country and gender. Shared-basis accommodation
will be only allowed for same-sex athletes and from the same team.

13.12. Fees for two (2) days Event shall be paid to the Event officials by NMB as follows; CHF 1000 to
each of 5 judges, CHF 1000 to each of 2 DJs, CHF 1000 to each of 2 MCs, CHF 1400 to the Head Judge,
and CHF 1400 to the Chair of the Competition. These payments will be made in accordance with the
WDSF Breaking Financial Regulations. These fees shall be paid in net amounts and via bank transfer.
245 Paying the judges and any other Event officials the respective fees shall be made no later than by the
end of the Event.

13.13. The fee of CHF 600 for two (2) days Event shall be paid to WDSF by NMB for software.

250 13.14. Music rights clearance will be done in advance by NMB, the music rights clearance should not
impose any restriction in relation to the International Broadcasting. All music with no exception
should be cleared by NMB. NMB will provide the necessary documentation related to the music
clearance at first request by the WDSF.

255 13.15. Bearing the cost incurred as a result of WDSF designation of the type of judging system to be
used in the Event and the service provider. The service provider staff shall be limited to two persons
for whom travel, accommodation and meals shall be covered (prepaid) by NMB for 3 to 4 days related
to the Event.

260 13.16. Paying in advance all anti-doping tests and expenses related to the Event. For greater clarity,
all of these expenses will be paid by NMB and any balance payments shall be made within no later
than 10 (ten) calendar days after the Event. Any anti-doping related activities shall be carried out in
accordance with the World Anti-Doping Code, WDSF Rules and Regulations and other applicable
International Standards.

13.17. Diligently assisting WDSF in entry document (visa) issuance process for competitors, officials,
delegates, media and other representatives enabling them to attend and/or take part in the Event (as
far as possible by the national governmental visa regulations). NMB only facilitates the entry
document (visa) issuance process and does not bear any costs in this respect, such as costs of entry

270 document (visa) requests, except for those of the officials who are involved in the organisation such
as judges, MCs, DJs etc.

13.18. NMB shall offer accommodation at a reasonable rate and, if required, provide transportation
between official hotels and the venue for accredited media personnel, as well as meal facilities during
275 normal working hours on event days.

13.19. Providing the media with access, within the Venue media centre and connection to the
internet.

280 13.20. Establishing an accreditation and access control system, including checkpoints, equipment, and
qualified personnel, for all athletes, media and officials that will ensure the smooth running of the
Event and the security of all participants. The Parties will monitor the compliance with this provision
throughout the Event.

285 13.21. For a safe and secure competition, securing and paying for an effective insurance policy or
policies with reasonably broad cover for the whole Event, including athletes, judges, other officials
and workers concurrent with an adapted medical plan with medical staff including First Aid, nurses
and physicians on-site, as approved by the WDSF Sport Commission and the WDSF Legal Commission.
As a guide prior to the applicant’s submission to WDSF for written approval of insurance coverage,
290 the insurance should at least include standard public liability coverage and also provide cover and
compensation in the event of death, disability, injury and the medical costs related to accidents.

13.22. Providing an internet connection (Optical Fibre, Cable or ADSL Broadband with 50 (fifty) Mbps
Minimum upload/download speed in order to transmit the results and other information from the
295 Event Venue in real time. In addition, the infrastructure will be provided to enable media
representatives and press photographers to transfer high quality pictures from the Event Venue to
their home base. NMB shall render confirmation to WDSF regarding compliance with this requirement
at least 10 (ten) days in advance of the Event by providing written evidence of corresponding
agreement with the internet service provider or by other satisfactory means.

13.23. Reporting to the WDSF Vice President for Sports and copy to WDSF Breaking Officer on the
progress with respect to the above requirements and Event organisation generally, periodically and
on an ongoing basis for approval and possible further direction by WDSF, every week following signing
of this Agreement until the Event.

13.24. Undertaking and implementing of all reasonable steps to avoid unlawful recording, e.g. by
announcing in writing and through the hosts that that recording is against the copyright law and any
publishing may be subject to prosecution.

310 13.25. Providing sufficient time to the Chair, Head Judge and the Judges in between events to check
the scores to ensure they function well.

13.26. Ensuring that the judges, if engaged for other events on the same day, shall not be required to
judge more than 8 hours in total per day.

13.27. Ensuring the panel of judges and officials nominated to the Event will not be assigned to judge
in any other event at the same time the Event takes place without the approval of the WDSF Sports
Department.

320 13.28. Marketing campaign: NMB will provide no later than 30 days from the signature of this contract
a Marketing Campaign plan together with its budget. Marketing campaign should be adequate for the
amount of the tickets to be sold in the Venue to ensure at least 2/3 majority of the tickets to be sold.
The Marketing Campaign will include digital strategy, local billboard or similar campaigning, as well as
specific activations ahead of the event targeting tickets sales.

13.29. NMB shall ensure that all warm-up areas provide athletes with access to drinks (water, isotonic
beverages) and snacks, including fruits, during the competition days. These refreshments should be
readily available to athletes throughout the event to maintain their hydration and energy levels.

330 14. All key Event officials which include but are not limited to the judges, head judge, chair, DJs and
hosts shall be appointed by the WDSF. No change of Judges is allowed without prior written approval
of the WDSF.

15. NMB must follow the WDSF Breaking Rules and Regulations Manual (BRRM) and all other
335 applicable WDSF Rules and Regulations as they stand as at signature of this Agreement.

16. The draft programme for the Event, including opening ceremony, 2 competition days and
proposed programme between the rounds, must be submitted for the approval of WDSF no later than
2 (two) weeks prior the Event. The opening ceremony on the final day/evening must not exceed 30
340 (thirty) minutes, in which speeches, exhibitions, announcements, and other statements shall be
included.

17. A full detailed programme for the entire Event must be forwarded to the WDSF for approval not
later than 2 (two) weeks before the Event.

18. NMB shall ensure that a WDSF Licensed Scrutineer (person in charge) and scrutineering
programme (service provider) are used for the Event. NMB shall ensure that the Scrutineer (person in
charge) will have sufficient time to manage the official granted Event and that additional Scrutineer/s
(person in charge) is/are engaged if more events are to be managed.

GRANT OF THE ORGANISATION RIGHTS

19. NMB shall retain the following commercial rights (“the Domestic Rights”) in the territory of
Colombia;

19.1. domestic media rights in the territory of Colombia consistently with the terms of this Agreement
in respect to International Rights;

19.2. radio and television broadcasting rights which includes audio, video, DVD, CD ROM, CDI, etc.;

19.3. new media rights including internet, broadband, mobile devices and any other new technology;

19.4. website rights including right to set up, transmit or otherwise make available official websites
relating to the Event;

19.5. all Event advertising rights other than those for the title/presenting and similar sponsorships
that could be included in international programmes;

19.6. all merchandising rights;

19.7. tour/travel and hospitality rights (except the limited hospitality rights that could relate to the
international programmes);

19.8. all funding from government and sporting bodies in Colombia and fundings outside Colombi of
375 governments requested by NMB;

19.9. all ticketing rights, including right to sell or otherwise make available tickets for the Event and
to ticket sales receipts, either alone of packaged with hospitality arrangements;

380 19.10. exhibition space revenue except if WDSF has a sponsorship agreement which requires an
allocation of a specific space within the competition Venue;

19.11. use of all intellectual property rights relating to the Event (including for the avoidance of doubt
any Event coverage, Event logos etc.) and use of the WDSF name, logo and other WDSF marks and
385 designs for the purpose of the staging and promotion of the Event;

20. NMB may appoint a Master of Ceremony (MC) in consultation with the WDSF Sports Department.
The MC must fulfil the criteria established by the WSDF Communication Team. The WDSF Managing
Committee reserves the right for the final approval of the Master of Ceremony.

21. The Parties understand that WDSF retains title, presenting and similar sponsorship rights to the
Event that could get marketed internationally to the benefit of WDSF.

22. NMB is responsible for ensuring that an international broadcast signal covering the decisive
395 stages of the WDSF BfG Challenge Series (the opening ceremony, Top 16, Top 8, Top 4, Final for
Bronze, Final for Gold and Award ceremony) will be provided at no cost to the WDSF. This signal must
be in a High Definition format and – if required – suited its live transmission from the Venue. NMB
shall implement geo-blocking/geo-filtering measures in order to secure that the content is not
otherwise used outside the territory of Colombia with the exception of customary technical overspills
400 that cannot be avoided.

23. NMB will seek to obtain the commitment of a host broadcaster and, if possible, advise the WDSF
when returning this contract of the name of that company. Should a broadcaster not be known at this
time, NMB will inform the WDSF of the state of the negotiations with potential host broadcasters or
405 TV production companies.

24. NMB shall provide a copy of a Host Broadcasting Agreement (Annex 1) signed by a broadcaster
or production company appointed as the exclusive host broadcaster of the Event. The terms of Host
Broadcasting Agreement shall not be in conflict with the provisions of this Agreement. Any deviations
410 or conflicts with the terms of this Agreement shall require prior written consent by WDSF for the
terms of Host Broadcasting Agreement to constitute an integral part of this Agreement.

25. The appointment of an exclusive host broadcaster of the Event will be subject to a prior written
approval of WDSF, and NMB will ensure that the host broadcaster provides a television production of
415 the opening ceremony, Top 8, Top 4, Final for Bronze, Final for Gold and Award ceremony of a
minimum standard as described in the enclosure (Annex 1, Schedule 1 of this Agreement). All
electronic media rights for territory of Colombia can only be granted to a host broadcaster or any
other party with the explicit consent of WDSF. The overriding goal is to ensure that maximum
coverage, exposure and promotion of the Event are given through the electronic media in Colombia,
420 but without creating significant overspill into other countries.

26. NMB shall provide sufficient information regarding chosen exclusive host broadcaster of the
Event to the WDSF for receiving WDSF approval as soon as reasonably possible. NMB shall ensure that
Host Broadcasting Agreement which is compliant with the terms of the present Agreement (approved
425 by WDSF) is submitted to WDSF no later than two (2) weeks prior to the Event date.

27. NMB will ensure that, if required, the host broadcaster as well as the production personnel of
WDSF and its partners will have access to the Venue prior to the Event, for the purpose of a survey,
as well as for the purpose of installing the equipment necessary for the production of the television

430 coverage. Details of the proposed level of facilities to be used are given in Schedule 1 to Annex 1. The
NMB shall bear all costs in relation to the supply of power and the space required for and construction
of television camera positions and television commentary positions and bear any financial loss
resulting from any seating that may be withdrawn to accommodate television’s requirements. Access
to the Venue for production vehicles and adequate parking space for these will be provided as close
435 to the Venue as possible to limit the length of cable runs.

28. Whenever the WDSF receives the requested commitments from the NMB of the Event, it will
advise the latter of all contact details for the person(s) responsible for the international television
production and distribution within WDSF Communications and/or the appointed rights agency.
440
Consequently, NMB commits to collaborate with WDSF Marketing and/or the appointed rights agency
in developing and servicing such national and international sponsorships for the financial and
promotional benefit of the organisers and the WDSF.

445 TERMINATION

29. Each party may terminate this Agreement forthwith upon the giving of written notice in the event
that the other Party:

450 29.1. commits a material breach of any obligation hereunder which breach is incapable of remedy or
cannot be remedied in time; or

29.2. commits a material breach of any obligation hereunder, and if such breach is capable of remedy
fails to remedy such breach within 20 days after receiving notice from WDSF; or

29.3. enters into a composition or arrangement with its creditors, has a receiver or administrator or
administrative receiver appointed or becomes insolvent or unable to pay its respective debts when
they fall due; or

460 30. WDSF may terminate this Agreement forthwith upon the giving of written notice in the event that
NMB (as applicable):

30.1. fails, refuses or neglects to obtain any approval required under this agreement; or

465 30.2. fails, refuses or neglects to comply with any reasonable requirement of the WDSF.

FORCE MAJEURE

31. If NMB is prevented from staging the Event on the date agreed due to a force majeure event,

470 such as (not-limitative) an act of God, extreme weather conditions (such as extreme heat,
thunderstorms, storms, gusts of wind, floods, etc.), state of war, union strike, civil unrest, permanent
damage to the venue, epidemic of pandemic (such as Covid-19), terrorism or threat of terror, military
action, mandatory instructions, mandatory decisions or interventions of any kind whatsoever from
public, administrative or regulatory authorities, or other reason beyond the reasonable control of the
475 NMB, which could not have been reasonably foreseen at the time this Agreement was executed, such
Event shall be rescheduled at the same location - or as the case may be at another location to be
mutually agreed upon by NMB and WDSF - on the earliest possible date mutually agreed upon by
NMB and WDSF. In the event of such rescheduling, all terms and conditions of this Agreement shall
remain in full force and effect.

32. If a force majeure event as specified in Clause 31 of this Agreement occurs, NMB will assume all
costs resulting from the Event being cancelled, rescheduled, rearranged, postponed or otherwise
interrupted. NMB will secure and pay for all insurance it considers necessary to cover such risks. With
exception of the foregoing provisions, neither Party shall be held liable for a force majeure event that
485 has arisen and neither Party shall be obliged to pay any compensation for any consequential damage,
lost turnover or profit or missed opportunities resulting from the cancellation, rescheduling,
rearranging, postponement of other interruption of the Event.

33. In case a force majeure event as specified in Clause 31 of this Agreement occurs, the WDSF shall
490 reimburse (any part of) the Granting Fee as specified in Clause 13.1. of this Agreement to NMB in the
amount of the portion of the Granting Fee as paid by NMB. In case the Event is cancelled otherwise
by NMB does not take place for other reasons due to activity or inactivity of NMB, the Granting Fee
specified in Clause 14.1. of this Agreement is retained and not reimbursed by WDSF.

495 CANCELLATION

34. In the event of cancellation, NMB must pay the 100% of Granting Fee directly to WDSF within one
(1) month of any such cancellation.

500 35. Change of date or postponement of the subject Event may be permitted at the discretion of the
Vice-President for Sport with no cancellation fee if the change is made no later than thirty (30) days
counting from the date of application set out in the Bidding Form, provided always that the
rescheduled date of the Event must not be more than six (6) months after the date of the written
application for the change.

36. In the event of cancellation, NMB irrevocably agrees to pay all reasonable receipted claims by
athletes and officials for the full and final costs incurred by them (and by the guardians of any such
athletes have not reached the full age of 18 years) for accommodations and for the costs of or the
equivalent of their costs of purchase of 21-day advance economy-class airfare which are lost as a

510 result of the cancellation of the Event, once the Event has been published on WDSF website.

37. In the event that NMBdoes not organise the competition for any other reason than of
cancellation, they irrevocably agree to bear all the costs incurred.

515 MISCELLANEOUS

38. This Agreement, including the attached annexes and schedules contains the entire Agreement of
the Parties and no variation of any of the terms or conditions of this Agreement may be made unless
such variation is agreed in writing and signed by the Parties hereto.

39. NMB has read and agreed the terms of this Agreement and shall take all steps which are legally
required in Colombia, to appoint two representatives (if applicable) to sign on their behalf this
document and any variation thereof. Those representatives shall sign this document and any
amendments to it so as to legally oblige NMB to implement this Agreement, which shall be
525 countersigned by the authorised representatives of the WDSF, confirming that NMB has been
allocated the Event.

40. The Parties acknowledge that the content of this Agreement is confidential and agree, unless
disclosure is required by law, to take whatever measures are reasonably necessary to preserve such
530 confidentiality. The duties of the Parties hereunder shall survive the expiration or earlier termination
of this Agreement.

41. Save as set out in this Agreement, the terms of this Agreement may not be changed, altered,
waived or terminated without the written consent of the Parties of the Agreement.

42. Any notice or other communication to be given under this Agreement shall be in writing in English
and signed by or on behalf of the Party giving it (or its representative) and shall be delivered
electronically to the addresses given in below (or such other address as the receiving Party has
specified to the sending Party on at least ten (10) business days’ notice). Any obligation in this
540 Agreement to report or submit any information or advice, constitutes an obligation to report or
submit any information or advice in paper writing, in reasonable detail, dated and signed by the
author, provided always that the paper writing may be converted to .pdf or similar format and then
delivered by e-mail. Any notice or other communication given or made under this Agreement by
electronic means shall, in the absence of earlier receipt, and shall be deemed to have been served on

555 43. If a dispute arises between the parties concerning their respective rights under this Agreement,
each Party shall, prior to initiating formal legal proceedings to enforce their rights, appoint one senior
representative who is fully empowered to make binding decisions on behalf of his or her principal and
such representatives shall meet with a view to resolving the dispute in good faith.

560 44. The Parties agree that the appointment of their representatives and the scheduling of meetings
shall be undertaken by each of them promptly and in the utmost good faith. If such representatives
fail to agree on a resolution to a dispute within fourteen (14) days of the first meeting either party shall
be free to commence formal legal proceedings or otherwise as they see fit. Nothing contained in this
clause shall preclude either party from applying to a court for urgent injunctive relief.

45. This Agreement shall be construed in accordance with and governed by the laws of Switzerland
and shall be subject to the jurisdiction of the courts of the Canton of Vaud (VD), Switzerland.

46. This agreement is effective as of 31 October 2024.

NMB has presented its Bidding Application Form to the WDSF, and WDSF has granted NMB the right to

integral part dated 31 October 2024. Therefore NMB will act as organiser and has accepted to right and
obligation to promote and stage the Event according to the terms of the WDSF Organiser Contract for
2024 WDSF BfG Challenge Series and has accepted to assume at its costs all of the responsibilities
related to the organisation of the Event, as detailed in the Organiser Contract.

NMB recognises and accepts that the WDSF is the sole owner of all broadcast and new media rights in
the Event with an exception for the broadcast and new media rights in the territory of Colombia and
may have appointed partners working in association with WDSF’s Communications and TV Director to
exploit these rights throughout the world through the production of coverage in different forms and
720 formats. NMB undertakes to provide all cooperation and assistance necessary to enable WDSF and its
partners to produce such coverage efficiently and to assist in its successful exploitation and promotion
throughout the world.

One of the NMB’s responsibilities is to appoint a “host broadcaster” and ensure at no cost to the
725 WDSF the provision of television production to meet international standards.

for an international transmission.

The international television signal produced by the Host Broadcaster will be a feed of the highest
international quality. This signal is produced in two versions: one as a “clean feed,” i.e., without any
graphics, the other as a “dirty feed,” with the scoring and result graphics that are provided by WDSF

only. The feeds will be recorded on site at the Event. The recording will be in High Definition (HD)
750 format.

The Host Broadcaster will provide the Master Material (as defined in Clause 4 below) of its coverage
on site immediately after the end of the Event, free of charge to WDSF and its appointed partners.
The Host Broadcaster will produce the international television signal using at least the minimum
755 production facilities as described in Schedule 1 hereto.

A production meeting will be held at the Venue between the WDSF production specialists, the
organiser and the host broadcaster - generally between 36 to 24 hours prior to the start of the Event
– to discuss all matters affecting the television coverage of the Event, finalising matters such as the
760 positioning of cameras, rundown and all unilateral requirements.

2. Lighting Requirements

For each Event, NMB in cooperation with the Host Broadcaster shall provide a production lighting
765 team to create and fulfil, using its best endeavours, WDSF lighting requirements for coverage of the
Event as further described in Annex 2 thereto. All the lights shall be installed in sufficient time for a
lighting rehearsal to be made before the Event and a final check of the lighting immediately prior to
the Event. Specific additional requests made by Host Broadcaster, WDSF and/or its Partners because
of the special nature of the venue will be added to these lighting requirements.

3. Rights

NM as owner of the television production hereby assigns by present assignment of future copyright
and transfers to WDSF absolutely the entire copyright and all other rights in and to the coverage of
775 the Event throughout the world, except the territory of Colombia, for the full period of copyright and
all renewals and extensions thereof and thereafter insofar as may be possible in perpetuity.

4. Delivery of Master Material

780 The Host Broadcaster shall deliver to WDSF and/or its partner line cut recordings as a “clean feed,”
i.e., without any graphics, and as a “dirty feed,” with the scoring and result graphics that are provided
by WDSF. Recordings of up to two (2) isolated cameras plus the recordings of the Top 16, Top 8, Top

The Parties agree to keep the terms of this Agreement strictly confidential at all times. This obligation
shall survive any termination or expiry or performance of this Agreement.

810 7. Force Majeure

The parties agree that, if through an Act of God, strike or other labour dispute, fire, riot or civil
commotion, war, government or ministry or executive action or decree, satellite failure or failure of
the uplink and downlink satellite signals or terrestrial facilities in circumstances beyond their
815 reasonable control, or other circumstances beyond their reasonable control as described in the WDSF
Organiser Contract, either party is unable to comply with the provisions of this agreement then the
terms of this agreement shall be suspended and if such event of force majeure continues for a period
in excess of six (6) months the either party shall be entitled to terminate this Agreement without
liability.

Any notice or other communication to be given under this Agreement shall be in writing in English
and signed by or on behalf of the Party giving it (or its representative) and shall be delivered

Minimum Host Broadcaster Production Facilities for Broadcasted Events

The host broadcaster – or the commissioned production company – will produce continuous live or
915 “as if live” coverage of the decisive stages (from the quarterfinal through the awards presentation) of
the Event with a multi-camera (minimum five (5) cameras) feed in a High Definition format. To do this
to an internationally acceptable standard, the following equipment and personnel will be required.

990 Guidelines for WDSF Lighting Specifications

1. General
WDSF requires that its television coverage be of a uniform standard at all locations where major WDSF
events are held. An important aspect of this is ensuring that the lighting at the venues allows for a
995 production as specified in the Minimum Host Broadcaster Production Facilities (Schedule 1 to Annex
1) and with equipment listed thereto.

This paper sets out the considerations and the basic technical requirements for such lighting. Each
organiser in cooperation with the Host Broadcaster will be expected to meet these minimum
1000 standards.

1.1. Environment provided by the lighting for the competitors

Uniformity of lighting set-ups at different locations is essential. The competitors must be able to count
on such uniformity everywhere and in all stages of the competition. Particularly for the solo dances
1005 of the final, every effort must be made to create suitable lighting conditions that are identical for all
competitors.

Lighting designers, installers and operators must ensure that luminaires/lights do not shine into
competitors’ eyes at inappropriate moments causing loss of concentration during competition.

Venue operators must provide additional/adequate air conditioning for the supplemented lighting
during the televised stages of the competition. Lamps giving off excessive heat cause competitors to
perspire and look less than their best.

1015 Sufficient space surrounding the dance area is essential for correct lighting angles set by the lighting
designer, minimising unwanted and unflattering face shadows on the TV picture.

Only luminaires developed for television lighting shall be used. Others may cause flickering and other
interference with the TV signal and should be avoided.

1.2. The lighting design must ensure that:
Luminaires do not obscure viewing by the audience in the upper ranks of the venue.

Very high levels of illumination on the dance floor (field of play) or the audience are to be avoided.

1030 2. Technical Parameters

The following are the technical parameters within which the basic rig should be provided.

Generally, the dance floor (field of play) is with a size of 8m by 8m.

1035 The lens height for ground cameras will be between one and two metres and that for elevated cameras
from three to six or even more metres situated at positions defined by the producer.

Audience seating will be stacked on at least two and up to all four sides of the dance floor (field of
play).

The organisers must ensure that all reasonable safety precautions are taken with respect to all
electrical power supplies related to the subject matter of this Agreement, as the voltage and amperage
required for this work is lethal if proper precautions are not taken.

1105 2.6. It cannot be over-emphasised that this level of power can kill

2.7. Safety

comply with the following specifications for the FoP.

1. Main Stage Edges

Design Consideration: Depending on the shape of the stage at the competition venue, the sloped
1195 edges can be seamlessly integrated into the stage structure.

Safety Measures: It’s paramount that the floor is fixed securely on the outside perimeter to ensure
stability. Furthermore, the design must not present any potential harm or hazard to the athletes.

2. Warm up floor Edges

Safety Considerations: Depending on the height difference between the warmup floor and the surface
1200 it stands on, the edges of the FoP will need to be sloped. This is essential to ensure the safety of the
athletes and to mitigate any risk of falls.

Sealed Edge: The edges must be sealed to ensure that no parts are loose or protrude out.

STORAGE SOLUTIONS

a protective storage solution.

absorption). This value is not just the wood alone but includes other materials or layers used in the
floor system.

1225 The reference to “EN 428” indicates that this measurement conforms to a specific European 1565
Standard which provides guidelines on how the thickness of flexible, semi-flexible, and rigid floor
coverings should be measured.

Weight: 17 kg/m^2 conforming to the EN 430 standard.

This specifies the weight of the floor per square meter, which is 17 kilograms. This value gives an

CONTRATO DE PRESTACIÓN DE SERVICIOS PROFESIONALES

Santiago de Cali, 01 de noviembre del 2024
REUNIDOS
De una parte, como EL PRESTADOR DEL SERVICIO: PAULA ALEJANDRA SANTIS mayor
de edad, identificada con cedula de ciudadanía No. 1.001. 201. 685 de Zipaquirá, y con domicilio
en Dg. 4b bis #30-26 en Zipaquirá (Cundinamarca) por otra parte, como EL CONTRATANTE:
FEDERACION COLOMBIA DE DANZA Y BAILE DEPORTIVO, identificada con Nit 900.856.525-
3 representada legalmente por GLORIA VIVIANA BURBANO HERNANDEZ, persona mayor de
edad, identificada con cédula de ciudadanía No.66.815.453 de Cali, con domicilio Estadio
Olímpico Pascual Guerrero Mezanine Sur Occidental en la ciudad de Cali (Valle). Ambas partes
contratantes suscriben un CONTRATO DE PRESTACION DE SERVICIOS PROFESIONALES y
se reconocen con capacidad legal para este acto, e intervienen en su propio nombre y derecho
y quedan obligados por las cláusulas aquí inmersas.

EXPONEN
I.- Que El Prestador del Servicio tiene como actividad principal: apoyar las actividades de
organización enfocadas en lo Legal Internacional con WDSF en inglés y Documentales en
castellano DEL EVENTO ESPECIAL INTERNACIONAL CON SEDE EN COLOMBIA.
II.- Que El Prestador del servicio tiene todos los conocimientos profesionales, técnicos y medios
de equipos y personales para poder prestar el servicio objeto de este contrato.
III.- Que El CONTRATANTE quiere contratar los SERVICIOS PROFESIONALES DEL
PRESTADOR DEL SERVICIO.
IV.- Que los firmantes quieren formalizar a través de este contrato la relación de prestación de
SERVICIOS PROFESIONALES.
V.- Que la relación de este contrato es exclusivamente de carácter Civil y/o Comercial, no
existiendo ningún vínculo laboral entre ambas partes.

Expuesto cuanto antecede, convienen en celebrar el presente Contrato de Prestación de

SERVICIOS PROFESIONALES de acuerdo con las siguientes:

ESTIPULACIONES

PRIMERA. - El contrato de prestación de SERVICIOS PROFESIONALES, se circunscribe a

realizar y ejecutar las labores encomendadas sobre la ejecución a cabalidad del
contrato por EL CONTRATANTE en algún caso especial, de manera autónoma e
independiente. Además, EL CONTRATISTA se obliga para con EL CONTRATANTE
a ejecutar los trabajos y demás actividades propias del servicio contratado con
enfoque en la GESTION LEGA Y DOCUMENTAL DEL CAIP-903-2024
FEDECOLBAILE - MINDEPORTE el cual debe realizar de conformidad con los
siguientes parámetros: 1. Ejecutar el servicio de manera íntegra 2. La planeación,
ejecución, evaluación, legalización y liquidación del CAIP-903-2024
FEDECOLBAILE – MINDEPORTE 3. Cuidar el material correspondiente a soporte
de legalización que llega a sus manos al igual que los materiales suministrados por
el CONTRATANTE. Parágrafo: se entiende por materiales suministrados por el
contratante, soporte de legalización y diligenciamiento de formatos establecidos por
el Ministerio del Deporte, para la respectiva legalización del contrato que se allegan
al contratista y es dispuesta para la presentación del servicio. 4. Apoyo a la gestión
administrativa y financiera, organización y consolidación de los documentos 5.
Realización de los informes administrativos y financieros y manejo documental.

SEGUNDA. - EXCLUSIÓN DE RELACIÓN LABORAL. El contrato se circunscribe única y

exclusivamente a ejecutar el objeto de este contrato, sin que el contratante someta
al prestador de SERVICIOS PROFESIONALES al cumplimiento de órdenes,
diferente a las relativas al cumplimiento del objeto del contrato. EL
CONTRATISTA, definirá autónomamente o de común acuerdo con el contratante,
las circunstancias de tiempo, modo, forma, en que prestará sus SERVICIOS
PROFESIONALES, este contrato de SERVICIOS PROFESIONALES, excluye la
subordinación o dependencia jurídica laboral, que conlleva la obligación de pagar
salarios, prestaciones sociales (cesantías, intereses a las cesantías, prima de
SERVICIOS PROFESIONALES, dotación), vacaciones, indemnizaciones, pagar
aportes a seguridad social (pensiones, salud), parafiscales (caja de compensación
familiar), situación que entienden y aceptan las partes sin reparo alguno, dada la
naturaleza de independencia y no exclusividad que maneja el contratista.

TERCERA. - EL CONTRATANTE está obligado, desde la firma de este contrato, a entregar al

Prestador del Servicio todo lo necesario para que pueda realizar su trabajo,
información, documentos, acceso al sitio de trabajo y cualquier otro aspecto que
sea necesario para el desarrollo del servicio contratado. EL CONTRATANTE se
obliga a pagar el precio acordado en este contrato la suma de quince millones
seiscientos cuarenta y cinco mil ochocientos setenta y seis ($15.645.876).

CUARTA. - OBLIGACIONES DEL CONTRATISTA. - Además de asumir las obligaciones

propias de los SERVICIOS PROFESIONALES contratados, el prestador de
SERVICIOS PROFESIONALES acepta expresamente las siguientes: 6.1. Realizar
los esfuerzos conducentes al adecuado desarrollo del objeto de este contrato. 6.2.
Guardar y proteger la reserva comercial y privilegiada del contratante. 6.3.
Abstenerse de utilizar indebidamente información privilegiada. 6.4. Abstenerse de
participar por si o por interpuesta persona en interés personal o de terceros, en
actividades que impliquen competencia con el contratante o en actos respeto de
los cuales, exista conflicto de intereses. 6.5. Presentar cuenta de cobro e informe
para el pago de los honorarios convenidos, anexando el RUT y el pago de
seguridad social en salud 6.6. Como trabajador independiente, se obliga a afiliarse
y asumir los pagos de aportes de su seguridad social y salud 6.7. Permitir la
supervisión de las labores objeto de este contrato. 6.8.- Ejecutar las actividades
objeto del presente contrato, formular observaciones que estime pertinente con el
fin de ser analizadas juntamente con contratante, para efectuar por parte de éste
las modificaciones o correcciones a que hubiere lugar. 6.9. Corregir, repasar y
tomar los correctivos pertinentes necesarias para ejecutar correctamente las
tareas y objeto de este contrato. 6.10 Ejecutar y desarrollar el objeto del presente
contrato aportando para ello todo su conocimiento, dedicación, lealtad, diligencia
y ética en la defensa de los intereses de la de la FEDERACION; 6.11. Informar
oportunamente al contratante cuando se encuentre en imposibilidad de prestar el
servicio objeto del presente contrato.

QUINTA. - El Prestador del Servicio se compromete a informar AL CONTRATANTE

puntualmente de las incidencias o actuaciones que ocurran durante la prestación
de servicio.

SEXTA. - Si ambas partes lo consideran oportuno, este contrato se puede modificar y/o

ampliar siempre que ambas partes estén de acuerdo y se ratifique por escrito en
un anexo a este contrato. Una de las partes puede considerar oportuno modificar
las cláusulas de este contrato, para ello deberá notificar por escrito y de forma
expresa a la otra parte su intención de negociar o acordar un nuevo precio u otra
modificación que considere importante. Si ambas partes lo estiman oportuno a
partir de la fecha acordada del fin de la Prestación del Servicio, pueden acordar
una prorrogará tácita, siempre que ninguna de las Partes haya notificado de forma
fehaciente su intención de dar por terminado el Contrato a la fecha de terminación
de este o de la prórroga correspondiente.

SÉPTIMA. - El plazo para la ejecución de los SERVICIOS PROFESIONALES y funciones

descritas en el apartado I de este contrato se realizarán por el Prestador del
Servicio AL CONTRATANTE desde la fecha de inicio de este contrato 01 de
noviembre de 2024 y hasta el 31 de diciembre del 2024, con cumplimiento de
todas sus obligaciones y actividades correspondientes a la ejecución del contrato.

OCTAVA. - Ambas Partes acuerdan establecer un valor por la suma de quince millones
seiscientos cuarenta y cinco mil ochocientos setenta y seis pesos ($15.645.876).
por la prestación de los SERVICIOS PROFESIONALES establecidos en el
presente contrato, esta cantidad será pagada en cuotas mensuales de siete
millones ochocientos veintidós mil novecientos treinta y ocho pesos ($7.822.938)
1. Previa presentación de la cuenta de cobro, cedula de ciudadanía, Rut y pago
de seguridad social en salud PARÁGRAFO 1: En cada cuenta de cobro se debe
detallar los SERVICIOS PROFESIONALES prestados Por parte del
CONTRATANTE, el pago de las cuentas de cobro se efectuará en cuenta
bancaria.

NOVENA. - El contrato se puede revocar según los supuestos que recoge el Código Civil y
también cuando alguna de las partes de forma negligente o culposa en el
cumplimiento de las obligaciones establecidas en el presente Contrato
ocasionando un perjuicio a la otra parte, El Prestador del Servicio asume la
responsabilidad por los errores, defectos o demoras producidas en su ejecución,
o su incorrecta ejecución o de su no ejecución, siempre y cuando no se hayan
producido por una mala información, documento erróneo u otra causa que se
pueda imputar AL CONTRATANTE. Además, En el caso de Fuerza Mayor ninguna
de las partes se siente responsable de los daños, errores o retrasos en la
ejecución del Servicio. Las partes podrán dar término a este contrato de manera
unilateral o por mutuo acuerdo, mediante previo aviso por escrito o verbal de no
menos de un (1) día de anticipación. PARÁGRAFO: El presente contrato podrá
ser terminado en forma unilateral por el incumplimiento de las obligaciones
derivadas del contrato por el CONTRATANTE sin que hubiese lugar a notificación
previa.
DÉCIMA. - EL CONTRATANTE se compromete a mantener en reserva la información que
obtenga y conozca con ocasión y en desarrollo del contrato. EL CONTRATISTA
se compromete a guardar estricta confidencialidad y reserva absoluta sobre toda
la información que se le suministre, o que lleguen a conocer sus empleados,
contratistas, asesores, agentes y subcontratistas, si los hubiere, de manera verbal
o por cualquier medio escrito, audiovisual, magnético, vía electrónica y por
cualquier otro medio, en desarrollo del contrato (en adelante Información
Confidencial). La obligación de reserva y confidencialidad de la Información

Confidencial estará vigente desde la fecha de celebración de este contrato y por

cinco (5) años más después de su terminación y EL CONTRATISTA será
responsable por cualquier revelación, empleo o divulgación de cualquier porción
de la Información Confidencial. EL CONTRATISTA, se obliga tanto en la ejecución
del contrato como una vez terminado el mismo, a implementar todas las políticas
vigentes en materia de protección de la información confidencial de sus clientes
tratándola con especial responsabilidad, control y protección. Toda la información
confidencial que EL CONTRATANTE le suministre será utilizada por EL
CONTRATISTA, solamente para los efectos descritos en este contrato. Nada en
este término implica que las partes tengan la mutua obligación de suministrarse
información confidencial, salvo para los efectos del desarrollo del objeto del
contrato. A) Información técnica: métodos, procesos, formulas, composiciones,
sistemas, técnicas, invenciones, maquinas, programas informativos y proyectos
de investigación B) Información comercial: listas de clientes, datos de fijación de
precios, fuentes de suministros y nombres de proveedores, datos financieros y
sistemas o planes de producción, ventas y marketing. C) mantener, promover, y
velar por la confidencialidad de la información con la cual se trabaja bajo
documentación física en las cuales se incluye documentos personales, cuentas de
cobro e información correspondiente a procesos de contratación y ajuste
necesarios para el funcionamiento de la de la FEDERACION, equipos personales
(portátiles, memorias, disco duró)evitando su exposición y divulgación a persona
interno o externo que no sea explícitamente autorizado PARÁGRAFO PRIMERO:
De manera particular y sin limitar lo anteriormente enunciado, EL CONTRATISTA
reconoce que las metodologías, procedimientos, “know-how”, técnicas e
información personal y corporativa que llegue a conocer de EL CONTRATANTE,
o de cualquiera de sus filiales, en desarrollo de los SERVICIOS PROFESIONALES
contratados, es información confidencial que pertenece y seguirá siendo de
propiedad de EL CONTRATANTE y de cada una de sus filiales, según
corresponda, la cual se encuentra sujeta a la obligación de reserva y
confidencialidad de la información en los términos de este contrato.
Independientemente de las acciones a las que haya lugar por el incumplimiento
de las obligaciones de EL CONTRATISTA, si éste extravía o revela información
confidencial, dará aviso inmediato a EL CONTRATANTE y tomará todas las
medidas razonables y necesarias para minimizar los resultados de pérdida de la
información o divulgación de la misma sin autorización. PARÁGRAFO SEGUNDO:
La información confidencial no incluye: a) La información que sea de dominio
público con anterioridad al momento de ser entregada a EL CONTRATISTA. b) La
información que llegue al poder de EL CONTRATISTA antes de que la misma le
sea comunicada por EL CONTRATANTE y que su obtención no esté relacionada
con el objeto del contrato. c) La información que se convierta en disponible para
el público en general sin que ello sea resultado de incumplimiento de las
obligaciones contractuales de EL CONTRATISTA. d) La información que está en
posesión o puede ser independientemente adquirida o desarrollada por EL
CONTRATISTA sin violar ninguna de sus obligaciones contractuales o legales. e)
Información sobre la cual sea aprobada su divulgación por medio de autorización
escrita de EL CONTRATANTE y sólo hasta el límite de dicha autorización.
PARÁGRAFO TERCERO: Si se le solicitare o exigiere a EL CONTRATISTA o a
sus representantes revelar la Información Confidencial mediante una orden
judicial, requerimiento administrativo u otro mecanismo similar, deberá: 1. Notificar
a EL CONTRATANTE de tal solicitud o requerimiento de manera inmediata y con

anterioridad a la divulgación, de tal forma que EL CONTRATANTE pueda

adelantar la acción judicial o administrativa tendiente a la protección de la
Información Confidencial. 2. Cooperar con LA CÁMARA, en el caso que presenten
cualquier acción para la protección de la Información Confidencial. En cualquier
caso, únicamente se revelará la Información Confidencial exacta o la porción de
la misma específicamente solicitada. PARÁGRAFO CUARTO: Dentro de los cinco
(5) días siguientes a la terminación de este contrato, EL CONTRATISTA devolverá
o destruirá, según lo determine EL CONTRATANTE, toda la información
confidencial que le fue suministrada por EL CONTRATANTE, incluyendo todos los
documentos y soportes que la comprenden, así como todas las copias que existan
de la misma y cualquier información o trabajo desarrollado a partir de la
Información Confidencial. PARÁGRAFO QUINTO: EL CONTRATISTA se
compromete a que todos los empleados que sean asignados por EL
CONTRATISTA al proyecto del EL CONTRATANTE por virtud del presente
contrato sean debidamente informados y conscientes del alcance y
responsabilidades derivadas de tal confidencialidad, y en el mismo sentido, se
obliguen al cumplimiento de los requisitos de confidencialidad establecidos en este
Contrato. De igual manera, EL CONTRATANTE se abstendrá de divulgar o
compartir con personas diferentes al personal de EL CONTRATANTE los

UNDÉCIMA - Para cualquier litigio que surja entre las partes de la interpretación o cumplimiento
del presente contrato, éstas, con expresa renuncia al fuero que pudiera
corresponderles, se someterán a los Juzgados y Tribunales de la localidad.

Para efectos de cualquier notificación se tomará como referencia los datos de domicilio reflejados
en este contrato, y en caso de algún cambio, se deberá notificar a la otra parte cuando suceda.
Para constancia se firma en dos o más ejemplares del mismo tenor y valor, ante testigos en
Santiago de Cali el día primero (01) de noviembre de 2024.
