Terms of service

The contract between you and Take Group for using Cotlet.

01 Who we are and these terms

  • Cotlet is a service of Take Group sp. z o.o., ul. Wincentego Janasa 4, 40-855 Katowice, Poland, entered in the National Court Register (KRS) under number 0000871398 by the District Court Katowice-Wschód in Katowice, 8th Commercial Division of the National Court Register, NIP 6342984273, REGON 387616994, share capital PLN 5,000 ("Take Group", "we", "us").
  • These terms are a contract between you and Take Group for the use of cotlet.dev, the Cotlet console, the Cotlet REST API and the Cotlet MCP server (together, the "Service").
  • You accept them when you create an account or use the Service. If you accept them for a company or other organization, you confirm that you may bind it, and "you" means that organization.
  • A "Consumer" is a person who uses the Service outside their trade, business or profession. Sections marked for Consumers also apply to a sole trader in Poland for whom the contract has no professional character, as Polish law provides.

02 The Service

  • Cotlet gives you your own cloud browser: Chrome that we host for you in the European Union, one browser for each third-party app or site you connect (each a "Connected App"). You sign in to each Connected App yourself, in its browser. Your AI client, such as ChatGPT, Claude, Codex or Claude Code, or your own script then works in those signed-in browsers, through ready-made tools (MCP tools and REST endpoints) or by driving a browser directly over the Chrome DevTools Protocol ("CDP").
  • We build and maintain the tools ourselves. Cotlet and its tools are not affiliated with, endorsed by or sponsored by the Connected Apps or their providers. A Connected App may change or block access at any time, so a tool may pause, change or stop working. We may change, pause or retire a tool; when we retire one you pay for, we tell you in advance where we can.
  • You open each browser from the console. All browsers of your workspace use the same IP address from our proxy provider, shown in your console, and the same browser identity, so sites see one device. When that address slows down or stops working, we switch to another one in the same country. Changing the country in your settings changes the address.
  • You connect a Connected App by signing in to it in its browser and then enabling it for agents, read only or read and write. Signing in alone does not let tools run there. The tools run only in Connected Apps you enabled, within the scope of the key or connection that calls them.
  • Each browser keeps its own profile (cookies, local storage and open tabs), stored encrypted while it sleeps. When a tool runs, the Service uses that profile, the IP address and the browser identity to perform the action, mostly as direct requests rather than clicks, and lists each request in your Background activity. Password saving and autofill are switched off. What you type in a browser, including passwords, passes through our servers to the site you type it into; we never ask for your Connected App passwords outside it, and never save them.
  • Over CDP, the AI client or script controls the browser of one Connected App as you would: it sees everything the open tab shows, including the page content, can read the browser's cookies, can click, type and open other sites in that tab, and is not limited by tool scopes or confirmations. Only a key or connection with access to all apps, all tools and write access can open a CDP session, and it works in any Connected App your workspace has access to, enabled for agents or not. Each started minute of an open CDP connection uses credits. We record when it opens and closes, for which browser, which key or connection opened it and the credits it used; we do not record what the agent does in the page.
  • The browsers are part of the Service and may only be used as the acceptable use policy allows, in particular only for accounts you are authorized to use. They start on demand and sleep when idle. We may set technical limits on them, such as daily data transfer, time with a browser open, downloads and the ports and addresses they can reach, and we may stop or suspend them to protect the Service or other people.
  • The Service performs actions at a pace close to a person's. We do not solve CAPTCHAs, bypass multi-factor authentication or defeat other access controls. When a Connected App asks for one of these, you complete it yourself.
  • Descriptions on the site, such as endpoints, parameters and example responses, describe the Service. Example responses are labeled as examples and do not contain real user data.

03 AI clients you connect

  • Your AI client connects to Cotlet in one of two ways: with an API key you create in the console, or by signing in to Cotlet through OAuth, as the Claude and ChatGPT connectors do. Signing in shows a consent screen where you pick the apps, tools and read or write access the client gets. Approving it creates a connection with that scope.
  • The connection gives the client an access token valid for 1 hour and a refresh token valid for 30 days, which is replaced with a new one each time it is used. The connection appears in the console under API keys, and Disconnect there ends it at once, together with its tokens.
  • Your AI client and its provider are not part of the Service. Results of tool calls and what an agent sees over CDP go to the client you connected, and what it does with them is governed by your agreement with its provider. You are responsible for the clients you connect and for the instructions they send.

04 Requesting access and accounts

  • Access to integrations is granted per app. Some apps are open to every account; for others you request access in the console, and we may grant or decline the request.
  • Until we grant access you can browse the site, the documentation and every endpoint's description, and nothing is charged.
  • The Service is for adults. You must be at least 18 years old to create an account or use the Service, and you must give us accurate information. Each account belongs to one person; organizations add each member as a separate user where the plan allows it.
  • Keep your password, API keys and CDP links secret. You are responsible for all calls made with your API keys and through the AI clients you connect until you revoke or disconnect them. Tell us at once if you think a key has leaked.

05 Your authorization to act on your behalf

  • For each Connected App, you confirm that you own the account or are authorized by its owner to use it, and to let the Service and the AI clients you connect act in it. For an organization's account, this means a person with authority to give that permission.
  • You choose what the Service may do in each account: you enable each Connected App for agents, read only or read and write, you give each key and connection a scope, and actions that reach other people can wait for your confirmation each time. Tools act only within that permission and only when your agent, your script or you instruct them. A CDP session is the exception described above: it gives the agent the whole browser of one Connected App.
  • You are responsible for the instructions your AI client or script sends, including mistakes an AI agent makes. Actions that reach other people, such as posts and messages, can be set to wait for your confirmation; we recommend keeping that on.
  • You can disable a Connected App for agents, sign out of it in its browser, reset a browser, revoke an API key or disconnect an AI client at any time. Disabling, revoking or disconnecting stops tool calls at once; signing out stops them from the next call; a reset deletes the browser profile. Revoking the key or disconnecting the client that opened a CDP session closes it within a minute.

06 Connected Apps and their terms

  • Your use of each Connected App is governed by your own agreement with its provider. You are responsible for making sure your use of the Service complies with that agreement and with the law that applies to you. We do not give legal advice.
  • A Connected App may apply rate limits, security checks, account restrictions or other measures to automated use. You accept that risk when you connect it. To the extent the law allows, we are not responsible for measures a Connected App provider takes against your account.
  • If a Connected App provider objects to an integration, for example by a cease-and-desist letter, we may pause that integration within 24 hours and tell affected users. Credits are not used while an integration is paused.
  • If a Connected App offers an official API that does what you need, we recommend you use it.

07 Acceptable use

  • You agree to follow the acceptable use policy, which forms part of these terms.
  • In particular, you may not use the Service to access an account without authorization, send spam, collect other people's personal data at scale, defeat security measures, break the law or infringe anyone's rights.
  • You may not use the Service if you are subject to sanctions of the European Union, the United Kingdom, the United Nations or the United States, or on behalf of a person who is, or in breach of export control laws.

08 Credits and billing

  • Credit packs and their prices are listed on the pricing page. Nothing is charged until you buy a pack yourself.
  • There is no subscription. You buy prepaid usage credits in packs, each paid once in US dollars. A successful tool call uses credits for the work it takes; failed calls and timeouts use none. Your browsers use credits for each started day on which at least one Connected App is enabled for agents, however many apps and browsers that is. An open CDP connection uses credits for each started minute, charged at the start of the minute.
  • Credits from each pack stay valid for 12 months from the purchase and then expire; packs add up, we use the credits that expire first and tell you by email before any expire. Credits from a free trial expire when the trial ends. Credits have no cash value and cannot be transferred or exchanged for money, except where the law requires a refund.
  • When your credits run out, tool calls and your browsers pause and open CDP connections close until you buy more. We never charge you without a purchase you make yourself.
  • Payments are processed by Stripe. We charge your payment method only for the pack you buy, once; nothing renews.
  • Credits are added to your account as soon as Stripe confirms the payment, usually within a minute, and Stripe emails you a receipt.
  • Taxes: for Consumers in the European Union and the United Kingdom, VAT is added at checkout based on your address and shown before you pay. For business customers, prices exclude VAT and other taxes, which are added where the law requires or accounted for by you under the reverse charge; enter your VAT ID at checkout. Every purchase gets an invoice, available from your dashboard.
  • We may change pack prices at any time; a change never affects credits you already bought.
  • Payments are not refundable, except as stated in these terms and in the refund policy, or where the law requires. If a payment is refunded, the credits from it that are not used yet are removed from your account. If we pause an integration through no fault of yours, the credits it did not use stay on your account.
  • If you think a charge is wrong, write to us before you dispute it with your bank. If you dispute a payment, we may suspend the account until the dispute is resolved.

09 Right of withdrawal for Consumers

  • If you are a Consumer in the European Union, the European Economic Area or the United Kingdom, you may withdraw from the purchase of a credit pack within 14 days of buying it, without giving a reason.
  • To withdraw, send us a clear statement by email before the 14 days end. You may use this model form: "To Take Group sp. z o.o., ul. Wincentego Janasa 4, 40-855 Katowice, Poland, contact@cotlet.dev: I hereby withdraw from my contract for the following service: [credit pack], ordered on [date]. Name, email address of the account, date."
  • At checkout you ask us to start the Service right away. If you withdraw, you pay for the credits from that pack you have already used, in proportion to the pack price, and we refund the rest, using the payment method you used, within 14 days of receiving your statement.

10 Conformity and complaints

  • We provide the Service as described in these terms and on the site. If you are a Consumer, you have the statutory rights that the law of your country gives for digital services that do not conform to the contract, and nothing in these terms limits them.
  • To complain, write to contact@cotlet.dev with a description of the problem and your account email. We reply within 14 days. If you are a Consumer in Poland and we do not reply in time, your complaint is treated as accepted.
  • Consumers may also use out-of-court dispute resolution. In Poland: the Provincial Inspectorates of Trade Inspection and the municipal or district consumer ombudsmen; elsewhere in the EU: the bodies listed by the European Consumer Centres Network. We will tell you whether we agree to take part.

11 Availability and support

  • We work to keep the Service available and tested, but we do not promise uninterrupted availability, unless we agree a service level in writing. Maintenance, changes in Connected Apps and events outside our control can interrupt it.
  • Support is by email. We aim to reply within two business days.

12 Your data

  • You keep all rights in your data and in the content of your Connected Apps. You allow us to process it only to provide the Service to you, as described in these terms.
  • How we handle personal data is described in the privacy policy.
  • If you are a business and we process personal data for you under the GDPR or US state privacy laws, the data processing addendum forms part of these terms.
  • We do not use your data or the content of your Connected Apps to train AI models, and we do not sell it.

13 Intellectual property

  • The Service, the site, the documentation and the Cotlet name and logo belong to Take Group or its licensors. We give you a limited, non-exclusive, non-transferable right to use the Service under these terms while your account is active.
  • You may not copy, resell or offer the Service to others as a service, or reverse engineer it, except where the law allows it despite this clause.
  • Names of Connected Apps are trademarks of their owners and are used only to describe what an integration connects to.
  • If you send us ideas or feedback, we may use them without any obligation to you.

14 Warranties

  • For business customers: to the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
  • For Consumers: you keep every warranty and right that mandatory law gives you. Nothing in these terms excludes or limits them.

15 Limitation of liability

  • For business customers: to the extent the law allows, neither party is liable for lost profits, lost revenue, lost data or indirect or consequential damages, and each party's total liability under these terms is limited to the greater of the fees you paid in the 12 months before the claim and USD 100.
  • These limits do not apply to damage caused intentionally or by gross negligence, to death or personal injury, to your payment obligations or your indemnity, or where the law does not allow liability to be limited.
  • For Consumers: we are liable under the mandatory law that applies to you, and the limits above apply only as far as that law allows.

16 Indemnity

  • If you are a business customer, you will defend and indemnify Take Group against third-party claims, including claims by Connected App providers, arising from your use of the Service in breach of these terms, the acceptable use policy, a Connected App's terms or the law, or from a lack of authorization for an account you connected.
  • We will tell you promptly about such a claim, let you control its defense and help you at your cost. This section does not apply to Consumers.

17 Suspension and termination

  • You can close your account at any time in your dashboard or by email. Closing an account ends the Service at once; unused credits are forfeited, except where the law requires a refund.
  • We may suspend or close your account if you seriously or repeatedly breach these terms, if your use puts the Service, other users or third parties at risk, if the law or an authority requires it, or if a payment remains unpaid after notice. We tell you the reason and, where possible, give you time to fix it first.
  • We may also end the Service for any other reason with 30 days' notice by email, and refund the price of the credits you bought and have not used.
  • When your account closes, your browsers, with their profiles and everything you are signed in to there, are deleted at once, your API keys and AI client connections stop working and your other data is deleted as described in the privacy policy. Sections that by their nature should survive, such as liability, indemnity and governing law, survive.

18 Changes to these terms

  • We may change these terms for good reasons: a change in the law or a decision of an authority, a change in Connected Apps or our providers, security, new features, or changes in our costs or the scope of the Service.
  • We tell you about material changes by email at least 30 days before they apply. If you do not agree, you can close your account before then, and a Consumer gets a refund of fees prepaid for the time after the change.
  • The version in force is always on this page, with its effective date.

19 Legal notices and point of contact

  • Our point of contact for legal notices, reports of illegal content or misuse, and requests from authorities is contact@cotlet.dev. It is our single point of contact for users, authorities and the European Commission under the Digital Services Act, and for notices from Connected App providers. You can write in English or Polish.
  • We send notices to you by email to the address of your account, and they count as received the day they are sent.

20 Governing law and disputes

  • These terms are governed by Polish law, excluding the UN Convention on Contracts for the International Sale of Goods.
  • Disputes with business customers are decided by the common courts competent for the registered office of Take Group in Katowice, Poland.
  • If you are a Consumer, you keep the protection of the mandatory law of your country of habitual residence, and you may bring a claim in the courts of that country or of Poland.

21 General

  • These terms, with the policies they link to, are the whole agreement between you and us about the Service. If a part is invalid, the rest stays in force.
  • We may transfer this contract to a company that takes over the Service, and we tell you if we do; a Consumer may then end the contract. You may not transfer it without our consent.
  • Neither party is responsible for delays caused by events outside its reasonable control. Not enforcing a right is not a waiver of it.
  • These terms are written in English. If we provide a translation, the English version prevails, unless mandatory law says otherwise for Consumers.
